Gentlemen,

1. Having examined the Bidding Documents

undersigned, offer to design, manufacture, test, supply, deliver at
site, erect, perform testing & commissioning of Fixed Series

2. In line with the requirement of the Bidding Documents, we have

3. Price and Other Schedules

3.1 In line with the requirements of the Bidding documents, we


enclose herewith all the Price and other Schedules, duly filled - in
as per the proformae given in Vol. – IV of the Bidding Documents.

3.2 We are aware that the Schedules and the Bill of Quantities given
in the Bidding Documents do not generally give a full description
of the equipment and materials to be supplied and services to be
performed under each item and we shall be deemed to have read
the Technical Specifications and other sections of the Bidding
Documents and reviewed the Drawings to ascertain the full
scope of the requirements included in each item prior to filling in
the rates and prices in relevant price schedules. We agree that
the rates and prices to be quoted in these schedules shall be
deemed to include and account for the full scope as aforesaid,
including overheads and profit.

3.3 We declare that as specified in Clause 12, Section – IV: SCC,


Conditions of Contract, Vol.-I of the Bidding Documents, all the
prices quoted by us in the Price Schedules shall be Fixed and
Firm.

3.4 We understand that in the price schedules, arithmetic errors will


be rectified in line with Sub-clause 23.2, Section – II : ITB,
Conditions of Contract, Vol.-I of the Bidding Documents i.e., if
there is a discrepancy between the unit price and the total price
that is obtained by multiplying the unit price and quantity, the
unit price shall prevail and the total price shall be corrected. If
there is a discrepancy between words and figures, the amount in
words will prevail. We further understand that similarly, any
discrepancy in the total bid price and that of the summation of
Schedule prices (price indicated in a Schedule indicating the

total of that schedule), the total bid price shall be corrected to


reflect the actual summation of the Schedule prices.

4. If our Bid is accepted, we undertake to commence work for Fixed


Series Compensation Package upon issuance of your Notification
of Award / Letter of Award and to achieve the completion of work
by 21 months from the date of Notification of Award / Letter of
Award i.e., within the time schedule stated in the Bidding
Documents.

5. If our Bid is accepted, we will furnish a Guarantee from a bank, in


an amount of 10% (ten percent) of the above named sum for
performance of the Contract in accordance with the Conditions
of Contract.

6. We agree to abide by this Bid for a period of 180 days after the
date fixed for Bid opening (i.e., excluding the date of bid opening)
under ITB Clause 15, Section-II: ITB, Conditions of Contract, Vol.-I
of the Bidding Documents, and it shall remain binding upon us
and may be accepted at any time before the expiration of that
period.

7. *We are making this proposal with a stipulation that you shall
award us three separate Contracts viz. ‘First Contract’ for all
works to be performed in countries outside India covering, inter-
alia, the Off-Shore Supply of equipment & materials including
mandatory spares (CIF Supply); ‘Second Contract’ for Supply of
equipment & materials including mandatory spares (Ex-works
Supply) and testing to be conducted within India; and ‘Third
Contract’ for providing all services i.e. port handling and custom
clearance of the imported goods; further loading and inland
transportation for delivery at site, unloading, storage, handling at
site, installation, testing and commissioning in respect of all
equipment & materials supplied under both ‘First Contract’ and
‘Second Contract’ and any other services specified in the Bidding
Documents. We declare that the award of three contracts, will
not, in any way, dilute the responsibility for successful operation
of Plant/Equipment and fulfilment of all obligations as per Bidding
Documents and that all the three Contracts will have a cross-fall
breach clause i.e., a breach in one Contract will automatically be
classified as a breach of the remaining contracts which will
confer on you the right to terminate the other contracts at our
risk and cost and/or recover damages under any or all the
Contracts.

*We declare that we have studied the provision of Indian Income


Tax Law and the prices have been quoted accordingly.

*We confirm that no Indian Tax is payable on sale of goods, if the


contract is on Principal-to-Principal basis, and the title of goods
passes to POWERGRID outside India as proposed in ‘First
Contract’. However, Indian Income Tax, if any, applicable on the
‘Second Contract’ shall be to our account.

** We confirm that Indian Income Tax, if any, applicable shall be


to our account.

** We are making this proposal with a stipulation that you shall


award us two separate Contracts viz. ‘First Contract’ for ex-works
supply of all equipment and materials including mandatory
spares and testing to be conducted and ‘Second Contract’ for
providing all the services i.e. inland transportation for delivery at
site, unloading, storage, handling at site, installation, testing and
commissioning in respect of all the equipment supplied under the
‘First Contract’ and other services specified in the Bidding
Documents. We declare that the award of two contracts will not
in any way dilute our responsibility for successful operation of
Plant/Equipment and fulfillment of all obligations as per Bidding
Documents and that both the Contracts will have a cross-fall
breach clause i.e., a breach in one contract will automatically be
classified as a breach of other contract which will confer on you
the right to terminate the other Contract at our risk and cost.

7.1 (For Foreign Bidders only. Strike off, if not applicable)

Further, pursuant to Clause 24, Section-IV : SCC, Conditions of
Contract, Vol.-I of the Bidding Documents, we propose M/s
____________, whose capacity and experience are enclosed with
our Bid (at Attachment – I to the Bid Form), as our Assignee for
the purpose of executing the ‘Second Contract’ and/ or the ‘Third
Contract’. The written unequivocal consent of the above
mentioned proposed Assignee to work as your independent
Contractor, on the same terms and conditions as offered by us to
you in this bid, is also enclosed with the Bid (at Attachment – II
to the Bid Form##).

The above mentioned proposed Assignee shall directly enter into


the ‘Second Contract’ and/ or ‘Third Contract’ with you and all the
three contracts shall contain the aforesaid cross-fall breach
clause.

In case the Assignee, despite his written consent fails to enter
into the ‘Second Contract’ and / or ‘Third Contract’ with you, or if
the Purchaser in his judgement does not find acceptance of the
proposed Assignee as its Contractor, then we undertake to enter
into and execute all the Contracts, inter-alia, containing the
aforesaid cross-fall breach clause. In such an event, the over-all
financial liability of the Purchaser, under the Contract shall,
however, not exceed that envisaged in our this bid.

8. We confirm that Works Contract Tax (WCT) levied, if any, shall be


to our account and shall be deemed to be included in our total
lumpsum bid price. However, statutory deduction of tax at
sources (TDS), if any, in this regard shall be done by the
Purchaser and certificate shall be issued.

8.1 We confirm that, in our Bid Price, we have considered Service Tax
in line with provision of Clause 34.6 of GCC, Section-III, Vol.I of
the Bidding Documents.

9. Deviations

9.1 We declare that the contract shall be executed strictly in


accordance with the specifications and documents except for
the variations and deviations, all of which have been detailed out
exhaustively in Schedule-8 & 8A, irrespective of whatsoever has
been stated to the contrary elsewhere in our proposal.

9.2 * We confirm that specified stipulation of the following clauses


are acceptable to us and no deviation/exceptions are taken on
any account whatsoever in the following clauses:

(a) Price Basis: Clause No. 10.6, Section-ITB, Conditions of


Contract, Vol.-I.

(b) Bid Security: Clause No.14.0, Section-ITB, Conditions of


Contract, Vol.-I.

(c) Performance Security: Clause No.6.0, Section-GCC and


Clause No.4.0, Section-SCC, Conditions of
Contract, Vol.-I.

(d) Liquidated Damages: Clause No.18.0, Section-GCC,

9.3 * In line with Clause No. 25.5, Section-ITB, Conditions of Contract, Vol.-I of the
Bidding Documents, we have declared the withdrawal price in Schedule-8A for
the deviations taken again the clauses mentioned above at 9.2 and we undertake
to execute the contract in line with the provisions of these clauses in case
Purchaser agrees to bear the withdrawal cost.

9.4 Further, we agreed that additional conditions, deviations, if any,


found in the proposal documents other than those stated in
deviation schedules, save that pertaining to any rebate offered,
shall not be given effect to.

12. Unless and until an Agreement is prepared and executed, this


Bid, together with your written acceptance thereof and your

4. Written power of Attorney of all signatories of the bid to commit


the Bidder must be enclosed with the Bid. In case of joint venture,
the written Power of Attorney of all signatories from respective
partners must be enclosed with the Bid.
