COMPANY PROFILE

Assam power Generation Corporation Ltd. (APGCL) was constituted after unbundling of ASEB in
Dec 2004 through Assam Power Sector Reform Program under provision of Electricity Act 2003.
The certificate of commencement of business was obtained w.e.f. 29 th April 2004. The final
Transfer scheme was implemented on Aug 2005 with a new Company balance Sheet w.e.f. April
2005. The Company is mainly responsible for maximum energy Generation to meet up the
energy demand in the state of Assam.

REQUEST FOR PROPOSAL


Assam power Generation Corporation Ltd. (APGCL) invites RFP application from intending
reputed, experienced and competent agencies to conduct assessment/study for optimization of
the Hydro Power Potential including pump storage, available in the State of Assam and
preparation of pre-feasibility reports and physical marking of the project domains in the state
of Assam.
Details of Scope of Work, terms & conditions, eligibility criteria etc. shall be available in the
RFP document, which can be either downloaded from the web site www.apgcl.org or collected
from the office of the undersigned.
The completed RFP document should be submitted in hard copy along with a soft copy at
the under mentioned address within the time lines given below.
Timelines of this RFP which are to be strictly adhered to are indicated below:-

Assam Power Generation Corporation Limited (APGCL) intends to conduct assessment/study for
optimization of the Hydro Power Potential including pump storage available in the State of
Assam including preparation of pre-feasibility reports and physical marking of the project
domains in the state of Assam.
Cost of Tender document: Rs 1000/- (Rupees One Thousand) only non refundable
Earnest Money Deposit: Rs 20,000.00/-(Rupees Twenty Thousand) only

The cost of tender paper and earnest money shall be submitted in the form of Demand draft from a
Nationalized/Schedule bank to be pledged in favour of the Deputy General Manager (F&A), APGCL,
Bijulee Bhawan, Paltanbazar, Guwahati-781001 payable at Guwahati.

i. Disclaimer
The information contained in this Request for proposal (RFP) is provided to the Applicant (s) on
the Terms & Conditions (T&C) set out in this RFP. This RFP document is not an agreement and is
neither an offer nor invitation by the company (APGCL) to the prospective applicants or any
other person. The purpose of this RFP is to provide information to the interested agencies that
may be useful to them in the formulation of their application for short listing pursuant to this
RFP.
This RFP document includes statements which reflect various assumptions and assessments
arrived at by APGCL and its advisors for small/medium hydro power potential in Assam. Such
assumptions, assessments and statements do not purport to contain all the information that
the bidders may require. The information contained in the RFP may not be appropriate for all
Applicant (s) and it is not possible for APGCL its employees or advisors to consider the
investment objectives, financial situation and particular needs of each person who reads the
bidding document. The assumptions, assessments, statements and information contained in
the bidding document may not be complete, accurate, adequate or correct. Each bidder should
therefore conduct its own investigations and analysis and should check the accuracy, adequacy,
correctness, reliability and completeness of the assumptions, assessments, statements and
information contained in the bidding document.

This RFP does not imply that APGCL is bound to select and shortlist pre-qualified Applications
for Bid Stage or to appoint the selected Bidder as the case may be for the project and APGCL
reserves the right to reject all or any of the Applications/Bids without assigning any reasons
whatsoever.
The Applicants shall bear all the costs associated with the preparation and submission of its
Applications in response to this RFP regardless of the outcome of the Bidding Process.

1.0 Introduction
1.1 Project Background
Assam has a substantial hydropower potential of around 540MW, out of which only 113.5 MW
could be developed through KLHEP (100 MW), & MSHEP (13.5 MW) under APGCL.Thus
generation from hydro sector at present is only 113.5 MW. At present the state of Assam has
one no. of identified hydroelectric project at initial stage of implementation. Thus, it is crucial
to firm up the available hydro potential in the state of Assam within the shortest possible time
in view of the recent activities concerning hydro power sector. To achieve this APGCL is in the
process of engaging a competent Consulting Agency so that the potential is assessed more
accurately with the latest available technology and approach within a time frame.
1.2 Implementation Approach
As already mentioned, the Company, is trying to re-assess the hydro potential available in the
State of Assam using the latest available technologies through an experienced & competent
Agency. The interested parties who meet all the eligibility criteria set out in this EoI may apply
for the assignment submitting their RFPs. The Applicants may be Indian/Foreign Company
having its well established bases in India and having necessary experience in the field. The
applicants shall be shortlisted based on their Profile, Capability, Experiences in the field,
Responses, Presentation etc.
In this respect, The Company invites RFP under this document from the Agencies interested in
the above assignment. The shortlisted Applicants will be entitled to participate in the next stage
of Bidding and will be issued an RFP document.

2.0 Scope of Work
The Scope of Work is broadly divided into the following:-
(i) Preparation of Digitized Basin wise plans incorporating all the Hydroelectric Projects
(of all sizes/capacities)
(ii) Evaluation of hydropower potential in the two major river basins, namely
Brahmaputra, & Barak.
(iii) Evaluation of potential of storage and run-off river hydropower project.
(iv) Evaluation of potential pump storage hydropower projects in Assam.
(v) Assessment of financial and economical viability of all identified types of
hydropower projects.
(vi) Assessment of environmental and social viability of reservoir type of projects.
(vii) Preparation of separate river basin and physiographic maps showing the potential
hydropower projects.
Pre-Feasibility Report shall be prepared complete in all respect including all the aspects but not
limited to the following.
i) Introduction of the project
ii) Selection &Suitability of the site for power project.
iii) Justification of the project.
iv) Outlining Govt. of India guidelines and statutory clearances required and procedures.
v) Probable sources for obtaining finance for executing the project
vi) Brief financial analysis showing
a) Project Cost
b) IDC
c) Capital Cost
d) Cost of generation, 1st year
e) Fixed cost of generation, 1st year
f) Variable cost of generation
g) Levelised cost of generation.
The PFR shall be the reference document for concerned authorities such as MOEF&CC, Govt. of India,
Govt. of Assam as may be applicable until such time when the DPR is ready. Consultant shall discuss
with APGCL in finalizing the PFR.

3.0 Methodology
The methodology of this study will be based on the following steps. However a clear and
precise detailing of the methodology for the completion of the work will be the responsibility of
the consulting firm.
(i) A comprehensive review of available literature and past studies.
(ii) Collection of necessary primary, secondary and tertiary data from different sources.
(iii) Necessary field visits for collection of data (hydro-meteorological, soil, topography
and others).
(iv) Calculation/estimation of flow discharges in the different rivers streams utilizing
recent tools and models, which are suitable for the respective river basin. This may
include hydro-meteorological and soil-moisture modeling work.
(v) Consideration of geological and geotechnical factors in the assessment of
hydropower potential in the different river stretches and potential reservoir areas.
(vi) Consideration of financial, economical, social and environmental viability in the
assessment of projects.

4.0 Eligibility Criteria of the Bidders


The bidders shall have
(i) Presence in India as Company established under Company’s Act 1956
(ii) An established design office in India for a minimum period of 10 years.
(iii) Average annual turnover of the bidder from consultancy services in the preceding 3
(Three) years ending 31st March, 2019 shall not be less than INR50(fifty) crore and
the bidder will have to submit relevant audited balanced sheet.
(iv) Carried out similar nature of assignments involving a valley/river basin level study of
hydropower potential and identification of new projects.
(v) Previous work experience on providing consultancy services for development of
hydropower projects in any north-eastern Indian states.

5.0 Instructions to Applicants

* Interested consulting agencies fulfilling the eligibility criteria given at para 4.0 above, should
submit the details of their Financial, Past experiences, Manpower profile as per the formats
Form A3, A5, B, C1, C2, C3, D1, & D2.
* The RFP document should be submitted along with a non refundable fee of INR 20,000.00
(Rupees Twenty Thousand) only by crossed Demand Draft to be drawn in favour of DGM(F&A),
APGCL From any scheduled bank payable at Guwahati.
* The RFP in sealed cover must be submitted at the address given below on or before --------.
RFPs will be opened at------hrs on the same day in the presence of The Applicants/ Applicant’s
authorized representative(s), who may desire to attend.
* The Applicants would be required to make a presentation on their understanding and
proposed methodology for execution of the assignment and necessary profiles of their
companies before the Evaluation Committee for which a separate date will be conveyed in
advance.
* APGCL will not be responsible for any costs or expenditure incurred by the Applicants in
connection with the delivery and preparation of the RFPs.
* The Applicants shortlisted under RFP process will be invited to submit their Technical and
Financial proposal and final selection of the consultant will be based on these proposals.
* APGCL does not bind itself to accept any RFP submitted by the Applicants and also reserves
the right to select or reject any RFP or to cancel the entire process at any time without
assigning any reason thereof. No claim/dispute on whatever account shall be entertained.

6.0 Amendment of RFP document.
At any time prior to the deadline for submission of Application, APGCL may for any reason,
whether at its own initiative or in response to clarifications requested by an Applicant modify
the RFP document by the issuance of addenda or addendum.
7.0 Preparation and Submission of Application
7.1 Language
The Application and all related correspondence and documents should be written in English
language.
7.2 Validity of Application.
The Application shall be valid for a period of SIX months from the due date for submission of
RFP. APGCL reserves the right to reject any or all Applications which does not meet this
requirement.
7.3 Format and Singing of Application
The Applicant should provide all the information as per this document. APGCL would evaluate
only those Applications that are received in the required format and are complete in all respect.
The Applicant shall submit one hard copy and one soft copy (on a CD in MS Word/PPT format)
of the documents comprising the RFP Application. In case of any discrepancy between the hard
copy and soft copy, the hard copy shall prevail.
The Application shall be typed and each page shall be initialed by the Applicant. All the
alterations, omissions, additions or any other amendments made to the Application shall be
initialed by the person(s) signing the Application.
All the Formats mentioned above which are to be attached as Annexure in the RFP Application
will be available in the Web site of APGCL i.e. www.apgcl.com.
7.4 Address for submission and venue of opening of the RFP

If the envelope is not sealed and marked as instructed above, APGCL assumes no responsibility
for the misplacement or delay in receipt or premature opening of the contents of the
Application submitted.
The applications will be opened at the address mentioned above.
7.5 Late Application
APGCL will not accept any Application received after the Application deadline.

7.6 Modifications/Substitution/Withdrawal of Application
The Applicant may modify, substitute or withdraw its Application after submission, provided
that written notice of the modification, substitution or withdrawal is received by APGCL within
the Application deadline.
The Modification, Substitution, or Withdrawal notice shall be prepared, sealed, marked and
delivered in accordance with RFP instructions, with the envelopes being additionally marked
‘MODIFICATION’, ‘SUBSTITUTION’ or ‘WITHDRAWAL’, as appropriate.
7.7 Evaluation of Application
An Evaluation Committee to be constituted by APGCL would open the Applications as per
details the timelines given above for the purpose of evaluation. The Applicants present at the
time & venue mentioned will be provided with information of list of applicants for the RFP
process.
Applications for which an acceptable notice of withdrawal has been submitted in accordance
with the above clause shall not be opened.
APGCL reserves the right to reject any Application without assigning any reasons thereof.
8.0 Request for Clarifications from APGCL
To facilitate evaluation of Applications, APGCL may, at its sole discretion, seek clarification in
writing from any Applicant regarding their Application. In the event of response to such request
is not received from the Applicant within TEN working days of such request having sent by
APGCL, the decision of APGCL as to interpretation of the Application would prevail.
9.0 Short listing and Notification
After evaluation of Applications, APGCL would announce a list of Applicants who have been
shortlisted for participation further in the process. Each of them will be informed accordingly.
The shortlisted Applicants will be requested to submit a detailed proposal in the form and
manner to be spelled out in the RFP document.

10.0 PREPARATION OF RFP APPLICATION
The RFP Application shall be structured in accordance with the outlines given below and must
contain accurate and complete information as requested in this document. The RFP Application
shall have no interlineations or overwriting, except as necessary to correct errors. Any such
correction must be initialized by the person authorized to sign the application and stamped
with the firm’s seal.

EVALUATION PROCESS:
APGCL will carry out evaluation of the submitted RFP documents based on the criteria approved
by APGCL and listed in this RFP document.
The evaluation of RFP documents will be done in two stages
(i) Screening of the RFP Applications of all firms for eligibility and
(ii) Evaluation of RFP documents of eligible firms.

SCREENING OF THE RFP APPLICATIONS OF ALL FIRMS FOR ELIGIBILITY

The basic criteria for the eligibility of applicants are as follows:


Eligibility Requirement:
i. Copy of valid registration certificate
ii. Copy of GST registration.
iii. Copy of Income Tax clearance Certificate for FY
iv. Self declaration mentioning their eligibility, non-conflict of interest, non receipt of any
punishment while doing consulting business and litigation history (if any)

If a firm fails to submit the above documents or does not meet any of the above mentioned
criteria, the firm will be considered as non-eligible and will NOT be considered for further
evaluation.

The experience of the firm should be supported with evidence/proof in the form of work
completion certificates showing the project size, value of contract, time duration and date of
completion of the assignment, as appropriate. The experience of firm without such
evidence/proof will not be considered for evaluation.

SCREENING OF RFP APPLICATIONS
In this stage, a screening of received RFP documents will be done based on approved eligibility
criteria. Each consultant must ‘PASS’ each and every criteria of eligibility. Any consultant not
complying with any one of these criteria is disqualified from further evaluation.

EVALUATION OF RFP DOCUMENTS


In the second stage, the RFP documents of eligible firms ( consultants determined ‘PASS’ in
stage-I), will be further evaluated based on (i) Financial Capability of Firm, (ii) Human Resource
with the Firm, (iii) General Work Experience of the Firm and (iv) Specific Work Experience of the
Firm
Applicants obtaining at least 60% marks in the RFP evaluation process shall be shortlisted for
the job.

Deliverables:
The Consultant will submit the following reports.
1. Inception Report within one month after date of agreement in the form of
one hard and one soft copy.
2. Interim Report I within one month after approval of the Inception Report in
the form of one hard and one soft copy.
3. Interim Report II within one month after submission of the Interim Report I
in the form of one hard and one soft copy.
4. Draft report at least one month before the end date of the contract in the
form of one hard and one soft copy.
5. Final Report in the form of twenty hard and one soft copy.

Note: APGCL may appoint a panel of experts to conduct an independent review of


the Draft Report. The cost of such review shall be borne separately by APGCL. The
Final Report shall incorporate all the comments and suggestions provided by
APGCL.

11. TERMS AND CONDITIONS:
11.1 Data collection:
The consulting firm will visit the sites to collect information and salient technical input data for
feasibility study of the project at the proposed location at their own cost. The firm may visit
APGCL’s H.Q. to have an exchange of ideas between APGCL’s officers and engineers so as to
formulate the basis of study.
11.2 Escalation and Price Variation:
The price quoted shall be firm
11.3 Force Majeure
Neither APGCL nor the consulting engineer shall be considered in default in performance of the
obligations under the contract if such performance is prevented or delayed by event, such as but
not limited to war, hostilities, revolutions, riot, civil commotion, strikes. Lock outs, conflagrations,
epidemic, accident, fire, wind, flood, drought, earthquake or because of any law and order,
proclamation, regulation or ordinance of Government or of any act of God or for any other cause
beyond the reasonable control of the party affected, provided notice in writing of any such cause
with necessary evidence that the obligation under the contract in there by affected or prevented
or delayed is given within the shortest possible period without delay.
11.4 Performance Guarantee:
The consulting Engineer shall carry out the services in conformity with generally accepted norms
and sound standards of engineering. The consulting Engineer shall be responsible for the
technical soundness of the service rendered. In the event of any deficiency in those services, the
consulting engineer shall promptly redo such design and engineering at no additional cost to
APGCL as to enable APGCL, if necessary to carry out such rectification and/or modification as may
be required. The successful bidder shall enter into a contract with APGCL upon award of the
contract for the services and shall submit two performance guarantees for the contract in the
form of a Bank Guarantee from a Nationalized /Schedule Bank for an amount of 10% of the
contract price for PFR
If the consulting firm fails to perform its services satisfactorily within the stipulated completion
period, performance bank guarantee along with the earnest money submitted by the firm shall
be forfeited.
11.5 Additional Services:
Scope of this tender document generally covers all works required for successful feasibility study
of the projects as per scope. Any item of work not specifically mentioned but essential for
successful completion of the above study of the project as per scope will not be considered
additional.
11.6 Contract Agreement:
A contract agreement shall have to be made for the consultancy services.

11.7 Number of copies of Documents to be furnished:
The tenderer shall submit 5 hard copies of draft with a soft copy and 20 hard copies of final PFR
with soft copy.
* Financial analysis in PFR shall be submitted in excel file in soft copies.
11.8 Arbitration:
All disputes or differences what-so-over arising between the parties out of or relating to this
order shall be settled mutually. However if this cannot be settled mutually the same shall be
settled by arbitration as per clause 9.00 of “APGCL’sGeneral condition of supply and erection
2014”. The venue of arbitration shall be at Guwahati.
11.9 Validity of the Offer:
The offer shall be valid for a period of one year from the date of LoI.

11.10 Completion of time:


Total time of completion of the service shall be Six months from the date of LOI.
