Each committee shall designate a Secretariat who shall be a non-voting member for the
purpose of documenting the minutes of the Committee meeting.

2. RESOLVED, as it is hereby resolved, that the Corporation hereby mandates its

subsidiaries to declare dividends from unrestricted retained earnings, estimated to
be approximately P370 million pesos, enabling the parent company Abacore to
recognize revenues needed to maintain its corporate policy of declaring dividends
annually, subject to compliance with the requirements of law for this purpose,
particularly the existence of retained earnings at the respective subsidiary level.
