THIS DEED OF APPOINTMENT OF TRUSTEES is made on 25th September 2019

PARTIES:

(1) INGRID FELDERHOF of Unit 2039, Kings Court Britannia, George Town, Grand Cayman,
Cayman Islands and JOHN FELDERHOF of Cavite, Phillipines (the “Appointers” and the
“Settlors”); and

(2) STEPHEN SYMONS (Attorney-at-law) of 40 Jennifer Drive Snug Harbour, Grand

Cayman, Cayman Islands and KAREN MARIE FELDERHOF of 53 Park Way Drive,
Grand Cayman, Cayman Islands (the “New Trustees”)

WHEREAS:

A) This Deed is supplemental to Ingrid and John Felderhof Trust for Karen dated 19 June 1996
(the “Trust” and the “Trust Deed”);

B) The Settlors intentions are expressly provided at clause 4(a) of the Trust Deed, which
provides, that the primary intention of the Trust was to make available a place of residence
for Karen Marie Felderhof as a Beneficiary initially and other Beneficiaries thereafter, being
the home at 53 Parkway Drive, Grand Cayman, Cayman Islands (hereinafter referred to as
the “Home”);

C) The Appointers having appointed Butterfield Bank (Cayman) Limited (herein referred to as
the “Outgoing Trustee”), a professional Trustee, as the sole Trustee of the Trust;

D) The Appointers having become aware that there is limited capital remaining in the Trust and,
it being apparent, that the Trust can no longer afford the services of a professional trustee
such as the Outgoing Trustee; the Appointers now seek to appoint two (2) individual
trustees, the New Trustees, in place of the Outgoing Trustee;

E) The Appointers intend to remove the Outgoing Trustee pursuant to Clause 16(e) of the Trust
Deed by providing Notice to the Outgoing Trustee to retire forthwith and direct in
accordance with clause 16(e) of the Trust Deed that all assets and/ or any interest held upon
and subject to the Trust (the “Trust Assets”) be forthwith vested and/or transferred into the
joint names and placed under the control of the New Trustees.

NOW THIS DEED WITNESSES as follows:

1. In exercise of the powers for that purpose conferred upon the Appointer by Clause 16 (e) of
the Trust Deed and of every and any other relevant powers, enabling them the Appointers
hereby appoint the New Trustees to be the trustees of the Trust in place of the Outgoing
Trustee and that all Trust Assets be forthwith vested and/or transferred into the joint names
or placed under the control of the New Trustees.

2. Upon service of the Notice pursuant to clause 16(e) of the Trust Deed the Outgoing Trustees
shall forthwith retire and are discharged from the Trust and the New Trustees are henceforth
the Trustees of the Trust.

3. Without limiting clauses 17 and 18 of the Trust Deed it is Acknowledged by the Appointers
that the New Trustees are individual trustees serving in their personal capacity, and given
this, that it is the Appointers' desire that each of them be given full indemnification from the
Trust to the fullest extent possible during each of their time as trustee and at any time after
they cease to be trustee of this Trust. In the event of death of any New Trustees the personal
representatives of the deceased New Trustee shall be discharged from all liability
whatsoever in respect of the Trust.

4. All reasonable and properly incurred expenses of the Outgoing Trustee shall be paid out of
the remaining capital funds of the Trust.

5. This Deed may be executed and delivered in any number of counterparts with the same
effect as if all the parties have signed the same document. All counterparts shall be
construed together and shall constitute one agreement. A signed counterpart of this
Agreement may be validly delivered including by means of facsimile transmission or email.

6. This Deed shall be governed by the Law of the Cayman Islands and the parties submit to the
exclusive jurisdiction of the Cayman Islands.
