RESOLVED that the Scheme of Amalgamation (attached) of SS Power II Limited with

SS Power I Limited is hereby approved in its entirety subject to sanction of the Hon'ble
High Court Division of the Supreme Court of Bangladesh and compliance with other
relevant legal and regulatory formalities."
