¡ RA 9520 – Philippine Cooperative Code of 2008


¡ Cooperative – an autonomous duly registered association of
persons, with a common bond of interest, who have voluntarily
joined together to achieve their social, economic and
cultural needs and aspirations by making equitable
contributions to the capital required, patronizing their
products and services and accepting a fair share of the
risks and benefits of the undertaking in accordance with
universally accepted cooperative principles.

¡ Provide goods and services to its members to enable them to
attain increased income, savings, investments, productivity,
and purchasing power, and promote among themselves
equitable distribution of net surplus through maximum

¡ Credit - savings and lending services; generates a common pool of
funds to provide financial assistance and other related financial
services to its members for productive and provident purposes
¡ Consumer – procure and distribute commodities to its members
and non-members
¡ Producers – undertakes joint production whether agricultural or
industrial; production and processing of RM produced by members
into finished or processed products for sale

¡ Types
¡ Marketing – engages in the supply of production inputs to members
and markets their products
¡ Service – engages in medical and dental care, hospitalization,
transportation, insurance, housing, labor, electric light and power,
communication, professional, etc.
¡ Multi-Purpose – combines 2 or more business activities (after 2
years of operations)

¡ Advocacy – primary cooperative which promotes and advocates
cooperativism among its members and the public through socially-
oriented projects, education and training, research and
communication, and other similar activities to reach out to its
intended beneficiaries
¡ Agrarian Reform – develop an appropriate system of land tenure,
land development, land consolidation or land management

¡ Cooperative Bank – financial services
¡ Dairy Cooperative – production of fresh milk which may be
processed and/or marketed as dairy products
¡ Education – owning and operating licensed educational institutions
¡ Electric – power generation, utilizing renewable sources, acquisition
and operation of sub transmission or distribution to its household
members

membership (including vote and be voted upon)
¡ Associate members – no right to vote nor be voted upon and shall
only be entitled to such rights and privileges provided in the by-

patronizes the cooperative as its member and signifies intention of

¡ Non-taxable – if transacts with members only
¡ Taxable – transactions with non-members, but may still be subject

¡ Policy-making – Corporation – BOD; Cooperative – General
Assembly (full membership)
¡ Control – Corporation – SH owning majority or most number of
shares; Cooperative – limit on share capital holdings – 10%

¡ Tax Benefits – Corporation – as a general rule, taxable;
Cooperatives – not subject to tax if it transacts only with members
¡ Term – Corporation – perpetual life, unless shortened;

¡ Minimum Capital – Corporation – None; Cooperatives – 15,000
¡ Organizers/Incorporators – Corporation – any person; one person
allowed; Cooperatives – 15 or more natural persons

¡ Any debt due to the cooperative from the member shall constitute
a first lien upon any raw materials, production, inputs, and products
produced; or any land, building, facilities, equipment, goods or
services acquired or held, by such member through the proceeds of
the loan or credit granted by the cooperative for as long as the
same is not fully paid.
¡ Ex. If a member got a loan from the cooperative to buy raw
materials or land, then the cooperative has a lien or claim over
the raw materials or land

¡ When there’s a lien – such property cannot be sold nor conveyed
to third parties without the prior permission of the cooperative
¡ Any sale or conveyance made without the consent of the
cooperative - VOID

¡ Must satisfy the following conditions:
¡ Greater than one year holding period
¡ Assignment is made to the cooperative or to a member of the cooperative
or to a person who falls within the field of the membership of the
cooperative
