MEMORANDUM

To: Eskom Group Chief Executive

From: Eskom MegaWatt Park Employees led by NUM & NUMSA

Date: 15 January 2020

SUBJECT: A demand to stop the implementation of UNBUNDLING / RELINKING

1. PURPOSE

The purpose of this memorandum is to inform the Group Chief Executive – Mr Andre De Ruyter
(“the GCE”) about the concerns of Eskom employees as listed below:

2. WELCOMING NOTE

As a collective; we would like to welcome you to our beloved organisation.

We would also like to assure you that; we stand united in ensuring that our organisation re-lives
its values and contribution to the people of the Republic of South Africa and beyond.

We are fully aware of the statements made to media regarding the plans and turn around period
in unbundling Eskom which is the 31st March 2020.

3. LIST OF CONCERNS FROM ALL ESKOM EMPLOYEES

3.1 Workers of Eskom under the banner of NUM and NUMSA demand that unbundling and relinking
of Eskom to be stopped with immediate effect.

3.2 We fully support the national call that Pravin Gordhan must step down as the minister of
Public Enterprises and all his current members of the Board to be removed; including the

Chief of Staff Lwanda Zingitwa and COO Jan Oberholzer.

3.3 We demand that Eskom be run by credible and knowledgeable managers not politicians.

3.4 We demand that Labour be represented in the decision-making processes, i.e. Eskom
Board and EXCO.

3.5 We reject IPPs (Independent Power Producers) with all contempt it deserves because they
are crippling Eskom and the Economy of South Africa in that they are being generated and
sold by the private companies to Eskom at R4.04 and Eskom has to sell to the public for
R0.83 thereby resulting in a huge financial loss for Eskom; and the public has to pay for the
difference as well.

3.6 We are well aware that the financial recovery process of fraudulent activities is in
implementation however, we demand that it shouldn’t be limited to Kusile only but be broad
e.g. it should start with Paul O’ Flaherty, Brian Dames, Koko Matshela, and others.

3.7 Non-payment of debts to Eskom by Municipalities is crippling the economy of South Africa,
We demand that the Chief Executive and his new Board to ensure that monies owed by
municipalities be collected with immediate effect; including monies owed by SADAC
countries, e.g. Zimbabwe and all other government entities that owe Eskom..

3.8 As per the 2016/17 signed agreement, salary differentials were supposed to be paid for a
period of three years however, only one payment was first paid in December 2017; we
demand that outstanding amounts be paid to the employees for 2018 and 2019.

3.9 Workers Performance Bonus Criteria was amended without consultation with labour; we
demand that the previous criteria be re-instated with immediate effect.

3.10 We demand that proper HR processes be followed, e.g. Recruitment; Jan Oberholzer was
hired by Eskom while there was a moratorium and forty Executive Managers were hired
without following Eskom internal recruitment policies & processes and we say this MUST stop
with immediate effect.

3.11 We demand a proper functioning HR that knows the business and understands people’s
issues. HR’s only contribution is the employee engagement letter, organising dances and
cooking which adds no value to this organisation. HR is a hollow vacuum!!!

3.12 We demand that all outsourced services in Eskom must be insourced with immediate effect
and their conditions of service be amended/equalised with Eskom conditions of service.
