PAYMENT TERMS :-

A. EQUIPMENT

Terms of Payment: 40% Advance, 55% after Delivery, 5% After successful commissioning within
15 days

The order shall be placed in favor of GDS ENGINEERING AND SOLUTIONS, Plot No-216B,

1) Validity – Offer is valid for a period of 30 days from the date of this offer.

the project will be in your account.

Annexure - III

General Terms & Condition

1. EXCLUSIONS:

The following works shall be excluded from our scope of work:
q Any kind of woodwork like false ceiling, boxing, trapdoor.
q You will provide space within / near the premises for our office / stores free of any cost
q Incoming 3-phase, 4-wire power supply with earthing to the Main Electrical Panel will be
provided by you.
q Any other item not specifically mentioned in our offer.
q Scaffoldings & Civil Foundation.
q Power for testing & commissioning.
q Any kind of decoration work.

2. COMPLETION PERIOD

5-7 weeks from date of receipt of formal PO along with advance payment, approve the drawing
and subject to clearance of site related issues.

The execution of the works and the completion date are subject to delays, if any, on your part in
providing us with any materials and services not included in the contract or any default by sub-
contractors, or reasons beyond the control of ourselves including strike, lockout, fire, accident at
the work site or during transit of materials to site, war and warlike operations, hostilities, civil
commotion capture, seizure, detention, blockade, labour disturbances, go-slow tactics, work to
rule, lay-off or closure of factory or portion on account of political, labour or other disturbances or
any such similar causes whether of same nature or otherwise and the consequences thereof and
also any reason amounting to force majeure. In any event, consequential damages for non-
completion or delay in completion of works are excluded.


3. WARRANTY

The system will carry a warranty for defective material and/or workmanship for a period of 12
months from the date of successful commissioning or 12 months from the date of delivery,
whichever ends earlier.
FPL hereby agrees to replace such parts, which may prove defective and which do not fail from
neglect or misuse or faulty operation.

This warranty: -

F does not extend to consequential damages or loss;
F is null and void if repairs and modifications are carried out without the approval of FPL in
writing,

4. STORAGE AND SAFE CUSTODY

It will be your responsibility to arrange for clearance storage and safe custody of stores brought
to site/railed by us from time to time during the execution of contract works.

5. CHANGES AND DELETIONS

We reserve the right to make changes at any time in material or design, which in our judgment,
are necessary for improvement of the specified equipment, with our/architects concurrence.

6. ARBITRATION

In the event of any dispute or difference between the parties arising however from this contract,
the same shall unless amicably settled, be referred to two arbitrators, one to be appointed by each
party. The arbitrators shall before entering upon the reference, appoint an umpire. The decision
of the two arbitrators or the umpire, as the case may be shall be final and binding between the
parties. The arbitration proceedings shall take place in Bhubaneswar Jurisdication . This is an
agreement for arbitration within the meaning of Indian Arbitration Act 1940, including any
statutory re-enactment or modification thereof.

7. SPECIFICATIONS

It is our endeavor to continuously improve product design and specifications of any material. If
any such alterations constitute improvement in accordance with the latest standards and
manufacturing methods governing product/material, the same will be implemented. Therefore,
we reserve the rights to change the specifications, illustration, dimensions, weights or any other
item governing the design of the product without notice.

8. RIGHT AND LIEU OF PROPERTY

We shall retain the right on equipment, materials or parts, supplied by us under this quotation
until full value thereof as per our invoice have be fully paid to us.

9. VALIDITY

This offer is valid for 30 days from the date of this offer and thereafter subject to review and
written confirmation from us. Any variation in the statutory duties shall be to your account.

10. SUSPENSION/CANCELLATION

In the event of cancellation for any reason, cancellation charges amounting to full payment will be
made to us.

11. LIMITATION TO LIABILITY

In no event shall we be liable for any consequential/liquidated damages and/or losses arising out
and connected with this work in any manner whatsoever.

12. FORCE MAJEURE

We shall not be responsible for liability in any manner for failure or delay in performing our
obligations made in this quotation, when such failure or delay is directly or indirectly due to an
act of God or during restrictions, war, threat of war, war like conditions, hostilities, sanction,
mobilization, blockades, embargo, detention, revolution, riot, strike or other labour dispute,
accident, fire, flood or inability to obtain fuel, power, raw materials, labour, container or
transportation facilities or any other cause or circumstances .
