MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement is made and entered into by between:

PHILIPPINE JOURNALIST, INCORPORATED, a corporation

created and existing under the laws of the Republic of the Philippines with office
at 6th floor Universal Re building Paseo De Roxas Makati City and duly
represented in this Act by its Editor-in-Chief AUGUSTO B. VILLANUEVA,
hereinafter referred to as “First Party”;

-and-

THE INSTITUTE FOR STUDIES IN ASIAN CHURCH AND

CULTURE (ISACC), a corporation created and existing under the laws of the
Republic of the Philippines with office at Unit 205 Corinthian Executive Regency,
Ortigas Center, Pasig City and duly represented by its President/CEO MELBA
PADILLA MAGGAY PhD , hereinafter referred to as “Second Party”

WITNESSETH: That

WHEREAS, First Party is engaged in the publication business and

presently publishes and circulates two daily tabloids (People’s Journal and
People’s Tonight), Women’s Journal Magazine and Journal Online

WHEREAS, Second Party is a research and training organization

specializing in development, missiology and cross-cultural studies aimed at
empowering the poor, contextualizing the gospel and creating an infraculture for
peace, sustainable development and good governance and publication of articles,
opinions, features on Asian cultures and Philippine events and issues.

WHEREAS, the First Party agrees to print and publish among its two
daily tabloids, magazine and web online materials/content from the Second
Party, specifically:

1. Articles from PATMOS, the official tri-annual magazine of Second

Party, AND
2. Articles and radio editorials from “SA GANANG AMIN”

NOW THEREFORE, for the consideration of the foregoing premises,

parties hereto agreed, stipulated and covenanted as follows:

1. The FIRST PARTY agrees to publish the above-enumerated

contents of the SECOND PARTY in its three dailies in exchange of
having the latter’s logo, trademark and trade name, and/or other
copyright entry printed in the corresponding content supplied for
by the Second Party;

2. TERM. This Memorandum of Agreement shall be for a period of

one (1) year commencing on 01 September 2010, unless sooner
terminated by either party with thirty (30) days advance written
notice. The term of this Agreement shall thereafter automatically
renew for successive one (1) year periods, unless a party hereto
provides written notice to the other parties no later than six (6)
months prior to the next date of termination.

IN WITNESS WHEREOF, the contracting parties have signed this

MEMORANDUM OF AGREEMENT this ______ day of _________ in
