I RAMANDEEP SINGH ALIAS (RIC-K )S/ O GURDEEP SINGH R/O CIVIL LINE,
CATEGORY -3, BLOCK-N, QTR. NO. N-10, BATHINDA PUNJAB , INDIA (Hereinafter Called
As To The ‘First Party’) (Which Expression Shall Unless Repugnant To The Context Or
Meaning Thereof, Be Deemed To Mean And Include Her/his Legal Heirs, Executors, Legal
Representatives And Administrators) of the First Party.

MARKET SAMRALA Hereinafter Called As To The ‘Second Party’) (Which Expression Shall
Unless Repugnant To The Context Or Meaning Thereof, Be Deemed To Mean And Include
Her/his Legal Heirs, Executors, Legal Representatives And Administrators) of the Second
Party.It is submitted that first party of the first part i.e. assignor is the producer/ director
/distributor/copyright holder/manufacturer/artist of all the titles including their casting details
of the album is hereby mentioned and the same is a part of the present deed of agreement
has agreed to transfer all the above noted Audio, Video & Audio visual rights of the above
said [Name of the Albums] “(DIL)” album produced by the first party [Herein After Referred
As “Albums i.e. Audio & Video content”] on the following terms and conditions as stipulated
herein:-
 T ERMS & C ONDITIONS

1. It Is submitted that 1st party i.e. assignor have approached the assignee i.e. second
party to take the assignment of the entire Audio as well as Audio visual rights i.e.
copyrights for transferring, processing, recording, duplicating, copying taping , all
kind of digital formats (present and future too ) and also all kind of physical formats
(present and future too )etc. in the form of video gram, cassettes, compact disc, Tapes
etc of the title as listed in the list of song including their casting details of the album is
mentioned by the 1st party.

2. It is agreed between the parties that first party has transfer all above noted and
intellectual property rights in favor of the second party i.e. entire area of Republic of
India and world-wide as well as entire overseas rights for the period of unlimited
period.

3. It is further agreed that after taking over all relevant rights from first party than the
2ndparty can change the title or sequence/compilation, sound and images can be
transferred in any form to exploit the content for commercial use and in this regard
the 1st party have no objection and interest in it.

4. It is further agreed between the parties that the 1st party transfer the following rights
and all related formats (whether invented or yet to be invented in further) to the 2nd
party for the territory of India and the world and the whole universe for the period of
unlimited period.

5. It is further agreed that during the Tenure / pendency of the present agreement if 2 nd
party feel to transfer their right to any their dealers or persons and third party than
they have sole rights to transfer the same and in that event 1st party will not be a party
to that agreement if transfer has been done by the 2nd party.

6. It is further agreed that the 1st party assures the 2nd party that the 2nd party will not be
liable for any unfulfilled obligations and liabilities of the 1st party towards any person,
firm, company in relation to the album and video assigned hereunder and if any claim
and dispute will raised or come forward then 1stparty will be liable for damages and
legal consequences and moreover they are bound to clear all matter if incase of any
damages lodged/claim by any person, firm and company.

7. It is further agreed that the 1st party hereby warrants, assures and declares that it had
obtained approval / consent of the authors, writers, performers (Artists), Music
 Directors, Musicians and all the persons those are directly or indirectly participating
in the album or video which are incorporated in the said album and video and the
original recording recognizing the respective copy right and the exclusive rights
assigned and transferred to the 2nd party hereunder under the provisions of Copyright
Act, 1957. The 1st party further agrees and declare and indemnifies to hold the 2nd
party harmless against the exercising the rights assigned hereunder and against any 3 rd
party claims.

8. It is further agreed that if any claim or petition has been received after the execution
of the present agreement in regard of the claim of the copyright or Infringement of
Copyright as well as under the contract Act by the 2nd party than 1st party will liable to
undertake the same and will come forward without any hesitation to rescue the 2nd
party and there for they also liable to pay all expenses towards any claim /disputes
raised by any 3rd party.

9. It is further agreed that if any one of the violates the terms and conditions as stipulated
in the all above Para no 1 to 10 of the present deed than all the disputes shall be
subject to the jurisdiction of Punjab & Haryana High Courts under the provisions of
Arbitration an Conciliation Act, 1996 along with The Appointment of Arbitrators by
The Chief Justice of India Scheme, 1996.

IN WITNESS WHEREOF THE PARTIES HERE TO HAVE UNTO SET AND SUBSCRIBED
THEIR RESPECTIVE HANDS AND SEAL THE DAY AND YEAR HEREIN ABOVE WRITTEN.
