Board Position Guidelines

Colorado Alliance for Environmental Education

Elections for CAEE Board Officers are generally held in November or the final board
meeting of the year with officer terms beginning January 1st.

Board President
Term: 1 year (1 year Past President)
Reports to: Full board of Directors
Activities: Bi-Monthly
Preparation and Planning of Board Meeting
Attend Board of Directors Meetings
Meet with Executive Director
Attend Committee Meetings (as needed)
Fundraising Efforts
Maintain contact with other officers/members
Other (as required)

Whenever possible, the board president should not be elected to serve during the final
year of their three year term.

Responsibilities include but are not limited to:


1. Knowledge of CAEE and personal commitment to its goals and objectives
2. Annual financial contribution to CAEE
3. Partner with the Executive Director in achieving CAEE’s mission
4. Provide leadership to the Board of Directors
5. Ensure that the Executive Director is accountable
6. Chair meetings of the board after developing the agenda with the Executive
Director or designate a director to act in his/her stead if the Vice President is
unavailable
7. Encourage the Board’s role in strategic planning
8. Create Ad Hoc committees and appoint the chairpersons, in consultation with
other Board Members
9. Serve ex officio as a member of committees and attend their meetings when
invited
10. Provide input on issues confronting CAEE with the Executive Director
11. Help guide and mediate board actions with respect to organizational priorities
and governance concerns
12. Review with the Executive Director any issues of concern to the Board
13. Monitor financial planning and financial reports
14. Play a leading role in fundraising activities

15. Lead the evaluation of the executive directors’ performance, and informally
evaluate the effectiveness of the board members
16. Lead the annual evaluation of the performance of CAEE in achieving its mission
17. Enforce board policies (attendance and conflict of interest)
18. Work with Executive Director to orient new board members
19. Perform other responsibilities assigned by the Board

Vice President
Term: 1 year
Reports to: Board President and Full Board of Directors
Activities: Bi-Monthly
Attend Board of Directors Meetings
Maintain Contact with Board President
Attend Committee Meetings (as needed)
Fundraising Efforts
Other (as required)

Responsibilities include but are not limited to


1. Knowledge of CAEE and personal commitment to its goals and objectives
2. Annual financial contribution to CAEE
3. Partner with the Executive Director and Board President in achieving CAEE’s
mission
4. Provide leadership to the Board of Directors

9. Monitor financial planning and financial reports
10. Play a leading role in fundraising activities
11. Assist with the evaluation of the executive directors’ performance, and informally
evaluate the effectiveness of the board
12. Assist with the annual evaluation of the performance of CAEE in achieving its
mission
13. Perform other responsibilities assigned by the Board

Fiscal Officer
Term: 1 year
Reports to: Full board of Directors
Activities: Bi-Monthly
Preparation of Board Finance Report
Attend Board of Directors Meetings
Meet with Executive Director
Chair Finance Committee
Fundraising Efforts
Other (as required)

Whenever possible, the fiscal officer should not be elected to serve during the final year
of their three-year term.

Responsibilities include but are not limited to:


1. Knowledge of CAEE and personal commitment to its goals and objectives
2. Annual financial contribution to CAEE
3. Understanding of financial accounting for nonprofit organizations
4. Serve as financial officer of the organization and chairperson of finance
committee
5. Manage the board’s review of actions related to the Board’s financial
responsibilities
6. Work with the Executive Director to ensure that appropriate financial reports are
made available to the board on a timely basis
7. Assist the Executive Director in preparing the annual budget and presenting it to
the board for approval
8. With the approval of the Board of Directors, engage any firm or CPA to assist

with actions regarding CAEE’s finances
9. Review the annual financial review and answer board members’ questions about
the financial review
10. Make an annual financial report to the board no more than 90 days after the
end of each fiscal year
11. Work with the executive director to orient new incoming treasurers.

Secretary
Term: 1 year
Reports to: Full board of Directors
Activities: Bi-Monthly
Draft minutes of Board meetings
Record special meeting notes
Attend to corporate record-keeping
Attend Board of Directors Meetings
Attend Committee Meetings (as needed)
Fundraising Efforts
Other (as required)

Responsibilities include but are not limited to:


1. Knowledge of CAEE and personal commitment to its goals and objectives
2. Annual financial contribution to CAEE
3. Maintain records of the board and ensure effective management of the
organization’s records
4. Manage minutes of the board
5. Provide notice of the meetings of the board and /or of a committee, when such
notice is required
6. Ensure minutes are distributed to members within 1 week of a board meeting
7. Become sufficiently familiar with legal documents (Articles, By-laws, IRS letters,
etc.)

Ad Hoc Committees
