MUSICAL SERVICES CONTRACT

Among those subscribed namely DANIELA GONZALEZ JIRADO, identified with citizenship
card Nº 1.143.381.208 from Colombia, who will henceforth be called the contractor; and
AARON CRESPIN, identified with citizenship card N° from , who will henceforth
be called the contracting party; this contract is established subject to the following clauses.
FIRST: The contractor undertakes to provide the services of THREE SETS OF 45 MINUTES
EACH, WITH JAZZ QUARTET, during COCKTAIL that will take place on OCTOBER 13TH
2019 at 6:30 P.M. at CASA POMBO VENUE of this city. SECOND: The term of time agreed
for the provision of the service will be of 3 hours, without exceeding that amount of time,
starting from the agreed hour to begin the event and the repertoire that will be interpreted will
be the one agreed upon both parties, will be part of this contract and may be drawn up by mutual
agreement between the parties starting from the contractor’s available repertoire no later than
20 days prior to the event. THIRD: The contractor will provide the service with the musicians,
who under their direct and exclusive responsibility they select, which will be neatly presented
with their instruments in the place agreed to perform the event prior to the agreed time to
provide the service. FOURTH: The contracting party must manage before the administrators
of the place where the service will be provided (club, hotel, church, etc.), the conditions so that
the contractor can access the place one (1) hour prior the event, and authorization so that the
contractor may have the appropriate space for the location of musicians and equipment; and the
availability of on-site power supply for soundcheck and proper operation of equipment that will
be used to provide the service. In venues where there is no availability of chairs for musicians,
the supply of these will be the responsibility of the contracting party. In case the
CONTRACTING PARTY is responsible of supplying audio equipment for the event, it is
obliged to fully comply with the requirements of the technical rider provided by the
CONTRACTOR in a document attached to this contract. FIFTH: The price of this contract is
TWO MILLION ONE HUNDRED AND FIFTY THOUSAND PESOS M/L ($2.150.000) and
upon signing this document the contracting party shall pay in advance 50% of the total amount,
i.e., the sum of ONE MILLION SEVENTY FIVE THOUSAND PESOS M/L ($1.075.000) and
the remaining amount no later than one (1) hour before the service is provided. The values
referred to in this clause and that make the contract active may be paid in cash or by transfer to
the savings account Nº 784-643779-39 in BANCOLOMBIA bank, in the name of DANIELA
GONZALEZ JIRADO. PARAGRAPH: In case said operation is carried out by means of a
bank transaction, to make the payments guarantee the band’s booking, the contracting party is
obliged to inform the contractor of said transaction. SIXTH: It is established as a guarantee of
fulfillment of this contract 30% of its total value and it is clearly understood that, if anything
attributable to the CONTRACTING PARTY were to interfere with the place, date or time
indicated for the event, the payments received by the contractor may be retained as a penalty
for up to 30% of the net value stipulated in clause five, without prejudice to legal actions. Force
majeure or fortuitous cases are excepted such as: sudden cancellation of the event motivated by
family grieving. FIRST PARAGRAPH: In case that it is the CONTRACTOR who fails to
comply with the commitment, the latter will return to the CONTRACTING PARTY the amount
received as an advance plus the value stipulated as a guarantee, also stipulated as sanction,
equally without prejudice to legal actions for the non-compliance of the contract. Cases of force
majeure are excepted such as: physical impossibility linked to fully provable health problems,
protests and other public order problems, torrential rains, earthquakes, hurricane winds, and
unforeseen thunderstorms that prevent displacement to the place of service provision.
SECOND PARAGRAPH: In case of sudden or temporary postponement of the event carried
out any time for reasons of grief or domestic calamity, the CONTRACTING PARTY will retain
all their rights provided that there is the availability of the CONTRACTOR to provide the
 service on a new date, or said date is chosen according to the quota available in the
CONTRACTOR’s agenda. In case of temporary postponement, for any reason, and with an
advance no less than thirty (30) working days, the CONTRACTING PARTY will retain all
their rights and obligations provided that there is the availability of the CONTRACTOR for the
new date, or said date be chosen according to the quota available on the CONTRACTOR’s
agenda. THIRD PARAGRAPH: In the event of failure in the electrical fluid, the provision
of a contingency plan that guarantees the normal supply of energy will not be the
responsibility of the CONTRACTOR. However, the latter will provide the service adapting
its presentation to the circumstances, using the acoustic instruments that are included in the
contracted instrumental configuration. SEVENTH: It is understood that the CONTRACTING
PARTY has full knowledge of the CONTRACTOR’s artistic quality and honor, and therefore
places all his confidence in it, without prejudice to the subsequent legal actions that he is
assisted by non-compliance of the agreement. EIGHT: This document constitutes sufficient
executive title to require compliance with the agreed obligations within said document.
NINTH: For all legal purposes of this contract, the city of Cartagena de Indias, Colombia, is
indicated as the contractual address. It is established that for the divergences that arise due to
this contract, both parties will submit to the jurisdiction of the judges of Cartagena, prior
procedural requirements and waive all kinds of judicial and/or extrajudicial for legal purposes,
especially for constitution in default.

For proof and assent of what is said here, this document is signed on the 30th day of AUGUST
OF 2019 in the city of Cartagena.
