CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:

This Contract of Lease is made and executed on the ___ day of


_________ 2018 at _____________________ by and between:

ABC CORP., a corporation duly organized and existing under the laws of
the Republic of the Philippines, and with principal office address at
___________, represented herein by ___________ its CEO/President,
hereinafter referred to as the “LESSOR”;

- and -

______________, a corporation duly organized and existing under the


laws of the Republic of the Philippines, and with principal office address at
_______________, represented herein by its Director/Corporate
Secretary, _______________, hereinafter referred to as the “LESSEE”;

WHEREAS, the LESSOR is the true and lawful owner of the real
property (hereinafter referred to as the “land”) located at
particularly described in TCT Nos. .

WHEREAS, the LESSOR is the true and lawful owner of the _________
located at ___________.

WHEREAS, the LESSOR is the true and lawful owner of infrastructures


particularly identified as the Building (slaughter plant) located in the
slaughter plant at ____________.

WHEREAS, the LESSEE desires to lease the land, the Trece


infrastructures and the Imus infrastructures and the LESSOR is willing to
lease the same unto the LESSEE subject to the terms and conditions
hereinafter specified;

NOW THEREFORE, for and in consideration of the above premises, the


LESSOR hereby, and by these presents, LEASE and DEMISE, by way of
LEASE, unto and in favor of the LESSEE the aforesaid
________________________, subject to the following stipulations,
covenants, agreements, terms and conditions to wit:

1. Subject of the Lease

A. _________ – located at Trece Martirez City, Cavite.

B. Building (slaughter plant) – located at Imus City, Cavite.

2. Term of the lease – The lease shall be for a period of one (1) year commencing
on 28 February 2018 and expiring on 28 February 2019 renewable for another
like term and subject to the same conditions, stipulations, and agreements herein
stipulated, except the rate of rent which shall be the subject of another
agreement between the parties herein, provided, the LESSEE shall give a written
notice, thirty (30) days before the expiration of the original period herein agreed
his option or desire to renew the lease to the LESSOR;

3. Rent

A. For the Building, Machineries, and Water system located in Trece Martires
City – The parties herein agree that the monthly rental for the LEASED
PREMISES for the duration of the lease shall be One Hundred Twenty One
Thousand Three Hundred Seventy-Eight Pesos and Eighty-Nine Centavos
(Php121,378.89) for the building; One Thousand Six Hundred Ninety Five
Pesos and Thirty Centavos (Php1,695.30) for the machineries and Eight
Thousand Eight Hundred Seven Pesos and and Eighty Centavos
(Php8,807.80) for the water system or a total of One Hundred Thirty-One
Thousand Eight Hundred Eighty-One Pesos and Ninety-Nine Centavos
(Php131,881.99) payable every _______ of the month;

B. For the Building (slaughter plant) located in Imus City – The parties herein
agree that the monthly rental for the LEASED PREMISES for the duration of
the lease shall a total of Two Thousand Five Hundred Seventy-Two Pesos and
Fifty Eight Centavos (Php2,572.58) payable every _______ of the month;

COMMON PROVISIONS

4. SUBLEASE – The LESSEE shall not sublease the LEASED PREMISES of any portion
thereof without the written consent of the LESSOR;

5. FIXED IMPROVEMENTS – The LESSEE shall not make structural changes or any
alteration, and addition on the leased premises, without the written consent of
the LESSOR first being obtained, and any such addition, if allowed shall become
part of the leased premises, except those which can be removed without damage
to the same, shall belong to the LESSOR at the termination and/or expiration of
the term of this agreement or its extension if there be any, without any
obligation of reimbursement of the costs or value thereof. Those furniture,
fixture and other kitchen appliances brought in the leased premises shall remain
the property of the LESSEE;

6. MOVABLE IMPROVEMENTS – The LESSEE may install movable improvements


within the LEASED PREMISES which shall remain property of the LESSEE;

7. TAXES AND INSURANCE – Real estate taxes, government and similar expenses
shall be for the account of the LESSOR. Either party to this Contract of Lease may
at their own option and interest secure an appropriate insurance policy over their
respective insurable interest on the premises subject on this lease and in case of
occurrence of the event insured against, neither the LESSEE or the LESSOR shall

personally be liable therefore so much so that the party who decided not to
secure an insurance policy shall shoulder his own damages and shall hold the
other part free from any such liability;

8. INSPECTION OF PREMISES – The LESSEE shall at any seasonable and reasonable


time, permit and allow the LESSOR or any or his/her authorized representative to
enter and view the leased premises at reasonable times and during business
hours to see and examine the same and to make such repairs as maybe necessary
for the preservation and protection thereof;

9. THIRD PARTY LIABILITY – The LESSEE during his occupancy of the LEASED
PREMISES shall hold the LESSOR free and harmless from any damage to liability
or responsibility to any person or property arising out of or as a consequence of
the use of the property by the LESSEE, its agents, employees and guests. When
such damage or liability is caused by fortuitous events, such as typhoons,
earthquakes, flood, power failure, etc. which are beyond the control of the
LESSEE, the latter shall not be liable to the LESSOR;

10. ENCUMBRANCES OF PREMISES – In the event of sale, transfer, mortgage, or any


other encumbrances of the same nature, the LESSOR shall first secure in writing
the agreement of the purchaser, mortgage or encumbrances that all the terms
and conditions of this Contract of Lease including any provisions for renewal
thereof shall be respected and honored;

11. RETURN OF PREMISES – Upon the expiration of the Contract of Lease for any
reason whatsoever, the LESSEE shall immediately vacate the leased premises and
peacefully return possession thereof to the LESSOR upon the letters request,
unless this contract is extended or renewed thirty (30) days prior to the
termination of this contract;

12. ASSIGNMENT OF LEASE – The LESSOR hereby reserves the right to assign the
lease in favor of third parties subject to giving the LESSEE notice of such
assignment at least fifteen (15) days prior to the intended date thereof. In case of
assignment or any other form of disposition of the LEASED PREMISES, the terms
and conditions of this lease shall be respected by the assignee;

13. Should any party violate any of the terms and conditions of this contract and such
violation is not cured or remedied within thirty (30) days from receipt of notice,
the other party shall have the right to terminate this contract and collect
damages therefore.
