MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding executed this ___th day of December 2019,

by and between the following parties:

Philippine Society of Medical Laboratory Scientist (PSMLS)

Inc., a non-profit professional organization with office address
at 271 E. Rodriquez St., Bgy. Sto. Niño, Angono Rizal, duly
represented herein by its President,______________________,
and hereinafter known as the FIRST PARTY;

- and -

Maritime Clinic for International Seafarers Inc., with office

address at 7th floor Intramuros Corporate Plaza, Intamuros, and
duly represented herein by its President,
_______________________, and hereinafter known as the
Second Party.

WITNESSETH

WHEREAS, the First Party is a non-profit professional organization which

provides continuing education, benefits and welfare to its members and partners;

WHEREAS, the Second Party is an office provider in Manila that has agreed to
sponsor the First Party by providing them with free use of a space where they can hold
their weekly meetings, and other assemblies;

WHEREFORE, the PARTIES have hereunto agreed as follows:

Article 1. OFFICE SPACE. The Second Party hereby agrees to provide space
for the First Party measuring ________ square meters, located at Unit _____, ___floor
of Intramuros Corporate Plaza, which the First Party can utilize ONCE a week. The First
Party may submit a written request if they wish to utilize the space more than the
agreed once a week usage;

Article 2. GRATUITOUS. The Seond Party wishes to support the First Party in
terms of sponsorship ny providing the said free space without any consideration in
return.

Article 3. TERM. The initial term shall begin on the date of execution of this
MOU and valid until ____________. The First Party may continue to renew the MOU by
sending a Letter of Request to the Second Party, Thirty (30) days before the end of
term. It is within sole discretion of Second Party to grant the renewal of the MOU.

Article 4. Consequences of Termination. Upon termination of this MOU, First

Party will have no further obligations to Second Party, and the latter will have no further
obligations to the First Party.

Article 5. No Third Party Beneficiary. This MOU is for the exclusive benefit of
the First and Second Party and not for the benefit of any third party. No third party has
the power to enforce the terms of this MOU.

Article 6. Entire Agreement. This MOU is the entire agreement between the
parties and supersedes all prior or contemporaneous written and oral agreements,
negotiations, correspondence, course of dealing, and communications between the
parties relating to the same subject matter. This MOU may be modified only as stated in
a writing signed by both Parties and reciting that it is an amendment to this MOU.

Article 7. Governing Law. This MOU is governed by Philippine law. Client and
Landlord consent to the exclusive jurisdiction and venue of the courts of Manila.

Article 8. Notices. Any notices required or permitted to be given under this MOU
will be either by personal delivery, or by electronic mail addressed to the respective
parties at their addresses indicated in the signature blocks below. Such addresses may
be changed by notice in writing to either party.

IN WITNESS WHEREOF, the parties have hereunto set their hands this ___th

Memorandum of Understanding and they acknowledged to me that the same is their

This instrument consisting of Three (3) pages including this page where the
acknowledgment is written has been signed by the parties and witnesses on each and
every page thereof and relates to a “Memorandum of Understanding” involving the grant
of free use of space by the Second Party to the First Party.
