LEASE TO OWN AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This AGREEMENT made and executed in _____________________

this ________ day of _______________________, 19____, by and between:

hereinafter called the LESSOR;

and

hereinafter called the LESSEE,

Witnesseth:

1. That the LESSOR is the absolute owner of a Two Post

Hydraulic Lifter (the "Equipment"), particularly described as follows, to
wit:

Capacity - 3 Tons
Serial No. -
Motor No. -

2. That for and in consideration of the sum of

___________________ PESOS, inclusive of delivery and installation costs,
the LESSOR hereby leases the Equipment to the LESSEE under the
following terms and conditions:

(a) The lease rental shall be paid in twenty-four

(24) equal monthly installments commencing on
__________________ and every ____ day of the every
succeeding month. For this purpose, the LESSEE shall
issue 24 post dated checks to the LESSOR upon the
execution of this Agreement.

(b) Any monthly installment due and unpaid shall

bear interest at the rate of ________% per annum,
computed from the date of default until paid.

(c) Failure by the LESSEE to pay any installment

when due shall entitle the LESSOR to cancel this
Agreement and pull out the Equipment by whatever
means and LESSEE shall peacefully turnover possession
 thereof to the LESSOR.

(d) Upon full payment of the rental, LESSOR shall

execute the appropriate Deed of Sale in favor of the
LESSEE.
(e) LESSEE shall be solely liable and hereby
undertakes to hold LESSOR free and harmless from any
and all claims, damages, suits, liabilities, fiver, penalties
and other charges which may result by reason of, or in
connection with the use of the Equipment;

(f) The LESSEE shall assume all cost of repairs,

regular maintenance and other incidental expenses on the
Equipment after its installation and commissioning.
LESSOR, however, shall extend manufacturer's warranty
on the parts for a period of one (1) year from delivery of
the Equipment.

(g) In case of suit to recover possession of the

Equipment and other amounts due from the LESSEE, the
LESSEE shall pay the LESSOR attorney's fees in the
amount of not less than P30,000.00. Venue of all actions
shall be exclusively laid before the proper court of Pasig
City.

IN WITNESS WHEREOF, the parties hereto have hereunto set
