DAIMLER CO V CONTINENTAL TYRE & Rubber co (1916)

This case specify that after war erupt with Germany, the defendant’s Tyre company,
registered in England and had its registered office there, Daimler sue for the cost of
goods supplied before war broke out. Daimler claimed that, as the members and
officers of the defendant company were German, paying the debt would amount to
trading with the enemy under common law as well as violation under section 1(2)
Trading with the Enemy Act 1914.(Coursehero 2019)

It was held that in times of war, the court may lift the corporate veil of a company
and look at the nationality of its members and directors to determine if a company is
to be classified as an enemy. If the persons in fact to control the company’s affairs
that are residents in an enemy country, the company may be classified as an enemy. In
that case, persons dealing with that company are trading with an enemy. (Coursehero

When the company is formed with the intention of fraudulent purpose or as a sham to
evade existing liability or to defeat the law. (Unisetca 2019)

The corporate veil may be lifted if there is a prima facie case that the company has
been used for crime. The veil of incorporation may also be lifted to prevent the
deliberate evasion of a contractual obligation. (Unisetca 2019)

Consequences of failure to register a charge under the Companies Act 2016

Based on section 352(1), the company must register a charge within 30 days . If a
company cannot registered with the period that has been provided, the charge would
be voided against the others creditors and liquidation that refer to section
352(2) .Under section 352(3), while the charge is voided already, the money secured
will be directly become payable.Lastly refer to section 361, the company will be
provided extension of time to register by the court for a good reason if a company
