DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:


ROMANITO R. PADILLA

This DEED OF ABSOLUTE SALE is made, executed and entered into by:

ROMANITO R. PADILLA, of legal age, Filipino, married to GAYLE F. PADILLA and


a resident of Upper Carmen, Cagayan de Oro City, hereinafter referred to as the VENDOR;

-AND-

MARIA TERESA A. BANAYNAL, of legal age, Filipino, and a resident of


________________________________, hereinafter referred to as the VENDEE;

WITNESSETH;

Whereas, the VENDOR is the absolute owner of a HOUSE AND LOT including all the
improvements existing thereon, situated in Barrio Carmen, Cagayan de Oro City more particularly
GAYLE F. PADILLA

described as, to wit:

1. Transfer Certificate of Title (TCT) No. T-166059 (Lot 27, Block 13, PSD-10-
042128, being a portion of Lot 5-D, Psd-10-0440610) situated in the Upper Carmen,
Cagayan de Oro City, Philippines, bounded on the NE., along line 4-1 by Lot 26, Block
13; on the SE., along line 1-2 by Lot 29, Block 13; on the SW., along line 2-3 by Road
Lot 13; on the NW., along line 3-4 by Lot 25, Block 13. Beginning from a point marked
“1” on plan being S. 29 deg. 36’ W. , 1138.43 m. from BLLM # 18, Cad-237, Cagayan
Cadastre, thence:

Whereas, the VENDOR hereby further declares that the above-described house and lot is
FREE from LIENS and ENCUMBRANCES and shall defend its ownership from any and all
claims whosoever.

Whereas, the VENDOR shall be given reasonable time to transfer into a new residence
not exceeding 90 days from the perfection of the contract.

NOW, THEREFORE, for and in consideration of the sum of FOURTEEN MILLION


PESOS (Php 14,000,000) Philippine Currency the receipt whereof is hereby acknowledge from
the VENDEE to the entire satisfaction of the VENDOR, said VENDOR does these presents
hereby SELL, TRANSFER, and CONVEY, in a manner of absolute and irrevocable, unto said
VENDEE, her heirs, and assigns a HOUSE and LOTS, more particularly the above-mentioned
properties together with all the improvements found and existing thereon. The PARTIES have
agreed that All Taxes, such as but not limited to Capital Gains Tax, Documentary Tax, Transfer
Tax and the like, notarial fees and other fees and expenses etc., and penalties, if there are any,
related to the sale and transfer of All the above-mentioned properties shall be exclusively
shouldered by the VENDEE.
