realização de Leilão Internacional, do tipo
melhor preço, objetivando a alienação da
Unidade Vitoria 10000 (NS-30) de
propriedade da Drill Ship International B.V;
e seus pertences, descritos no Adendo “A”
deste Edital, parte integrante do Aviso de
Leilão, de acordo com o Regulamento de
Licitações e Contratos da PETROBRAS RLCP)
e o disposto na Lei 13.303, de 30 de junho
de 2016, aprovado pela Diretoria Executiva
da Petrobras em 18/04/2018 e publicado no
Diário Oficial da União em 18/05/2018.
1.2. O presente leilão visa a transferir ao(s)
Licitante(s) vencedor(es) o domínio e a
posse do bem de seu objeto, livre e
desembaraçado de todos e quaisquer ônus
judiciais e extrajudiciais, na condição e
local onde se encontra (“as is, where is”).
O presente material é titularizado com exclusividade pela
PETROBRAS e qualquer reprodução, utilização ou divulgação, sem
expressa autorização da titular, importa em ato ilícito, nos
termos da legislação pertinente, através da qual serão imputadas
as responsabilidades cabíveis.

1.1. Petróleo Brasileiro S.A. - PETROBRAS
and Drill Ship International B.V - DSI,
represented herein by PETROBRAS, using IT
resources, through the Petronect Electronic
Procurement Portal - Procurement Negócios
Eletrônicos S.A. (hereinafter "“Portal
Eletrônico”), which electronic address is
www.petronect.com.br, hereby announces
the Ppublic International Tender, for a best
price International Tender, aiming at the
disposal of the Unit Vitoria 10000 (NS-30)
and their belongings, owned by DSI,
described in the Addendum “A”, which is an
integral part of this Call for Tenders,
according to PETROBRAS Bidding
Regulations (Law No 13.303, on June 30,
2016), as approved by Petrobras Executive
Board on 18/04/2018 and published in the
Federal Official Gazette on 18/05/2018.
1.2. This tender aims to transfer to
outbidder the full title and ownership of the
property hereunder, free and clear of any
and all judicial and extrajudicial burdens,
“as is, where is”.

1.3. A DSI, representada pela PETROBRAS
nos termos do Contrato de Mandato
celebrado entre as partes para este fim,
ofertará o Unidade Vitoria 10000 (NS-30) e
seus pertences, na condição e local onde se
encontra (“as is, where is”).
1.3.1. A Unidade de Cimentação, as antenas
de comunicação CapRock, e o frame do ROV
não são de propriedade da Petrobras/DSI.
Dessa forma, o Licitante vencedor deve dar
acesso aos proprietários destes
equipamentos para desmontagem e
desmobilização, caso seja de interesse dos
respectivos proprietários.
1.4. Todas as Licitantes qualificadas
poderão participar do leilão relativo ao
Unidade Vitoria 10000 (NS-30).
1.4.1. Um mesmo representante legal não
poderá representar mais de uma licitante.
1.5. As partes interessadas podem ter
acesso ao Edital, Adendos e demais
informações relacionadas ao Leilão no site
da PETROBRAS, canais de negócios.

2. PARTICIPAÇÃO NO LEILÃO:
2.1. Respeitadas as condições legais,
poderão participar desta licitação os
interessados, que atenderem a todas as
exigências constantes deste Edital e de seus
Adendos.
2.2. Estará impedido de participar desta
licitação o interessado que:
a) esteja cumprindo penalidade de
suspensão temporária de participação em

1.3 DSI, represented by PETROBRAS under
the Agency Agreement executed by and
between the parties for this purpose, shall
offer the Unit Vitoria 10000 (NS-30) and
their bellongings as is, where is.
1.3.1. The Cemention Unit, the CapRock
communication antennas and the ROV
frame, are not owned by Petrobras/DSI. In
this way, the winning bidder must give
access to the owners of these equipment for
disassembly and demobilization, if it is in
the interest of the respective owners.
1.4. All bidders may take part in the Tender
related to the Unit Vitoria 10000 (NS-30).
1.4.1. The legal representative may not
represent more than one bidder.
1.5. Interested parties may verify the Call
for Tender, Addendums and other
information related to the Auctionin the
Business Channels, at PETROBRAS website.

2. PARTICIPATION IN THE BIDDING
PROCESS:
2.1. In compliance with the legal
requirements, bidders who meet all the
conditions set out in this Call for Tender and
its Addenda can participate in this bidding
process.
2.2. Bidders are prevented from
participating in this bidding process who:
a) are temporarily suspended from
participating in bidding processes or
contracting with Petrobras;

licitação ou impedimento de contratar com
a Petrobras;
b) tenha sido declarado inidôneo para
licitar ou contratar com a Administração
Pública;
c) esteja cumprindo penalidade de
impedimento de licitar e contratar com a
União Federal;
d) se enquadre em alguma das vedações
previstas na Lei 13.303/216, notadamente
em seu artigo 38;
e) tenha sido contratado para avaliar os
bens objeto da alienação.
2.3. As empresas interessadas poderão
participar em consórcio ou em associação
(com responsabilidade individual e
solidária, em ambas as hipóteses).
2.4. No caso de apresentação de lance(s) /
proposta(s) sob a forma de consórcio,
deverá ser apresentado o contrato de
consórcio e o respectivo registro e
arquivamento no Registro de Comércio
pertinente ou o instrumento de
compromisso público, ou particular, de
constituição de consórcio, subscrito pelos
consorciados, do qual, entre outros
aspectos, deve constar:
a) objetivo da consorciação;
b) composição do consórcio e definição dos
percentuais de participação dos
consorciados;
c) designação do representante legal do
consórcio;
d) declaração expressa de responsabilidade
solidária de todos os consorciados pelos atos
praticados sob o consórcio, em relação ao
leilão e, posteriormente, à eventual venda.

b) have been declared disreputable to
bid or to contract with the Public
Administration;
c) are precluded from bidding and
contracting with the Federal Government;
d) fall under any of the prohibitions laid
down in Law 13.303/216, notably in article
38;
e) have been hired to evaluate the
assets that are the object of the bidding.
2.3. The interested companies may
participate in consortium or association
(with joint and several liability, in both
cases).
2.4. In case of submission of bid(s) /
proposal(s) as a consortium, it must be
submitted a consortium agreement and its
respective registration and filing with the
relevant Commercial Registry or a public or
private commitment contract, organizing
the consortium, executed by consortium
members, providing, among others:
a) objective of consortium;
b) consortium structure and percentage
interest of consortium members;
c) appointment of consortium’s legal
representative;
d) express statement of joint and several
liability of all consortium members for the
acts carried out under consortium with

2.4.1. As sociedades que se consorciarem
deverão apresentar uma única proposta,
por meio da líder ou da futura líder do
consórcio que comprovará esta condição.
2.4.2. No caso de a Licitante vencedora ser
o Consórcio, esta ficará obrigada a
promover, caso já não tenha sido feito, a
assinatura do contrato de consórcio e o seu
registro e arquivamento no Registro de
Comércio pertinente, devendo o contrato
de consórcio ser apresentado à PETROBRAS
antes da celebração do Contrato de Compra
e Venda da Unidade.
2.4.3. No caso da Licitante vencedora ser o
Consórcio, a sociedade líder firmará o
contrato e as demais sociedades
consorciadas deverão igualmente firmá-lo
como EMPRESAS SOLIDÁRIAS, respondendo
todas as consorciadas solidariamente pelas
obrigações contratuais, sem prejuízo da
respectiva Cláusula de SOLIDARIEDADE
prevista no Contrato de Compra e Venda
(Adendo C).
2.5. No caso de apresentação de propostas
sob a forma de associação, cada um dos
associados deverá cumprir as exigências
deste Edital individualmente em todos os
seus aspectos.
2.6. A Licitante associada ou consorciada
não poderá apresentar outra proposta
isoladamente.
2.6.1. Caso uma sociedade esteja associada
ou consorciada a uma Licitante, ficará
impedida de se associar ou consorciar a
outra Licitante.

respect to the tender and, afterwards, to
any sales.
2.4.1. The companies establishing a
consortium must submit a single proposal,
by means of a current or future consortium
leader, which must prove this condition.
2.4.2. In case the Consortium is the winning
bidder, it will be obliged to promote, if this
has not already been done, the signing of
the consortium contract and its registration
and archiving in the relevant Commercial
Registry, and the consortium agreement
must be submitted to PETROBRAS before
the conclusion of the Purchase and Sale
Agreement of the Unit.
2.4.3. If the Consortium becomes the
outbidder, the leader company shall
execute the contract and the other
consortium companies must also execute
the contract as JOINTLY-LIABLE
COMPANIES, and all consortium companies
shall be jointly and severally liable for
contract obligations, without prejudice to
respective JOINT LIABILITY Clause provided
for in Purchase and Sale Agreement
(Addendum C).
2.5. In case of submission of proposals as an
association, each of the associated
companies shall comply with requirements
in this Call for Tenders in all of its aspects.
2.6. The association or consortium members
may not submit an individual proposal.
2.6.1. If a company established an
association or consortium with a bidder, it
shall be prohibited from establishing an
association or consortium with another
bidder.

2.7. Credenciamento para a participação no
leilão:
2.7.1. Para viabilizar a participar no leilão,
o interessado deverá efetuar os seguintes
procedimentos junto à Petronect:
a) Formalizar o seu Registro no Portal
Petronect no site (www.petronect.com.br);
b) Para efetuar o Registro, os interessados
devem providenciar o imediato contato com

2.7.2. Os licitantes, obrigatoriamente,
devem entrar em contato com a Petronect,
estando ou não registradas no portal, para
manifestar interesse em participar do leilão
e indicar o número do Edital 5900.002.2019.
Caso o licitante ainda não esteja registrado,
a Petronect irá providenciar o seu registro.
2.7.3. Caso não seja recebida senha de
acesso em até três dias úteis, o licitante
deve entrar em contato com o atendimento
do Portal Petronect.

2.7. To be included in the Public Auction:
2.7.1. To participate in the Public Auction,
the interested party should follow the

2.7.2. The Bidders must contact Petronect,
wheter been registred or not on Petronect
Portal, to show interest to participate in the
public auction, and indicate the Call for
Tender number 5900.002.2019. If the
Bidder is not registered, Petronect Help
Desk will provide the enrolment.
2.7.3. If the password is not sent in three
business days, the Bidder should call the
Petronect Help Desk.

2.7.4. A solicitação de inclusão na presente
licitação deverá ser feita até às 12:00 h de
17/09/2019. O não cumprimento desta
etapa impedirá a participação do licitante
no certame.
2.7.5. O Registro de Interesse de
participação através do Portal Petronect
não garante a participação na licitação.
Para participar desta licitação é necessário
cumprir todas as exigências e prazos deste
Edital.
2.7.6. Para dúvidas técnicas na ferramenta
do leilão eletrônico, a Petronect
disponibiliza para suporte, a partir de 30
minutos antes do início do leilão, o telefone
(21) 3380-3355.
2.7.7. A Petrobras, por meio da Petronect,
poderá realizar, a seu exclusivo critério,
uma simulação da operação de leilão no
portal da Petronect com a finalidade de
familiarizar os licitantes com a plataforma
do leilão.
2.7.7.1. A Comissão de Alienação
informará, por meio da Sala de
Colaboração, a data e o horário de
realização da simulação, caso essa venha a
ocorrer.
2.7.7.2. A simulação do leilão no portal
eletrônico da Petronect, caso venha a
ocorrer, acontecerá com os licitantes
inscritos no leilão, que manifestaram o
devido interesse, conforme item 2.7.2
deste Edital, até a véspera da data de
ocorrência da simulação, não cabendo a
Petrobras e nem a Petronect, a obrigação
de realizar uma nova simulação com os
licitantes inscritos posteriormente.
2.7.8. Os horários constantes neste edital
referem-se ao horário de Brasília – Brasil.

2.7.4. The including request in this Public
Auction must be done until 12 PM of
09/17/2019. If this step is not
accomplished, the bidder participation will
be not allowed.
2.7.5. The register does not guarantee the
company to take part in the Public Auction.
It is necessary to fulfill all requirements
mentioned in this document.
2.7.6. Any technical questions regarding the
electronic bidding tool, Petronect will make
available, starting 30 minutes before the
bidding beginning, the telephone number
(21) 3380-3355.
2.7.7. Petrobras, through Petronect, may,
at its sole discretion, conduct a simulation
of the bidding operation on Petronect, in
order to familiarize bidders with the
platform.
2.7.7.1. The Bidding Committee will
inform, via Collaboration Room, the date
and time of the simulation, if it occurs.
2.7.7.2. The simulation of the bidding on
Petronect, if it occurs, will happen with the
bidders enrolled in the process, who
expressed their interest, according to item
2.7.2 of this Call for Tender, until the day
before the simulation occurs. Petrobras and
neither Petronect holds the obligation to
carry out a new simulation with bidders
registered after the first one.
2.7.8. The schedules in this Call for Tender
refer to Brasília (Brazil) time zone.

3. LOCAL DE EXPOSIÇÃO E PERÍODO PARA
VISITAÇÃO TÉCNICA DA UNIDADE:
3.1. A Licitante poderá solicitar visita
técnica à Comissão de Alienação até 5 dias
úteis antes da data da realização do Leilão,
com o intuito de verificar o estado geral da
Unidade e seus pertences, suas
características técnicas e equipamentos
existentes, além de possibilitar uma melhor
avaliação visando a apresentação da
proposta/lance referente a aquisição da
referida Unidade e seus pertences. Será
esclarecida pela Comissão a documentação
pertinente necessária para a visitação.
3.2. A Unidade Vitoria 10000 (NS-30) possui
bandeira das Ilhas Marshall e será entregue
pela PETROBRAS e DSI à Licitante vencedora
nesta condição. Caso a Licitante vencedora
tenha interesse em modificar a bandeira do
bem adquirido, todos os custos, despesas e
procedimentos daí decorrentes serão da
alçada e responsabilidade da adquirente.
3.3. O desconhecimento ou equívoco acerca
do estado da Unidade não servirá de
justificativa para alegar revisão de preços
ou erro na proposta apresentada ou o atraso
no pagamento da Unidade.
3.4. Por ocasião da visitação, por medida de
segurança, as pessoas deverão estar usando
EPI’s (Equipamentos de Proteção
Individual), não sendo permitido ingressar
na Unidade usando calção, bermuda,
camiseta sem manga ou sem camisa.
Demais orientações para a visitação serão
esclarecidas pela Comissão. A exempt from any liability for any accidents

3. LOCATION OF EXHIBITION AND
TECHNICAL VISITING PERIOD OF THE UNIT:
3.1. Bidder may request a technical visit via
email to the Bidding Committee, until 5
business days before the date of the
completion of the Bidding process with the
purpose of verifying the general condition
of said Unit and its belongings, its technical
characteristics and equipment, as well as to
enable a better evaluation, aiming at the
submission of proposals/bids with respect
to the purchase of the Unit and its
belongings. The documentation required for
visiting shall be clarified by the Bidding
Committee.
3.2. The Unit Vitoria 10000 (NS-30) have
flag of Marshall Islands and shall be
delivered by PETROBRAS and DSI to
outbidder in this condition. If outbidder
wishes to change the flag of purchased
property, all costs, expenses and
procedures thereto shall be borne by buyer.
3.3. Claiming ignorance or mistake as to the
condition of Unit shall not be a justification
to claim adjustment of price or error in
proposal provided or delay to pay the Unit.
3.4. At the time of visiting, as a measure of
safety, the persons shall wear Personal
Protective Equipment (PPE), and they shall
not have access to the Unit wearing shorts,
t-shirts or without shits. Further guidance
for the visitation will be clarified by the
Bidding Committee. PETROBRAS/DSI are
during visit/removal days.
3.5. Photographs will be allowed, provided
that PETROBRAS has duly authorized them,
and their use for any other purpose than the

para outra finalidade que não o processo em

3.6. A PETROBRAS proverá às Licitantes as
condições de atendimento durante o
período compreendido entre a visitação e a
retirada das Unidade, nos locais
estabelecidos em Edital.
3.7. Seguem as instruções para
agendamento da Visita Técnica:
a) A Unidade VITORIA 10000 (NS-30) está
fundeada no campo de Badejo, localizada
na Bacia de Campos, no estado do Rio de
Janeiro.
b) Para agendamento, as empresas devem
preencher o "Formulário de Solicitação de
Agendamento de Visita Técnica" (Adendo G)
e enviar o mesmo assinado por meio de
mensagem na Sala de Colaboração no Portal
da Petronect ou Correio Eletrônico
(alienacaons30@petrobras.com.br),
juntamente com os documentos informados
no termo e o período sugerido/pretendido
para visita (indicando uma janela de 7 dias
na indicação do período).
c) Após o recebimento da solicitação, a
Petrobras responderá ao Licitante
indicando o dia agendado para cada visita,
buscando atender, dentro do possível, a
preferência da Licitante.
d) Informamos que todos os custos
referentes até o local de embarque são de
responsabilidade dos Licitantes.
e) Caso o licitante seja estrangeiro e não
tenha proficiência no idioma português, é
recomendável o mesmo estar acompanhado
de pessoa com proficiência no idioma
português.

3.6. PETROBRAS will provide Bidders with
the conditions of service during the period
between the visitation and the removal of
the UNITS, in the places set out in the Call
for Tender.
3.7. Following are the instructions for the
scheduling of Technical Visit:
a) The VITORIA Unit 10000 (NS-30) is based
in the field of Badejo, located in the
Campos Basin, in the state of Rio de
Janeiro.
b) For scheduling, companies must send a
"Request for Technical Visit Scheduling
Request Form" (Addendum G) completed
and signed, along with the documents
informed in the term and by means of a
message in the Collaboration Room on the
Petronect Portal or Electronic Mail
(alienacaons30@petrobras.com.br). the

4. SUBMISSION OF PROPOSALS (BIDS):
4.1. On the date of the public auction, the
bidders must be connected to the system to

4.1.5. The offered prices must be presented

4.1.10. O Licitante poderá oferecer lance
intermediário, sendo aquele definido como
igual ou menor que o melhor lance
registrado até o momento, porém
necessariamente maior que o ofertado pelo
próprio licitante, conforme o critério de
julgamento definido neste Edital e
respeitado o incremento mínimo de
diferença entre os lances (intervalo de
lances).
4.1.11. O lance igual será classificado
respeitando a ordem de apresentação, ou
seja, prevalece como melhor colocado o
lance que for recebido e registrado primeiro.

4.1.10. The bidder may offer intermediate
bid, defined as the same or less amount of
the best placed offer, but necessarily higher

4.3. É facultada à Comissão de Alienação ou
autoridade superior, em qualquer fase do
Leilão, a promoção de diligência destinada
a esclarecer ou a complementar a
integração do processo, vedada a inclusão
posterior de documento ou informação que
deveria constar originariamente da
proposta.
4.3.1. Será admitida a complementação,
nos casos em que o formalismo esteja
sobrepondo-se à forma necessária, bem
como, buscando-se sempre atenção ao
princípio da competitividade, não sendo
considerados motivos para desclassificação
simples omissões ou incorreções formais na
documentação ou na proposta, a critério da
Comissão de Alienação.
4.4. A falta de quaisquer dos documentos
solicitados neste Edital poderá implicar na
desclassificação do Licitante.
4.5. A apresentação de qualquer dos
documentos solicitados no Edital contendo
emendas, rasuras, entrelinhas, ressalvas e
interpretações ou modificações de
quaisquer itens deste Edital e seus Anexos,
poderá implicar na desclassificação do
Licitante.
4.6. Qualquer Licitante poderá, a qualquer
tempo, ser desqualificado em razão de
execução de contrato, anteriormente
celebrado com a PETROBRAS ou com a DSI,
no qual tenha restado comprovada
ineficiência técnica, administrativa ou
financeira, sem que disso decorra direito a
reclamação ou indenização de qualquer
espécie.
5. JULGAMENTO DAS PROPOSTAS/
LANCES:

4.3. The Bidding Committee or higher
authority may, at any stage of the bidding,
promote due diligence to clarify or
complement the integration of the process,
being prohibited to further add documents
or information that should be originally
provided for in the proposal.
4.3.1. The supplement will be permitted, in
cases where formality is overlapping the
required form, always in compliance with
principles of competitiveness, and mere
omissions or formal inaccuracies in the
documentation or proposal will not be
considered reasons for disqualification, at
Bidding Committee discretion.
4.4. The failure to provide any documents
requested in this Call for Tender may give
rise to the disqualification of Bidder’s
proposal.
4.5. The presentation of any documents
requested in the Call for Tender containing
emendations, erasures, fine prints and
interpretations or modifications to any item
of this Call for Tender and its Addenda may
give rise to disqualification of the bidder's
proposal.
4.6. Any bidder may, at any time, be
disqualified due to the execution of a
contract, previously entered into with
PETROBRAS or PNBV, which has been proved
technical, administrative or financial
inefficient, without giving rise to any right
to claim or compensation of any kind.
5. JUDGMENT OF PROPOSALS/BIDS:

5.1. Os lances serão ordenados de acordo
com o critério de julgamento Maior Oferta
de Preço.
5.2. A Comissão de Alienação negociará
condições mais vantajosas com o licitante
que ofertou o melhor lance efetivo.
5.3. Será considerada vencedora a proposta
que oferecer o melhor preço, entendido
este como o maior valor ofertado, estando
esta oferta sujeita a análise do Valor Mínimo
de Alienação. O Valor Mínimo de Alienação
é um valor de avaliação, atribuído à
Unidade pela Petrobras, não divulgado.
5.4. A PETROBRAS e/ou a DSI poderá, em
qualquer fase que anteceda a efetivação da
venda (pagamento e retirada da Unidade
por parte dos vencedores), e a seu exclusivo
critério, cancelar o leilão ou a venda da
Unidade, bem como adiar ou prorrogar a
data do leilão ou da venda, sem que caiba
aos participantes o direito a indenização,
ressarcimento ou reclamações de qualquer
espécie.
5.5. Após a divulgação da classificação
final, na forma prevista neste Edital, os
resultados estarão sujeitos à homologação
da Licitação pelas Autoridades
Competentes da PETROBRAS e/ou da DSI
quanto à aprovação e à autorização para a
venda da Unidade.
5.6. Os lances ofertados são IRREVOGÁVEIS
e IRRETRATÁVEIS sendo a Licitante
responsável por todas as ofertas registradas
em seu nome, pelo que os lances não podem
ser anulados e/ou cancelados, salvo na
hipótese do item 10 deste Edital.
5.7. Será analisada a efetividade apenas do
lance do licitante que apresentou a
proposta mais vantajosa segundo a ordem
estabelecida no item 6.1 a).

5.1. The bids will be ordered respecting the
judgment rules of best price offer.
5.2. The Bidding Committee will negotiate
more favorable conditions with the bidder
who offered the best effective bid.
5.3. The proposal offering the best price,
that is, the greatest offered value shall be
deemed as winner, subject to the analysis
of the Minimum Disposal Value. The
Minimum Disposal Value is an assessment
value attributed to the Unit by Petrobras
which is not publicly disclosed.
5.4. PETROBRAS and/or DSI may, at any
stage prior to the sale completion (payment
and withdrawal of Unit by the outbidders),
at its sole discretion, cancel the bidding or
sale of the Unit, as well as advance or
postpone the date of tender or sale,
without any right to indemnity,
reimbursement or complaints of any kind to
the participants.
5.5. Following the disclosure of the final
classification, as provided for in this Final
Tender Protocol, the results will be subject
to the Approval of the Bid by the Competent
Authorities of PETROBRAS and / or DSI
regarding the approval and authorization
for the sale of the Unit.
5.6. The bids being offered are
IRREVOCABLE AND NON-RETRACTABLE, and
bidder is liable for all offers registered on
its behalf, since the bids may not be null
and void and/or cancelled, expect as
otherwise provided for in item 10
hereunder.
5.7. Only the Bidder's Bid that has
submitted the most advantageous bid
according to the order established in item
6.1 a) will be analyzed.

5.8. O licitante também será
desclassificado se se encontrar em uma das
situações descritas abaixo:
a) Estiver impedido de transacionar com a
Petrobras;
b) Estiver cumprindo penalidade de
impedimento de licitar e contratar com a
União Federal;
c) Constar como inidôneo no Portal do
Ministério da Transparência, Fiscalização e
Controle;
d) Tenha sido contratado para avaliar os
bens objeto da alienação;
e) Estiver enquadrado nas demais situações
de impedimento previstas na Lei 13.303/16.
5.9. Será convocado o licitante
subsequente, respeitados o ordenamento
definido no item 6.1 a), quando o licitante
anterior for desclassificado.
5.10. Em caso de dúvidas durante a fase de
julgamento pela Comissão de Alienação,
relativo ao preço ofertado, o licitante
poderá ser consultado para confirmar o
entendimento da Comissão de Alienação.
6. PROCEDIMENTO DO LEILÃO:
6.1. O Leilão será processado e julgado nos
moldes do item 4 e 5, deste Edital e com a
observância dos seguintes procedimentos:
a) Divulgação da Classificação Inicial do
resultado do Leilão;

5.8. The bidder will also be disqualified if
found in one of the situations described
below:
a) Is unable to transact with Petrobras;
b) Is fulfilling penalty of exclusion from
bidding and contracting with the Federal
Union;
c) Is listed as disreputable on the webpage
of the Ministry of Transparency,
Supervision, and Control;
d) Has been hired to evaluate the assets
that are the object of bidding;
e) Is framed in the remaining legal
impediment situations referred to in Law
13.303/16.
5.9. The subsequent bidder will be called,
respecting the ordering defined in item 6.1
a), when the previous bidder is disqualified.
5.10. In case of doubts during the judgment
phase by the Bidding Committee, regarding
the offered price, the bidder may be
consulted to confirm the understanding of
the Bidding Committee.
6. BIDDING PROCEDURE:
6.1. The bidding shall be processed and
judged in accordance with items 4 and 5 of
this Call for Tender and the observance of
as per the following procedures:
a) Disclosure of the Initial Classification of
the Bidding result;

b) Análise da efetividade da melhor
proposta e convocação pela Comissão de
Alienação do licitante melhor
classificado para negociação;
c) Habilitação do licitante melhor
classificado
d) Divulgação do licitante vencedor do
leilão e abertura do prazo recursal;
e) Homologação da Licitação pelas
Autoridades Competentes da
PETROBRAS quanto à ratificação do
resultado do Leilão;
f) Celebração do Contrato de Compra e
Venda, Nota de Venda e Declaração de
Aceitação (Adendo C), em até 5 dias
úteis após convocação do licitante
vencedor pela Comissão de Alienação;
OBS: A Comissão de Alienação irá proceder
com a verificação da conformidade e da
compatibilidade de cada proposta/lance
com os requisitos constantes deste Edital,
promovendo-se a desclassificação das
propostas desconformes e incompatíveis.
7. HABILITAÇÃO:
7.1. Após a negociação com o Licitante
melhor classificado (item 6.1.b), será
iniciada a etapa de habilitação.
7.1.1. A Licitante deverá apresentar a
seguinte documentação após solicitação da
Comissão de Alienação, em no máximo 5
dias úteis da data da solicitação da
Comissão de Alienação, referente à
documentação de Habilitação:

of the best qualified bidder by the Bidding
Committee for negotiation;
c) Qualification of the best qualified bidder
d) Disclosure of winning bidder, and opening
of the appeal period;
e) Bidding approval by PETROBRAS
Competent Authorities regarding the
ratification of the Bidding result;
f) Purchase and Sale Agreement, Sales Note
and Declaration of Acceptance (Addendum
C) execution, within 5 business days after
summoning the successful bidder by the
Bidding Committee;
NOTE: The Bidding Committee will proceed
with the verification of compliance and
compatibility of each proposal/bid with the
requirements of this Call for Tender,
promoting the disqualification of the
nonconforming and inconsistent proposals.
7. QUALIFICATION:
7.1. After negotiation with the best
qualified Bidder (item 6.1.b), the
qualification process will take place.
7.1.1. The Bidder must deliver the following
Qualification documentation upon request
from the Bidding Committee, in no more
than five business days following the date
of the request by the Bidding Committee.

b) Cartão do CNPJ (Cadastro Nacional de
Pessoa Jurídica), caso seja pessoa jurídica,
ou CPF (Cadastro de Pessoas Físicas), caso
seja pessoa física, não necessariamente
autenticado em cartório, podendo ser
obtido através da Internet, no sítio da SRF -
www.receita.fazenda.gov.br, visando a
comprovação de inscrição e situação
cadastral ativa;
c) Declaração Negativa de Relação
Familiar/Impedimento (Adendo E);
d) Declaração de inexistência de
impedimentos - Art. 38 (Adendo F);
7.1.2. A não entrega da documentação
mencionada no item 7.1.1. no prazo limite
informado poderá acarretar na eliminação
da Licitante do presente certame.
7.1.3. A(s) Licitante(s) vencedora(s), se
sociedade estrangeira, deverá,
obrigatoriamente, apresentar mandatário
judicial, sob pena de perda de condição
essencial para a assinatura do Recibo de
Entrega e Aceitação da Unidades conforme
Adendo D.
7.2. A Comissão de Alienação pode realizar
a qualquer momento diligência para
esclarecer o teor dos documentos, sanar
dúvidas, defeitos ou inconsistências
constatadas nos documentos de habilitação,
ficando definido o prazo de 5 dias úteis para
que o licitante corrija os defeitos
constatados.
7.3. Se os defeitos ou inconsistências não
forem corrigidos de modo adequado, a
Comissão de Alienação pode conceder novo
prazo para as devidas correções.

7.1.2. The non-delivery of the
documentation mentioned in item 7.1.1.

the elimination of the Bidder from this

7.1.3. Being the winning Bidder(s) foreign
company(ies), a legal representative must
compulsorily be presented, under penalty
of loss of an essential condition for the Unit
Delivery and Acceptance Receipt signature,
in agreement with Addendum D.
7.2. The Bidding Committee can perform at
any time due diligence to clarify the
content of, or remedy defects or
inconsistencies noted in the qualification
documents, and the deadline for the bidder
to correct the defects found will be five
business days.
7.3. If the defects or inconsistencies are not
corrected appropriately, the Bidding
Committee can grant new a deadline for the
appropriate corrections.

7.4. A Petrobras analisará a documentação
apresentada, verificando o atendimento às
exigências deste Edital e de seus Adendos.
Para fins de julgamento da habilitação

emissores de certidões e certificados, bem
como as informações disponíveis no
Cadastro de Fornecedores e sistemas

7.5. Se o licitante não atender às exigências
para habilitação, a Comissão de Alienação o
inabilitará e convocará o licitante
subsequente para análise quanto às etapas
de efetividade da proposta e de habilitação,
respeitado o ordenamento definido no item
6.1.a).
7.6. Se o licitante atender às exigências
para habilitação, este será declarado pela
Comissão de Alienação vencedor do
certame, abrindo-se prazo recursal nos
termos do item 8 deste Edital.
8. RECURSOS E ENCERRAMENTO DA
LICITAÇÃO:
8.1 Qualquer licitante poderá interpor
recurso, de forma motivada, respeitado o
prazo de 5 (cinco) dias úteis a partir da
declaração mencionada no item 7.6 deste
Edital, devendo o mesmo ser dirigido à
Autoridade Superior, por intermédio da
Comissão de Alienação, por meio da Sala de
Colaboração.
8.1.1. Os recursos deverão ser redigidos de
forma clara, em língua portuguesa, datados
e assinados pelos Representantes Legais, ou
Procuradores com poderes específicos.
8.2. Recebido(s) o(s) recurso(s), a Comissão
de Alienação comunicará aos Licitantes, por
meio da Sala de Colaboração, sobre a

7.4. Petrobras will examine the
documentation submitted, verifying
compliance with the requirements of this
Call for Tender and its addendums. For the
purposes of the qualification judgment,
other Internet sites can be consulted,
notably official sites that issue attestations
and certificates, as well as available
information in the Register of Suppliers and
internal systems of Petrobras.
7.5. If the bidder does not meet the
requirements for qualification, the Bidding
Committee shall disqualify it and convene
the subsequent bidder for the analysis of
the stages of the effectiveness of its
proposal and qualification, in compliance in
item 6.1.a).
7.6. If the bidder meets the requirements
for qualification, it will be declared the
winning Bidder by the Bidding Committee
and the appeals period shall commence
pursuant to item 8 of this Notice.
8. RESOURCES AND CLOSURE OF THE BID:
8.1 Any bidder may appeal, in a reasoned
manner, within a period of five (5) business
days from the declaration mentioned in
item 7.6 of this Call for Tender, and shall be
addressed to the Superior Authority, by the
Bidding Committee, through Petronect
Collaboration Room.
8.1.1. The appeals must be written in a
clear fashion, in Portuguese, dated and
signed by the Legal Representatives, or
Attorneys with specific powers.
8.2. Upon receipt of the appeal (s), the
Bidding Committee shall notify the Bidders,
through the Collaboration Room, about the
lodging of an appeal (s) and shall open a
period of five (5) business days, starting

8.5. A Comissão de Alienação poderá
reconsiderar sua decisão, ou, no caso de

8.7. Em caso de interposição de recurso

andamento da licitação, a Petrobras pode

previstos no Regulamento de Licitações e

8.8. Definido o licitante vencedor e
considerando a deliberação da Autoridade
Competente, o objeto licitado lhe será
adjudicado, estando a licitação sujeita à
homologação pela Autoridade Competente.

challenges to the appeal (s) submitted,
which must be presented under the same
conditions described in items 8.1 and 8.1.1
of this Call for Tender.
8.3. Bidders are assured access to the
elements indispensable to the defense of
their interests, safeguarding the documents
considered confidential.
8.4. The recourse to appeal as a form of
procrastination will be liable for damages
that might be caused to PETROBRAS, in
accordance with Law 13,303, of 30 June
2016, and the RLCP.
8.5. The Bidding Committee may reconsider
its decision, or, in case it maintains such
appeal, it must forward the appeal to the
Superior Authority for a decision.
8.5.1. The decision of the Superior
Authority is final and precludes any other
appeal from being submitted.
8.6. The acceptance of an appeal shall
entail the invalidation of acts that could not
be otherwise used.
8.7. In the event of an appeal with the
improper purpose of delaying the progress
of the bidding, Petrobras may apply a
penalty to the bidder, in accordance with
the provisions laid down in the Regulation
of Bids and Contracts of Petrobras.
8.8. Defined the winning bidder and
considering the Bid Approval, as per item
6.1.1. of this Invitation to Bid, the tendered
object will be awarded to it, the bidding
being subject to approval by the Competent
Authority.

8.9. A qualquer tempo, a licitação poderá
ser revogada ou anulada, nos limites fixados
pela Lei 13.303/16.
8.9.1. Caso seja verificada, após a abertura
da fase de lances, a intenção de se revogar
ou anular a licitação, será concedido aos
licitantes, que manifestem interesse em
contestar o ato e exercer o direito ao
contraditório e à ampla defesa, prazo de 5
(cinco) dias úteis para apresentação da
respectiva contestação.
8.9.2. A manifestação de interesse para
contestação deve ser apresentada dentro
do prazo de 1 dia, contado da data de
comunicação da Petrobras sobre a
revogação ou anulação da licitação, sob
pena de perda deste direito.
8.9.3. O licitante deve endereçar a
contestação à autoridade superior àquela
que revogou ou anulou a licitação, por
intermédio da Comissão de Alienação, que
apreciará sua admissibilidade.
8.9.4. Confirmada a admissibilidade da
contestação, a Comissão de Alienação a
encaminhará para apreciação e decisão da
autoridade que revogou ou anulou a
licitação, que pode reconsiderar sua
decisão ou mantê-la. Neste último caso,
esta autoridade submeterá a contestação à
apreciação de sua autoridade superior,
devendo esta proferir a decisão final.
9. PAGAMENTO
9.1. Homologada a licitação, a Comissão de
Alienação convocará o vencedor do certame
para realizar o pagamento e a retirada da
Unidade, acrescidos dos devidos tributos e
despesas aduaneiras, se for o caso, em
prazo definido pela Comissão de Alienação.

8.9. At any time, the bidding may be
revoked or annulled, within the limits laid
down by Law 13.303/16.
8.9.1. If it is verified, after the opening of
bids, the intention to repeal or annul the
tender, bidders who express an interest in
contesting the act and exercising the right
to adversary system and full defense, will
be granted five business days for the
submission of its contestation.
8.9.2. The expressions of interest for the
contestation shall be submitted within 1
day, counted from the date of the
communication by Petrobras of the
revocation or cancellation of the bid, under
penalty of loss of this right.
8.9.3. The bidder should address the
challenge to the Superior Authority that has
repealed or annulled the bidding process,
through the Bidding Committee, which will
assess its admissibility.
8.9.4. Upon confirmation of the
admissibility of the contestation, the
Bidding Committee will submit for
consideration and decision on the part of
the authority which repealed or annulled
the bidding, which may reconsider its
decision or maintain it. In the latter case,
this authority shall submit the contestation
to the appreciation of its superior authority,
which shall proffer the final decision.
9. PAYMENT
9.1. Once the bidding has been approved,
Petrobras will convene the winning Bidder
to make the payment and remove the Unit,
plus due taxes, if this is the case, within the
deadline set by the Bidding Committee.

9.2. Para a Unidade Vitoria 10000, a
Licitante vencedora deverá efetuar o
pagamento da quantia correspondente ao
sinal 20% do valor proposto, em conta
bancária da VENDEDORA a ser informada
posteriormente e apresentar à Comissão de
Alienação o correspondente comprovante
de transferência bancária (depósito
bancário/ swift) no prazo máximo de 5 dias
úteis após a celebração do Contrato, Nota
de Venda e Declaração de Aceitação.
9.2.1. A não apresentação do comprovante
de transferência bancária (swift) no prazo
definido poderá resultar na perda da
condição de Licitante vencedora. Neste
caso, a segunda classificada poderá ser
chamada para cumprir as etapas descrita no
item 6, com exceção do estipulado no item
10.1.
9.2.2. O restante do pagamento, referente
aos 80% do valor da proposta, deverá ser
efetuado em até 20 dias úteis, contados a
partir da Celebração do Contrato, Nota de
Venda e Declaração de Aceitação, na conta
bancária a ser indicada pela VENDEDORA. O
comprovante de transferência bancária
(depósito bancário/swift) deverá ser
apresentado à Comissão de Alienação.
9.2.3. A forma de pagamento do valor
mencionado nos itens 9.2 e 9.2.2 pela
licitante será em moeda estrangeira,
Dólares Norte Americanos (USD), mediante
transferência bancária internacional para
crédito em conta corrente da VENDEDORA.
9.2.4. O comprovante de transferência
bancária (swift) mencionado nos itens 9.2 e
9.2.2. acima deverão ser enviados à
Comissão, via Sala de Colaboração no Portal
da Petronect ou correio eletrônico

9.2. The best qualified bidder must pay the
amount corresponding to twenty percent
(20%) of the offered price, to SELLER’s bank
account, to be further informed, and submit
the relevant evidence of the bank transfer
(swift) to the Bidding Committee within five
(5) business days after the Purchase and
Sale Agreement, Sale Note and Declaration
of Acceptance signature.
9.2.1. The failure to submit an evidence of
the bank transfer (swift) shall result in the
condition loss of best qualified bidder. In
this case, the second classified bidder may
be called to comply with the steps
described in item 6, except as stipulated in
item 10.1.
9.2.2. The remaining amount, regarding 80%
of bid price, must be paid within 20 business
days, after the Purchase and Sale
Agreement, Sale Note and Declaration of
Acceptance signature, to the bank account
to be informed by SELLER. The evidence of
bank transfer (swift) shall be submitted to
the Bidding Committee .
9.2.3. The form of payment regarding the
amounts mentioned in items 9.2. and 9.2.2.
shall to be in foreign currency, in US Dollars
(USD), upon international wire transfer to
SELLER’s current account.
9.2.4. The bank transfer evidence (swift)
mentioned in items 9.2 and 9.2.2. above
must be sent to the Bidding Committee via
Collaboration Room on Petronect Portal or
e-mail (alienacaons30@petrobras.com.br)
to the Bidding Committee.

9.2, não cabendo nenhuma reivindicação ou
pleito por perdas e danos por parte da então
Licitante vencedora, permanecendo, neste
caso, a Unidade em propriedade da
PETROBRAS ou da DSI.
9.2.7.1. Na eventualidade de ocorrer a
situação prevista no item 9.2.7, a segunda
classificada poderá ser chamada para
cumprir as etapas descrita no item 6, e
assim sucessivamente.
10. DESISTÊNCIA:
10.1. Não cabe desistência de propostas,
salvo decorrente de fato superveniente e
aceito pela Comissão de Alienação, bem
como aquela em razão do não
comparecimento e/ou atraso prevista no
item 10.2.
10.2. O não comparecimento e/ou atraso da
Compradora para a Assinatura do Recibo de
Entrega e Aceitação com a Retirada da

9.2.5. ATTENTION: The failure to proof the
deposit within defined deadlines shall imply
in loss of right to purchase the Unit(s) and
application of provision in items 11 and 12
of this Call for Tenders.
9.2.6. The payment of the Unit by
outbidders shall be made via wire transfer,
and that it is prohibited to make deposits on
account of third-parties and/or to deposit
the prices mentioned in items 9.2 and 9.2.2
in installments.
9.2.7. Failure to pay the Unit within the
period stipulated in item 9.2.2 of this
auction may result in the loss of the Bidder
status of this auction and the loss of the
initial payment of 20% of the proposed value
for acquisition, defined in item 9.2. claim
or litigation for damages and losses on the
part of the then successful Bidder, in this
case remaining the Unit owned by
PETROBRAS or DSI.
9.2.7.1. In the event that the situation
described in item 9.2.7 occurs, the second
classified may be called to comply with the
steps described in item 6, and so on.
10. WITHDRAWAL:
10.1. Withdrawal of proposals is prohibited,
unless due to a supervening fact accepted
by the Bidding Committee, as well as on the
grounds of non-attendance and/or delay
foreseen in item 10.2.
10.2. Failure to attend and/or delay by
Purchaser for the Receipt of Acceptance
and Delivery signature with the Unit

Unidade, nos locais e prazos estabelecidos
pela PETROBRAS, poderá caracterizar a
desistência da Compradora no
prosseguimento do Contrato de Compra e
Venda. Neste caso, poderá a PETROBRAS
rescindir o Contrato de Compra e Venda.
11. SANÇÕES:
11.1. No caso do descumprimento do
compromisso assumido de pagamento,
conforme o estabelecido no item 9 deste
Edital, a PETROBRAS/DSI, a seu exclusivo
critério, poderá, além de não mais efetuar
a venda, acionar o Licitante para cobrança
de multa de 10% sobre o valor total
proposto, cobrada por via executiva, como
dívida líquida e certa nos termos do Art.
782, Inciso II, do Código de Processo Civil,
sem prejuízo das perdas, danos e lucros
cessantes e das sanções legais cabíveis.
11.2. Na(s) hipótese(s) do subitem anterior,
a PETROBRAS poderá convidar os demais
Licitantes classificados, obedecendo o
critério do item 6.1.a, ou, ainda que resolva
manter a venda, com o mesmo Licitante
vencedor, está se concretizará mediante
pagamento, através de transferência
bancária (deposito bancário/swift), dos
respectivos valores de venda, acrescidos de
uma multa de 5% sobre o valor total da
Unidade, em um prazo máximo de 30
(trinta) dias corridos a partir do prazo
estabelecido no item 9.2.
12. PENALIDADES:
12.1. A recusa injustificada do Licitante
vencedor em cumprir as etapas de aquisição
da Unidade nos prazos e condições previstos
no Edital, caracteriza o descumprimento
total ou parcial da obrigação assumida,
podendo ensejar à Licitante a perda
imediata do direito à aquisição da Unidade,

Removal, in the places and deadlines
established by PETROBRAS, may
characterize the withdrawal of the
Purchaser in the continuation of the
Purchase and Sale Agreement. In this case,
PETROBRAS may terminate the Purchase
and Sale Agreement.
11. SANCTIONS:
11.1. In case of noncompliance with the
payment obligation, as established in item
9 of this Call for Tender, PETROBRAS/DSI,
at its sole discretion, may, in addition to no
longer make the sale, file a suit against
bidder to collect a fine of 10% on the
proposed total amount, charged by court
order, as net and certain debt pursuant to
Article 782, Section II, of the Civil of Civil
Procedure, notwithstanding the losses,
damages and loss of profits and legal
penalties.
11.2. In the cases set out in previous
subitem, PETROBRAS may invite other
classified bidders, in accordance with the
criteria on item 6.1., or, if it decides to
maintain the sales, with de same winner the
sales shall be made upon payment via swift,
of the respective sales amounts, penalty 5%
on the total amount of the Unit, within
thirty (30) calendar days as of the deadline
provided for in item 9.2.
12. PENALTIES:
12.1. The unjustified refusal on the account
of outbidder to comply with the steps to
acquire the Unit within the terms and
conditions contained in the Call for tender,
represents the total or partial breach of the
obligation assumed, and may cause to
bidder the immediate loss of the right to

12.2. Se, por ocasião do julgamento deste
Leilão, da formalização do instrumento
contratual, ficar comprovada a existência
de irregularidades que denunciem dolo, má
fé ou grave omissão por parte dos
Licitantes, estes, sem prejuízo das sanções
legais cabíveis, a critério da
PETROBRAS/DSI, na forma do da Lei 13.303,
de 30 de junho de 2016, e do RLCP.
13. FORO E LEGISLAÇÃO APLICÁVEL:
13.1. Ao presente leilão aplicar-se-á a
legislação brasileira, independentemente
da nacionalidade da PETROBRAS/DSI e das
Licitantes, renunciando a PETROBRAS/DSI e
as Licitantes, expressamente, a qualquer
questionamento sobre a legislação ora
eleita.
13.2. Fica eleito o Foro Central da Comarca
da Capital do Estado do Rio de Janeiro, para
dirimir as questões decorrentes deste
leilão, renunciando as partes,
expressamente, a qualquer outro, por mais
privilegiado que seja.
14. ESCLARECIMENTOS:
14.1 As dúvidas referentes à venda da
Unidade e quanto à interpretação dos
termos deste Edital, de seus
Anexos/Adendos, bem como qualquer
incorreção ou discrepância neles
encontradas, deverão ser encaminhadas e
apontadas à Comissão de Alienação, por
meio Sala de Colaboração no Portal da
Petronect, em até 10 dias úteis antes da
data da de início da disputa de preços, sob

of the fine mentioned in article 17 in the
Purchase Agreement (Addendum C) and/or
the appropriate sanctions.
12.2. If, due to the judgement of this
tender, the formalization of contract, it is
proven the existence of irregularities that
evidencing wrongful act, bad faith, or gross
omission on the account of bidders, they
shall be prohibited from making agreements
with PETROBRAS and its subsidiaries,
without prejudice to applicable legal
penalties, at PETROBRAS/DSI, , in the form
of Law 13,303, of 30 June 2016, and the
RLCP.
13. JURISDICTION AND APPLICABLE LAW:
13.1. This bidding shall be subject to
applicable Brazilian law, notwithstanding
PETROBRAS/DSI and bidders nationality,
and PETROBRAS/DSI and the bidders
expressly waive any right to dispute on
jurisdiction herein agreed.
13.2. It is elected the Central Court of the
District of the Capital of the State of Rio de
Janeiro, to settle any issues arising from
this tender, and the parties expressly waive
any other, however preferable it may be.
14. CLARIFICATIONS:
14.1. Any doubts regarding the sale of the
UNIT(s) and the interpretation of the terms
of this Call for Tender, of its

15. TRANSFERÊNCIA E RETIRADA DA
UNIDADE:
15.1. A transferência e retirada da Unidade

até 5 dias úteis da assinatura do
Contrato de Compra e Venda e validação

de propriedade da Unidade junto a
bandeira em até 10 dias úteis do
pagamento residual;
c) Conclusão do processo de desembaraço
/ exportação da Unidade junto a Receita
Federal do Brasil – RFB em até 25 dias
úteis do pagamento residual;
d) Convocação pela Comissão do Licitante
vencedor em até 5 dias úteis da
conclusão do desembaraço aduaneiro
para celebração do Recibo de Entrega e
Aceitação da Unidade (Adendo D) e, em
ato contínuo, a execução da opção de
destinação definida no Plano de
Transferência da Unidade.
15.1.1. Para retirada da Unidade e seus
pertences haverá necessidade de contato
prévio com a Comissão de Alienação para
apresentação do Plano de Transferência da
Unidade, aderente as orientações do
“Adendo H – Diretrizes para Plano de

15. UNIT REMOVAL
15.1. The Unit transfer and removal will be
planned considering the following steps:
a) Presentation of the Unit Transfer Plan by
the successful Bidder within 5 business days
after the execution of the Purchase
Agreement and validation of the plan by the
Bidding Committee within 5 business days
after the Transfer Plan presentation;
b) Delivery of the certificate of Transfer of
ownership issued by the flag registry within
10 business days after the residual
payment;
c) Completion of Unit’s clearance / export
procedure with Receita Federal do Brasil
(IRS) within 25 business days from the
residual payment;
d) Call by the Bidding Committee of the
winning Bidder within 5 business days from
the completion of customs clearance, to
sign the Receipt of Delivery and Acceptance
of the Unit (Addendum D) and, at once,
execution of the destination option defined
in the Unit Transfer Plan.
15.1.1. For the Unit Removal and its
belongings, it’s mandatory prior contact
with the Bidding Committee to present the
Unit Transfer Plan, adhering to the
guidelines of "Addendum H - Transfer Plan
Guidelines".

16. DISPOSIÇÕES GERAIS:
