1.1 TCIL is likely to be awarded telecom works from Mauritius Telecom in Mauritius.
Therefore sealed bids are invited by Telecommunications Consultants India Ltd. (TCIL)
from eligible/ experienced Mauritian contractors for „„FTTX and FTTH Overhead
Curative Maintenance Works in Mauritius”.
i) The bidder shall have „Business Registration Card‟ provided by „Corporate and
Business Registration Department, Govt. of Mauritius‟.
ii) Average annual turnover of the bidder in last three years will be MUR 5 million.
iii) Experience of having successfully completed similar works during last 7 years
ending last day of month previous to the one in which tenders are invited.
iv) The bidder should not be barred or black-listed by any of the central govt.
departments/organizations/Central PSUs of India & Mauritius on the scheduled
date of submission of tenders.
1.7 Tender Fee: There is no fee for the purchase of tender document.
1.8 TCIL reserves the right to accept or reject any or all the bids without assigning any
reasons.

SECTION – 2
INSTRUCTIONS TO BIDDERS
2.1.1 “Purchaser” means Telecommunications Consultants India Ltd. (TCIL), with its Head
Quarters at New Delhi or any other project/branch offices within or outside India.
2.1.2 “Bidder” means the Company or firm or consortium or corporate body that
participates in the tender and submits its bid.
2.1.3 “Supplier” or “Contractor” means the Company or firm or consortium or corporate
body whose bid to supply the goods/ provide the services, has been accepted by the
Purchaser under the Purchase Order/ Work Order.
2.1.4 “Client” or “Operator” means „Mauritius Telecom, Mauritius‟.
2.1.5 "OEM” means the original equipment manufacturer of equipment or hardware
proposed to be offered against this tender enquiry.
2.1.6 “Goods/Products” means all the hardware/ software, equipments, instruments, tools,
machinery etc., and/or other materials like components/parts/spares including
consumables, which the supplier is required to supply to the Purchaser under the
Purchase Order.
2.1.7 “Letter of Intent” means the communication of the intention of the Purchaser to the
Bidder to place the Purchaser Order for the former‟s offered goods/services.
2.1.8 “Purchase Order” means the technically & commercially clear order placed by the
Purchaser on the Supplier duly signed by the Purchaser‟s authorized representative to
procure/purchase certain goods & services from the vendor/contractor.
2.1.9 “Contract Price” means considerations payable to the supplier as stipulated in the
Purchase Order for performance of specified contractual obligations.
2.1.10 "Specification" means the document as listed in the appendix, including Employer‟s
requirements in respect of design to be carried out by the Contractor, if any, and any
Variation to such document.
2.1.11 "Drawings" and/or "Technical documentation" means all drawings, records, calculations
and technical information of a like nature to be provided under the Contract.
2.1.12 "Contract Agreement" means the contract agreement signed by both parties.
2.1.13 "Date of Completion" means the date(s) specified in the Implementation Plan by which
the Network or part thereof shall be installed and having successfully passed Acceptance
Test, taking into account all changes of the implementation period as agreed upon.
2.1.14 "Acceptance Test" means the test(s) to be carried out in accordance with client
specifications.
2.1.15 "Acceptance Certificate" means the written confirmation of acceptance to be issued by
client.
2.1.16 "Date of Acceptance" means the date when the Works or part thereof is actually
accepted or deemed as accepted.
2.1.17 "Contract Price" means the sum named in the Letter of Award subject to such additions
thereto or deductions therefrom as may be made under the provisions of the Contract
Agreement.
2.1.18 "Contract period" means the time period defined in the Tender Documents or PO/WO.
2.1.19 "Works" means the Permanent Works and the Temporary Works or either of them as
appropriate including services.
2.1.20 "Permanent Works" means the permanent works to be executed in accordance with the
Contract.
2.1.21 "Temporary Works" means all temporary works of every kind required in or about the
execution and completion of the works and the remedying of any defects therein.
2.1.22 "Contractor's equipment" means all appliances and things of whatever nature required
for the execution and completion of the works, but does not include materials or other
things intended to form or forming part of the Permanent Works.
2.1.23 "Maintenance" means the installation and repair activities to be provided or undertaken
by the Contractor in accordance with the Contract, to enable the Equipment to be
installed/ repaired at the Date of Completion.
2.1.24 "Site Instruction" means a written order to the Contractor issued by the Employer or his
representative after Contract signature authorizing minor alterations, additions, deletions
or revisions in the agreed scope of work which shall not require an adjustment to the
Contract Period or the Contract Price.
2.1.25 "Change order" means a written order to the Contractor, issued by the Employer after
Contract signature authorizing alterations, additions, deletions, extensions or taking up of
options in the works or an adjustment in the Contract Price or the Date of Completion.
2.1.26 "Complementary materials" means all materials and fittings required for the execution
of works as per the „Scope of Works‟ and the „Work Items Description‟ and not
supplied by the Employer.
2.1.27 “Lines / services‟‟ means customers‟ FTTH/FTTB lines and / or services subscribed
to by customers, whether basic telephony only, or basic telephony, internet access and
television services.
The Bidder shall bear all costs associated with the preparation and submission of the
bid. The Purchaser in any case will not be responsible or liable for these costs
regardless of the conduct of the bidding process tender documents.
2.4.1 At any time, prior to the date of submission of bids, the Purchaser may for any reason,
whether at its own initiative or in response to a clarification requested by a
prospective bidder, modify the tender documents by amendments.
In order to give prospective bidders required time in which to take the amendments
into action in preparing their bid, the Purchaser may at its discretion extend the
deadline for submission of bid suitably.
Bidder shall furnish as a part of bid, documents establishing the bidder‟s eligibility
conditions. The bidder shall also submit documentary evidence in the form of
literature, drawing, data on the goods offered/services delivered.
As specified in NIT.
Bid shall remain valid for 90 days after the scheduled date of bid submission. The bid
valid for a shorter period shall be rejected by the Purchaser as non-responsive.
In exceptional circumstances, the purchaser may request the consent of the bidder for
an extension to the period of bid validity. A bidder accepting the request and granting
extension will not be permitted to modify or withdraw his bid.
2.10.1 The bidder shall prepare two copies of the bid clearly marking one copy as “Original”
and the other as “Copy” & also provide softcopy of techno-commercial bid on CD-
ROM in suitable file format (MS-Word/MS-Excel as appropriate) in their respective
sealed covers.
2.10.2 In the event of any discrepancy between the original and copy, the original shall
prevail.
2.10.3 The original copy of the bid shall be prepared (in typed/printed form) in English
language and shall be signed by the bidder or a person duly authorized by the bidder.
2.10.4 All pages of the original bid, except printed literature, shall be initialed by the
authorized signatory only.
2.10.5 The bid shall contain no interlineations, erasures or overwriting except as necessary to
correct errors made by the bidder in which case such corrections shall be initialed by
the bidder signing the bid.
Bid must be submitted by the Bidder at the address specified and not later than the
date and time specified in the NIT.
Any bid received late by the Purchaser after the deadline for submission of the bid
shall be rejected and returned un-opened to the bidder. The decision about a bid being

late will be taken by the bid opening committee on behalf of the Purchaser and such
decision will be final and will not be disputed.
2.13.1 A bidder may modify or withdraw his bid provided that written notice of modification
or withdrawal is received by the Purchaser prior to the deadline prescribed for
submission of bids.
2.13.2 No bidder will be allowed to modify or withdraw his bid subsequent to the deadline
for submission of bids.
2.14.1 The Purchaser shall open the bids in presence of bidders‟ authorized representatives
who choose to attend the bid opening at a date and time specified in the NIT. The
bidder‟s representative who is present shall sign the Attendance Register.
2.14.2 A maximum of two representatives for any bidder as authorized by him shall be
permitted to attend the bid opening.
2.14.3 If the date fixed for opening of bids is subsequently declared as holiday by TCIL, the
revised date of schedule will be notified. However, in absence of such notification, the
bids will be opened on next working day, time and venue remaining unaltered.
2.15.1 To assist evaluation and comparison of bids, the Purchaser may at its discretion ask a
bidder for clarification of the bid. The clarification and response from bidders shall be
in writing. All clarifications given by a bidder will form part of his bid.
2.15.2 The Purchaser does not bind himself to accept the lowest or any tender and reserves to
him the right to accept the whole or any part of the tender and altering the quantities
offered and Bidder shall supply the same at the rate quoted.
2.16.2 Arithmetical error in commercial bid shall be rectified on the following basis: -
a) If there is a discrepancy between the unit price and total price that is obtained by
multiplying the unit price and the quantity, the unit price shall prevail and the
purchaser shall correct the total price.
b) In case of discrepancy between words and figures, the amount in words shall
prevail.
d) When the arithmetically corrected total price based on unit prices is more than
Price shown as Total Price, the unit prices will be corrected proportionately to
match the shown Total Price.
e) If a discount has been offered in the Commercial Bid, such discount will be
applied pro-rata against each currency cost item or against the items specified.
2.16.4 The Purchaser shall evaluate in detail and compare the bids, which are substantially
responsive.
2.16.5 The Purchaser reserves the right at the time of award of the contract to increase or
decrease the quantity of the goods and services specified in the bill of quantity
without any change in unit price of the ordered quantity.
2.16.6 TCIL reserves the right to reject, at its sole discretion, any or all evaluated
Commercial Bids and if necessary, call for submission of new Commercial Bids.
2.16.7 TCIL shall have the sole discretion in deciding the number of parties on whom the
orders shall be finally placed.
The bidders should have all the appropriate licenses/ approvals from competent
authority to receive orders and to carry out the proposed work and commercial
transactions related to it. The same will be produced to TCIL for verification as and
when asked for.
The Purchaser does not bind himself to accept lowest or any other tender/bid and has
the right to cancel the bidding process and reject all bids at any time prior to award of
the contract without assigning any reasons whatsoever and without thereby incurring
any liability to the affected bidders on the grounds for the Purchaser‟s action.
2.19.1 Prior to the expiration of the bid period, the Purchaser will notify the successful
bidder in writing by placing the letter of intent on him.
2.19.2 Upon successful bidder‟s furnishing of the Performance Guarantee, the Purchaser will
notify the successful bidder and will discharge his bid bond.
2.20.1 The issue of Letter of Intent (LOI) shall constitute the intention of the Purchaser to
place the Purchase Order with the successful bidder.
2.20.2 The bidder, on whom the Letter of Intent has been issued, shall within 07 working
days of issue of LOI give its acceptance along with Performance Guarantee in
conformity with the bid documents.
2.20.3 On acceptance of the LOI, the name of the accredited representative (s) of the
Supplier/Vendor, who would be responsible for taking instructions from the TCIL
Engineers, shall be communicated to TCIL.
Failure of a bidder on whom LOI has been placed, to comply with the requirement of
submission of Performance Guarantee in time shall constitute sufficient ground for
the cancellation of the acceptance of the Letter of Intent and forfeiture of his bid bond.
No post bid clarification at the initiative of the bidders shall be entertained and any
effort by the bidders to influence the Purchaser in the Purchaser‟s bid evaluation, bid
comparison or award of the contract shall result in rejection of the bid.
2.23 DELIVERY
Delivery of the goods/services shall be made by the Supplier in accordance with the
terms specified by the Purchaser in the Special Conditions of Contract and the goods
shall remain at the risk of the Supplier until delivery has been completed in full and
accepted by the Purchaser. The Schedule of delivery shall be the essence of the
contract.
d) Deviation statement specifying the deviations, if any, from tender terms and
conditions as per the format provided in this tender. In case the Deviation
Statement is not submitted, it would be presumed that there are no deviations.
2.24.2 The envelopes should be super scribed with Tender No. ……………… Dated
………… for …………………………………………………. (Fill in the details of
tender as applicable).
2.24.3 The inner and outer envelopes shall indicate the name and address of the bidder to
identify the bid and to enable the bid to be returned unopened in case it is declared
„late‟ or „rejected‟.
2.24.4 Unsealed tenders and the offers received through Fax/E-mail or through open letter
shall be ignored.
2.27 CONVICTION
In case Bidder is convicted of an offence under the Indian and/or Mauritius Law,
Bidder will be considered ineligible for being given the contract.
Any involvement of the supplier in Anti-National Activities during the contract period
shall be governed by the Laws of the Republic of India including the I T Act 2000,
including its amendments, if any.
2. Even in case of tenders with the estimated value less the threshold value, the
vendors would be required to sign the IP document if the total value of the Purchase
Order (POs) exceeds the threshold value in respect:
i. Multiple / repeat POs on single vendor against a tender
ii. POs placed on multiple vendors against a tender
3. Only those vendors who have purchased the tender document and signed the IP
document can send their grievances, if any, to the Independent External Monitors
(IEMs) through the nodal officer, i.e. Chief Vigilance Officer (CVO), TCIL in the
prescribed Performa.
4. If the Order, with total value equal to or more than the threshold value, is split to
more than one vendors and even if the value of PO placed on any/ each vendor(s) is
less than the threshold value, IP document having been signed by the vendors at bid
stage itself, the Pact shall continue to be applicable.
5. In respect of tenders for Pre-bid tie up/ Expression of Interest (EoI): In case of
TCIL getting the order from the client, before placement of Purchase Order/ Work
Order on technically & commercially qualified vendor, the selected vendor is required
to sign the IP document.

Prices in the Purchase Order shall remain firm and fixed for the period of delivery
schedule or extended delivery schedule. In case of delayed supplies, after the delivery
period or the extended delivery period, the advantage of reduction of taxes/duties
shall be passed onto the Purchaser and no benefit of increase will be permitted to the
Supplier.
3.2 STANDARDS
The goods supplied under the contract shall conform to the standards mentioned in the
Technical Specifications. In case no standards are mentioned, industry standards
ensuring quality shall be followed.
The Supplier shall indemnify the Purchaser against all third party actions/claims of
infringement of patent, trademark or industrial design rights arising from the use of
goods or any part thereof.
3.4.1 Within 7 working days of the receipt of Letter of Intent (LOI)/P.O., the supplier shall
furnish a Performance Security for the amount of 10% of the P.O value regardless of
the sponsorship value.
3.4.2 The proceeds of the Performance Security shall be payable to the Purchaser as
compensation for any loss resulting from the supplier‟s failure to complete its
obligations under the contract.
3.4.3 The Performance Bond shall be in the form of Bank Guarantee (BG) issued by a
Scheduled Bank situated in India from its branch in Delhi and in the form provided by
TCIL.
3.4.4 The Performance Bond will be discharged by the Purchaser after completion of the
contractor‟s obligations under the contract.
3.4.5 For validity of BG, please refer to Special Conditions of Contract (Section-4).
3.5.1 The Purchaser or its representatives or ultimate client shall have the right to inspect
and test the goods/services for their conformity to the specifications.
3.5.2 As regards Inspecting Authority and other details regarding acceptance testing please
refer to Special Conditions of Contract (Section-4).
3.6 GUARANTEE/WARRANTY
All goods or material shall be supplied and services delivered strictly in accordance
with the specifications. No deviation from such specifications of these conditions
shall be made. All materials furnished by the successful bidder pursuant to the Order
(irrespective of whether engineering/design or other information has been furnished,
reviewed or approved by TCIL) are guaranteed to be of the required quality of their
respective kinds (unless otherwise specifically authorized in writing by TCIL) and
shall be free from faulty design. The goods/materials used by the successful Bidder
and its workmanship should be of proper quality so as to fulfill in all respects the
operating conditions and other requirements specified in the order.
3.6.1 If any trouble or defect is originating with the design, materials, workmanship or
operating characteristic of any materials any time prior to 12 months after
commissioning of the equipment, duly certified by the Purchaser, and the bidder
notified thereof, the Bidder at his own expense and at no cost to TCIL/OC-CWG shall
make such alterations, repairs and replacements at site as may be necessary for the
functioning of the equipment in accordance with the specifications.
3.6.2 The bidder shall remove and replace such defective material at his expense, within
time period specified by the Purchaser.
3.6.3 In the event that the materials supplied do not meet the specifications and/or are not in
accordance with the drawings, data sheets and rectification is required at site, TCIL
shall inform the Bidder giving full details of deficiencies. The Bidder shall attend at
his own expense to meet and come to an agreement with the representatives of TCIL
the action required to correct the deficiencies and do the rectification/replacement to
make the system functional as per specifications within 24 hours of notifying by
TCIL.
3.7.1 The Purchaser may at any time by written order given to the Supplier make changes
within the general scope of the contract in any one or more of the following: -
a) Drawings, designs or specifications where goods to be furnished under the
contract are to be specifically manufactured for the Purchaser.
b) Place of delivery.
c) Services to be provided by the contractor.
3.7.2 If any such change causes an increase or decrease in the cost or the time required for
the execution of the contractor, an equitable adjustment shall be made in the contract
price or delivery schedule or both and the contract shall accordingly be amended.
3.8 SUB-LETTING
The Bidder cannot assign or transfer or subcontract its interest/ obligations under the
contract without prior written permission of the Purchaser.
3.9.1 The date of the delivery of the goods or execution of services stipulated in the
acceptance of tender should be deemed to be the essence of the contract and the same
must be completed not later than the dates specified therein. Extension in delivery
period will not be given except in exceptional circumstances. Should, however,
deliveries/services be made after expiry of the contract delivery period and accepted
by the Purchaser, such deliveries/services will not deprive the Purchaser of the right to
recover Liquidated Damages.
3.9.2 In case the Supplier fails to execute the contract, it would be got done from other
suppliers/contractors at the cost and risk of the supplier and the excess money will be
recovered from him, which may include recovery from any dues payable to him by
the Purchaser.
3.9.3 The Purchaser also reserves the right to cancel the order in case of non-performance
and forfeit the EMD/Performance Bank Guarantee and may also debar the contractor
for future purchases/works
3.9.4 LD can be recovered from any dues of the supplier including recovery through
encashment of performance bank guarantee.
3.9.5 Payment or deduction of such LD charges shall not relieve the supplier from his
obligation to complete the work awarded or from any other obligations and liabilities
under the contract.
3.10 ARBITRATION
3.10.1 In the event of any dispute arising between TCIL and the Supplier in any matter
covered by this contract or arising directly or indirectly therefrom or connected or
concerned with the said contract in any manner of the implementation of any terms
and conditions of the said contract, the matter shall be referred to the Chairman &
Managing Director, TCIL who may himself act as sole arbitrator or may name as sole
arbitrator an officer of TCIL notwithstanding the fact that such officer has been
directly or indirectly associated with this contract and the provisions of the Indian
Arbitration Conciliation Act, 1996 shall apply to such arbitration. The supplier
expressly agrees that the arbitration proceedings shall be held at New Delhi.
3.10.4 In case the supplier wants to take the dispute to a court of law after arbitration award
as aforesaid, it is clearly understood that only courts in Delhi shall have the
Jurisdiction.
In the event of supplier‟s failure to execute the P.O. (s) to the satisfaction of the
Purchaser, the Purchaser reserves the right:
(a) to reject any part of the Contract executed and withhold payment for such
portion of the contract till such time the defects are rectified to the satisfaction
of the Purchaser.
(b) to terminate the contract by giving 1 (one) week‟s notice in writing without
assigning any reason and to get the contract executed from other agency at the
risk and cost of the contractor.
This contract shall be interpreted, construed and governed by the laws of the Republic
of India and the parties hereby submit to the exclusive jurisdiction of the Court and to
all Courts having jurisdiction in appeal therefrom.
Any dispute in relation to the contract shall be submitted to the appropriate Court of
the Republic of India for determination. The party to the contract shall continue to
fulfill its obligations under the contract during the currency of the contract pending
the final decision of the Court.
Whenever under this contract any sum of money is recoverable from and payable by
the contractor, the Company shall be entitled to recover such sum by appropriating in
part or in whole the security deposit of the contractor, if a security is taken from the
contractor. In the event of the Security being insufficient or if no security has been
taken from the Supplier, the balance or the total sum recoverable, as may be, shall be
deducted from any sum due to the contractor or which at any time thereafter may
become due to the contractor under this or any other contract with the Company.
Should this sum be not sufficient to cover the full amount recoverable, the contractor
shall pay to the Company on demand the remaining balance due.
completed within a period not exceeding 2 (two) working days from the date of the
initial report pointing out the defects. The replacement or rectification shall be made
at site by the contractor free of cost. Should the contractor fail to do the needful
within this stipulated time frame, the purchaser reserves the right to reject the
stores/work in full or in part and get it replaced at the cost of the contractor. The cost
of any such replacement made by the Purchaser shall be deducted from the amount
payable to the contractor against this purchase order.
If any time, during the continuance of this contract, the performance in whole or in
part by either party under obligation as per this contract is prevented or delayed by
reasons of any war or hostility, act of the public enemy, civil commotion, sabotage,
fire, flood, explosion, epidemic, quarantine restrictions, strike, lockout or acts of God
(hereinafter referred to “eventuality”), provided notice of happening of any such
eventuality is given by either party to the other within 7 days of the date of occurrence
thereof, neither party shall be reason of such an “eventuality” be entitled to terminate
this contract nor shall either party have any claim or damages against the other in
respect of such non-performance or delay in performance and deliveries under the
contract. The contract shall be resumed as soon as practicable after such “eventuality”
has come to an end or ceased to exist. In case of any dispute, the decision of CMD,
TCIL, shall be final and conclusive, provided further that if the performance in whole
or part of any obligation under this contract is prevented or delayed by reason of any
such eventuality for a period exceeding 15 days, either party may at its option,
terminate the contract. Provided also that if the contract is terminated under this
clause the Purchaser shall be at liberty to take over from the contractor at a price to be
fixed by the Purchaser, which shall be final, all unused, undamaged and acceptable
materials, bought out components and other stores in the course of manufacture which
may be in the possession of the contractor at the time of such termination, or such
portion thereof as the Purchaser may deem fit except such material, as the contractor
may, with the concurrence of the Purchaser, elect to retain.
3.16.1 The Purchaser, may, without prejudice to any other remedy for breach of contract, by
written notice of default, sent to the supplier, terminate the contract in whole or in
part,
a) if the supplier fails to execute the contract within the time period (s) specified
in the contract, or any extension thereof granted by the Purchaser.
b) if the supplier fails to perform any other obligation (s) under the contract;
c) if the supplier, in either of the above circumstances, does not remedy his
failure within a period of 3 days (or such longer period as the Purchaser may
authorize in writing) after receipt of the default notice from the Purchaser.
d) On a notice period of 7 days.
3.16.2 In the event the Purchaser terminates the contract in whole or in part pursuant to
above sub-clause, the Purchaser may procure, upon such terms and in such manner as
it deems appropriate, goods/services similar to those undelivered and the supplier
shall be liable to the Purchaser for any excess cost for such similar goods/services.
However, the supplier shall continue the performance of the contract to the extent not
terminated.
(a) all rights, opportunities and benefits granted under this Agreement to the supplier
will immediately cease;
(b) the supplier must, at its cost, deliver up to the purchaser or, at the direction of
Client, destroy all copies in its possession or control of the Works;
(c) the supplier must promptly return and ensure that all Personnel return to the
purchaser all Confidential Information and any other property of the purchaser
(together with a detailed inventory of that Confidential Information);
(d) purchaser will not be liable to the supplier for, and the supplier waives, releases
and forever discharges purchaser from, any loss, cost, expense or damage incurred by
the supplier as a consequence of or arising out of this Agreement or termination of it.
The Purchaser may at any time terminate the Contract by giving written notice to the
supplier, without compensation to the supplier if it becomes bankrupt or otherwise
insolvent as declared by the competent court provided that such termination will not
prejudice or effect any right of action or remedy which has accrued or will accrue
thereafter to the purchaser.
Purchaser reserves the right to vary the quantities of supply/services and supplier shall
be bound to oblige.
3.19.1 Successful Bidder shall protect and fully indemnify TCIL from any claims for
infringement of patents, copyright, trademark or industrial design rights arising from
the use of the Goods or any part thereof.
3.19.2 Successful Bidder shall also protect and fully indemnify TCIL from any claims from
successful Bidder's workmen/employees, their heirs, dependents, representatives etc.
or from any other person(s) or bodies/companies etc. for any act of commission or
omission while executing the order.
3.19.3 Successful Bidder shall be responsible for compliance with requirements under the
laws and shall protect and indemnify completely TCIL from any claims/penalties
arising out of any infringements.
During the delivery and testing if some of the items are found missing, wrong
description, short-supplied or damaged the supplier shall supply or replace these items
without any cost to TCIL and all the costs including customs and other taxes, levies
shall be borne by the supplier.
3.21.1 All information provided by TCIL in relation to the tender, whether in the tender
document or not, is provided in good faith to assist bidder to assess and respond to
this tender. The information does not intend to exhaustively cover every element of
the proposed opportunity. TCIL makes no representation or warranties regarding the
accuracy or completeness of the information.
3.21.2 The bidder acknowledges that TCIL is not liable for any loss, damage or expense
suffered by a bidder as a result of any inaccuracy or inadequacy in any information it
provides to the bidder, or any reliance on such information by the bidder.

SECTION – 4
The terms and conditions laid down here shall be final and override all other, if there is any
conflict with the terms laid down anywhere else in this tender document.
The liquidated damages shall be Rs 10,000 (ten thousand) for each day of delay for each
works order.
The total liquidated damages stated shall be limited to 10 % of the contract value.
The Employer, may without prejudice to any other method of recovery and without having to
resort to any judicial or extra-judicial process, deduct the amount of such damages from any
monies in his hands due or which may become due to the Contractor.
The payment or deduction of such liquidated damages shall not relieve the Contractor from
the obligation to deliver and install the Network or part thereof or from any other obligation
and liabilities under the Contract.
The Contractor shall not be entitled to increase the unit rates as in the contract as a result of a
delay caused by him.
In case of a delay caused by the Employer, the Contractor shall be entitled to an extension of
the time for completion of the works without compensation. However, if such delays amount
totally to a period exceeding two months or more on the critical path for the whole project,
the Contractor shall be entitled to both time extension and compensation for all additional
costs established due to the delay, beyond two months.
In case of delay on the critical path caused by the Employer for duration longer than three
months, the Contractor shall be entitled to acceptance of the completed works after
satisfactory testing and the attached payments.
(a) Time schedules for each works order shall be prepared and submitted for the
Employer's approval. Frequency of updating of this time schedule will be
finalized during Contract negotiations.
(b) Contractor‟s general manpower organization in relation to sites of works.
(c) Daily report giving rough estimate of the progress of the works achieved for each
works order
(d) Weekly summary of the progress achieved.
(e) Involvement in coordination meetings for the whole program (every fortnightly)
and for organization of work on site (frequency would be weekly at the most);
(f) Participation in defining and in formulating corrective actions, should the need
arise.
Any person duly authorized by the Employer shall at all times during working hours have access
to the Contractor's Works and to the site, and to all workshops and places where work is being
prepared, or where manufactured articles are being obtained for the works and the Contractor
shall provide such access.
The time schedules specified in Articles 4.7 and 4.8 shall indicate the proposed Provisional
Acceptance date for each works order.
The tests for acceptance shall be those as defined in the accompanying documents including
such visual and physical checks as are deemed necessary by the Employer. Moreover,
documents such as site reports and diaries shall form part of the official documents for
provisional acceptance.
The tests for acceptance will be done after the receipt of request, in writing, from the Contractor
after completion of the related works order. The Employer shall fix a date for the tests and this
date shall be within one month from the receipt of the request.
In case the Employer fails to fix the date for the acceptances referred to in this Article within two
weeks from the date of receipt of the Contractor's request without giving valid reasons for not
doing so, the Contractor shall propose in writing a reasonable date to the Employer, which date
shall apply for the acceptance unless the parties agree in writing upon any other date.
Should the Employer's representative fail to attend on the scheduled date the tests referred to
in Article 4.10 up to 4.11 herein below, the Works shall be considered as accepted after
satisfactory conclusion of Acceptance Tests by the Contractor himself. As of the day of
completion of the Acceptance Test, the relevant Acceptance Certificate shall be established
and signed by the Contractor and shall in all respects be considered as signed by both parties.
The tests of the Works in connection with compliance with the Specification will be continued
even if a performance inadequacy is found, as long as, in the sole discretion of the Employer, it
does not affect the test as a whole, or if this inadequacy can be rapidly corrected. In the event of
such inadequacies which prevent the Employer from continuing the test operations and require
additional visits beyond those scheduled, a report will be drawn up by the Employer's
representative doing the test and all additional costs will be claimed from the Contractor.
The Contractor shall request, in writing, for the issue of temporary Mauritius Telecom's
Identification Cards for all its representatives who will be required to have access to customer
premises only. The Mauritius Telecom's Identification Cards shall be in the possession of the
bearers at all times during the execution of the contract.
The successful Tenderer shall send an updated list of its entirestaff to Mauritius Telecom, on a
monthly basis. Also, all unused Identification Cards shall be returned immediately to Mauritius
Telecom. Keeping of unused Identification Cardsshall result in a penalty of Rs 25,000.00 per
Identification Card.
A nominal fee will be charged for the issue of the above mentioned cards and these should be
returned to Mauritius Telecom at the end of the project.
The Contractor‟s personnel shall be uniformly dressed, well groomed, have a neat appearance,
behave courteously towards the customers and present a good image of Mauritius Telecom.
Each complaint arising from non-compliance to the aforesaid shall carry a penalty of Rs 10,000
per complaint.
The Contractor‟s personnel shall be granted access to Mauritius Telecom‟s exchanges during
normal working hours only, i.e. between 7:30 and 16:30.
The Contractor shall indemnify and keep the Employer indemnified against all losses and
claims for injuries or damage to any person or any property whatsoever caused by the
Contractor and which may arise out of or in consequence of the implementation of the works
and against all claims, demands, proceedings, damages, costs, charges and expenses
whatsoever in respect of or in relation thereto. The Contractor shall subscribe to the
necessary policies to cover those risks.
Before starting any work, in order to ensure safety of road users and the public at large, the
Contractor shall take all necessary measures such as, but not limited to, the use of advance-
warning signs, cones, barricades, “stop / go” arrangements etc.
The Contractor shall ensure that all workmen in his employment make use of safety
equipment such as, but not limited to, helmet, safety belts, goggles etc.

The contractor shall be answerable for and compensate the client for any action brought by
any party against the client as a result of non-observance of applicable laws by the contractor.
Contractor guarantees up and until a period of twelve (12) months from the respective
date of Provisional Acceptance that the performance of the rehabilitated network will
be in accordance with the criteria shown in the Specifications. During such period he
shall repair, replace or make good at his own expense any defects, fault or damage
which in the opinion of the Employer is a consequence of poor workmanship or
mishandling of materials used by the Contractor.
In case of default from his part, the Employer may employ or pay persons to carry out
the necessary repairs and all expenses consequent thereon and incidental thereto shall
be borne by the Contractor and shall be recoverable from him by the Employer, or
may be deducted by the Employer from any monies due or that may become due to
the Contractor. The whole without the prejudice to the rights of the Employer at
Common Law.
Hence and notwithstanding the installed network or part thereof having been accepted
by the Employer, the Contractor shall expeditiously repair or replace without charge
to the Employer any part of the Network found to be faulty within the guarantee
period provided that the Network or part thereof is used and maintained under
conditions which are normal for such installation; that the Employer without undue
delay has given the Contractor notice of such defects before the expiration of the
above-mentioned guarantee period, and that the Employer shall give the Contractor
every opportunity to inspect and remedy such defect.
Consumable parts such as indicator lamps, fuses, etc. are excluded from the said
guarantee.
Without prejudice to the provision of the Contractors' Liability for defects in the
Network delivered and installed shall be to repair or replace the defective works/parts.
The Employer shall have the right to make use of the five (5) percent retention in the
event of a default by the Contractor under this Article.

SECTION – 5
The project to be implemented under this Contract consists of the execution of fault-
clearing activities on existing
I. Customers‟ FTTH lines and/or services (mainly overhead part of the network).
II. FTTX networks (mainly ODN).
I. The list of customers‟ FTTH lines for fault-clearing will be provided by Mauritius
Telecom, together with the relevant network occupation records, on a daily
basis, from Monday to Sunday.
II. The contractor shall clear these faults from Monday to Sunday. In exceptional
situations, fault clearance may also be required on public holidays.
IV. Verify and test the complete fibre link between ODF and ONU.
V. Verify and test the complete installation / services after carrying out fault-clearing
activities on the customers‟ FTTH lines / services.
VI. After fault-clearing, the contractor will have to submit a list of all faults cleared,
on a daily basis, giving information on the nature and location of faults cleared,
details on actions taken, line constitutions and materials usage.
VII. Due to the unpredictable nature of curative maintenance works, e.g. cyclones,
bad weather, breakdowns etc., the contractor shall be able to increase its daily
production capacity, by up to as much as two times, as and when required.
3 Emergencies
2.1 PREAMBLE
The cost of all complementary materials and fittings shall be included in the
cost of works items in the Bill of Quantities and shall not be claimed
separately.
Before execution of works under this contract, the successful tenderer shall
The Contractor shall make, at its own expense, arrangements for stocking
and transportation of materials, including those materials supplied by
Mauritius Telecom to be taken from Mauritius Telecom stores.
The Contractor shall perform, at its own expense, the tests judged necessary
by him, to ensure that materials supplied by Mauritius Telecom have not been
damaged during transportation and storage by Mauritius Telecom.
The contractor shall ensure that, at all times during the execution of the
contract, all their field technicians have the appropriate tools to carry out all
the different type of curative maintenance worksas per ItemsDescription. A list
of the necessary tools to be used is shown in Appendix A.
Mauritius Telecom shall apply a penalty of Rs 25,000. per case, and reject
any work if contractor‟s techniciansare found to be using inappropriate tools
during execution of works.
The Contractor will be issued with lists of existing customers having reported
their lines / services faulty, on a daily basis, from Monday to Sunday.
The Contractor shall inform all customers prior to the intervention on their lines
and seek necessary authorization for accessing their premises.
For validation of fault clearance, the Contractor shall perform the appropriate
operations on Tablet / send appropriate sms from the customer premises,
after having tested the line / all services for any malfunction immediately
following fault-clearance on site. The contractor shall also provide the
following :
- Cause of fault.
- Location of fault.
- Results of tests performed.
If any defects are found after testing, then the Contractor shall
disconnect the line on the FDP and test the line using and OTDR
equipment and a power meter.
If no defect is found on the line, but services are still not functioning
properly, the contractor shall liaise with the CMC/CSL for appropriate
troubleshooting until all services are restored.
The line shall be deemed to have been repaired after these tests have
been carried out successfully and corresponds to the standard
parameters set by Mauritius Telecom, and all the services functioning
properly.
This part of the tender concerns the repair and maintenance and testing of the
FTTB/C/H/M, more precisely from the splicing Optical Distribution Frames (ODFs) to
the Optical DPs. Potential bidders should take note that:

The works shall consist mainly of repairing existing ducts wherever duct faults /
breakdowns are suspected.
The contractor shall carry out repairs of such damaged ducts over asphalted roads, off
road (earth, sand etc.) or embedded in concrete, as per specifications.
Warning tapes (green colour) in the form of grids or plastic tapes shall be laid across
and along the whole width and length of the excavations with sufficient overlapping
between each element. This is generally laid over the first layer of backfill. Under no
circumstances shall it be laid less than 0.20 m above the embedded works and less
than 0.10 m below the surface. Warning tapes shall be supplied by the contractor
himself and approved by MAURITIUS TELECOM.
The width of the warning tape should be chosen, so that it overlaps the duct nest width
by at least 50 mm.

Prior to the final reinstatement, asphalt, concrete or masonry stone surfaces, footways
and roadways shall be restored to suitable condition to enable normal motorist or
pedestrian flow.
The interim restoration shall be executed immediately following backfilling and in the
manner specified so that affected portion is neither a source of inconvenience nor
danger to the motorist or pedestrian.
The interim restoration of roadways should be carried out in the manner specified by
the Ministry of Public Infrastructure/RDA.
3 PENALTIES
1. Fault Clearance from the time the fault lists have been dispatched to the
contractor :
All fibre faults shall be cleared within a maximum of twenty four (24) hours.
Any delay shall incur application of a penalty fee of Rs 1,000/- per fault per
day (24 hours delay).
All Dome closure faults shall be cleared within a maximum of twenty four
(24) hours. Any delay shall incur application of a penalty fee of Rs 1,000/-
per fault per day (24 hours delay).
All FDP faults shall be cleared within a maximum of twenty four (24) hours.
Any delay shall incur application of a penalty fee of Rs 1,000/- per fault per
day (24 hours delay).
2. Complaints directly related to works carried out by the contractor from
customers or local (public) authorities complaints :
A penalty fee of Rs 10,000/- shall be applied per complaint.
3. Repeated faults at same location and of same nature :
A penalty fee of Rs 15,000/- shall be applied per repeated fault.
4. Bad workmanship :
A penalty fee of Rs 10,000/- shall be applied per case.
TECHNICAL SPECIFICATIONS
4.0 Introduction
Each fiber from the exchange (GPON equipment) via an optical distribution
frame (ODF) is split up to 64/16 using optical splitters. A first level split
(1:2,1:4,1:8.1:16,1:32) is carried out in an underground dome closure located in
manhole whereas the second splitter (1:8,1:16) is installed in a pole mounted
optical distribution point. The feeder and distribution sections are underground
(ducted) whereas the drop section is aerial. A maximum of 192-core cable will
be installed in the feeder section whereas the distribution and optical DPs will be
served by 24 or 16-core cables and 4 and 2-core distribution cables
respectively. Optionally, a transition and storage box may connect the outdoor
optical drop cable to the indoor optical wiring. An access terminal block or
optical socket connects, via a patch cord, the ONT/ODF to the in-house optical
wiring. Aerial drop cable and indoor optical cable may carry two or four optical
fibers; only one/four fibre will be connected and the others are for redundancy.
SC/APC connectors are deployed throughout the optical distribution network.
The Figure 1.0 above provides a big picture of the FTTH deployment scenario –
the various optical components to be used. It is worth noting that pre-
connectorized drop fiber cables with various lengths ranging from 20 to 200m
will/may be used. Likewise, pre-connectorized indoor cable, with access
terminal block at one end and a SC/APC connector at the other end will be
used. A transition box together with storage space to house extra fiber lengths
from the indoor cable as well as from the drop fiber will/may be required. An
SC/APC adapter, within the transition box will be used to connect the drop fiber
with the indoor cable.
Patch cords (one for each port) from GPON equipment (OLT) will be connected
to patch panels on ODF (equipment parking bay). Access feeder cable will
connect the outdoor splitters to the ODF patch panels (network parking bay) via
pigtails. GPON equipment ports will be connected to the access feeder cable via
patchcords.

4.7 Installation
Drop optical cable run for the home connection shall be surrounded, all along
their lengths by a clear cylinder of at least 1.0m free from any branches, twigs
or leaves and wind effect needs to be considered.
The overhead customer‟s drop cable shall be installed in such a way so as to
provide a clearance of at least 6.0m from road level when crossing roads or
entrances. In all other cases the minimum clearance shall be 5.5m.
Maximum allowable sag is 2% depending on span length. Crossing of
highways or motorways is not allowed.
Harsh, hazardous and corrosive environments
Drop cables shall not be installed where vapours, fumes, corrosives, dusts, or
other industrial by-products are present without appropriate precautions to
protect the cables and subject to approval by Mauritius Telecom.

The subscriber cable shall run from the outdoor wall-mounted STM (where
applicable)to the customer‟s Access Terminal Box through trunking / internal conduit
or glued on the wall. Part of subscriber cable used outdoor must be installed in
trunking.
Subscriber cable shall be routed and protected from moving mechanical or physical
contacts, such as foot or vehicular traffic.
Subscriber cable shall be free from tension at both ends. Cable run on wall surfaces
shall be neatly laid and securely fixed along the run to prevent sag or accidental
displacement due to vibration. The subscriber cables shall be fixed using clear glue
with high bonding capacity for heat-sensitive material. Also, cable can be stapled
against the wall with fixing clips (C1, C2 etc.). Although subscriber cable is a bend
optimised cable and can withstand bends with low radius, care shall be taken by
Contractor to avoid multiple sharp bend (90º) at edges and corners to minimise cable
power loss. It is recommended that 45º to 60º bend be used along subscriber cable
installation routes where practical.
1. Install STM on a wall to ensure that shortest extra drop and subscriber cables
cable are stored into the STM
2. Install and organize extra drop and subscriber cables (less than 15m) into the
STM
3. Keep the largest diameter cable loops as practical in the STM to reduce
optical power loss.
4. Connect drop cable to subscriber cable using in-built adapter
Precautions
During testing the following must be observed in order to get accurate results:
1. Ensure that all measuring equipment are calibrated
2. Ensure that the connectors are cleaned each time they are used and the
same reference cables are used.
3. The reference cables used shall be of the highest quality (e.g. factory
terminated),
4. The quality of the reference cables shall be frequently tested. One end of the
reference cable shall be terminated with the type of connector on the meter
while the other end shall be SC/APC connectors.
5. The mating adaptor used shall also be of highest quality and always stored in
dust-free containers. The testing shall be carried out at 1310nm and either
1490nm or 1550nm. A deadzone box is required for OTDR troubleshooting
because of the short length of the home connection span.
6. The test shall be started only after ensuring that the optical source output has
stabilized after switching on the source. This time is to be taken from the
manufacturer‟s equipment recommendations.
4.9 Tests

4.17 Introduction
Mauritius Telecom started the deployment of Fibre to the Home (FTTH) to its
customers in 2013 and plans to fully deploy FTTH to all its customers by the first
quarter of 2017.
The present tender seeks quotations from potential bidders and involves the execution
of the following parts:
Scenario 1
Each fiber from the exchange (GPON equipment) via an optical distribution frame
(ODF) is split up to feed 16 customers using optical splitters. A first level split (1:2) in
ODF, located in exchanges, is followed by the second splitter (1:8) installed in a pole
mounted optical distribution point.
Scenario 2
A first level split (1:8) in dome closure, located in manhole, is followed by the second
splitter (1:8) installed in a pole mounted optical distribution point, hence feeding 64
customers.
The feeder and distribution sections are underground (ducted) whereas the drop
section is aerial. A maximum of 288-core cable will be installed in the feeder section
whereas the distribution and optical DPs will be served by 96-12 core cables and 4 or
2-core distribution cables respectively. A transition box connects the outdoor optical

or optical socket connects, via a patch cord, the ONT to the in-house optical wiring.

Mauritius Telecom will proceed for an inspection of the above equipment prior to
the award of the Letter of Intent. In case any discrepancy found, the contractor
will be required to take immediate remedial action so that the contract could be
awarded.
The contractor‟s vehicles shall be branded with appropriate logos, tag lines and any
other hoarding/advertising. Stickers/logo will be provided to the contractor to be used
on the vehicles. Further details on the branding and advertising of the vehicles shall
be mutually agreed by Mauritius Telecom and the contractor before execution of
works.
Extreme care has to be taken by the contractor while working in the vicinity of services,
such as telephone plant, power cables, water pipes, sewage, concrete structures,
monuments etc.
During the construction of new duct route any existing plant or structure has to be
adequately protected and arrangements made to maintain its stability.
During non working hours and at night, permanent watch is to be provided to avoid
damage to any plant or structure resulting from accident, vandalism or otherwise.
The contractor shall be responsible for any damage to telephone plant, water pipes,
power cables, sewage plants, concrete structures and all existing underground
installations caused by the contractor, or resulting from vandalism, accident, or
otherwise.
The contractor shall submit an adequate insurance policy to cover those risks.
The contractor shall be responsible for any damage or losses resulting from
carelessness, negligence, mishandling or any act of default of its own or its workers.
Stores supplied and works are subject to inspection and quality tests during the
works progress and at delivery.
The quality control tests, which are to be performed by the RDA, the MSB or any
other approved laboratory, are at the expense of the contractor, which shall abide by
the procedures and conditions of these organisations.
The contractor shall submit, to the Ministry of Public Infrastructure or other local
authorities, test results on compaction, from an approved laboratory, taken before
and after laying of crusher run when requesting acceptance certificates for
reinstatement from the Ministry of Public Infrastructure or other local authorities.
The contractor shall also supply a copy of the test report to Mauritius Telecom.
Note: The cost of duct test and provision of draw wires in all PVC pipes shall be borne
entirely by the contractor.
(a) Officers of the road authority and local authority may carry out inspections during
the progress of reinstatement works.
(b) The contractor's works representative will follow instruction given by officers of
those authorities, and perform work to their requirements as defined by standard
specifications.
(c) Claim for payment for reinstatement works shall be made only after joint
inspection by representatives from Mauritius Telecom, the contractor and the
authority concerned.
(d) All reinstatement works on roads under the jurisdiction of the Ministry of Public
Infrastructure shall be carried out by GRADE A contractors registered with the
said Ministry.
(a) Mauritius Telecom shall not accept any store provided by the contractor or work
item that has been found to be substandard through test-results or otherwise.
(b) The contractor shall replace any defective store supplied and reconstruct any
item of work, such as duct nest, manhole, etc having been found to be
substandard, within the period specified by Mauritius Telecom's representative.
The contractor shall comply with Road Traffic Ordinance and the requirement of RDA
and local authorities and should obtain from them the approval for the proposed
signalisation and safety measures prior to start of work on a site.
The Contractor's works representative shall so organize the work that trenches, or
other items of works are not left opened or uncompleted in any street or zone as new
trenches are opened, thus causing Mauritius Telecom's representatives on site of work
to stop further excavations.
Extra earth, stones and unused materials shall be carted away once backfilling or any
other item of work is completed. The road pavements, drains, gutters and bridges shall
then be cleared and cleaned.

(c) The deduction of an amount equal to Rs 5000/- (five thousand) per day from
contractor's claim.
The contractor shall be held responsible for any delay in the completion of the project
resulting from such measures.
4.22 Summary
The optical fiber network repaired as per order received must be tested
according to ITU standards and to ensure delivery to MT of the completed
network without defects.
Any defects found during testing must be corrected by the contractor at no
additional cost to Mauritius Telecom.
All fiber cores/cables installed and terminated must be tested and test results
provided to MT in the format requested by MT.
At the time of contract execution, the contractor shall provide the following details for
all the staff involved in customer connections, the manager(s), the team leader(s)
and the team(s):

f. Technicians shall never use customers' assets like ladders and/or phone
to make calls etc.
g. Vehicles should be clean and in a reasonable condition. The Employer
may request the contractor to remove any vehicle(s) should it consider
that such the vehicle(s) is (are) not appropriate.
h. The contractor‟s vehicles shall be branded with appropriate logos, tag
lines and any other hoarding/advertising. Stickers/logo will be provided to
the contractor to be used on the vehicles. Further details on the branding
and advertising of the vehicles shall be mutually agreed by Mauritius
Telecom and the contractor before execution of works.
i. Complaints from customers on any of the above will carry out a penalty of
Rs 10,000.00 per case.
4.25 Tools
All technicians shall use appropriate tools as described under section 2.1.3.
4.26 ID card
ID card shall be provided by the MT. The ID card will contain the following:
Customers will identify the technician attending their premises by scanning and counter
verifying the code. The name, photograph, location(s) of work etc of the technician will
be sent from a central database to the customers‟ terminals. In the event the QR code
does not positively identify the technician, no intervention will be allowed. Further
details on the ID card shall be mutually agreed by Mauritius Telecom and the contractor
before start of works.
4.27 Training
The contractor shall ensure that training is provided to its personnel for continuous
improvement in their performance while carrying out works for this contract.
The contractor shall be responsible for any damage or losses resulting from
carelessness, negligence, mishandling or any act of default of its own or its
workers.
The installation standards specified in this document are to be adhered to for the
contract implementation.
All materials to be used to carry out installation works shall be compliant to Mauritius
Telecom‟s technical specifications.
In case the tenderer would propose different techniques or materials, they should be
at least equivalent to the ones specified here. Prior approval from Mauritius Telecom
shall be obtained.
Whatever the techniques or materials, they shall be described in detail in the tender
and supported by relevant international and local standards.
4.32 MATERIALS
The materials listed at Annex 3 shall be supplied by Mauritius Telecom for ODN
maintenance. Any other items required for ODN maintenance shall be supplied by the
contractor.
4.33 ACCEPTANCE
All OTDR waveforms must be saved and available on NICE network inventory
and GIS (document application)
