Section A
Instruction to Bidders

Note: All Bidders MUST STRICTLY ADHERE to all instructions, forms, Terms of
reference, contract provisions and specifications contained in this bidding document.
Failure to submit a proposal containing all the required information and
documentation within the deadline specified will lead to the rejection of the proposal
and will not be considered for the evaluation.

Article 2.Packing and Labelling of Proposals

Each submitted proposal must comprise a Technical offer and a Financial offer, each
of which must be submitted separately in sealed envelopes (see article 3). Each
Technical offer and financial offer must contain one original, clearly marked
"Original", and 2 copies, each marked "Copy". Failure to respect the requirements
in Article 03 and 04 will constitute a formal error and will result to rejection of the
proposal

Article 3.Submission of Proposals

Proposals must be submitted either by recorded delivery (official postal service) or


hand delivery directly to the Contracting Authority in return for a signed and dated
receipt to the following address:

Article 4.Proposal Contents

1.1. Technical offer

*Note: after the bid opening and in case bidder did not submit the required
documents stated below, the proposal will be administratively rejected
without further consideration or clarification for review

The Technical offer must include the following documents:

Business references from different clients that shows that the


bidder has a satisfactory performance record. References can be
letter of references from entities for which the bidder has
performed services of similar nature. Bidder is required to include
details of points of contact (name, address, telephone number, etc.)
for such references.

Note: After the bid opening of the TECHNICAL proposals and in case any
bidder did not submit the required documents state above, the
proposal will be administratively rejected without further
consideration for review.
 REVEALING THE FINANCIAL OFFER IN TECHNICAL OFFER WILL LEAD TO
THE REJECTION OF THE PROPOSAL.
 Failure to submit the bid bond on time of the closing of the tender
submission will lead to the rejection of the proposal.
1.2. Financial offer

The Financial offer must be presented as an amount in U.A.E currency (DHS),


inclusive of all applicable tariffs and /or taxes and must be submitted using the
attached template in filling the prices (Annex IIIIII). Bidder has to put the prices
showing the unit price per item intended to be proposed.

 Prices shall be inclusive of all applicable taxes all inclusive of supply and
delivery to HAAD destinations,

 Payments under this contract will be made in U.A.E currency (DHS).

 The hard copy of the priced list should be submitted stamped and signed.

 Soft Copy (CD) of financial offer and Annex IIIIII.

Article 5.Bid Bond

The bidder must submit in his proposal a bid bond for an Amount of 65,000 AED
in Technical Proposal. The bid bond shall be unconditional, valid for 120 days
starting from the closing date of the proposal submission date and addressed to the
Health Authority – Abu Dhabi.

Article 6.Performance Bond

Supplier who has been awarded this RFP shall submit performance bond for an
amount 10% of the total order value as unconditional bank guarantee from a
bank licensed and operating in the UAE only.

Article 7.RFP Terms and Conditions

Failure to accept the terms and conditions of this RFP at time of submission of
proposal may result in giving the award to the next bidder.
Article 8.Validity of Proposal

Proposal must remain valid and open for the acceptance of HAAD for 120 days from
the RFP closing date. Proposals specifying shorter acceptance period will be
considered non- responsive proposal.

Article 9. Incomplete and Late Offers:

Incomplete and late proposals will not be accepted. It is the bidder responsibility to
ensure that the proposal is submitted complete, on time and in accordance with the
RFP terms and conditions. Late proposals shall be returned back unopened.

Any clarification to be issued by the Contracting Authority will be communicated in


writing to the bidder before the deadline stated in the timetable above. No further
clarifications will be given after this date.

Article 11. Alteration of Proposal

Bidders may alter their proposals by written notification prior to the deadline for
submission of proposals stated in this RFP. No proposals may be altered after this
deadline.

Article 12. Bidder Responsibility


It is the responsibility of each bidder before submitting a proposal:
a) To consider federal and local laws and regulations that may affect costs,
progress, performance or furnishing of the service.
b) To study and carefully correlate bidder’s knowledge and observations with
the contract documents and such other related data.
c) To promptly notify the section Head of Procurement & General Services of all
conflicts, errors, ambiguities, or discrepancies which bidder has discovered
in or between the contract documents and such other related documents.

Article 13. Eligible Bidder

Bidder considered eligible to submit proposal is defined as the entity /organization


that is experienced and legally registered to do business in UAE and can provide a
valid certificate of legal registration/ trade registration licence.

Article 14. Costs for preparing proposals

Under no circumstances will HAAD be liable for any costs incurred in connection
with the preparation and submission of the proposal even if the Contracting
Authority decides to reject all the proposals or cancel the bid.

Article 15. Clarification

During the evaluation process, HAAD may request additional information from
bidders if it is necessary for further clarity in regards to the submitted proposal.

Article 16. Evaluation of proposals

The evaluation process will identify and recommend the proposal which is
technically superior at reasonable price.

 The weight of the technical factors = 60%

 The weight of the price = 40% ( will be calculated based on the total of
the average of the unit prices in Annex III

Only proposals with average scores of at least 60 points in the technical evaluation
criteria set out at Annex 5 qualify for the financial evaluation.

A) Technical Evaluation of Bids

The technical quality of each bid will be evaluated in accordance with the
evaluation criteria specified in Annex 5 of this RFP document. No other
evaluation criteria will be used. The evaluation criteria will be examined in
accordance with the requirements stated in this RFP
B) Evaluation of Financial Offers

Upon completion of the technical evaluation, the financial offers of those


bidders who passed the technical evaluation stage will be opened.

Article 17. Amendments

During the proposal submission period, if the Contracting Authority decides


to modify/ change any requirement/s of the RFP the modification/s shall be
released through the issuance of an amendment to the RFP. Amendment will
be issued in writing and will be sent to all bidders

Article 18. Confidentiality

The entire evaluation procedure is confidential and all proposals are for official use
only and may not be communicated neither to the bidders nor to any party other
than the Contracting Authority.

Article 19. Ownership of Proposals

The Contracting Authority retains ownership of all proposals received under this
bidding procedure. Consequently, bidders have no right to have their proposals
returned to them.

Article 20. Bid Cancellation

Contracting Authority has the right at any stage in the bidding process to cancel the
whole bid without the need to give a reason to any of the bidders. Bidders will be
notified in writing of the cancellation of the by the Contracting Authority.

Article 21. Signature of the contract(s)

The successful bidder will be notified in writing of the award. Within one week of
notification of Award the bidder has to send its authorized representatives for
signing the final contract on a standard form as determined by the Contracting
Authority. HAAD reserves the right to award all the RFP parts, partial or none of the
RFP based on offer evaluation.

Article 22. Governing Law and Language

22.1. This Tender and subsequent contract is subject to and shall be construed
according to the applicable laws and regulations of the United Arab Emirates, the
Emirate of Abu Dhabi and HAAD polices.

22.2. The Tender, subsequent contract, and all notices pursuant to the provisions
thereof shall be in English.

Section B – Terms of References

Article 1 - General background and HAAD objectives


Health Authority Abu Dhabi (HAAD) is the regulatory authority for health services
in the Emirate of Abu Dhabi. HAAD develops the strategy and a policy for the
Emirate’s health system based on HAAD regulates both public and private sector
healthcare clinics, as well as health insurance providers within the Emirate of Abu
Dhabi.
HAAD’s vision is to develop healthy communities and ensure that the highest quality
healthcare services are delivered to the population of Abu Dhabi. Sustainable
healthcare practices are a key component of HAAD’s mission to promote community
health and are in keeping with international best practices for total quality
management.
Article 2 - Purpose and Objectives of the RFP
HAAD would like to enter call off Agreements for Supply of Coffins Boxes.
The Agreements shall be based on fixed prices not subject to change for Two years
from the date of its signatures and can be extended for one more year.

Article 3 - Capabilities of selected bidder:

The selected bidder is expected to possess the following capabilities as a minimum:


1) Minimum of five years experience in the UAE market.
2) Market Goodwill

Article 4 Project Management

Responsible body
HAAD will assign a Project Manager who will be responsible for follow up and
monitoring the work progress with the selected bidder/bidders during the
contractual period. HAAD will be responsible for involving other key stakeholders
within the Healthcare Sector, as deemed necessary.
Article 5 Bidder Responsibility

It is the responsibility of each bidder before submitting a proposal:


5.1. To examine thoroughly the contract documents and other related data
identified in the proposal documents.
5.2. To visit the site to become familiar with and satisfy Bidder as to the
general, local, and site conditions that may affect cost, progress, performance,
etc.
5.3. To consider federal and local laws and regulations that may affect costs,
progress, performance or furnishing of the work.
5.4. To study and carefully correlate bidder’s knowledge and observations with
the contract documents and such other related data.
5. 5. To promptly notify the Section Head of Procurement & General Services of all

Article 1 - Scope of Service

Contractor shall furnish all necessary labor, tools, appliances, equipment, supplies,
maintenance and other accessories, services and facilities to perform the

1.2 SCHEDULING: Contractor shall be responsible for the scheduling of the
cleaning requirements specified herein per Exhibit “B”. All services shall
be performed during the cleaning schedule prescribed in this contract
and all work shall be completed without interfering with the proper
performance of the day-to-day procedures within the facilities. The HAAD
reserves the right to approve and make suggested changes to the
schedule set up by the Contractor.

1.3 CLEANING REQUIREMENTS: The specific cleaning requirements


specified herein establish the minimum cleaning requirements.

1.4 AREA INCLUDED IN THE CONTRACT: It is expressly understood by the


Contractor that the intent of this Agreement is to supply the complete
cleaning/housekeeping/janitorial services for the interior completely and
exterior ground level portions of the buildings listed in Exhibit “A”,
including all exterior sidewalks up to the street curb around entire
location as applicable to this contract. Some areas may only be serviced as
requested

1.5 AREA EXCLUDED FROM THE CONTRACT: No work is required in


elevator pits.

1.6 LABOR HOURS: Contractor shall guarantee a minimum of labor hours,


including lead personnel, on all shifts. These guaranteed minimum labor
hours are for general purpose cleaning only. Additional labor for
periodicals will be required and each bidder shall include the labor for
such periodic work in their total cost per month of each bid item.

1.7 INITIAL CLEANING: Upon cleaning each area for the first time Contractor
shall remove all residual, accumulated dirt and soil; even though such dirt
and soil may have been in existence prior to the effective date of this
contract.

Article 2 - SUPPLIES

2.1 CONTRACTOR FURNISHED CLEANING SUPPLY AND PRODUCT


REQUIREMENTS: The Contractor will furnish all necessary supplies
including but not limited to cleaners, disinfectants, waxes, wax stripping
materials, wastebasket liners, and other paper products required to
provide the cleaning services at all locations listed in Exhibit “A”. Supplies
shall be of the highest quality and the most suitable type or grade for the
work specified under contract.

Article 3 - EQUIPMENT
3.1 CONTRACTOR FURNISHED CLEANING EQUIPMENT REQUIREMENTS:
The Contractor shall furnish all equipment for accomplishment of all
work specified at all locations listed in Exhibit “A”. Contractor’s
equipment shall be of the size and type suitable for accomplishment of
the various types of work described herein and operates from existing
sources of furnished electrical power
3.2 EQUIPMENT INSPECTION: All equipment and attachments necessary to
perform the Work described in these Contract Documents must be
available for inspection at the site(s) listed in this RFP. The equipment
and attachments must be in new condition and capable of performing the
work for which they were intended. If new equipment is on order,
purchasing documents that describe the equipment sufficiently for
evaluation must be available for review by Services Section of the HAAD
or authorized representative. Such equipment must be on the job site
within 30 calendar days from the date of the inception of the contract.

1. THE HAAD REQUIRES A SUPERVISOR, ON SITE, FOR ALL SITES SATURDAY


THROUGH THURSDAY
2. Cleaning and Pest Control of all sites shall be done through arrangements
with the authorized representative in each site.
These employees’ shall respond to any and all daytime requests as needed by
the HAAD representatives.
3. Supervisor on day shifts shall carry a Contractor supplied telephone and
respond to any and all calls within five (5) minutes. Contractor must maintain
the current supervisor’s telephone number with the HAAD Services Section of
or authorized representative during the term of this contract.
HAAD shall not provide telephones or parking for the Contractor or any
employees of the Contractor

Article 4 - SITE INSPECTIONS


4.1 All potential bidders must participate in a pre-bid walk-through
inspection of the site(s) conducted by an authorized HAAD representative
in order to familiarize themselves with any conditions, which may affect
performance and/or bid prices. The walk-through inspection tour will be
immediately following the pre-bid conference.
4.2 “All bids submitted in which the scheduled pre-bid walk-through
inspection has not been completed by the Contractor shall be considered
as non-responsive and rejected”.

Article 5 - CONTRACTOR SUBMITALS


5.1 CLEANING EQUIPMENT LIST: As part of the bid submission, the
proposed Contractor shall submit a manufacturer’s specification sheet on
any and all equipment intended for use to accomplish the terms of this
contract. The HAAD reserves the right to reject any equipment used in
this contract and such equipment shall be replaced with equipment that
does meet with the approval of the HAAD.

5.2 CLEANING PRODUCT LIST: As part of the bid submission, the proposed

chemical and/or cleaning agent used in this contract and such shall be
replaced with a product that does meet with the approval of the HAAD.

5.3 CLEANING REQUIREMENTS AND CLEANING SCHEDULE: ALL BIDDERS


SHALL SUBMIT A DETAILED SCHEDULE FOR ALL GENERAL AND
PERIODICAL CLEANING WITH THEIR BID. One- (1) set of Material
Safety Data Sheets must be supplied to General Services Section on
all chemicals and cleaning agents utilized under this contract within
five- (5) days after contract award. One- (1) Material Safety Data
Sheet must be supplied to Services Section on any and all additional
chemicals and cleaning agents utilized under this contract within
five- (5) days before they are brought into the building

5.4 TELEPHONE, FAX MACHINES AND EMAIL ADDRESS:


5.4.1 Contractor must have a phone number where they can be
contacted within thirty- (30) minutes, seven- (7) days per week.
5.4.2 Contractor must have a separate working fax number where
copies of reports and other information can be sent as needed.
5.4.3 Contractor must have a working email address where reports,
pictures and other information can be sent as needed.

5.5 EMPLOYMENT OF ILLEGAL ALIENS BY CONTRACTOR PROHIBITED:


Contractor is not allowed to employ illegal aliens to perform
cleaning/housekeeping/janitorial services or any services in HAAD
facilities. To determine if an employee is not an illegal alien, the employee
must have a Original Passport, Immigration card, or a special entry
permit

5.6 SUPERVISION AND TRAINING OF EMPLOYEES:


5.6.1 The Contractor shall provide supervision and appropriate
training of employees to assure competent performance of the
work, proper handling of chemicals, proper use and maintenance
of cleaning equipment and proper cleaning procedures.
5.6.2 Contractor or his authorized agent will make sufficient daily
routine inspections to ensure that the work is performed as
required by this RFP. Copies of these inspection reports will be
provided to the HAAD quarterly during the term of this contract
5.6.3 Contractor’s Job Manager and Supervisors must be literate and
fluent in the English & Arabic languages, because of the necessity
to read chemical labels, job instruction and signs, as well as the
need for conversing with management personnel or other tenants
of the building
5.6.4 Contractor shall establish and maintain a complete periodic
record or book indicating compliance with all periodic work

performed. Such record will be made available at any time up on
request of the Services Section or authorized representative.

5.7 ASSIGMENT OF EMPLOYEES: the Contractor hereby agrees that any of


its employees who may be assigned to the HAAD building to satisfy
Contractor’s obligations under this Contract, shall be used exclusively for
that purpose during the hours that they are working in areas covered by
this contract.

5.8 WARDROBE: The Contractor, at its sole cost and expense, shall furnish
uniforms to be worn at all times by day personnel performing services as
listed in this RFP. Persons performing services after normal business
hours shall be neatly dressed in company shirts or smocks with gloves
and identification badges prominently displayed.

Article 6 - SECURITY: HANDLED THROUGH HAAD SECURITY


6.1 CONTRACTOR AND EMPLOYEES SECURITY CLEARANCE:
6.1.1 Contractor must submit to the HAAD Security Office within
fourteen- (14) days prior to the starting date of this Agreement a
completed Abu Dhabi Police Department “CRIMINAL HISTORY
INFORMATION REQUEST” for all principals, officers or employees
who will work on any HAAD premises covered by this Agreement.
This report must be current and performed within the past
thirty - (30) days.
6.1.2 This same “CRIMINAL HISTORY INFORMATION REQUEST”
requirement must be met for all new employees added during the
term of the Agreement and must also be submitted within
fourteen- (14) days prior to working in HAAD facilities. This
report must be current and performed within the past thirty-
(30) days.
6.1.3 The HAAD Security Office shall be notified within twenty-four-
(24) hours of any changes of employment pertaining to
employees that work in HAAD building.
6.1.4 Identification badges shall be returned to HAAD Security Office
within seventy-two- (72) hours, upon termination of an
employee for any reason.
6.1.5 Official HAAD identification badges shall be issued by the
Contractor and at the Contractor’s expense. The badge must be
approved by the Services Section and shall be worn and displayed
at all times by Contractor and all Contractor’s employees while on
HAAD premises.

6.2 BUILDING SECURITY RESTRICTIONS:
6.2.1 Only authorized Contractor’s employees are allowed on the
premises of the HAAD building. Acquaintances, family members,
assistants or any other person shall not accompany Contractor‘s
employees in their work area unless said person is an authorized
paid Contractor’s employee.
6.2.2 Minors, including family members of the Contractor or their
employees, are not to be on the project sites during work hours
and are prohibited from performing any work under this
Agreement
6.2.3 Contractor’s employees shall not be allowed to maintain personal
items such as but not limited to coats, jackets, purses and other
items that are not required to perform their cleaning duties
6.2.4 Personal cell phone usage shall be used only during approved
breaks
6.2.5 Contractor’s employees are specifically prohibited from signing
for or acknowledging receipt of deliveries to HAAD departments

Article 7 - KEYS
The Contractor will be provided with keys to allow access to non-restricted rooms,
which require cleaning. All keys provided to the Contractor will not be duplicated,
nor are they to be removed from the property:
7.1 Lost Keys: Lost keys will be replaced by the HAAD at a cost of AED
100.00 each to the Contractor. At HAAD’s option building locks may be re-
keyed at Contractor’s expense per “Breach in Security”.
7.2 Broken Keys: Broken keys will be replaced by the HAAD at a cost of AED
50.00 each to the Contractor. Any key replaced without the broken key
being returned shall be considered a lost key.
7.3 Breach in security: A breach in security may result from the loss of keys,
non-returned broken keys, or keys not being returned thereby requiring
that locks be changed or re-keyed. A charge of AED 500 per lock will be
made.

Any breach in security shall be taken into account before


Award of any future contract with the HAAD.

Article 8 - TELEPHONE SERVICE: Supervisors (ONLY) shall be allowed job-
related use of local HAAD telephone service at no cost to the
Contractor. Contractor will pay the cost of repairing any damage
caused by Contractor’s employees to the telephone equipment over
and above normal wear and tear. No toll charges will be allowed for
the Contractor and/or Contractor’s employees

Article 9 - REPORTS
9.1 NIGHTLY WORK REPORTS: (Supplied by the Contractor after
approval by the HAAD) the work report shall be signed and dated
nightly by Contractor and contain the following information as a
minimum:
9.1.1 Supervisor’s Name.
9.1.2 Discrepancies from the routine work scheduled and an
explanation of the circumstances involved.
9.1.3 Any property or equipment is/are not in a serviceable or
operating condition, listed by description and location.
9.1.4 Damage, vandalism or broken windows by description and
location
9.1.5 Malfunctioning equipment (i.c. soap dispensers, light out) listed
by description and location
9.1.6 Any and all problems and/or complaints of a minor nature, or
similar isolated incidences, may be handled directly between the
Contractor’s foreman and the HAAD Services Section of or
authorized representative. A summary of the incident and
resolution shall be contained in the nightly work report
9.2 QUARTERLY USAGE REPORTS: Itemized reports shall be provided to
the Services Section or authorized representative listing any and all
equipment, cleaning supplies, chemicals and cleaning agents used during
the term of this contract
9.3 INSPECTIONS:
9.3.1 The HAAD Services Section or authorized representative may
conduct random daily inspections of the areas covered under this
contract.
9.3.2 Contractor and the Services Section or authorized representative
will conduct joint inspections the second and forth week of each
month of the areas covered under this contract
9.3.3 Any major complaints that required documentation of services
performed or alleged violation of the contract either by the
successful bidder or the HAAD shall be filed by either and/or both
parties in writing to Services Section, within Seventy-Two (72)
hours after the infraction

Article 10 - ADDITIONAL REQUESTED SERVICES AND SERVICE


REDUCTIONS:
10.1 ADDITIONAL SERVICE REQUESTES: In the event that other
cleaning/housekeeping/janitorial services, in addition to or separate
from the services specified herein, may be deemed necessary by the

Services Section or authorized representative, the Contractor may be
requested to perform the additional services. The Contractor will be
reimbursed by the HAAD on the basis of the hourly labor rate specified by
the Contractor in Bid Price Schedule of this agreement, plus the HAAD
approved cost of the materials needed for the additional cleaning service.
10.2 SUSPENSION OF SERVICES: The HAAD reserves the right to either
temporally or permanently suspend cleaning/housekeeping/janitorial
services at various locations or areas listed in this contract. Notice of such
suspensions will be made through the Services Section or authorized
representative by verbal communication followed by a written letter.
Price decreases or a vacancy credit will be made on the basis of Item #1
(Total Cost per month) divided by the (Total Floors) as listed in “Exhibit
A” per square foot per month.
10.3 CONTRACTOR’S PERFORMANCE: When a Contractor is notified that
services were not provided on a scheduled date or the overall quality
level was unsatisfactory, an amount equal to one month’s bill pro-rated
for the number of days of unsatisfactory or skipped services received in
that month will be deducted from balances due or to become due the
Contractor. If the quality of an important portion of the services is
unacceptable, then an amount will be deducted from the balance due or
to become due the Contractor to cover the time necessary to make the
deficient function acceptable, multiplied by AED100.00 per man-hour or
multiplied by the hourly labor rate specified by the Contractor in the Bid
Price Schedule of this agreement, whichever is greater. The minimum
deduction, regardless of the time necessary to correct the deficiency, shall
be AED 500.00. A Contractor may be allowed the option of eliminating a
deduction for washroom deficiencies only. To exercise this option the
Contractor must begin corrective action on site within three (3) hours of
notification of the deficiency. If the Contractor cannot be contacted at a
contracted facility site or by phone, the option to eliminate a deduction by
correcting the deficiency is waived. The Services Section or authorized
representative will decide all questions which may arise as to the quality
and acceptability of any work performed under the contract. If, in the
opinion of the Services Section or authorized representative,
performance becomes unsatisfactory, the HAAD shall notify the
Contractor.

“Repeated deficiencies of unsatisfactory performance will result in cancellation


of the agreement for default”

10.4 CLEANING SUPPLIES AND EQUIPMENT STORAGE SPACE: Contractor
may store supplies; materials and equipment only in storage areas in the
HAAD facility premises designated by the Services Section or authorized
representative. Contractor agrees to keep his portion of this storage area
in accordance with all applicable fire regulations. The use of HAAD
storage facilities will be on a space available basis and subject to the
approval of the Services Section or authorized representative
10.4.1 Under no circumstances will materials or equipment be placed or
left in hallways, corridors, rest rooms or other spaces accessible
to the public

Article 11 - LIQUIDATED DAMAGES


11.1 If, in the judgment of the Manager, Human Resources & General Services
Department, or his/her designee, the Contractor is deemed to be non-
compliant with the terms and obligations assumed hereby, the
Department Head, or his/her designee, at his/her option, in addition, or
in lieu of, other remedies provided herein, may withhold the entire
monthly payment or deduct pro rata from the Contractor’s invoice for
work not performed. A description of the work not performed and the
amount to be withheld or deducted from payments to the Contractor
from the HAAD, will be forwarded to the Contractor by the Department
Head, or his/her designee, in a written notice describing the reasons for
said action.
11.2 If the Department head, or his/her designee, determines that there are
deficiencies in the performance of this Contract that the Department
Head, or his/her designee, deems are correctable by the Contractor over a
certain time span, the Department Head, or his/her designee, will provide
a written notice to the Contractor to correct the deficiency within
specified time frames. Should the Contractor fail to correct deficiencies
within said time frame, the Department Head, or his/her designee, may:
11.2.1 (a) Deduct from the Contractor’s payment, pro-rata, those applicable
portions of the Monthly Contract Sum; and/or
11.2.2 (b) Deduct liquidated damages. The parties agree that it will be
impracticable or extremely difficult to fix the extent of actual
damages resulting from the failure of the Contractor to correct a
deficiency within the specified time frame. The parties hereby agree

that under the current circumstances a reasonable estimate of such
damages is four Hundred Dirhams (AED400) per day per infraction,
or as specified in the TECHNICAL, hereunder, and that the
Contractor shall be liable to the HAAD for liquidated damages in said
amount. Said amount shall be deducted from the HAAD’s payment to
the Contractor; and/or
11.2.3 (c) Upon giving five (5) days notice to the Contractor for failure to
correct the deficiencies, the HAAD may correct any and all
deficiencies and the total costs incurred by the HAAD for completion
of the work by an alternate source, whether it be HAAD forces or
separate private contractor, will be deducted and forfeited from the
payment to the Contractor from the HAAD, as determined by the
HAAD.
11.3 The action noted in sub-paragraph 11.2 shall not be construed as a
penalty, but as adjustment of payment to the Contractor to recover the
HAAD cost due to the failure of the Contractor to complete or comply with
the provisions of this Contract.
11.4 This sub-paragraph shall not, in any manner, restrict or limit the HAAD’s
right to damages for any breach of this Contract provided by law or as
specified TECHNICAL requirements or sub-paragraph 12.2, and shall not,
in any manner, restrict or limit the HAAD’s right to terminate this
Contract as agreed to herein.

Article 12 - DAMAGE TO HAAD FACILITIES, BUILDINGS OR GROUNDS


12.1 The Contractor shall repair, or cause to be repaired, at its own cost, any
and all damage to HAAD facilities, buildings, or grounds caused by the
Contractor or employees or agents of the Contractor. Such repairs shall be
made immediately after the Contractor has become aware of such
damage, but in no event later than thirty (30) days after the occurrence.
12.2 If the Contractor fails to make timely repairs, HAAD may make any
necessary repairs. All costs incurred by HAAD, as determined by HAAD,
for such repairs shall be repaid by the Contractor by cash payment upon
demand.

Article 13 - HOUSEKEEPING SERVICE
13.1 All wet mop heads, sponges and other similar tools must be rinsed
carefully after use and replaced with new or clean dry mop heads,
sponges, etc., when rinsing no longer restores them to a reasonable state
of cleanliness, or daily, whichever occurs sooner
13.2 Conventional brooms push or otherwise (unless otherwise specified), will
not be used inside the building. When not in actual use, all such
equipment, tools and carts will be stored or left only in the designated
storage area.
13.3 Dirty water and cleaning solutions shall be disposed of immediately in
slop sinks or floor drains. Floors and fixtures of areas where water is
obtained and disposed of shall be kept clean and sanitary at all times. All
cleaning gear closets shall be mopped daily.
13.4 Sinks will be cleaned daily and sink strainers or floor drain covers shall
not be removed except for cleaning purposes and shall then be properly
replaced. Particular care will be taken to prevent mop shreds and other
such material from getting into drains
13.5 All materials and supplies shall be stored in coordination with applicable
building fire regulations. In no case shall rags or cloths be permitted to
accumulate in boxes or cans. However, rags may be stored in metal
containers at the floor level, provided the containers are equipped with a
lid which is kept in place at all times. Rags, mops, brushes, wax and other
combustible materials used which contain a residue of animal, vegetable,
or mineral oils are subject to spontaneous ignition and must be disposed
of, or stored outside of building in covered metal containers in area
designated. In any area where equipment closets are shared jointly by
Contractor and/or building sections, the responsibility for cleaning the
closet in accordance with these specifications will rest upon the
Contractor

Article 14 - Statement of Commitment:

The HAAD is committed to ensuring a healthy environment for its citizens, visitors
and employees. Cleaning products are necessary for creating and maintaining clean,
healthy and sanitary conditions in HAAD facilities. However, exposure to harmful
chemicals contained in cleaning products may result in potential impacts to human
health and the environment. The HAAD, therefore, is committed to the procurement
and the proper use and application of cleaning products that perform well and that
reduce the negative environmental impacts associated with routine cleaning
activities while also ensuring clean and sanitary HAAD facilities. Acceptable
products/procedures shall have positive environmental attributes such as
biodegradability, low toxicity, low volatile organic compound content, and reduced
packaging.

The HAAD shall procure and use, whenever practicable, cleaning products having
properties that minimize potential impacts to human health and the environment,
consistent with maintaining clean and sanitary HAAD facilities.

The HAAD, when procuring or contracting for cleaning services shall require
contractors and persons or entities providing cleaning services to the HAAD use
cleaning products and procedures having properties that minimize potential
negative impacts to human health and the environment, consistent with maintaining
clean and sanitary facilities.

14.1 Objectives/Goals:
14.1.1 Training: Suppliers, contractors and workers shall be trained in the
proper use of cleaning products/procedures for worker health and
safety, environmental impacts, and compliance with applicable
regulatory requirements. Additionally, Services Section employees
shall be provided information on these guidelines.
14.1.2 Leadership: The HAAD can use its purchasing power to create a
greater demand and awareness of high quality, environmentally
friendly products at a reasonable price. The chemicals most
frequently involved in poisonings reported are cleaning products.1
Thus, by establishing a viable, more environmentally preferable
alternative, the HAAD can assist not only HAAD staff, but also the
entire community. Towards this goal, these guidelines shall be made
available for the public.

14.2 Background:
14.2.1 cleaning/housekeeping/janitorial staff and people who spend a lot
of time indoors, such as office workers and students, are particularly
susceptible to the health risks posed by these products. Health
problems associated with cleaning chemicals include reproductive
disorders, major organ damage, permanent eye damage, asthma and
other respiratory ailments, headaches, dizziness, and fatigue.
14.2.2 Certain products may also contain ingredients, such as phosphorus
and heavy metals, which are toxic to aquatic life. As these chemicals
find their way into lakes, streams, and other water bodies (some of
which may serve as drinking water sources), they present further
health and other environmental concerns.

14.2.3 Alkyl phenol ethoxylates (APEs), for example, are commonly used in
cleaning products. Laboratory studies indicate that some APE
degradation products are aquatically toxic and function as human
“endocrine disrupters,” which means they act as artificial hormones
in the human body. The hormone-like effects of APEs observed in
laboratory studies are similar to the reproductive and
developmental disorders seen in wildlife exposed to polluted
waters.
14.2.4 Furthermore, many cleaning products in concentrated form are
considered hazardous waste, which presents handling, storage, and
disposal concerns.
14.2.5 There are environmentally preferable alternatives, however, to
standard cleaning products, which can result in improved indoor air
quality and enhanced environmental health.
14.2.6 There are also cost savings associated with environmentally
preferable alternatives. In the past, environmentally preferable
cleaners were sometimes perceived as less effective and/or more
expensive than conventional cleaners, but this is undeniably no
longer the case.

14.3 SPECIFICATIONS
14.3.1 Cleaning Product Requirements:
14.3.1.1 The HAAD recognizes that there may be some unique
situations that require more abrasive cleaners. If the HAAD
determines such a situation to exist, the least risk, most precise
application technique, and minimum quantity of cleaning
product necessary to provide clean, sanitary condition shall be
used.
Refer to Annex 4 for a list of approved cleaning products & supplies.
14.3.2 Cleaning Equipment Requirements:
Functionality (new & existing): Evaluate
cleaning/housekeeping/janitorial equipment currently being used to
confirm that it is functioning properly (as validated by equipment
manufacturer or by reputable third party service organization) or that

it is tagged out of service. Cleaning Service Providers shall develop a
plan for the phase-out of equipment that does not, at a minimum,
meet the guidelines herein for new equipment.

14.3.3 Guidelines for Purchase (new): New cleaning/housekeeping/janitorial


equipment shall comply with the following:
14.3.3.1 Entryway mats and doormats must be provided at all entries to
the building to reduce the amount of dirt entering a building.
14.3.3.2 Mops & Cloths must be microfiber to reduce the need for
cleaning chemicals.
14.3.3.3 Vacuum cleaners must meet the Carpet and Rug Institute and
shall operate at a sound level of less than 70 dBA.
14.3.3.4 Powered floor maintenance equipment must be equipped with
controls or other devices for capturing and collecting
particulates and shall operate at a sound level less than 70
dBA.
14.3.3.5 Propane-powered floor equipment must have low-emission
engines and shall be equipped with catalytic & exhaust
monitoring systems in addition to other requirements for floor
equipment. Propane-powered equipment may only be used
when the building is unoccupied, and with conditions allowing
for as much air circulation/exchange as possible.
14.3.3.6 Powered scrubbing machines must be equipped with a control
method for variable rate dispensing to optimize the use of
cleaning fluids.

14.3.4 Cleaning Requirements: General Protocols:


14.3.4.1 Waste Management: Purchase cleaning products and supplies
in quantities that minimize the amount of packaging and
container waste generated. Streamline processes so that only
those cleaners necessary for established uses are procured.
14.3.4.2 Whenever practicable, use reusable cleaning cloths or
microfiber technology in lieu of paper products. Within 2 hours

of use, dispose of, rinse, or place in a sealable container (i.e.,
metal flammable rag canister, locking plastic bag, etc.) that
minimizes evaporation of cleaning product from all cleaning
towels, cloths, and materials. Reusable cleaning cloths or
microfiber must be cleaned or laundered prior to reuse.
14.3.4.3 Segregate and recycle all waste items from cleaning operations,
including paper, glass, plastics, cardboard, other packaging
materials, empty chemical containers, and worn equipment
that are acceptable for recycling in the community. Coordinate
with Services Section for location and procedures for collecting
recyclables.
14.3.4.4 Vacuum Use/Maintenance: Equip vacuums with the proper
filter or bag. While vacuuming, inspect vacuum bags and
canisters at least every 2 hours and replace when half full and
when indicated by a bag sensor.
14.3.4.5 Dusting: Perform dusting from high to low. Perform dusting
prior to carpet and hard floor maintenance. Dusting shall
remove loose soil from the area, not move loose soil from one
surface to another.
14.3.4.6 Hard Floor Maintenance: Vacuum to remove and contain
particulate matter from flooring surfaces, or alternatively, use
mops equipped with reusable/cleanable collection heads or
equivalent. Clean hard floors on a predetermined schedule of
frequency, and as needed, to restore them to a clean
appearance.
14.3.4.7 Carpet Maintenance: Vacuum carpets on a predetermined
schedule of frequency, and as needed, to restore them to a
clean appearance.
14.3.4.8 Disinfection: Perform disinfection in areas and on surfaces
where pathogens can collect and breed such as in restrooms or
on door handles, bathroom faucets, and other fomites. Use
disinfectants only where required.

14.3.4.9 For females rest rooms/toilets, female(s)
cleaner(s)/housekeeper(s) only must be assigned there.
14.3.4.10 Restroom Care: Perform restroom cleaning from high to low,

to wet cleaning operations. Mineral and calcium deposits on
any plumbing fixtures, walls or floor will not be accepted. Keep
restrooms stocked with supplies and sanitarily cleaned at all
times.

Article 15 - Statement of Work:

15.17 SERVICES FOR SPECIAL EVENTS


15.17.1 Contractor shall provide cleaning/housekeeping/janitorial services
for all special events and programs which may be scheduled during
non-public hours. This includes evenings and weekends. HAAD will

15.17.2 provide notice at least (5) working days prior to each event. Due to
the nature of these functions, Contractor shall provide the necessary
services by re-scheduling his/her work force rather than incurring
overtime pay.
15.17.3 If Contractor documents to the HAAD’s satisfaction that the
rescheduling of the work force is not possible and extra hours are
necessary, Contractor shall adhere to the extra hours rate as set
forth in Annex 5, Price Schedule.

15.18 EXTRA WORK (EMERGENCY/EXPANDED)


15.18.1 "Emergency" is defined as a situation wherein an immediate or
quick response is necessary. Time is a critical factor. Contractor
shall respond to emergencies within two (2) hours of notice by
HAAD.
15.18.2 "Expanded" is defined as an unforeseen in increase in the need for
services which does not substantially change the amount or scope of
work set forth herein.
15.18.3 Extra work for Emergency of Expanded services in any work
requested by the HAAD that is beyond the scope of the work
requirements of this Agreement. Such work shall be compensated as
set forth in Annex 5, Price Schedule multiplied by the number of
service hours, Contractor shall provide a written estimate of labor
and materials, if applicable, with the work description. Work that
exceeds the estimate shall be approved in writing by the HAAD prior
to work start or continuation.

15.19 CALL BACK WORK


Contractor shall perform call back work for emergencies and/or special
events Contractor shall respond to emergencies with two (2) hours of notice.

15.20 EMERGENCY CONDITION AT FACILITY


In the case of an emergency or unusual event, all employees of Contractor
located on site shall be subject to the direction of the HAAD.

15.21 LAWS AND LIMITATIONS

Where the Contractor believes changes in the codes, laws, rules and
regulations are needed to effect desirable improvements, Contractor shall so
indicate.

15.22 CONTRACTOR FURNISH ITEMS


15.22.1 Contractor shall provide all personnel, uniforms, tools, equipment,
parts, and records/logs necessary to perform the services described
herein.
15.22.2 All materials/supplies required to perform this Agreement and not
otherwise being provided by HAAD, shall be provided by Contractor
at his/her expense. Delivery of the supplies to HAAD facilities for
cleaning/housekeeping/janitorial work shall be at those times
and/or routes acceptable to the HAAD.
15.22.3 HAAD will provide all cleaning chemicals and safety gear.
15.22.4 Contractor shall be responsible for furnishing and maintaining all
equipment necessary to fulfill this Agreement and to accomplish an
acceptable and professional level of cleaning. The purchase of all
equipment to provide the needed services is the responsibility of the
Contractor.
15.22.5 Contractor assumes all risks of loss and damaged materials and
equipment stored.
15.22.6 Contractor shall be responsible for providing security of all supplies
and equipment used during Agreement term.

15.23 HAAD FURNISHED ITEMS


15.23.1 HAAD personnel will be made available to the Contractor at the
HAAD discretion to answer questions and provide a necessary
liaison between Contractor and HAAD. In the case of disputes arising
from the quality of work performed, the opinion of the HAAD
authorized personnel prevail.
15.23.2 HAAD will provide utilities, including gas, electricity, and water for
on-site facilities. HAAD telephones are for-site facilities. HAAD
telephones are for HAAD use only, unless specifically authorized by
the HAAD.

15.23.3 HAAD will provide storage facilities to Contractor as determined by
HAAD. The storage facilities provided will be designated by the
HAAD. The storage facilities are to be used for
cleaning/housekeeping/janitorial cleaning services and personnel
assigned to the specified buildings. Contractor is prohibited from
use of said storage facilities or any other HAAD property for the
conduct of his/her business interest that are not related to or
required by each of the specified buildings.
15.23.4 HAAD shall be responsible for maintaining fixed equipment
including, but not limited to plumbing, electrical, soap dispensers,
etc. Contractor shall inform the designated representative of any
repairs required for these fixtures within 24 hours of their
discovery. In emergency situations such as broken water pipes,
floods, etc, Contractor shall report these discrepancies immediately
to the HAAD Procurement & General Services Section.
15.23.5 HAAD property damaged by Contractor’s employees and/or
Subcontractor shall be repaired or replaced as determined by HAAD
with the like kind and quality. The replacement or repair shall be
made with the frame specified by HAAD. If Contractor fails to repair
or replace damaged property within the required timeframe, HAAD
will deduct costs from Contractor’s monthly invoice for all damages
incurred as determined by HAAD.

15.24 INSPECTIONS BY HAAD


15.24.1 The Contractor’s Project Manager or On-site Supervisor shall meet
with the HAAD as requested by HAAD. HAAD will inspect facilities to
ensure the quality of the cleaning/housekeeping/janitorial services
being performed is acceptable. A summary report of findings,
including all deficiencies, will be prepared by the HAAD and
submitted to Contractor for remedial action.
15.24.2 The HAAD shall inspect the Contractors performance of
cleaning/janitorial/housekeeping operation at least once per week.

15.24.3 Work areas and/or location in HAAD facilities used by Contractor
shall be accessible and subject to inspection by HAAD at anytime.
HAAD may interview Contractors employees for Agreement
compliance.

15.25 RATE OF PAY, HOURS, AND DAYS OF SERVICE


15.25.1 Hours of cleaning/housekeeping/janitorial cleaning shall be from
06:00 a.m to 04:00 p.m Saturday through Thursday Six (6) days per
week. At least one (1) cleaner/housekeeper/janitorial per shift shall
speak, read, write and understand English and Arabic. Each
Contractor employee shall sign the log sheet, before their shift
begins, and notify General Services Officer before beginning work.

15.26 CONTRACTOR RESPONSIBILITY


15.26.1 Training
15.26.1.1 Contractor shall provide training programs for all new
employees and on-going continuing in service training for all
employees, including, but not limited to visual aids dealing
with the diverse cleaning needs of the HAAD’s facility. All
Contractor’s employees and/or Subcontractor(s) performing
services under the Agreement shall have appropriate training
as described in Contractor’s Training and Safety program.
Written documentation verifying training for all employees
shall be provided by Contractor to HAAD at a minimum, on
an annual basis or as requested by HAAD.
15.26.1.2 Contractor shall provide to HAAD a summary of course
material, and training schedules for each of the following:

15.29 Contractor's cleaning/housekeeping/janitorial Storage Area


The Contractor shall maintain and keep clean at all times the
cleaning/housekeeping/janitorial storage area (room) that is provided at the
HAAD’s facility for storage of supplies and equipment used under this
Agreement.

15.30 RIGHT OF REFUSAL FOR EMPLOYMENT OPENINGS


15.30.1 Employment offers to HAAD’s employees shall be under the same
conditions and compensation rates that will apply to other
individuals who are employed or may be employed by Contractor.
15.30.2 Contractor shall maintain records of each employment offer made to
HAAD’s employees and other individuals. Such records shall include
a description of the position and duties, rate of pay and fringe
benefits, and whether an offer was accepted, rejected, or not
responded to.

15.30.3 In addition, should Contractor require additional or replacement
personnel after the effective date of this Agreement to perform the
services set forth herein, Contractor shall give first consideration for
such employment openings to qualified permanent HAAD
employees who are targeted for layoff after the effective date of this
Agreement.
15.30.4 HAAD employees who are employed by Contractor under this clause
shall not be discharged during the Agreement term except for the
cause.

15.31 SOLID WASTE COLLECTION AND REMOVAL

15.31.1 All solid waste generated in the building shall be collected and
removed from the building daily. Trash removal and disposal shall
be the Contractor’s responsibility. Wash inside and out or steam
clean daily all cans used for wastes.
15.31.2 All solid waste collected as a requirement of this Agreement shall be
removed from the premises.
15.31.3 All recycle waste should be collected and later to be taken by
recycling contractor.

15.32 PERFORMANCE REQUIREMENTS SUMMARY


The Performance Requirements Summary (PRS) chart lists the required
services which will be monitored by the HAAD during the term of this
Contract; the required services, maximum deviation from the standard,
method of surveillance, and monetary adjustment for exceeding the
maximum deviation from the standard.

15.33 DEDUCTION CRITERIA

Article 16 - Structure of the contract

The Consultant will carry out the services on the terms and conditions set out in this
Agreement, which comprises, in order of precedence, these terms and conditions
("Special Conditions") set out in this document and the following schedules and
annexes:

Article 17 - THE CONTRACT PRICE AND PAYMENTS


5.1 In consideration for delivering the required service in full conformity
with the AGREEMENT, the AUTHORITY shall pay to the SUPPLIER the
price for purchased items as listed in Annexure ‘-’ in the manner set
forth below as full and final remuneration.
5.2 The SUPPLIER shall submit to the AUTHORITY detailed monthly
invoices in respect of the SERVICE delivered for each month. The
invoices shall be supported by all necessary documentation.
5.3 The AUTHORITY representative shall review the SUPPLIER’S invoices
and, if deemed to be in accordance with the AGREEMENT, the
representative shall approve said invoice and make payment to the
SUPPLIER within THIRTY (30) days from the receipt of invoice.
5.4 The AUTHORITY representative shall have the right to make the
necessary
Adjustments to the SUPPLIER’S invoice for:

a) Failure to deliver the SERVICE in accordance with the


AGREEMENT.

b) Any other matter provided for under this AGREEMENT.

Article 18 - GENERAL OBLIGATIONS


a. 4.1 All delivery notes and invoices for the required work shall bear
this AGREEMENT’s number, place of delivery and quantity. Unit price
and total price are to be shown on each invoice.
b. 4.2 Partial delivery is allowed, provided that the SUPPLIER
undertakes to effect delivery within the required date stated in the
LPO. Quantities which will not be delivered by the end of the required
calendar date (s) will justify an action by the Authority to impose
penalty to be determined by the Authority..
c. 4.3 The SUPPLIER agrees to deliver the REQUIRED SERVICE to the
AUTHORITY. The place of delivery of REQUIRED SERVICE will be
stated on every LPO/FAX Order and the SUPPLIER agreed to abide by
the place and time of delivery stated on the respective LPOs/FAX
Orders. The Authority shall have the right to change or stipulate on
the LPO/FAX Order that the delivery of the REQUIRED Service be
divided between different or made to separate destinations.
d. 4.4 LPO/FAX order will be submitted to the SUPPLIER directly by
the SERVICE ORDER (SO) with copy to respective finance division.
e. 4.5 The SERVICE ORDER (SO) will order, as per the requirements,
from time to time in varying quantities and there will not be any
ceiling on the commutative value/quantity.
f. 4.6 The SUPPLIER confirms that the issued PO by SERVICE ORDER
to the SUPPLIER will be considered officially received by him on the
same day it was dispatched if it has been sent by fax to his recorded
address contained herein or last recorded with the Authority or on
the day it was delivered by hand to the SUPPLIER's representative.
g. 4.7 The Number of the required coffin boxes might increase/ decrease
based on the demand. Supplier has to supply according to the need.

Article 19 - TERMINATION
TERMINATION WITHOUT CAUSE
6.1 The AUTHORITY may terminate this AGREEMENT at any time by one-
month notice in writing to the SUPPLIER.
TERMINATION WITH CAUSE
6.2 This AGREEMENT shall be terminable by the AUTHORITY
immediately without notice if the SUPPLIER:
a. Fails to commence and proceed with the delivery of the
SERVICE with due diligence after being required to do so by the
AUTHORITY; or
b. Fails to deliver the SERVICE to such standards as the
AUTHORITY in its absolute discretion shall think appropriate
having regard to the declared aim of the AUTHORITY and the
AUTHORITY detailed in the preamble hereto and continues or
repeats such failure after written warning; or

c. Is in breach of any of its other obligations hereunder and fails to
remedy the same or take appropriate steps to secure the
remedy of the same to the satisfaction of the AUTHORITY within
24 hours of being required so to do by notice in writing from the
AUTHORITY; or

d. Refuses or neglects to carry out written instructions issued to it


by the normal course; or

e. Ceases or appears or threatens not to carry on business in the


normal course; or

f. Enters into liquidation (whether voluntarily or compulsorily) or


has a winding up order made against it or calls a meeting of its
creditors or suffers any execution or distress to be levied upon
its property.

6.3 If the AUTHORITY exercises such right to terminate, it may thereupon


take such steps, as it deems necessary to place the LPOs/FAX Orders
with a third party of its choice. The SUPPLIER shall be liable to the
AUTHORITY for all damages directly or indirectly arising from such
termination. This right to terminate the obligations of the SUPPLIER
and to demand payment for such damages shall be in addition to the
AUTHORITY’S other legal rights whether the same is specified herein
or not.

6.4 If the AUTHORITY exercises such right to terminate this AGREEMENT,


either with cause or without cause, it shall not be liable to pay to the
SUPPLIER any further amounts (if any) in respect of this AGREEMENT
until (i) the completion of the delivery of the remaining portion of
SERVICE, if any and (ii) the costs of delivery and replacement of the
SUPPLIER, damages and all other expense carried or incurred by the
AUTHORITY have been ascertained.

If such costs, damages and expense exceeds the sum which would
have been payable to the SUPPLIER on due delivery by it, then the
SUPPLIER shall upon demand pay to the AUTHORITY the amount of
such excess and it shall be deemed a debt due by the SUPPLIER to the
AUTHORITY and shall be recoverable accordingly.

6.5 Such termination of the SUPPLIER’S work hereunder shall not release
the SUPPLIER from any of its obligations and liabilities under this
AGREEMENT or affect the rights and authorities conferred on the
AUTHORITY by this AGREEMENT

Article 20 - INFORMATION, NOTICES AND CLAIMS
7.1 The SUPPLIER shall provide to the AUTHORITY at such times and at
such frequency as the AUTHORITY may direct such reports, accounts,
notices, detailed particulars and / or others documents or information
and whether verbally or in writing as the AUTHORITY shall require.

7.2 The AUTHORITY shall have no liability whatsoever to the SUPPLIER in


respect of any circumstances or reasons that may affect the
performance or the cost of purchasing the SERVICE; the SUPPLIER
shall be deemed to have satisfied itself as to the correctness and
sufficiency of the CONTRACT PRICE.
Article 21 - CONFIDENTIALITY
8.1 The SUPPLIER will ensure that neither the SUPPLIER nor any of its
employees, or others with whom it has a contractual relationship will
at any time divulge or make known, or allow to be made known, any
information of a confidential nature relating to the AUTHORITY or its
business or affairs. In the event that such disclosure shall be in
compliance with any request for information or reporting
requirements of the Government of Abu Dhabi and / or any
government agency within the United Arab Emirates or shall be
required by a law of the United Arab Emirates and / or the Emirate of
Abu Dhabi, the SUPPLIER shall obtain the prior written consent of the
AUTHORITY before releasing any information of a confidential nature.

8.2 The SUPPLIER shall take all steps that shall be necessary or
appropriate in order that his employees, agents and representatives
adhere to the provisions of this Article.

Article 22 - SUB-CONTRACTING
9.1 The SUPPLIER shall not sub-contract any part of the delivery of the
SERVICE under this AGREEMENT without the prior written consent of
the AUTHORITY. Such consent shall not relieve the SUPPLIER of any
of his obligations hereunder or create any contractual relations
between the AUTHORITY and the other Suppliers.

9.2 In case the AUTHORITY consents to the subcontracting of this


AGREEMENT as stated in Sub Article 9.1, the SUPPLIER shall be fully
responsible for any part of the required work to be delivered by his
sub-contract and for their acts and omissions and those persons
either directly or indirectly employed by them to the same extent as
he shall be for the acts and omissions of persons directly employed by
him.

1. FORCE MAJEURE
10.1 The term “Force Majeure” as employed herein shall mean any cause
beyond the control of the PARTIES which they could not have
reasonably anticipated, including strikes (excluding strikes occurring
among the employees of the SUPPLIER or his Other SUPPLIERs),
lockouts, earthquakes, fires, riots, incendiaries, interference by civil or
military authorities, absence or inability to obtain from the market
any supplies (which absence or inability is not attributable to the
SUPPLIER’S actions or omissions), compliance with laws, regulations
or orders of any regulatory authority or acts of war provided that
such event of force majeure affects directly the performance of the
PARTIES under this AGREEMENT.
10.2 In any instance where an act of default or delay is attributable to an
act of Force Majeure, then the Parties will consult with each other and
agree upon the appropriate measures that need to be taken in order
to mitigate and minimize the unfavorable consequences of such delay
or default. In any case, neither PARTY shall be liable for delays caused
by Force Majeure.

2. SETTLEMENT OF DISPUTES
Should a dispute arise between the PARTIES arising out of this AGREEMENT
or the performance by the SUPPLIER of its obligations hereunder, the
PARTIES will meet and attempt to come to an equitable agreement, but in the
event that they fail to reach such agreement within one Gregorian month of
the date when the existence of such dispute shall have been identified or
such extended date as they may agree, the dispute shall be referred to and
settled by the competent court of the Emirate of Abu Dhabi.

3. APPLICABLE LAW
12.1 The laws of the United Arab Emirates and the Emirate of Abu Dhabi
shall govern the operation, validity and construction of this
AGREEMENT.

12.2 The SUPPLIER shall hold harmless, defend and indemnify the
AUTHORITY from and against any liability or penalty which may be
imposed by Abu Dhabi or the UAE Governmental Authorities on the
AUTHORITY by reason of any alleged violation or violation of the laws
of Abu Dhabi or the UAE arising out of his acts or omissions or of
those of his employees while performing the SERVICES.

4. NO AGENCY
Nothing herein shall constitute the parties as neither partners nor constitute
either as the agent of the other.

5. ENTIRE AGREEMENT
This AGREEMENT and the terms and conditions of Tender (#) embodies the
entire agreement between the SUPPLIER and the AUTHORITY with respect
to the REQUIRED SERVICE and supersede all prior agreements, negotiations,
understandings, representations and warranties, whether written, oral or
otherwise and in particular any standard terms customarily issued by the
SUPPLIER.
For greater certainty, the language of any document used by the AUTHORITY
to communicate with the SUPPLIER and any terms or conditions that could
be implied on the basis of trade custom, business efficacy or otherwise are
expressly excluded.
No changes, amendments or modifications of the terms or conditions of this
AGREEMENT shall be valid unless executed in writing and signed by both
PARTIES.
6. LANGUAGE
The Language to be applied during the placing of LPOs/FAX Orders or
delivery of the SERVICE is the English Language. All documents and
correspondence to be exchanged between the PARTIES and all reports
prepared by the SUPPLIER for the AUTHORITY shall be in English.
7. WAIVER
No waiver by a PARTY of any breach of these terms shall take effect or be
binding upon the PARTY unless it is in writing and signed by the PARTY and,
unless otherwise expressly stated therein, any waiver shall be limited to the
specific breach waived.
8. INCREASES OR DECREASE IN COST
No adjustment shall be made to the CONTRACT PRICE in respect of increases
and / or decreases in the costs of labor, material, or the like

9. NOTICES
Any demand, notice or other communication to be given in connection
herewith shall be given in writing in the English language and shall be given
by personal delivery or by electronic communication addressed to the
