AFFIDAVIT

I, MARIDEL LEGARDA, of legal age, single, Filipino citizen and presently residing
at B5 L6, Savannah Glen A, Oton, Iloilo, after having been sworn to in accordance with
law do hereby depose and state THAT:

1. I am the Authorized Representative of Colorsteel Systems Corp. , a duly

organized and existing under Philippine laws, with principal office address at
Brgy. Del Rosario, San Fernando, Pampanga, which was engaged by MDC
BUILD PLUS, INC. as a sub-contractor for its ASCCST Project

2. As of the date of the execution and submission of this affidavit to the

Company in relation to Final Billing - P.O. No. 5200004770, it is hereby
confirmed that the Contractor has fully and finally settled all claims and
obligations for labor, services, materials, supplies, equipment and tools,
which the Contractor has provided/furnished to the Company in relation to
the Project.

3. It is hereby confirmed that: (i) the Contractor paid all wages and salaries due
to its employees or workers for the services rendered by them in relation to
the Project, including overtime pay, if any, and such other payments and
benefits as required under applicable laws, rules and regulations, including
but not limited to, the Labor Code of the Philippines, SSS Laws, and other
laws relating to the Home Development Mutual Fund, PhilHealth, and
Employees Compensation Commission; (ii) the payments to the Contractor”s
employees or workers are in accordance with the requirements of applicable
laws , rules and regulations; and (iii) the remittances required to be made to
the Bureau of Internal Revenue have been made for the appropriate reporting
period.

4. The Contractor shall hold the Company free and harmless from: (a) any and
all claims of, or liabilities to, Contractors employees or workers, agents,
representatives for shares or salaries and wages, employees benefits,
compensation for death, injury, or sickness, or for any other claim arising
from or in connection with their employment by Contractor; and (b) claims
made by the Contractors suppliers for unpaid materials, supplies, equipment
and tools. The Contractor assumes all liability for such claims and shall
indemnity the Company for all expenses it may incur defending itself
therefrom.

5. The Contractor, including any of its representatives, agents, employees, and

servants, has not agreed to and will not agree to: (a) give directly for indirectly,
gifts, promises for payments, or any other forms of favors to any official,
employee or representative of the Company or the Project; (b) receive directly
or indirectly, payments gifts, promises for payments, or any other forms of
favors from any official, employee or representative of the Company , or the
project , except for the payment of the services rendered; (c) assist, illegally
or improperly, any party in obtaining or retaining a Contractor transaction
related to the Project.

6. For purposes of verification, the Contractor hereby submits in connection

with this affidavit the attached Annex A containing the complete list of its
employees and/or workers deployed to the Project during the period covered
by the relevant progress and/or final billing and the complete list of
Contractor’s suppliers which furnished materials, supplies, equipment and
tools to the Contractor in relation to the Project during the period covered by
the relevant progress and/or final billing.
 7. I am executing thus affidavit to attest to the truth of the foregoing facts and
for whatever legal purpose it may serve.

RELEASE, WAIVER AND QUITCLAIM

I, MARIDEL P. LEGARDA, of legal age, Filipino citizen, residing at Blk. 5
Lot 6 Savanah Subd., Pulo Maestra Vita, Oton, Iloilo, after having been sworn to
in accordance with law, hereby depose and state that:

1. I am the Area Sales Manager for Area 9 of Colorsteel System Corporation,

a domestic corporation organized and existing under Philippine law with
principal address at Barangay Del Rosario City, San Fernando, Pampanga
(the Corporation);

2. As evidenced by the Secretary’s Certificate attached herein as Annex “A”

and made an integral part hereof, I am an attorney-in-fact of the
Corporation duly authorized to execute this Release, Waiver and Quitclaim
for and its behalf, and in favor of Makati Development Corp. (“MDC”), its
parents, subsidiaries, affiliates, stockholders, officers, directors,
employees and agents;

3. The corporation hereby acknowledges receipt from MDC the amount of

THREE HUNDRED FIFTY NINE THOUSAND EIGHT HUNDRED
NINENTEEN AND NINETY-NINE CENTS (PHP 359,819.99), which is being
given to the Corporation as full, final and complete payment of MDC’s
engagement of the Corporation’s services to Supply of materials and labor
per Purchase Order No. 5200004770;

4. The Corporation represents, warrants and covenants that payment made

hereunder and the contents of this instrument are, as it shall be
considered, confidential. The Corporation hereby undertakes not to
announce, reveal or disclose the same in any manner whatsoever, and at
any time, to any person or entity;

5. I acknowledge that I have caused the preparation of this instrument and

understood the contents thereof, read the same and confirm that I have
executed it willingly, voluntarily and with full knowledge thereof, and in
behalf of the Corporation which I represent.
