MEMORANDUM OF AGREEMENT

This MEMORANDUM OF AGREEMENT is entered into by and between Lot Owner


____________________of legal age, Filipino Citizen and a resident of
_______________________herein after referred to as the FIRST PARTY, and THELMA G. PACLAR
( canvassers ) hereinafter referred to as the SECOND PARTY, WITHNESSETH that:

WHEREAS, the FIRST PARTY is the registered owner of that parcel of land known as Lot No.
, located at ,
covered by OCT or TCT Title No and Tax Declaration No. ;

WHEREAS, the FIRST PARTY is offering a 600 square meters portion of the said lot for lease to
interested lessors, preferably to telecommunication companies.

WHEREAS, the SECOND PARTY is aware of the undertaking of the Mislatel consortium, Udeana,
Chelsea and China Tel ( now DITO Telecommunity ), hereinafter called the 3rd TELCO, to construct
telecommunication towers all over the country, and is therefore offering its services to the FIRST PARTY
to have a portion of the SECOND PARTY’s lot rented to the 3rd TELCO.

NOW THEREFORE, PARTIES hereby enter into this Agreement under the following terms and
conditions:

I. Obligations of the FIRST PARTY:

1. To provide the SECOND PARTY photocopies of the following documents:


a.) Original or transfer certificate of title (OCT or TCT).
b.) Tax Declaration.
c.) Deed of Sale, if the title is not in the name of the owner.
d.) Special Power of Attorney authorizing the SECOND PARTY to offer the lot for rent.
e.) Such other documents required by the 3rd TELCO.

2. To allow the SECOND PARTY, the 3rd TELCO, including their representatives or agents, to
conduct site visitation, inspection, or survey, on the lot offered for rent.

II. Obligation of the SECOND PARTY:

1. To submit the documents enumerated in I.1 above to the 3rd TELCO, or its contractor,
representative, or agent, authorized to locate, source, acquire and/or lease lots to serve
as sites for its proposed telecommunications towers.

2. To assist and guide the 3rd TELCO representatives in the conduct of ocular visitation,
inspection or survey on the subject lot.

3. To represent the FIRST PARTY in negotiating for just and equitable rental rates, terms and
conditions, as well as in all other necessary dealings and transactions with the 3rd TELCO.

III. Compensation and Fees:

1. The SECOND PARTY shall be entitled to the following agreed compensation and/pr
commission:

a.) For the First Five (5) Years of the Lease:


10% of the net rental payment after tax and other charges, or a total of P90,000.00,
out of the estimated total advance rental P900,000.00.
b.) For the succeeding years of the lease:
10% of the monthly rental payments, whether paid monthly, yearly, or every five
years in advance.
c.) All Rental increases, gratuities, bonuses, or cash advances shall also subject to the
same rate of commission and/or compensation.
2. The above compensation serves as , a) gratuity to the SECOND PARTY for facilitating the
leasing of the FIRST PARTY’s lot, b) payment for the services rendered by the SECOND
PARTY, as well as c) payment or refund of any and all expenses for travelling,
documentation, survey, inspection, visitation, representation, communication and other
related expenses incurred by the SECOND PARTY.

IV. Miscellaneous:

1. The 3rd TELCO has the final decision on whether to rent or not, and subject to its own
rental terms and conditions.

2. This contract remains in full force effect with the FIRST PARTY still liable to pay the agreed
compensation to the SECOND PARTY in the event that the FIRST PARTY, the 3rd TELCO, or
both, decide to bypass or exclude the SECOND PARTY in the negotiations, processing of
documents, signing of contract of lease, and directly deal with each other.

3. Further, the obligation of the FIRST PARTY to pay the agreed compensation shall continue
for as long as the SECOND PARTY’s lot continues to rented and utilized by the 3rd TELCO.

4. This agreement was explained to the parties in the language that they understand and
speak, has been explained of the terms and conditions of this agreement, has understood
the same, has voluntarily and freely executed the same.

IN WITNESS WHEREOF, the PARTIES hereto have hereunto set their hands at
