SUPPLY AND PURCHASE AGREEMENT

This Supply and Purchase Agreement (hereinafter referred to as the “Agreement”) is entered into as of
the 5th June 2013 by and between Charles & Keith International Pte Ltd, a corporation, with its head
office located at 6 Tai Seng Link Charles & Keith Group Headquarters, Singapore 534101, (hereinafter
referred to as “SELLER/EXPORTED”), and PT Kurnia Ciptamoda Gemilang, a corporation with an office
located at Grand ITC Permata Hijau Blok. Sapphire No. 33, Jakarta – Indonesia (hereinafter to as
“BUYER/IMPORTED”)
(hereinafter individually referred to as the “Party” or collectively, the “Parties”).

WHEREAS, the Seller/Exporter is a Supplier of (Shoes, Bags, Accessories, Store Utilise, Media Kit,
Catalogues, Magazine, Carrier bags and Visual Merchandise Props) ( hereinafter referred to as
“Products”); and b bn 43e45

WHEREAS, Seller/ Exporter desired to sell continuously and Buyer/Importer desires to buy continuously
the Products for expanding their business in Indonesia market.

NOW, THEREFORE, Seller/Exporter agrees to sell the Products to Buyer/Importer and Buyer/Import
agrees to purchase the Products from Seller/Exporter, pursuant to the following terms and conditions:

Article 1 (Purpose of Agreement)

Subject to the terms and conditions hereof, Seller/Exporter agrees to sell and supply continuously to
Buyer/Importer, and Buyer/Importer agrees to purchase continuously from Seller/Exporter, during the
terms of this Agreement, the Products manufactured pursuant to Buyer/Importer’s specifications. The
type and name of products to be purchased are listed in an Attachment of this agreement.
In the event, Buyer/Importer wishes to purchase additional products that are not listed in the
Attachment from Seller/Exporter, Buyer/Importer will enter into a new sales and purchase agreement for
such additional products.

Article 2 (Individual Contract)

This Agreement applies to all individual contracts in connection with sales of the products(s) by
Seller/Exporter to Buyer/Importer that provide the specifications and quantity of the products(s), time a
place of deliver, price(s), terms of payment and other necessary conditions (hereinafter referred to as
the“individual Contracts”), and Seller/Exporter and Buyer/Importer shall strictly comply with this
Agreementand the Individual Contracts. Seller/Exporter and Buyer/Importer may enter into separate
agreements inconnection with terms and conditions of this Agreement or Individual Contracts, or issues
specific to individual transactions. In the event that there are inconsistencies between the terms of this
Agreementand terms of such separate agreements, the terms of the separate agreements control.
Article 3 (Trade Term)

Unless otherwise agreed by buyer/Exporter in writing, sales and delivery from Seller/Exporter to
Buyer/Importer shall be based on (FOB), warehouse in Singapore appointed by Buyer/Importer .

Article 4 (Term)

This Agreement shall be effective from the date first written above to 5th June 2016. The term of this
agreement shall be for two (3) years from the date hereof, unless either Party hereto provides the other
with a written notice of this intention not to renew and thus terminate this Agreement no later than 90
daysprior to the expiration of the initial term of the extended term in effect.
This appointment shall be further enforced by the terms and conditions of the franchise agreement. The
rights granted in this appointment letter may be subjected to variations and may be superceded by the
terms and conditions spelt out in the franchise agreement.

Article 5 (Dispute Resolution)

Any dispute, controversy or claim between the Parties arising out of or relation to this Agreement either
during or after the term of this Agreement shall be resolved by the Parties’ mutual good faith
negotiation.
IN WITNESS WHEREOF, the Parties have executed two (2) copies of this Agreement by their duly
authorised respective officers as to the date first above written and each retains one (1) executed copy.
