CONTRACT AGREEMENT

KNOW ALL PARTIES BY THESE PRESENTS:

This contract made and entered into this ____ day of November 2018 in ______________________,
______________________________________________________________, Philippines between:

Mr. Harry Abiqui with address at Greenville Homes, Abad Street, Baroro, Bacnotan, La Union
hereinafter referred to as the “OWNER”.
AND
Engr. Conrad Minalabag, a freelance contractor and a Registered Civil Engineer under the laws of The
Republic of the Philippines, with address at 002 Sitio Maligaya, Brgy. Pagsawitan, Santa Cruz, Laguna
hereinafter referred to as the “CONTRACTOR”
WITNESSETH
WHEREAS, the OWNER has commissioned the Contractor to undertake the CONSTRUCTION OF TWO
STOREY Residence at Greenville Homes, Abad Street, Baroro, Bacnotan, La union.
WHEREAS, CONTRACTOR has the necessary expertise, skills and equipment to perform the
construction works with it is required to be done in the said building as specified herein below;

WHEREAS, the CONTRACTOR is willing and desirous to perform the said required works for a total
consideration of PESOS: Two Million Nine Hundred Sixty Two Thousand Three Hundred Twenty Three and
Thirty Three Cents

WHEREFORE, for and in consideration of the above covenants and the conditions herein set forth, the
parties hereto agree as follows:

1. SCOPE OF WORKS: The Scope of Work for the CONTRACTOR under this Contract is to furnish
formworks and equipment excluding materials which will be owner supplied, labor and supervision
necessary to complete the works for the above project in accordance with the approved construction
plans / layout, technical Specifications and standard engineering practices. The scope of work is
detailed below:

2. TIME OF COMPLETION the CONTRACTOR will undertake to perform the above specified works and complete the works within 240 Working Days upon downpayment.
3. DOWNPAYMENT: upon signing of this contract, the OWNER shall process the down payment payable to the CONTRACTOR equivalent to Php319,324.74
4. PAYMENT TERMS: Contract amount will be payable as follows:
12% Downpayment, 89% Progress Billing Every 2 Weeks and 5% Retention (Retention one-time payment 1 month after ACCEPTANCE of the OWNER)

5. EXCLUSIVE ITEMS:
1.) Exclusive of Building Permit and Occupancy Permit
2.) Exclusive of Electricity and Water Consumption
3.) Exclusive of MERALCO and MAYNILAD / MANILA WATER application and fees
4.) Exclusive of Landscaping and Gardening
5.) Exclusive of Aircondition and Fan Coil Unit Installation.
6.) Exclusive of Subdivision Bonds and Fees
7.) Exclusive of Owner Supplied Materials (OSM)

6. PENALTY FOR DELAYED COMPLETION: In the event the CONTRACTOR fails to complete the project within
the time herein specified, with no fault on the part of the OWNER, CONTRACTOR shall be liable to pay
OWNER an amount to One Tenth of One Percent (1/10 of 1%) of the remaining unpaid contract amount
for each and everyday of delay by way of liquidated damages. Owner Supplied Items are also not included
in the time of delay.

7. CHANGE ORDER: Change order is allowed in this contract. The OWNER has the right to remove or change
any item in this contract so he may choose to delay cost for an item or provide the said work item himself.

8. RETENTION: 1.00% of the contract shall be retained by the OWNER as part of security for the faithful
performance of the work. The amount is to be retained until 1 Month after the entire work has been
completed and accepted by the OWNER. This shall ensure that minor rectification works are done.

9. ASSIGNABILITY: the CONTRACTOR shall not in any manner assign, transfer or convey to any person his
rights under this contract.

10. LIABILITY TO THIRD PERSONS: CONTRACTOR holds OWNER free and harmless from violation of laws /
ordinance and any and all kinds of nature of damages or liabilities to any person / entity or property
arising out of, in connection with and / or related to and / or consequence of the project / construction
subject of the agreement.
11. LIABILITY TO CONTRACTOR’S EMPLOYEES: the CONTRACTOR shall be liable to its employees and laborers
for any damage, injury and all liabilities arising out of this contract and / or for violation of existing labor
laws and social legislation of the Philippines and regulations of the Home Owners Association, and the
OWNER in no case be made liable therefore. For this purpose, CONTRACTOR hereby holds OWNER free
and harmless from any and all such liabilities.

12. OTHER EXPENSES: The CONTRACTOR shall ensure that the jobsite / work area is maintained in a clean
and sanitary state at all times and that its employees conduct themselves in an orderly manner. Similarly
the CONTRACTOR shall ensure the security of its employee’s equipment and workplace. Expenses for the
cleanliness and security of the work area shall be for the sole account of the CONTRACTOR.

13. SAFETY: The CONTRACTOR shall follow strictly all the safety polices to be implemented at the jobsite and
those discussed in the orientation prior to start of work.

14. SITE VISITATION: The CONTRACTOR shall have an Architect/Engineer to accompany the owner in
Purchasing Owner supplied materials to give his/her suggestions.

15. ADDITIONAL WORKS: The CONTRACTOR shall make a computation of the additional works to be added
in the contract with the knowledge and approval of the OWNER.

16. WARRANTY: General Warranty for the general works is 1 year. Structural, Electrical and Plumbing safety
warranty is 5 years.
