COMPROMISE AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Compromise Agreement executed this _______________________, in


Antipolo City, Philippines, by and among:

SOLEDAD G. DONATO, of legal age, Filipino


citizen, widow and with residence address at Lot
17, Block 3, Assumption Street, St. Gregory
Subdivision, Cainta, Rizal, represented by her
Attorney-in-Fact, DANIEL G. DONATO, of legal
age, Filipino citizen, married and with residence
address at Lot 17, Block 3, Assumption Street, St.
Gregory Subdivision, Cainta, Rizal, hereinafter
referred to as the “FIRST PARTY”;

-and-

ANITA ANGSANTO-DEE, of legal age, Filipino


citizen, widow and with residence address at No.
558, Sto. Cristo Street, Manila, represented by her
Attorney-in-Fact, HERMAN A. DEE, of legal age,
Filipino citizen and with residence address at Unit
2301, Chinatown Steel Works, Binondo, Manila,
hereinafter referred to as the “SECOND PARTY”.

WITNESSETH: THAT

WHEREAS, the FIRST PARTY is the petitioner in CA G.R. No. 157460


for Forcible Entry and Damages entitled “Gregory L. Donato vs. Anita
Angsanto-Dee represented by Herman A. Dee” pending before the Court of
Appeals.

WHEREAS,the subject matter of the above-entitled case is


thesubdivision lot no. 17 covered by Transfer Certificate of Title No. 499179
(“TCT No. 499179”) which is registered under the name of Ramon Tiong King
Dee, married to Anita Angsanto.

WHEREAS, during the pendency of the appeal before the Court of


Appeals, the FIRST PARTY offered to exchangethe subdivision lot no. 18
covered by Transfer Certificate of Title No. 543644 (“TCT No. 543644”)
registered under the name of Soledad G. Donato with subdivision lot no. 17
covered by TCT No. 499179.

WHEREAS, after peaceful negotiations and discussions, the SECOND


PARTY has accepted the offer of the FIRST PARTY to exchange his
subdivision lot no. 17 with the latter’s subdivision lot no. 18.

WHEREAS, the FIRST PARTY and SECOND PARTY have come to a
mutually beneficial agreement to put an end to the forcible entry and
damages case.

WHEREAS, the FIRST PARTY shall execute the corresponding Deed of


Exchange covering the subdivision lot nos. 17 and 18.

(The First Party and the Second Party shall be collectively referred
hereto as the “PARTIES”)

NOW, THEREFORE, for and in consideration of the foregoing


premises, the parties have hereunto mutually and collectively agreed, and do
hereby agree to be bound by the following terms and conditions:

1. The SECOND PARTY agree that the subdivision lot no. 17 with
an area of THREE HUNDRED AND FIFTEEN (315) SQUARE METERS, more
or less, will be exchanged in favor of the FIRST PARTY’s subdivision lot no.
18 with an area of THREE HUNDRED AND FIFTEEN (315) SQUARE
METERS, more or less.

2. TheFIRST PARTY shall undertake to transfer in favor of the


SECOND PARTY the subdivision lot no. 18 covered by TCT No.543644,
andmore particularly described as follows:

“A parcel of land (Lot 18, Block 3 of the subdivision plan (LRC)


Psd-97918, being portion of Lot 508, Cainta Cadastre, LRC Cad.
Rec. No. 9410), situated in the Mp. of Cainta, Province of Rizal,
Island of Luzon. Bounded on the NE. points 3 to 4 by Road Lot 2
(10.00 m. wide); on the E. points 4 to 1 by Lot 19, on the SW.,
points 1 to 2 by Lot 38, and on the W., points 2 to 3 by Lot 17,
all Block 3, all of the subdivision plan. Beginning at a point
marked “1” on plan, being S. 73 deg. 30’ W., 1,436.24 m. from
BLLM 1. Mayamot, Cainta, Rizal; thence N. 84 deg. 55’ W., 15.00
m. to point 2; thence N. 5 deg. 05’ E., 21.00 m. to point 3;
thence S. 84 deg. 55’ E., 15.00 m. to point 4; thence S. 5 deg. 05’
W., 21.00 m. to the point of beginning; containing an area of
THREE HUNDRED AND FIFTEEN (315) SQUARE METERS, more
or less.”

3. In full consideration of the said transfer, the SECOND PARTY


shall likewise transfer in favor of the FIRST PARTYthe subdivision lot no. 17
covered by TCT No. 499179, and more particularly described as follows:

“A parcel of land (Lot 17, Block 3 of the subdivision plan (LRC)


Psd-97918, being a portion of Lot 508, Cainta, Cadastre, LRC
Cad. Rec. No. 9410), situated in the Municipality of Cainta,
Province of Rizal. Bounded on the NE. pts. 2-3 by Road Lot 2 (10
m. wide); on the E. pts. 2-4 by Lot 18; on the SW. pts. 4-1 by Lot
39; and on the W. pts. 1-2 by Lot 16, all of Block 3 of the
subdivision plan. Beginning at a point marked “1” on plan, being
S. 73 deg. 56’ W., 1,464.17 m. from BLLM 1, Mayamot, Cainta,
Rizal; thence N. 5 deg. 05’ E., 21.00 m. to point 2; thence S. 84

deg. 55’ E., 15.00 m. to point 3; thence S. 5 deg. 05’ W., 21.00
m. to point 4; thence N. 24 deg. 55’ W., 15.00 m. to the point of
beginning; containing an area of THREE HUNDRED AND
FIFTEEN (315) SQUARE METERS, more or less.”

4. Upon signing of this Compromise Agreement, theFIRST


PARTYshall execute a Deed of Exchange which will be signed by both
PARTIES.

5. The Deed of Exchange shall be used to transfer the tax


declaration in their respective names.

6. The FIRST PARTY shall pay for the capital gains tax,
documentary stamp tax and transfer tax.

7. Any deficiency in the real estate tax shall be shouldered by the


FIRST PARTY.

8. The Tax Clearance for 2018 and 2019 shall be secured by the
FIRST PARTY.

9. The PARTIES shall file a Joint Motion for Approval of


Compromise Agreement with the Court of Appeals to put an end to the civil
case for forcible entry and damages filed by the SECOND PARTY against the
FIRST PARTY.
