Invitation of Bid for hiring Dairy plants at various locations in the country
required for Milk Processing, Packaging and Conversion into Milk Powder,
Butter, Ghee, Sweets etc.
Bihar State Milk Cooperative Federation Ltd. (COMFED) invites bids from reputed dairy
plant operators / owners situated in the radius of 150 km of Delhi preferably at Bihar – UP
highway for processing, packaging of pouch milk & production of milk powder, butter,
ghee and milk products for catering to Delhi – NCR market. Similarly bids are also invited
for a dairy plant near Bihar (Preferably in UP, WB) for processing, packing and conversion
of milk into commodities (SMP, WMP, White Butter & Ghee). Bids are also invited for
dairy plants in the important towns of Jharkhand for processing, packaging of pouch milk
& production of milk products for intensively marketing in Jharkhand & bordering Bihar.
Only those parties shall be considered (given preference) which possess the facility or are
able to create the infrastructure maximum in a month for receiving, chilling, processing,
standardization, packing, cold store for storage of packed milk conversion of milk into Milk
powder, Butter, Ghee and facility to produce pack Dahi in cup / pouch, Lassi, Chhanch in
pouch, Flavoured milk in bottles, production of sweets like Peda, Milk Cake, Gulabjamun,
Rasogula in cups, sachet, Tins etc. The capacity of dairy plants should be minimum one
lakh litres per day for processing & packaging & having minimum 20 MT powder plant for
milk powder conversion and butter, ghee production facility. The firm participating in
tender should have valid Food Safety Standards Authority of India (FSSAI) License,
Factory License, Pollution Control Board permission and all other statutory legal
requirements essential to run a dairy plant. Dairy Plants which are able to cover the
production , packaging, storage & requirements for milk packaging can participate in the
pre bid meeting on 14.08.2015 at 11.00AM onwards at COMFED Hqr. Patna – 14. at
the address stated above.
Thereafter interested parties may participate in the bidding and submit completed bids along
with E.M.D of Rs. 1,00,000/‐ (Rupees One Lakh only) in the form of bank draft favouring
“Bihar State Milk Cooperative Federation Ltd”, payable at “Patna” which should be
submitted latest by 4:00 PM on 31.08.2015 in a sealed envelope. Bids without E.M.D
would be liable for rejection. Bids received within due date & time shall be opened in the
office of Bihar State Milk Cooperative Federation Ltd, (COMFED) Patna on 02.09.2015 at
11:00 AM onwards in presence of bidders. The required technical information of the dairy
plant offered to COMFED and the offered rates for Processing & Packaging should be
quoted considering chilling, processing, reprocessing, standardization, packing, storage,

loading, unloading charges with all other incidental expenses required to handle milk with
applicable taxes if any.
For conversion of milk into Milk powder, Butter, Ghee & all other milk product rates
should be quoted covering the processing charges, storage, loading, unloading charges with
all other incidental expenses required to handle milk & final product including applicable
taxes if any as per statute .

www.sudha.coop. Any existing party working for COMFED should also apply.
The undersigned reserves the right to cancel one or all bids without assigning any reason.
For legal matters & disputes Patna court will be our jurisdiction.

Invitation of Bid for hiring Dairy plants at various locations in the country

Butter, Ghee, Sweets etc.
(A) Introduction
Bihar State Milk Co-Operative Federation Ltd. (COMFED) was established in 1983
as the implementing agency of operational Flood programme of dairy development
on “Anand” pattern in Bihar. The Main objectives of COMFED are to carry out
activities for procurement, processing, production and marketing of milk and milk
products as well as to develop and expand such other allied activities condusive for
the promotion of the Dairy Industry, improvement & protection of milch animals and
economic betterment of those engaged in milk production in Bihar apart from
providing quality dairy produce to consumers in the country.
The Milk Procurement and pouch Milk Marketing of COMFED was approx 17.00
lakh litres per day and 12.00 lakh litres per day respectively during FY 2014-15.
COMFED manufactures and markets dairy products viz Pouch Milk, Table Butter,
Ghee, Paneer, Peda, Milk Cake, Khoa Mithai, Rasogulla, Gulabjamun, Balusahi,
Flavoured Milk, Lassi, Chanch under the brand name of SUDHA. Dairy Plants of
COMFED are ISO 9001:2008 & HACCP,1522000:2005 certified. COMFED has
established a strong marketing network for sales and distribution of its SUDHA
brand dairy products in Bihar, Jharkhand, Uttar Pradesh, Uttrakhand, Delhi-NCR,
Haryana and nearby areas of above states besides its UHT milk in North East states,
West Bengal.
(B) Bihar State Milk Cooperative Federation Ltd. (COMFED) invites bids from
reputed dairy plant operators / owners situated
ii) near Bihar (Preferably in UP, WB) for processing, packing and conversion of
milk into commodities (SMP, WMP, White Butter & Ghee).
iii) In the important towns of Jharkhand & Bihar for processing, packaging of
pouch milk & production of milk products for intensively marketing in Jharkhand
& Bihar.

time schedules / date :
Interested parties may participate in the bidding process and submit completed bids
along with E.M.D of Rs.1,00,000/- (Rupees One Lakh only) in the form of bank draft
favouring “Bihar State Milk Cooperative Federation Ltd.”, payable at “Patna” which
should be submitted latest by bid submission date i.e. by 31.08.2015 till 4.00PM in a
sealed envelope. Bids without E.M.D would be liable for rejection. The technical bid
envelope of the total bids received within due date & time shall be opened in the
office of Bihar State Milk Cooperative Federation Ltd. (COMFED) Patna on
02.09.2015 at 11.00 AM onwards in presence of bidders. The required technical
information of the dairy plant offered to COMFED and the offered rates for
processing & Packaging should be quoted considering chilling, processing,
standardization, packing, storage, loading, unloading charges with all other incidental
expenses required to handle milk and applicable, statutory taxes if any.
For conversion of milk into Milk powder, Butter, Ghee & all other milk product, the
rates should be quoted covering the processing charges, storage, loading, unloading
charges with all other incidental expenses required to handle milk & final product
including applicable taxes if any as per statute.

www.sudha.coop. Any existing party already working for COMFED should also
apply.
(C) The marketing of pouch milk will be under the brand name of SUDHA and
Conversion of surplus milk will be into milk powder, butter, ghee & other dairy
products of SUDHA.
Bihar State Milk Cooperative Federation Ltd., (COMFED) will supply milk to the
party in milk tankers from their Milk Unions situated in Bihar as per estimated
daily demand and conversion of surplus milk after milk / product marketing into
commodity. COMFED will also supply packaging materials to pack its finished
products ie pouch milk, milk products, milk powder, Butter etc ready to market.
The interested parties having existing facility for receiving, storage, processing,
packaging, conversion etc. of milk will be preferred and those who can create above
facility within a maximum period of one month from the award of work can also
participate in the bidding process.
Bidders will facilitate weighing and unloading of tankers immediately but not
later than 2 hours from the time of arrival of milk tankers at bidders Dairy Plant and
release the tankers as early as possible or latest within 4 hours for return journey.
1.1 COMFED will give directions for packing pouch milk, milk products or
conversion into commodities on daily basis, in respect of the quantity of Milk to be
packed. Bidder shall ensure that the daily indented quantities are met without any
failure.
2.2 Bidder will pack and store the milk, milk product and commodity under most
hygienic conditions, as per quality standards set by COMFED and also maintain
PFA, FSSAI and Weights & Measurement, Pollution Control standards and / or any
other statutory requirements as rule of the land as may be necessary for processing,
production, sales and distribution of milk & milk products required to cater the
markets attached to those plants.
2.3 Bidder will arrange to provide facilities for standardization, pasteurization and
packaging of at least three / four varieties of Milk in different packing sizes as per
specifications (Fat & SNF content) provided by COMFED.
2.4 Bidder shall, at its own cost, comply with statutory obligations under the Food
Safety Standards Authority of India (FSSAI) Rules and Regulations 2011, Legal
Metrology Act and Rules 2011, Factories Act, Cold Storage Order, Environmental
Acts and other statutory obligations and shall have its own independent licenses,
registrations as required and the bidder shall indemnify and keep indemnified
COMFED against any claims or consequences on these accounts.
2.6 Bidder will be responsible for payment of salaries, PF, bonus, leave, ESI etc.
to its employees as per existing labour laws and COMFED will not be responsible in
any way for this.
2.7 Bidder will be fully responsible for the event of failure of quality out of
sample drawn by statutory agency like FSSAI rules and regulations 2011, Legal
Metrology Act and Rules 2011 and any other statutory body.

3.2 Bidder will provide necessary space, laboratory facilities including equipment,
chemicals and reagents etc. to COMFED free of cost as may be necessary for
laboratory testing and smooth business operations. Bidder shall carry out test and
analysis complying COMFED norms, FSSAI rules and regulations 2011.
3.3 Bidder will allow free access for inspection of premises, equipments, laboratory,
cold stores etc. at the dairy plant to the managers and representatives of COMFED.
4.3 The SUDHA brand is intellectual property of COMFED. The Bidder will not
and shall not have any claim on SUDHA brand either for milk or any other milk
product or any packaging material during the period of agreement or any time
thereafter.
4.4 It shall be mandatory for the bidder to print the packing date, MRP, batch /
code number and “Use by date” clearly on each packet containing milk, milk
products & commodity along with other statutory requirements that come into force
from time to time in the prescribed font, size and colour of the ink for printing.

5.2 COMFED will communicate the daily requirements of milk & milk products
conversion of milk into commodities.
5.3 COMFED will lift the pouch packed milk & milk product from the dairy dock
of bidder as per daily schedule or pre- decided schedule.
5.4 COMFED shall also undertake product promotion activities through various
media for promotion of SUDHA milk. The cost of such promotional activities will be
borne by COMFED.
6.1 Processing, conversion Cost : COMFED will pay to bidder the agreed
conversion & processing amount per liter of commodities milk for standardization,
processing, packing, crating and storage and loading including cost of all utilities like
steam, water, refrigerant, electricity, fuel etc and margin.
6.2 Deduction : Rs. 0.10 paisa per liter of pouch milk shall be retained from the
packing bill. In case of market complaints of abnormal flavor, short weights,
presence of foreign matter, abnormal leakages etc. The liability of damages due to
above will be of bidder and the amount of damages will be recovered from the
running bills or retained amount of bidder. If there will not be any complaint, the
retained amount shall be released on monthly basis.
7.2 Bidder shall efficiently operate, maintain and repair the plant as & when
required at its own cost, all its assets including building, roads, refrigeration systems,
pasteurized hot water system, dairy machinery and equipments, packaging
machinery, water and drainage systems, other utilities and effluent treatment facilities
etc.

7.3 Bidder will maintain a daily record of packing / despatch of each type of milk,
milk products & commodity on daily basis and the same shall be certified by
authorized representative of COMFED. Bidder will raise their fortnightly bill of
packing / despatch on COMFED based on the quantity of finished product. Bidder
will submit their fortnightly bills to the local representatives of COMFED.
7.4 COMFED will pay for packing / despatch quantity in litres/Kg of milk, milk
products & commodity on monthly basis.
7.5 If any quantity of milk, milk products & commodity is found to have been
spoiled due to improper handling and storage by bidder the cost shall be recovered
from the bidder, or adjusted against their fortnightly packing bills. However the
bidder shall take utmost care in handling stocks of milk & finished products so that
the quality does not deteriorate from the time it is delivered / processed at the
bidder’s plant.
7.6 COMFED will allow a handling loss of 1.00 % (Fat and SNF) for milk, 2.5%
for SMP, 3.5% for WMP, 2% for WB & Ghee. It will be responsibility of bidder to
prepare monthly accounting of milk supplied to bidder and pouch milk, milk
products & commodity delivered to COMFED, will be verified by representative of
COMFED. The cost of any shortage of Fat and SNF will be adjusted in the monthly
processing, packing and conversion bills of the bidder.
7.7 Bidder shall ensure that packed milk shall meet legal as well as COMFED
standards for its chemical composition and bacteriological standards.
7.8 Bidder will maintain packaging film loss less than 4% and more loss will lead
to deduction of amount equal to loss of film on this account. Only machine losses
will be considered for this purpose.
7.9 The bidder shall supply from time to time the requisite number of poly packs
containing milk in crates & milk products to the COMFED in time, i.e. as per the
timing fixed by COMFED from time to time in order to enable the distributor of
COMFED to deliver the same to various milk shops and/or sale outlets. The
requirement of milk in poly packs & milk products shall be intimated to the bidder at
least 5 hours in advance for evening dispatch and 10 hours in advance for morning
dispatch. If COMFED does not lift the indented quantity of milk or milk products

COMFED shall incur cost in respect of processing and packaging charges only.
However in case bidder delivers less quantity of milk in poly & milk product packs
than the indented quantity on particular day(s), COMFED shall have the right to
impose penalty on bidder at the rate per litre/Kg to be decided by COMFED on the
difference between the indented quantity and the quantity actually delivered by
bidder. The decision regarding the amount of penalty to be imposed by COMFED
shall be final and binding on bidder.
7.11 Bidder will keep NDDB kits for checking adulteration / protein and other
parameters and carry out these checks as and when required.
7.12 Crate and pouch will be handed over to the bidder and they will maintain safe
storage and keep accounting of crates and pouch film.
7.13 COMFED may install equipment and assets in premises of bidder to help them
to do the tasks to be performed under the contact better. These assets will remain
clear property of COMFED irrespective to any terms of this contract and can be
taken out by COMFED at will. Bidder will not have lien on these assets and will use
these assets in a reasonable way.
8. PROCESS OF SELECTION :
A pre-bid meeting is scheduled on 14.08.2015 at 11:00 AM onwards at COMFED, Patna –
800014 at the address stated above.

8.1 Interested parties have to apply in proper bid format. The Technical bid and
Financial bid must be placed in two separate envelopes super scribing “Envelop for
Technical Bid” and “Envelop for Financial Bid”. Both the envelop finally must be
placed in a big single envelop super scribed “Bid for Processing, Packaging &
Conversion Dairy Plant due date 31.08.2015 till 4.00PM”. Demand Draft of EMD
amount must be placed in the main envelop, only after receiving the EMD amount
the Technical bid envelope will be opened on 02.09.2015 at 11.00AM onwards in
presence of the bidders who choose to be present.
8.2 On the basis of Technical bid evaluation provided by the parties in the
Technical bid, the hiring of dairy plants will be shortlisted for physical verification
by COMFED team of officials.
8.4 On the basis of rates offered per lit / kg of milk and milk products for chilling,
processing, reprocessing, standardization, packing, storage, transportation and
loading, unloading charges with all other incidental expenses required to handle milk
with Taxes if any the plant for processing & Packaging will be selected.
8.5 Similarly on the basis rates offered per kg production of Milk powder, Butter
including chilling, processing, reprocessing, standardization of milk and packing,
storage, transportation and loading, unloading of finished product with all other
incidental expenses required to handle milk and finished products with Taxes if any
the plant for conversion will be selected.
8.6 Preference will be given to such parties which had worked for Mother Dairy,
AMUL or any reputed State Milk Cooperative Federation / Union for atleast two
years continuously.
9.2 The deemed date of commencement of operations under the order will
commence on date on which the first milk tanker will be dispatched from COMFED.
9.3 The duration of this agreement will be for a period of 36 months for milk
processing & packaging and 12 months for conversion of milk into commodity from
the deemed date of commencement of operation.
9.4 This contract order may be extended for a further period of one year or more
on mutually agreed terms and conditions after reviewing the performance.
10.2 Any losses arising out of this contract will be adjusted against the packaging
contract bills. In case amount of pending packaging contract bill is not sufficient to
recover the losses, COMFED reserves the right to recover additional amount from
the bidder.
10.3 There should not be any harassment to the COMFED staff deployed at bidder’s
dairy plant. bidder shall ensure security and safety of the staff deployed at tenderer’s
dairy plant
11. INDEMNIFICATION
Bidder warrants and guarantees as to the merchantability, description, Quality,
suitability and fitness of the liquid milk, milk products & commodity for human
consumption in consonance with current standards, good manufacturing practices and
shall be liable to COMFED for physical and financial injury loss or damage of any
kind arising out of supply, consumption or use of said liquid milk, milk products &
commodity due to manufacturing defects. If the damage is arising out of any
manufacturing defect by the bidder, then bidder shall also be liable for consequential
loss or damage. Bidder also indemnify and hold COMFED harmless in case of any
third party claims.
12. ARBITRATION
In the event of dispute of any nature whatsoever between any of the parties to the
agreement, the same shall be first referred to Managing Director, COMFED being the
Arbitrator and his / her decision will be final and binding to all.

14. AMENDMENTS
No modification / amendment or waiver of the terms and conditions of the Tender
document agreement shall be valid or binding unless made in writing and duly
executed by the parties.
15. CONFIDENTIALITY
Each party shall keep secret and confidential and shall not command directly or
indirectly disclose, divulge, communicate or reveal to any third party, any
confidential information received by it from other party. The provision of this clause
shall not apply to confidential information if the same :
(a) Is or comes with in the public domain through no act of the party ; or
(b) Was in the possession of the party prior to it’s disclosure hereunder and
such party can prove or
(c ) Is independently developed by the party and such party can prove; or
(d) Is received by the party from another source without restriction on
disclosure.
16. FACILITIES
The tenderer should submit information pertaining to the land, building, machinery,
equipments and other infrastructures available with him as per schedule “A ‘’
