AGREEMENT

This AGREEMENT is made and executed by and between:

______________, of legal age, Filipino and a resident of ___________,

Zamboanga City is hereafter referred to as the FIRST PARTY;

-and-

______________, of legal age, Filipino and a resident of

________________, Zamboanga City and is hereafter referred to as the
SECOND PARTY;

WITNESSETH:

WHEREAS, the FIRST PARTY owns a certain parcel of land located

at _______________, Zamboanga City covered by _________________
which is herein described as follows:;

WHEREAS, the SECOND PARTY is the owner of a construction firm

which will introduce improvements to the above mentioned lot;

1. CAPITAL. The capital to be used for the improvements and

development of the above-mentioned lot shall be shouldered
by the FIRST PARTY and the SECOND PARTY;

2. PROFIT AND LOSS. That the whatever fruits or profits that

shall be borne out of the developed lot shall be equally divided
by the FIRST party and SECOND Party after the deduction of
the cost used for the development of the lot. Any losses thereof
shall be borne by both parties;

It is hereby understood that all terms and conditions

stipulated covenants and provisions contained in this instrument
constitute the entire agreement between the parties and is deemed
to exclude any and all representation, premises and commitments
made by the parties verbal or otherwise prior to the execution
hereof;

ACKNOWLEDGEMENT

BEFORE ME, a Notary Public for and in the City of

Zamboanga this _____________________, personally appeared
before me the above named persons who exhibited to me the
proof of their identification the details of which are written below
their name above and known to me to be the same persons who
executed the foregoing, and they acknowledged before me that
the same is their own free act and deed.
