Memorandum of Understanding

This agreement is made and entered into at Tripura on this 3rd day of August 2009
between The Social Institute Of Information Technology (hereinafter called “SIIT”)
having its Registered Office at Joynagar,Dashamighat,Agartala,Tripura-799001 (Hereinafter
referred to as “the Franchiser”, which expression shall, unless repugnant to the context or
meaning thereof, include its successor and assigns) of the ONE PART and Mrs. Rupali
Shil(Datta) , a Partnership / Proprietorship / Trust / Public Ltd. firm having its Franchiser
place of business at Jogendra Nagar ,Near Bankumari Bazar,Tripura(W),pin-799010
through its Franchiser Mrs. Rupali Shil(Datta)age 31 yrs. Residing at 110
,Shripalli,Vill/Town-Badharghat,Ps-Amtali,Sub Division - Bishalgarh ,Tripura(W),pin-
799003 & (hereinafter referred to as “the Franchisee”, which expression shall, unless
repugnant to the context or meaning thereof, be deemed to include his legal representatives,
executers, administrators, successors and assigns) of the OTHER PART.

The parties now, being desirous of bringing their arrangements in writing, have entered
into this agreement in the manner hereinafter appearing. This MOU is signed today on 10th

day of September 2009 .The MOU will be considered valid only till 9th day of September
2012 date thereafter it will be ceased.

WHEREAS
1. The Franchiser is engaged, in the business of providing training and education in
Information Technology, through the use of computer based systems and other latest
technology under “SIIT”
2. The Franchiser has acquired distinct and unique reputation as to the quality of training
in information technology imparted by the franchisers at the centre owned by it (which
center is hereinafter referred to as the “Franchiser’s centers”);
3. The Franchiser is in possession of the technical know-how and expertise and knowledge
in information technology and copyrights in work relating software.
4. The franchiser is only responsible for the registration, certification of the eligible
candidates at the authorized centre of the franchisee only if the candidates meets the
eligible conditions for admission and clear the subsequent exam for certification
5. The franchisee is only responsible for the expenses, operation cost ,loss, damage and
any other liability which occurs during the course of business .
6. The franchiser has given no permission to the franchisee for doing this task to:-
a. Sublet the authorization to any other party for running the business
b. Tarnish the image/Badmouthing about the franchiser which will affect the
business
c. Not to do any activities which will endanger the career of the students?
d. Not to be involved in any monetary transaction in pretext of opening the centers
on behalf of the franchiser
7. The use of trade names, Logos, technical know-how, training resources material,
advertise such association or invite applications for admission to any course conducted by
it, not to print any stationary including invoices, receipts, brochures, handbills, inserts
which has any information related to association or course and / or any promotional
material, all the above mentioned rights would be provided only after the execution of the
final agreement. If not followed then shall be considered as breach of terms of this MOU
and this MOU would be liable for termination by the franchiser upon such act by the
franchisee.

8. INFRASTRUCTURE : It is Compulsory for a centre to keep infrastructures as per given

below :-

9. In consideration of the Franchiser agreeing to grant license during the term to the
Franchisee for the use of the technical Know-how, trade marks, trade names, service
marks and logos of the Franchiser in relation to its business of computer education and the
association of the Franchisee with the reputation and goodwill of the Franchiser, the
Franchisee agrees to pay the following to the franchiser:-

 10. Non-deposit of such amount in the designated Bank account shall be construed as a
breach of this MOU which will lead to the cancellation of the franchise.
11. CANCELLATION OF FRANCHISEE :- Each Franchisee must have Registered 30 students
at SIIT Head Office otherwise License of Franchisee Automatically canceled .
12.RENEWAL :-Each Centre must have to Renew within Every 2 Year with Renewal Fees
with Service Tax Extra as per applicable.
13. Any type of amount paid in whatever form under this MOU is Non-Refundable & Non-
Transferable.
14.All Taxes will be charged extra as per applicable during payment period.
15. The total period of this Agreement is 2 years.
16. Any legal proceedings or disputes are subject exclusively to Local Jurisdiction only and
not to any other court in the country.
17. The franchisee is hereby directed not to collect payments from any other source,
business in favour of franchiser and if found they will be prosecuted under law and the
agreement will be terminated then and there.
18.The franchiser reserves its rights to change any points in the agreements as and when
required
19.The franchiser reserves its rights to terminate the agreement in case of any breach of
the clauses mentioned in the agreement

IN WITNESS WHERE OF the parties hereto have set their respective hands to these
presents and a duplicate hereof the day and year herein above written.
