DISPOSAL CONTRACT

1. ENGAGEMENT a

1.1 The FIRST PARTY offers ___________________________ based on the list herein
referred to as Annex A and the SECOND PARTY hereby accepts.

1.2. All Services to be provided by First Party shall be performed with promptness and
diligence in a workmanlike manner and at a level of proficiency to be expected of a Party
with the background and experience that First Party has represented they have. The
Second Party shall provide such access to its information, property and personnel as may
be reasonably required in order to permit the First Party to perform the Services. 


2. SCOPE OF WORK. FIRST PARTY shall include but not limited to the following:

3.1 The Parties agreed to render the service for a minimum period of One (1) year from

3.2 The FIRST PARTY reserves the right to cancel or modify this agreement any time in
writing.

4. FEES. The SECOND PARTY agrees to pay the FIRST PARTY in the total amount of

4.1 The FIRST PARTY shall issue Official Receipt (OR) on every payment paid or
released by the SECOND PARTY.

4.2 FIRST PARTY shall submit to SECOND PARTY the necessary invoice for the work
and services rendered. All such invoices shall be due and payable within seven (7)
calendar days after receipt thereof by the SECOND PARTY. Such invoice should
contain the following information:

5. ACCESS. The SECOND PARTY shall provide the FIRST PARTY proper
access/authorization to its premises, resources, information, documents, evidences, etc. needed
by the FIRST PARTY for the satisfactory performance of his obligation.

6. REPRESENTATION and WARRANTIES. FIRST PARTY represents and warrants that:

(a) FIRST PARTY will manage the Customer’s Asset (excluding Unacceptable Asset) in a safe
and workmanlike manner in full compliance with all valid and applicable laws, ordinances,
orders, rules and regulations; and (b) it will use disposal facilities that have been issued permits,
licenses, certificates or approvals required by valid and applicable laws, ordinances and
regulations necessary to allow the facility to accept, treat and/or dispose of the Asset. Except
as expressly provided herein, FIRST PARTY makes no other warranties and hereby disclaims
any other warranty, whether implied or statutory.

7. ENTIRE AGREEMENT. This Agreement contains the entire understanding and agreement
between the parties hereto with respect to its subject matter and supersedes any prior or
contemporaneous written or oral agreements, representations or warranties between them
respecting the subject matter thereof.

8. AMENDMENT. This Agreement may be amended only in writing signed by the authorized
representative of the Parties.
9. AGREEMENT TO PERFORM NECESSARY ACTS. FIRST PARTY agrees to perform
any further acts and execute and deliver any documents that may be reasonably necessary to
carry out the provisions of this Agreement.

10. GENERAL. This Agreement constitutes the entire agreement of the Parties on the subject
hereof and supersedes all prior understandings and instruments on such subject. This Agreement
may not be modified other than by a written instrument executed by duly authorized
representatives of the Parties. No waiver of any provision of this Agreement shall constitute a
waiver of any other provision(s) or of the same provision on another occasion. Failure of either
Party to enforce any provision of this Agreement shall not constitute a waiver of such provision
or any other provision(s) of this Agreement.

Should any provision of this Agreement be held by a court of competent jurisdiction to

be illegal, invalid or unenforceable, such provision may be modified by such court in compliance
with the law giving effect to the intent of the Parties and enforced as modified. All other terms
and conditions of this Agreement shall remain in full force and effect and shall be construed in
accordance with the modified provision.

IN WITNESS WHEREOF. the parties hereto have executed this Agreement,
