Non Disclosure and Confidentiality Agreement

This Non Disclosure and Con dentiality Agreement is entered into between       Pellentesque
ultrices mattis odio. Donec vitae nisi. Nam ultrices, libero non mattis pulvinar, nulla pede
ullamcorper augue, a suscipit nulla elit ac nulla.        (Disclosing party-Company Name) and    
 Isahella Stuck      (Receiving party-Full Name) working with      Pellentesque ultrices mattis odio.

I. DEFINITIONS
Con dential Information refers to any kind of data and information related to the Disclosing Party.
It could be written, oral, visual or other tangible forms. This information is agreed by both parties
as con dential, but not limited to the following:
(a) Information related to the business or industry of the Disclosing Party;
(b) Processes, programs, techniques, discoveries, knowledgebase, and other services of the
Disclosing party;
(c) List of customers, leads, potential customers, and a liated partners of the Disclosing Party;

II. PROTECTION OF CONFIDENTIAL INFORMATION

The Receiving Party acknowledge this agreement and must do the following:
(a) No disclosure;

(c) Unauthorized use of information;

III. EXCLUSIONS FROM CONFIDENTIAL INFORMATION

The Receiving Party do not extend to information that is:
(a) At the time of disclosure, the information is publicly unknown;
(b) Information was already discovered by the receiving party before this disclosure;
(c) Receiving party has legitimate reasons;

IV. NON-COMPETITION
The Receiving Party understands and agrees not to be directly involved or indirectly involved in
activities that are in direct competition of the Disclosing Party.

V. RETURN OF CONFIDENTIAL INFORMATION

Upon termination of this Agreement, both parties should return all copies of documents that
contain Con dential Information that was disclosed by both parties.

VI. OWNERSHIP
This Non-Disclosure Agreement is not transferable. A written content of both parties is needed in
order to transfer this Agreement.

VII. GOVERNING LAWS
This agreement shall be governed under the laws of the __________(Country).
