TRUST DEED

“Child Health Initiatives and Learning Development Project.


(CHILD PROJECT)”
(A PUBLIC CHARITABLE TRUST)

THIS DEED OF TRUST executed on the 7th day of August Two thousand nineteen by:
i) Mr. Prashant Kapil S/o Rakesh Kapil aged about 29 years Residing at 5/2928A,
Nagar Nigam, New Gopal Nagar-2, Saharanpur, Uttar Pradesh - 247001. Herein after
called the “SETTLER” (which expression shall unless excluded by or repugnant to
the subject or context is deemed to include his heirs, executors, administrators,
assigns and representatives ) of the ONE PART and ..

i) 1- Syed Mohammad Ali Khan S/o Syed Abbas Ali Khan aged about 30 years
Residing at 10, Beriyan, Jansath, Mujaffarnagar, Uttar Pradesh -251314.
ii) Shri Divyansh Bhardwaj S/o Shankar Singh aged about 30 years residing at 103,
6/5901, Vishnu Puri, New Madhav Nagar, Saharanpur, Uttar Pradesh- 247001
iii) Mr. Abhinandan Gupta S/o Adarsh Nandan Gupta aged about 29 years Residing
at Phase-1, Balkeshwar, Dayal Bagh, Kiraoli, Uttar Pradesh - 282005.
iv) Shri HONEY GUPTA S/o Shri Navin Gupta aged about 31 years Residing at
H.No.-2/3, Nath Bhawan, Near Ram Sahay Inter College, Garh Road, Merrut
City, Gandhi Ashram, Uttar Pradesh-250002.

WITNESSETH AS FOLLOWS:
1) Whereas the founders are desirous of creating a Public Charitable Trust.
2) Now these present witness as follows:
i) The founders above named hereby establish a Public Charitable Trust by the
name & style of “Child Health Initiatives and Learning Development
Project. (CHILD PROJECT)” with the objects and upon terms and
conditions herein other mentioned.

ii) Initial Trust Funds:


The founders have this day contribute in all a sum of Rs. 10000.00 (Rs. Ten
Thousands only) towards the Trust Fund.

3) PROPERTIES AND FUNDS OF THE TRUST:

The properties and fund of the trust shall be and consist of:-
i) A sum of Rs. 10000.00 (Rs. Ten Thousands only) endowed by the
SETTLORS for the general purpose of the Trust.
ii) The income of the various institutions and establishments derivable in
pursuance of and under this Trust;
iii) Contribution from the public for the general purposes of the Trust;
iv) Contributions, grants, aids and the like, recurring and non-recurring from
Government, State and Union International Medical and Educational
Foundation and institutions made to the Trust from time to time;
v) Contributions by and grants from local bodies and authorities;
vi) Such other Income resources, receipts and whatsoever received for the
furtherance and advancement of the object and purposes of the Trust; AND
vii) Accretions to and income, from the Trust properties, movable and immovable.
All powers of administration control and authority in respect of the Trust properties
and funds shall vest in the Board of Trustees for the benefit of and achievement of the
objects and purposes of the Trust.

The Trustees shall not apply; divert or transfer any of the properties, assets, funds etc.,
of the trust for any purpose or object other than those set out in this DEED.

4) OFFICE OF THE TRUST:


The Principal office of the Trust shall at present be at H.No.-2/3, Nath Bhawan,
Near Ram Sahay Inter College, Garh Road, Merrut City, Gandhi Ashram, Uttar
Pradesh-250002.

6) OBJECT OF THE TRUST:


The object of the Trust shall be the following among other:
i) To advocate for the protection of children's rights, to help meet their
basic needs and to expand their opportunities to reach their full
potential.
ii) Strives to establish children's rights as enduring ethical principles and
international standards of behaviour towards children.
iii) We insists that the survival, protection and development of children are
universal development imperatives that are integral to human progress.

iv) We are committed to ensuring special protection for the most
disadvantaged children - victims of war, disasters, extreme poverty, all
forms of violence and exploitation and those with disabilities.
v) We responds in emergencies to protect the rights of children. In
coordination with others partners and humanitarian agencies, We
makes its unique facilities for rapid response available to its partners to
relieve the suffering of children and those who provide their care..
vi) We work with all its partners towards the attainment of the sustainable
human development goals adopted by the world community and the
realization of the vision of peace and social progress enshrined in the
Harmony of the Nation.
vii) Initiatives to fulfill the requirement of other righteous NGO, orphanages
and other such working units.
viii) Supplying medicines, vaccine and other nutrient supplement via proper
channel.
ix) Water and Rain water conservation, reuse, retention and filtration
x) Building water conservation units and anti-flood parks establishments
xi) Plastic reuse and recycling units for development of road, pillar and
houses or such...
xii) Blood Donation and Eye Donation camps with associated Medical
authorities

xiii) Advancement and propagation of education and learning including


establishment, maintenance and support of school and other educational
institutions.
xiv) To make provision to advance the cause of and impart Nursery, Primary,
Secondary, Higher, Commercial, Industrial, Technical, Physical and all or any
other type or kind of education.
xv) To establish, maintain, take over management, administer or run any
institutions, colleges engaged in the imparting of education to student up to
any level that may be found necessary and /or desirable.
xvi) To generally impart education to children and for the purpose to do all acts
that may be necessary.

xvii) To establish, run, manage administer any institution or college or school to
train persons to be teachers who will be impart education to children and /or
student in school, colleges and other similar institutions.
xviii) To promote adult education.
xix) To hold arrange and organize meetings, lectures, talks, discussions, seminars,
symposia, conference, competitions, research and study visits, tours,
excursions, exhibitions, debates, cinema, audio-visual programme, the artistic
performance and other cultural activities, sport and games.
xx) Establishment, maintenance and support of libraries, museums and reading
room and distributions of books etc. for advancement of education and
knowledge in general.
xxi) To provide and meet all expenses of the school and other educational
institutions.

xxii) Advancement and propagation of education and learning including


establishment, maintenance and other support of Schools, Colleges, Pathshalas
and other Educational Institutions, Auditoriums, Professorship, Lecturer ship,
Scholarship and Prizes etc.

xxiii) Founding and maintaining hospitals, medical investigation and research


establishment s or institutions, in India for affording facilities of medical relief
to the poor, the sick and the suffering;
xxiv) Establishing institutions and college for imparting education in medicine and
other allied subjects.
xxv) Dissemination of useful knowledge in medicine and of providing facilities for
research in the field of medicine and with this object in view to assist
deserving persons with opportunities for furthering their studies either in India
or abroad by awarding Scholarships, Fellowships or other financial assistance;
xxvi) Creating facilities of working in co-ordination, collaboration and co-operation
with other institutions or colleges, funds, bodies or authorities constituted or
founded for purposed similar to this Trust;
xxvii) Expanding of the activities of the Trust in providing further avenues in matters
of a advanced studies and research in medicine and other allied subjects;
xxviii) Publication of literature on all aspects of health, medicine and other allied
subjects on no – profit basis.
xxix) To provide fees, books equipments, freeships, and/ or scholarship to deserving
students.

xxx) To feed poor student and to start free student homes and free hostels.
xxxi) To help and assist poor and deserving people in marriage.
xxxii) To conduct seminars/ workshop and arrange special tuition/ training for
student.
xxxiii) To make donation to other public charitable Trusts/ institutions recognized
under section 80-G of the Income Tax Act 1961
xxxiv) To conduct nutritional and health service.
xxxv) To conduct/operate programs for providing nutritional assistance e.g. to
operate a school/lunch/food programme for children operate nutritional
supplement programme for needy women, which shall be
provided/conducted/distributed free of charge.

xxxvi) Testing of diets from nutritional viewpoint.


xxxvii) To render assistance to the handicapped.
xxxviii) To provide monetary assistance and social service in case of natural
calamities.
xxxix) To render financial assistance to the poor and the disadvantages.
xl) To promote and advance moral education, charity and general welfare of the
people.
xli) To carry on advanced study, research and development, innovation, discovery
improvement, testing, measurement and such works, in almost all the existing
as well as future/ emerging branches of knowledge, sciences in all their pure
and applied forms, interdisciplinary forms including information science,
biochemistry, bioengineering, management and economic sciences, policy and
strategy research social and environmental science ecosystem and natural
resource management, mathematical science, production in all the genres of
creative and audiovisual arts, creativity development all sorts of technology in
all their pure and applied forms including information technology,
biotechnology, to collect, sort, refine, add and to disseminate significant
knowledge by publication, advertisement, training and education , by means of
traditional or contemporary electronic media or through new methods and
ways yet to emerge in the future.
xlii) To promote the game of all kinds & natures including indoor/ outdoor and
allied games in any way possible and to do all such acts, deeds or things as
may be necessary, desirable expedient for the promotion of the games and
allied games to provide for any training of youngsters, promotion of talented

players, financing promising players, sponsoring indigent players, conduct
coaching classes or camps, provide proper equipment etc. without
discrimination as to religion, race caste, co lour creed.
xliii) To run and conduct annually a tournament, in consultation with and under
auspices of the State/Government Association, International Associations and
the Social & Private Club and / or with such other association or clubs
National/ International as may be decided upon by the Trustees of the Trust
from time to time.
xliv) To teach and propagate the philosophy and science of yoga and other
philosophical system and sciences related to or derived from yoga, in order
thereby to promote the spiritual, mental, physical and social well being of all
human beings without regard to their race, nationality, gender, social class or
xlv) To establish run and/or provide assistance to institutions for the promotion of
science, literature, music, drama, fine arts and various type of vocational
training for the benefit of the public general.
xlvi) To do other general public utility and relief, assistance during natural
calamities and such other assistance as may be required from time to time.

7) MANAGEMENT OF TRUST:
This Trust shall be administered by a board of Trustees whose Number shall not be
less than 2 or more than 12. The Founders shall be the permanent trustees. The
remaining shall be co-opted and/or nominated. The permanent Trustees may nominate
other Trustees and they will be called “Nominated Trustees”. So however the total
number of permanent Trustees and co-opted and nominated Trustees shall not exceed
12.

The Trustees shall elect the Chairman, Treasurer and Secretary from among
themselves once in 3 years. The routine administration of the Trust, its property and
affairs, convening meetings of the Trustees, maintaining minutes, accounts record and
other documents, of the Trust shall be looked after by the Secretary of the Board of
Trustees.

8) FIRST TRUSTEES:
The first Trustees are:

9) TERMS OF THE OFFICE OF THE TRUSTEES:


The terms of the permanent Trustees shall be for life. The term of office in the case of
nominated or co-opted Trustees shall also be 3 years. Thereafter they will be eligible
for reappointment.

10) VACANCIES:
A Trustees shall cease to be in office with immediate effect on his becoming insolvent
or insane or of on being convicted for any offences involving moral turpitude or at
resignation. Any vacancy occurring in the office of Trustees whether permanent or
nominated including those caused by the consent of the majority. The existence of
vacancies in the office of the Trustees shall not invalidate any act or decision by the
Board of Trustees.
11) The Trustees may from time to time delegate to any one of them or to any other
person or Committee, such of their power and duties as they deem fit, subject to
nevertheless to, their retaining the ultimate control and supervision.

12) POWER OF THE BOARD OF TRUSTEES:


Without prejudice to all such powers rights liberties and authorities express or
implied, necessary for incidental to or consistent with the powers of implementation
and effectuation of the purpose of this Trust, the Trustees shall have power:
i) To acquire hold and invest all or part of the assets of the trust and to decide all
matters arising there from.
ii) To decide all matters relating to the scope, object and purposes of the trust.

iii) To decide all matters touching relations and co-operation with other
institutions, Government Bodies, Universities, local authorities and other
national & International Bodies, Institutes and Agencies as also to decide
question of affiliation of institutions created under the trust to Universities and
Corporate bodies.
iv) The Trustees by themselves or through agent of agent employed by then
manage and deal with the Trust property in such manner as may be most
beneficial to the interest of trust and shall have power to acquire, lease, sell
mortgage and purchase properties according to the circumstances and also
raise loans overdraft from banks, financial institutions from any person or
other sources and to spend the monies for the purpose for which the Trust has
been created subject to the rules in this directions.
v) The Trust shall be entitled from time to time to open, maintain and operate a
bank account or account in the name of Trust or in the name of school,
colleges, Hospitals or Institutions at such banks as they may from time to time
decide and may at any time pay or cause to be paid any monies forming part of
the Trust Fund/ School Funds or the income thereof to the credit of any such
account either by way of fixed or current account or may other account or
accounts. Any such accounts shall be operated to open individually by
managing trustees or joint managing trustees or by any two of the other
trustees.
vi) To determine sanction and allot recurring and non-recurring expenditure of the
institutions created under the trust and to direct and approve capital and other
expenditure. The board of trustees shall form such rules for the conduct of
their business and of the proceeding of their meeting as they may consider
proper, and the same may from time to time be amended, altered or added to
as the case may be by them.
vii) Trustees are entitled to have their expenses met from the funds of the trust.
Expenses can include all pocket expenses including, for example, travelling
and other costs of attending meetings, specific telephone and broadband
charges incurred on behalf of trust.
viii) Trust can pay a trustee for the supply of any services over and above normal
duties of trustee. The decision to do this must be made by those trustees who
will not the benefit. They must decide that the service is required for the trust
and agree it is in the trust's best interests to make the reasonable payment.

ix) The board of trustees may, if they so decide upon, be advised and assisted by a
governing body in respect of the governance and administration of each of the
college institutions, hospitals, establishments and the like created under the
trust and shall consist of such members and shall have powers and functions as
they may be prescribed by rules farmed in that behalf from time to time by the
board of trustees. The trustees shall have power to constitute governing bodies
for the day to day administration of the Institutions created and establishment
under this trust and delegate to such governing bodies all or any of their
powers and the functions under this DEED, and to make rules from time to
time determining the powers and functions for the conduct and proceeding of
the governing bodies created for the said purposes and the day to day
administration of the institutions and establishments created under the trust.
x) The trustees shall ordinarily meet once in three month after clear seven days of
notice, issued by chairman or by such other person duly authorised by the
chairman in this behalf.
xi) The trustee shall have power to appoint such staff assistance and employees on
such remuneration as they may deem fit in the administration of the trust.
xii) All powers vested in and exercisable by the board of trustee shall be capable
of being performed or exercised by a majority among the members of the
board of trustees from time to time and action or decision of such majority
shall be as valid and effective as if done by the board of trustees.
xiii) The board of trustees shall have the power to constitute committees consisting
of one or more SETTLERS or DONORS for such period as the board of
trustee may from time to time decide upon for obtaining aid and advice in
carrying out the object of the trust.
xiv) The trustee shall the power to negotiate, conclude, and effectuate such
agreement with state or Union Governments, local bodies, Association of
Persons, authorities individuals other International founding Agencies for
purpose of obtaining financial or technical aid or assistance on such terms and
in such from as they deem fit for the furtherance of the purpose and object of
the trust.

Notwithstanding anything contained in these present the trustees shall have the power
to alter amend or to add to any clauses to this documents consists with the object of
the Trust including the power to increase the number of trustees by not more than two

in addition to the three trustees refereed to in clause IV, on such terms as to
appointments as may be determined provided that no such change shall be made
without the prior consent in writing of the Commissioner of Income Tax.

13) TRANSACTION OF BUSINESS BY TRUSTEES:


i) The trustee may meet as often as may be necessary for the conduct of the
business of the trust. The chairman of the trust shall preside at the meeting of
the trust. In the absence of the chairman one of the remaining trustees may
preside at the meeting of the trust as may be decide upon by them.
ii) The business of the trust may be transected by circulation of papers.
iii) All decisions of the trustees may be taken bay a simple majority. In the event
of equality of votes at a meeting, the chairman of the meeting shall have a
casting vote.
It is may clear that when a vacancy in the office of the trustees has to be filled up, it
has to be a unanimous decision of remaining trustees.

14) ACCOUNT AND MINUTES:


The trustees shall maintain true and correct accounts of all receipt and expenses and
disposal of the funds and properties of the trust and correct minutes of their
deliberations and meetings. They shall arrange for periodical audits of the account of
the trust by a qualified chartered accountant.

15) INDEMNITY:
The Trustee shall be kept fully indemnified and harmless against any claim, demand
or liability arising against them for anything done by them in good faith pursuant to
the power and authority vested in them by these presents.

16) IRREVOCABILITY:
The Trust hereby created is irrevocable and its duration are perpetual and permanent
subject to other residuary clauses of this deed.

17) FAILURE OF TRUST:


If for any reason, this Trust should fail the Trust properties and funds shall devolve
upon the Trustees at the time of the failure of the Trust and they shall transfer the
properties and funds to any other Trust having similar objects and satisfying the

conditions laid down in section 80-G of the Income tax Act, 1961, if a resolution to
that effect is passed by the Trustees unanimously.
