The Sellers shall deliver the Vessel to the Buyer with everything belonging to
her at the time of the superficial inspection referred to clause t(a) including all

IN WITNESS WHEREOF the Seller and the Buyer have signed and executed two (z) originals of this Agreement, and
one original each shall be kept by the Seller and the Buyer.

 MEMORANDUM OF AGREEMENT PART 2

CLAUSE 1. DELIVERY CONDITION

(u) The Seller shall deliver the Vessel to the Buyer in substantially the same condition as when
the Vessel was inspected by the Buyer on May zg,2018 but fair wear and tear excepted.
(b) The Buyer shall have the burden of proof for the difference of the state between the
condition at the inspection on May 29,2018 and at the time of delivery of the vessel in the
event Buyer claims that there is a difference in the condition.
(.) Should any doubt arise with respect to the condition of delivery of the Vessel, both parties
shall refer to and be bound by the Surveyor's findings/report as stipulated in Part 1, ltem 1o.

CLAUSE 2 - PAYMENT AND DOCUMENTATION

(r) The Buyer shall pay the amount in full of the purchase price as provided in Part 1, ltem 5, to
the Seller's nominated bank upon signing of this Agreement.
(b) After payment of the purchase price, the Seller shall submit all required documents to the
Buyer for the transfer of the ownership registration of the Vessel.
(.) ln the event that the Buyer fails to make full payments due under Part 1, Item 6, the Sellers
shall, upon notice, immediately terminate this Agreement.
(.1 ) The buyer shall be responsible for the payment of all taxes and duties that will be assessed
by the Bureau of Customs and the Bureau of Internal Revenue and all incidental expenses
on account of this sale.

CLAUSE 3 - DELIVERY PLACE AND TIME

After full payment of the purchase price, the Seller shall ensure that the Vessel is ready for
delivery in accordance with Part t, Item 8 at the port of Villanueva, Misamis Oriental as
provided in Part 1, ltem 9. The Buyer shall reimburse and f ull indemnify Seller for any costs,
expenses, fees incurred by the Seller arising from Buyer's delay in accepting delivery of the
Vessel or in delay in moving the Vessel from the port of Villanueva, Misamis Oriental.

CLAUSE 4 -NOTICE OF READINESS

(u) Upon clearance by the PEZA Zone Manager, the Vessel shall be deemed ready for delivery.

CLAUSE 5 - DELAY OF DELIVERY

(a) In the event that the Seller refuses or fails to deliver the Vessel after the purchase price has
been paid, the Buyer shall have the right to immediately terminate this Agreement and
t[re right to the full refund from the Seller of the purchase price.
(b) ln the event that delay to deliver the Vessel under this Agreement is due to Acts of Cod,
warfare, riot, civil war, abolition of laws and regulations, restraints of public governmental
authority, strike, accident of transportation, or any other reason which is not attributable
to the Seller (hereinafter called "force majeure") or repair in accordance with clause 4(c),
the Buyer shall approve delay of the delivery of the Vessel stated in Part r, ltem rz. lf the
delay due to force majeure exceeds the duration stated in Part 1, ltem tz, the Buyer shall
have the option of terminating this Agreement. ln this case, the Buyer shall notify the Seller
of the intended termination due to force majeure under this clause and the effective
termination date in accordance with Part t, ltem t3.
(.) ln the event this Agreement is terminated for force majeure under clause 6 (b), the Seller
shall refund the amount of payment not later than six (6) banking days after the Seller
receive the notification of termination by the Buyer.
(d) The notice of termination under this clause shall be in writing (including telegram, telex,
fax and email). In the event that the notification was made after r7:oo hours of a working
day ("working day" is day on which offices are open in the Philippines), the notification
shall be deemed to have been made the next working day.

CLAUSE 6 - OBLICATION TO RECEIVE TH E VESSEL

(a) The Buyer shall take over the Vessel within three (3) working days from the next day of
receipt of the Notice of Readiness for delivery of the Vessel.
(b) ln the event that the Buyer does not take overthe Vessel without any justifiable reason, the
Seller shall, upon notice, terminate this Agreement.
(.) ln the event that this Agreement is terminated due to clause 7 (b), the purchase price shall
be forfeited in favor of the Seller.

CLAUSE 7 - IMPOSSIBILITY OF DELtVERy

Should, before delivery, the Vessel become an actual total loss, or should the Vessel suffer
irreparable damage (physically or economically), or should the Vessel not be delivered due
to force maieure, each party shall have the option to terminate this Agreement. ln such
case of impossibility of delivery, the Buyer shall be entitled to the refund provided in clause
6 (c).

 CLAUSE 8 - ENCUMBRANCES, ETC

(.) The Seller shall deliver to the Buyer the Vessel free f rom all debts, encumbrances,
mortgages and maritime Iiens.
(b) Upon the Vessel being delivered to and accepted by the Buyers in accordance with this
Agreement, the Seller shall cease to have any responsibility for or liability whatsoever for
any deficiency in the Vessel unless such deficiency was willfully and intentionally concealed
by the Seller.

CLAUSE 9 - TRANSFER OF TITLE

Title and risk to the Vessel shall be passed from the Seller to the Buyer upon f ull paymer-rt of
purchase price, turn-over of registration documents and delivery of the Vessel to Buyer at
the port of Villanueva, Misamis Oriental

CLAUSE Io - ARBITRATION

(u) Except for the paymentof the purchase price, in case of any dispute arising out of this
Agreement, both parties shall meet and discuss and endeavor to resolve the dispute
amicably and in good faith.
(b) ln the event that the dispute is not resolved by the discussion in clause t (a), the dispute
shall be submitted to arbitration held in Manila, Philippines in accordance with Republic Act
No. 9285 (Alternative Dispute Resolution Act of zoo4), and the award given by the
arbitrators shall be final and binding on both parties. l

(.) All matters including appointment of the arbitrators and arbitration proceedings shall
comply with Republic Act No. 9285 and any amendments thereto.

CLAUSE II - COVERNING LAW

Any matter not stipulated herein shall be determined by and construed in accordance with
the laws of the Philippines.

CLAUSE 12 - CONFIDENTIALITY
Negotiations and eventual sale, if any, shall be private and kept confidential by the parties
to this Agreement.

CLAUSE 13. ENTIRE 46REEMENT AND CANCELLATIoN oF PRIoR AcREEMENTS

This Agreement contains the entire agreement between the parties. All prior
proposals, negotiations and agreements prior to the execution of thisl$greement are
not included in this Agreement and are hereby voided.
