AGREEMENT OF SALE

THIS AGREEMENT OF SALE is made and executed on this the day of 12 April, 2018
by:
1. Mr. MAMIDI JANARDHAN REDDY S/o. GOPAL REDDY, aged about 50 years,
Occupation: Agriculture R/o. Penjerla Village, Kothur Mandal, Mahaboobnagar District.
2. Mr. A.ASHOK SIMHA REDDY S/o. A.NARSIMHA REDDY, aged 42 years,
Occupation: Business, R/o. Saifabad, Hyderabad.
Represented by their DEVELOPMENT AGREEMENT CUM G.P.A. HOLDER
M/S SRILAKSHMI NARSIMHA CONSTRUCTION & DEVELOPERS, Represented by its
Partner Mr. A. ASHOK SIMHA REDDY S/o. A.NARSIMHA REDDY, aged 42 years,
Occupation: Business, R/o. Saifabad, Hyderabad.
As per deed of reconstituted partnership deed executed in between the Partner on 09.03.2018 he
authorized to executed the Sale deed in favour of Purchasing.
Through Regd.Document No. 4000/2014 Regd.at SRO. Shadnagar.

3. Mr.A.ASHOK SIMHA REDDY S/O.A.NARSIMHA REDDY, aged about 42 years,


Occupation: Business, R/o. Saifabad, Hyderabad.

M/S. SRILAKSHMI NARSIMHA CONSTRUCTION & DEVELOPERS, Represented by its
Partner Mr. A. ASHOK SIMHA REDDY S/o. A.NARSIMHA REDDY, aged 42 years,

As per deed of addendum executed in between the partners on 27.09.2017 he authorized to
executed the sale deed in favour of purchasers.

4. Mr. RAJ KUMAR LALWANI S/o. Late. LALCHAND LALWANI, aged about 48
years, Occupation : Business R/o.H.No. 1-8-303/20, Penderghast Road, Sindhi Colony,
Secunderabad.

As per deed of addendum executed in between the Partners on 27.09.2017 he authorized to
executed the sale deed in favour of purchasers.
Through Regd.Document No.8198/2014, Regd.at SRO Shadnagar,
(Hereinafter called the “PRINCIPALS / VENDORS / DEVELOPERS” which term
shall mean and include all their heirs, legal representatives, executors, administrators and
assignees etc.,).
Hereinafter called as the ‘Vendor’ which expression shall unless context requires otherwise,
include it’s members, successors, administrators, legal representatives, etc.

AND

Sri. Dayakar Reddy Badhipudi S/o. Jayarami Reddy .B Aged about 28 years, Occ:
Employee R/o. #186, Thippavarappadu, Chennuru-II, Chennur, Nellore, Gudur, A.P. 524406.

Hereinafter referred to as the ‘Vendee’, which expression shall unless context requires otherwise
include his/her/their heirs, executors. administrators, legal representatives, successors, nominees,
assignees etc.
WHEREAS the Principal No.1 is the sole and absolute owner, Pattedar and
Possessor of the agricultural land bearing Sy.No. 340/A, AA admeasuring Acts 10.00 gts.
situated at Penjarla Village, Kothur Mandal, Ranga Reddy District (Formerly Mahaboobnagar
District), having acquired the same through a Regd.Sale Deed vide Document No. 1665/2012
thereafter his name is recorded as pattedar and possessor in the revenue record.

WHEREAS the PRINCIPAL NO.1 and 2 were the sole and absolute owners, Pattedars
and possessors of the agricultural land bearing Sy.No.340/3 admeasuring Acs.05-04 gts. situated
at Penjarla Village, Kothur Mandal, Ranga Reddy District (Formerly Mahaboobnagar District),
through registered AGPA Document No.3757/2013 from its Original Pattedar Ashok Kumar
Jain. Thus the Principals have jointly and collectively have executed a Registered Development
Agreement cum GPA in favour of the Vendor herein in respect of the land admeasuring Acs.
10-00 gts., covered in Sy.No.340/A, AA and land admeasuring Acs 5-04 guntas covered in
Sy.No.340/3 total admeasuring Acs.15-04 gts., situated at Penjarla Village, Kothur Mandal,
Ranga Reddy District (Formerly Mahaboobnagar District), through regd.document
No.4000/2014 registered at SRO Shadnagar.
And further the Principal No. 3 herein is the sole and absolute owner, pattedar and
possessor of the agricultural land bearing Sy.No.339 an extent of Ac.02-27 ½ gts. situated at
Penjarla Village, Kothur Mandal, Ranga Reddy District (Formerly Mahaboobnagar District),
having acquired the same through a Regd.Sale Deed Document No.16163/2006 registered at
SRO Shadnagar. Thereafter the Principal name is recorded as Pattadar and possessor in revenue
records and the Title Deed and Pattadar Passbook issued by the Tahsildar Kothur vide Title
Deed No. 53479 & Patta No.1065 respectively. And the Principal No.3 has executed a Regd.
AGPA Document No.7134/2014 in favour of M/s. SRILAKSHMI NARSIMHA
CONSTRUCTION & DEVELOPERS.
And further the Principal No.4 herein is the sole and absolute owner, Pattedar and
possessor of the agricultural land bearing Sy.No.339 an extent of Ac.01-00 gts., situated at
Penjarla Village, Kothur Mandal, Ranga Reddy District (Formerly Mahaboobnagar District),
having acquired through Regd. Sale Deed Document No. 985/14 Regd.at SRO Shyadnagar,
and-as per the title deed and pattedar pass book issued by the Tahasildar, Kothur vide title deed
No. 945464 and Patta No.1067 respectively at SRO Shadnagar, and the Principal No.4 has
executed a Regd. AGPA Document No.8198/2014, in favour of M/s. SRILAKSHMI
NARSIMHA CONSTRUCTION & DEVELOPERS.
As per the terms and conditions laid down in the Development Agreement cum GPA, the
developer/principals herein obtained the lay out permission from the HMDA, Hyderabad vide
L.P.No. 11/LO/PLG/HMDA/2013 for the land an extent of Acs.18.31 ½ gts. covered in
Sy.No.340/A, AA & 340/3 and Sy.No.339 situated at Penjarla Village, Kothur Mandal, Ranga
Reddy District (Formerly Mahaboobnagar District), and develop the site such as laying of roads
for getting electric connection fixing of transformers etc. as per the norms of HMDA.
Whereas Deed of Addendum executed in between the Partners herein on 27.09.2017 Mr.
A. ASHOK SIMHA REDDY S/o. A.NARASIMHA REDDY is empowered to execute all deeds
of conveyances including agreement of sale, sale deeds, purchase deeds, mortgage deeds, leases
deeds, powers of attorneys or such other deeds of transfer in respect of immovable properties of
the firm with a further power to effect any compromise before any court of law etc. He shall
also have exclusive authority to represent the firm before the Government/Semi
Government/Judicial or Quasi Judicial authorities or Courts of Law.

WHEREAS the Vendor/ Developer has offered to sell all the semi finished and under
construction Villa (herein in after called the villa) bearing number 130 with Built-up area of
1200 sq ft together with land of 348 sq.yds of project land, including access right to all amenities
etc, in the project known as {SIRI DREAM HOMES} on Sy.Nos.340/A, AA, 340/3 & 339,
situated at Penjarla Village, Kothur Mandal, Ranga Reddy District (Formerly Mahaboobnagar
District), vide L.P.No.11/LO/PLG/HMDA/2013.and more fully described in the schedule of
property annexed here to, to the vendees for a total sale consideration of Rs. 36,54,000.00
(Rupees Thirty Six Lakh(s) Fifty Four Thousand Only ) and the Vendees have agreed purchase
the same.
THAT IN PURSUANCE of aforesaid offer and acceptance the Vendee has paid the
entire sale consideration of Rs. 36,54,000.00 /- (Rupees Thirty Six Lakh(s) Fifty Four
Thousand Only) to the Vendors/Developer.,
That the Vendor has this day delivered the physical and peaceful possession of the
Schedule property to the Vendee “TO HAVE AND TO HOLD” the same absolutely and
forever.
The above referred villa is under construction and the semi-finished villa (herein after
called the “Villa"), which is more fully described in schedule of plot
NOW THEREFORE THIS DEED OF SALE WITNESSTH AS FOLLOWS:
1. That in Total sale consideration of Rs. 36,54,000.00 /- (Rupees Thirty Six Lakh(s)
Fifty Four Thousand Only).The vendee has paid an amount of Rs.2,00,000/- (Rupees
two Lakh Only) by way of cash on this day of Agreement towards part payment of sale
consideration and the vendor hereby accepts, admits and acknowledges said advance
amount as earnest money and the remaining balance sale consideration amount of Rs.
34,54,000.00 at the time of Registration. shall by the vender to the vendor within 45days
or at time of Registration, which is earlier.

2. The vendors hereby further agreed to execute any other document for the purpose of
securing loan on schedule property by vendee and agreed to receive the cheque for the
remaining balance sale consideration directly from vendee through his financial
institution/bank.
3. The vendors hereby agreed to clear all the dues pertaining to Municipal Tax, Drainage,
Water Charges and electricity consumption charges etc., till the date of registration and
shall handover all such documents to the vendee at the time of Registration and also
further undertakes to pay dues if any which may arise in future for the period prior to
date of registration
4. That the vendee shall have a right to enjoyment use along with his co-owners, roadways,
approaches and all other common amenities provided with the other co-owners means all
other persons having rights in the entire property. Any error or omission in the
description of the property, shall not annual the rights of the vendees.
5. The Vendor in the interest of well-being of the project for ever, has decided to float a
Corpus Fund for the entire SIRI DREAM HOMES project which is payable by the
ultimate owners of the residential Villas and such corpus Fund is fixed at Rs.2,00,000
(Two Lakh Only) per Villa being purchased and the vendee hereby paid their
proportionate Corpus Fund to the Vendor which received the same merely as a collecting
agency, and such fund will be transferred to the Owners Association at the time of
Handing over of common amenities and administration of the maintenance of SIRI
DREAM HOMES to the Association.
6. The Vendor has entered into Construction agreement with Vendee for completion of
Scheduled Property.

7. The vendee/s or himself/themselves with intention to bring all persons whatsoever hands
the said premises may come, doth/do hereby covenant with the Vendor as follows:
(a) To maintain the Schedule of plot premises, at Vendee’s own cost in good tenantable
repair and condition from the date of possession of the said premises is taken and
shall not do or suffered to be done anything in or to the SIRI DREAM HOMES in
which the schedule of plot property is situated, any passages or common areas, which
may be against the rules, Regulations or Bye-laws of concerned local or any other
Authority as well as bye-laws of the association/Society and the Vendee shall not
change/alter or make addition in or to the building in which the said premises itself or
any part thereof.

(b) To carry out at his/her own cost all internal repairs to the Schedule of plot premises
from time to time and maintain the said premises in the same condition, state and
order in which it was delivered by the Vendor to the Vendee and shall not do or
suffer to be done anything in or to the SIRI DREAM HOMES project in which the
Schedule of plot Villa is situated.
(c) Not to throw water, dirt, rubbish, rags, garbage or other refuse or permit the same to
be thrown from the Schedule of plot premises in the compound or any portion of the
common areas in the said land and the Project of SIRI DREAM HOMES in which
the schedule-B premises is situated.
8. The Villa is already named by the Vendor as “SIRI DREAM HOMES” and the same
shall not be changed forever.
9. The Vendor declares and covenants with the Vendee that the said Villa is free from
encumbrances of any nature what so ever and that the Vendor has full right, title interest
and authority to assign and transfer its entire interest in the said Villa to the Vendee.
10. The Vendor covenants and assures the Vendee that his/her Membership of the SIRI
DREAM HOMES is subsisting and is in full force and has not been terminated.
11. The Vendee covenants, with the Vendor that he/she shall always abide by the Rules,
Regulations and Bye-laws of the said Society and shall pay the municipal taxes and
maintenance charges in respect of the said Villa from the day the Vendor delivers
possession of the said Villa to the Purchaser. The Vendee shall also be liable to pay
maintenance charges as fixed by SIRI DREAM HOMES in respect of the said Villa if
the Vendee has failed to take possession of the Villa due to any reason, including delay
in payments by the Vendee.
12. The Vendor undertakes to do and to execute all acts, matters and things as are or may be
necessary for the purpose of fully and effectually transferring the said Villa to and in
favor of the Vendee in the record of the said Society to enable the Vendee to have and to
hold the said Villa absolutely
SCHEDULE OF PLOT
All that the open Plot bearing No.130, an extent of 348 square yards, or equivalent to
3132 sq.mts., covered in Sy.Nos.340/A, AA, 340/3 & 339, (L.P.No.11/LO/PLG/HMDA/2013)
situated at “SIRI DREAM HOMES” PENJERLA Village, Kothur Mandal, Ranga Reddy
District, under jurisdiction of Shadnagar Sub-Registrar and bounded by

EAST : Plot No.131


WEST : 30’.0” Wide Road
NORTH : Layout Compound Wall
SOUTH : Plot No.129
IN WITNESS THEREOF the parties hereto have signed this Sale Deed on the day, month and
year mentioned above, with their free will and consent without any force or coercion in the
presence of the following witnesses.
