DEED OF EXCHANGE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Exchange made and entered into by and between:

WHEREAS, the FIRST PARTY and the SECOND PARTY have agreed to
transfer and convey by way of exchange the above-described parcel of lands in favor of
each other;

NOW THEREFORE, for and in consideration of the foregoing premises, the

FIRST PARTY by these presents hereby CEDES, TRANSFERS and CONVEYS BY
WAY OF EXCHANGE the parcel of land covered and described under Transfer
Certificate of Title No. _____________ of the Office of the Register of Deeds of
_____________, including all improvements found and standing thereon, in favor of the
SECOND PARTY and in the same manner, the SECOND PARTY CEDES, TRANSFERS
and CONVEYS BY WAY OF EXCHANGE the parcel of land covered and described
under Transfer Certificate of Title No. _____________ of the Office of the Register of
Deeds of _____________, including all improvements found and standing thereon in
favor of the FIRST PARTY.
