TRAINING AGREEMENT CUM SURETY BOND

This agreement is executed on this _____ Day of __________, 2017 at Hyderabad,

Between:

M/s. Aparna Constructions and Estates Private Limited, # 802, Astral Heights, D. No. 6-3-352/2&3,
Road No.1, Banjara Hills, Hyderabad – 500 034, hereinafter referred to as the company which term
shall mean and include its successors and assignees on one part
And
Mr…………………………………., S/o………………………, aged ……..about years residing
at…………………, ……………………………………, ……………………………………….

Hereinafter referred to as trainee/employee which term shall mean and include his/her heirs, legal
representatives, successors and assignees on the other part.

And

OCCUPATION:………………………………, HEREBY AGREED AND ACCEPTED TO BE SURETY on
behalf of Mr/Ms…………………… , do hereby jointly and severally bind themselves to pay to M/s
Aparna Constructions and Estates Private Limited, on demand, the sum of Rs1,00,000/- or an amount as
per this agreement/bond payable, together with interest from the date of demand @18% per annum,
hereinafter referred to as ‘SURETY’.

Whereas the trainee/employee had approached the Company with a request to provide him/her to undergo
training and to learn work and to provide him/her with facilities for training in the Company’s Construction Sites/
Offices and if found suitable with an opportunity to work in the company.
Whereas the company had agreed to provide an opportunity to the trainee/employee to undergo training as
Graduate Engineer Trainee – Civil at the cost of the company and to learn work in their sites subject to the terms
and conditions mentioned hereunder:
Whereas the trainee/employee had agreed to undergo training for a period of one year out of which three weeks
of special training in National Academy of Construction, Kondapur, Hyderabad and at the place where the
management decides to provide training at the cost of the company and thereafter would undergo on job training
for the remaining period and further had agreed on his successful completion of training to serve the company
herein for a minimum period of one year, on the terms and condition mentioned in the appointment letter.

And WHEREAS the trainee/employee had agreed that in the event of breach of any of the terms of this
agreement, he shall be liable to pay liquidated damages and/or compensation to the company under this
agreement.

WHEREBY IT IS AGREED after mutual discussion as follows:


The trainee/employee hereby voluntarily agrees to undergo training in Construction and its related techniques for
a period of three weeks or more in National Academy of Construction or at the facilities provided by the
Company at the cost of the Company and also agreed to undergo on the job training on completion of the
institutional training.

The Company agrees to pay required fee for undergoing technical training, all material including accommodation
and boarding during the period of three week training at NAC. The company at its discretion will have the
authority to extend the period of training if necessary. On successful completion of the one year training, at the
option of the company and subject to his/her performance, the trainee will be absorbed as employee of the
company and designated as Assistant Engineer – Construction. The other terms and conditions of training /
service /including stipend / salary / etc., shall be as per the letter of appointment dated ………………….. duly
accepted by the trainee/employee.

During the period of employment i.e. subsequent to the successful completion of training, the trainee/employee
may be deployed at any of the sites or place of work of the company as per the requirement from time to time,
anywhere in India at the discretion of the company.

The trainee/employee during his training shall devote his whole time and attention in utilizing the training
facilities provided and in improving his technical and communication skill levels. The trainee/employee shall
also in all respects learn work diligently and faithfully observe and implement all lawful orders and instructions
of the Company. He shall not without prior written consent of the Company, disclose or divulge or copy or
reproduce any data, plans, procedures, know-how, ideas, systems, modules or operating systems used or
developed by the company or acquired by it in any manner to anybody. Also the points, documents, papers, slips,
rough notes or other tangible and intangible material relating to the above should not be taken away or
communicated to anybody. It is further agreed that any process, or such other development in the nature of a
patent or copyright or relating to Intellectual Property Rights developed or created by the employee either by
himself or in association with any other employee of the company, shall be the property of the company and the
company will be entitled to use and employ the same as it deems fit.

Further, the Company expects the trainee/employee to follow the basic codes of professionalism and ethics,
dress, grooming, maintain strict loyalty and confidentiality of work. This entails that the trainee/employee should
work/learn strictly on allotted tasks and achieves the required progress of project work. In case the
trainee/employee shows indifference or tries to ignore the tasks and tries to do private works or while away the
time on unconnected works, the company may terminate his training/services at short notice for lack of correct
aptitude for work and claim the cost of the bond value.

The Trainee/employee also agrees to be punctual in attendance and prompt and efficient in the performance of
his duties and discharge his responsibilities and abide by discipline and work ethics of the company.

The Company shall be at liberty to make use of the Trainee/employee's service anywhere in India for any work
or works relating to any assignments, developments, diversification and any other schemes and works of the
company or in its allied divisions.

As the company is investing considerable amount of money on training and giving the trainee/employee, the
project experience and other administrative expenses, the trainee/employee is required to sign this training
agreement cum surety bond to serve Company for a minimum period of one and half year after successful
completion of training, at the sole discretion of the company. If the trainee/employee declines either to complete
the said training period or on completion of training failed to serve one and half year of employment with the
company herein, he is liable to pay the bond value of Rs.1,00,000/- (Rupees One lakh only) i.e. cost of the
training, pay drawn during the training period along with one month notice or salary in lieu of notice and other
incidental expenses. If the trainee/employee failed to pay the bond value as agreed above, he and the
surety herein will be jointly and severally liable to pay the said amount of Rs.1,00,000/-, together
with interest @18%, from the date the said amount become payable.

Notwithstanding anything contained herein the Company shall have the unfettered right to terminate the service
of the Trainee/employee without notice at any time if the Trainee/employee is found guilty of any misconduct,
insubordination or disobedience or inefficiency and negligence or any act detrimental to the image or interests of
the company or on grounds of physical or mental disability duly certified by a qualified Doctor nominated by the
Company. The company shall have the right to claim the cost of the bond value from the trainee/employee.

The trainee/employee is strictly forbidden from undertaking any private works or moonlighting (Part time cash
jobs) in spare time or disclosing of any designs, confidential documents and technical matters of the Company to
outside sources. The trainee/employee should follow strictly the security instructions of the Company.

The Trainee/employee, who violates any of these terms and conditions, commits offences under criminal law
amounting to fraud, misappropriation, cheating and wrongful gain and is liable for criminal prosecution within
the jurisdiction of the courts of Hyderabad, State of Telanagana, India.

All the disputes or differences arising out of or relating to or in connection with this agreement which cannot be
settled amicably by the parties, shall be referred to and settled by arbitration as per the provisions of the
Arbitration and Conciliation Act, 1996, and the said arbitration shall be taken as arbitration under this Act as if
the proceedings for arbitration were referred in settlement or decision under provisions of the Arbitration and
Conciliation Act, 1996.

The venue of Arbitration shall be the head office of the Company Hyderabad, herein and all arbitration
proceedings shall be in the English language. Any arbitration award made in such arbitration proceedings shall be
final and binding on both the parties hereto and shall be enforceable in any court having jurisdiction over the
matter. During the course of arbitration proceedings both the parties hereto shall continue to execute their
respective obligations hereunder except the obligation in respect of such matter/s as is/are referred to arbitration.
The Cost of the arbitration shall be borne by the party as determined in the Award.

This Service Agreement comes into force with effect from the date of joining Company M/s.Aparna
Constructions and Estates Private Limited, Hyderabad.
