BOARD RESOLUTION No. 2019-08


HIRING and APPOINTMENT OF A LEGAL REPRESENTATIVE FOR THE ASSOCIATION

WHEREAS, the South Forbes Tokyo Mansions Homeowners Association, Inc. is tasked with providing “basic
services” and working “Amenities” for its members to enjoy a working clubhouse and facilities which up to
this date, the Subdivisions’ Developer had failed to deliver, as promised, to the members of this Association;

WHEREAS, Chapter II, Section 5 & 7 of RA 9904(Magna Carta), Rights and Duties of Every Homeowner. – Every
homeowner has the right to enjoy the basic community services and the use of common areas and facilities;

WHEREAS, the members of Association have yet to enjoy these amenities to include a working clubhouse,
operational swimming pools and Security Perimeter Fence (currently severely corroded).

WHEREAS, he Homeowners Association had exhausted all efforts and have diligently requested from the
Developer’s good office on the timely completion of these stated amenities; which for nearly four years now,
Association members have been and continued to be deprived of utilization, resulting in Association’s
significant revenue losses, affecting Homeowners security vulnerabilities, and along with other Association-
Developer various concerns which were brought upon to the Developer, Cathay Land Inc. for a resolution;

WHEREAS, Chapter III, Section 10(b) of 9904(Magna Carta), Rights and Power of the Association states; “In
behalf of its members, institute, defend, or intervene in litigation and or administrative proceedings affecting
the welfare of the association and the subdivision/village as a whole”..;

WHEREAS, and furthermore, , Chapter III, Section 10(b) of 9904, Rights and Power of the Association states;
“to Hire, discharge or contract managing agents and other employees, agents and independent contractors to
ensure the full functioning and operation of the association”;

WHEREAS, during the meeting of the Board of Directors of the Association held last April 22, 2019, deliberated
these matters regarding conditions of Amenities and Developer’s pending deliverables, and unanimously
agreed upon appointing an Attorney At Law to represent the Association in legal proceedings pertaining to
these matters;

NOW THEREFORE BE IT RESOLVED THAT, the Board, by unanimous consent of those in attendance, hereby
approved to to engage the services of Atty. Ronald L. Solis to represent the South Forbes Tokyo
Mansions Home Owner’s Association, Inc. (SFTMHOAI) as its Legal Counsel before the Housing
Land Use and Regulatory Board (HLURB) and any and all government agencies in relation with the
civil and or administrative complaint that will be filed against Cathay Land Inc. (CLI);

RESOLVED FURTHER, that the Board of Directors hereby allows and authorizes Joel Lapis to sign
any and all documents including but not limited to the verification, petition and complaint that will be
likewise filed before the HLURB and all other government agencies and all other pleadings that may
be required thereto

Adopted this 26th day of April 2019, at the Tokyo Mansions South Forbes Golf City, Barangay Inchican, Silang,
Cavite, Philippines.
