APPLICATION TO DO BUSINESS UNDER THE


FOREIGN INVESTMENTS ACT OF 1991 (RA 7042)

DICKYBAY BUSINESS SOLUTIONS, INC.


(the “Corporation”)

hereby applies for authority to do business under the Foreign Investments Act of 1991 and submits the
following statements and accompanying documents:

1. The applicant is a Corporation in the process of registration with this Commission and
intends to operate a

2. The primary purpose of the Corporation is to engage in the business of a service


center to supplement its parent company’s and affiliates’ current service centers in Germany and the
Asian region with Mandarin/Chinese language services and the required support services for computer
software development and installation and other information technology (IT) related support and back
office tasks and trading of computer and IT products, hardware, software and accessories with more
than 60% of its operations dedicated to export sales and catering to foreign clients, and generally to do
everything necessary, suitable or proper for the accomplishment of any of the purposes stated herein, or
which shall at any time appear conducive to or expedient for the protection or benefit of the Corporation.

3. The business address of the Corporation is 12/F Robinsons Summit Centre, 6783
Ayala Avenue, Makati City, Metro Manila 1226, Philippines.

4. The authorized capital stock, outstanding and paid-up capital of the applicant are as
follows:

8. The applicant has no existing technology, knowhow and/or brand name licensing
agreement with Philippine nationals authorizing the latter to assemble, process or manufacture goods
for the domestic market.

9. We manifest our willingness to change our corporate name in the event another
person, firm or entity has acquired a prior right to the use thereof or such name is deceptively or
confusingly similar to one which has prior right.

agencies shall be accepted. SEC shall act on the applications within fifteen (15) working days from official receipt thereof. In case of
dispute regarding the registration, the 15-day processing period shall be deemed suspended.
