dated cheque provided to Adverda Media upon signing of this Agreement. All
cheques shall be rnade payable to Adverva Media Advertising & fonsultanry
and shall be post-date for the Starting Date of each month.
2. Rejections, Warrants, Gtiarantees & A.ppro'-,a!:.
2.1. The Advertiser warrants that all approved designs, artwork, or
advertisement do not infringe upon any trademarks or copyrights either state,
federal, or local.
2.2. The Advertiser agrees to hold, defend, & indemnify Adverva Media
Advertising & Consultancy & its associates, free & harmless from any and all
loss€s, liability, claims, and demands, including attorney's fees cr cther fees.
any suits that arise from any advertisem€nt placed on digital signage or any
verbal ad c6ntent or subjecl matter including partial.contents sf ads or copy
displayed on signage in pursuant of this contract.
2.3. Adverva Media Advertising & Consultancy will reserve the right to reject
or withdraw any ad or copy either before or after postiilg to digital signage.
Adverva Media Advertising & Consultanry lvall also reserve the rightt?
terminate any contract at any time for any reason- Any pre-payments will be
relurn in the event of a contract termination-
2.4. ln the €vent an Advertiser want t6 termi$ate a contract, there shall be no
refund or credits for unused time.
3. Artwork for Adyerti;ement
3.1. The Agency agrees to design and create digital signage advertisement for
the Advertiser and will not be charge on design of the advertisement.

3.2. The Advertiser agrees to approve its final advertisement design, either by
email, phone or written statement, hefore the Agency wili display their
advertisement on-screen. Adverva Media will n6t display Advertiser's
advertisement on-screen without final approval for the advertisemeiit design.
3.3. Adverva Media will not be responsibie ior accuracy, content & spelling
errors once the Advertiser's final approval has been given.
4. Rights you grant us. The Advertis*r hereby giving perrnissian t6 eccess the
Client's Facebook page and Facabook Manager ts post cofitent, manage,
monitor Facebsak cornmeBts and respond to the same.
5" f,onfidentiality" The Agency shail maintain absolute conlidentiality with
r.spect to any confidential informatisn received from the Advertiser, The
Agency shall not disclose any surh infcrrftdtion with6ut obtaining Advertiser's
specific prior consent, otherwise than in cornpliance with statut6ry
requirements.
4. Modificatiorx. Adverva lvledia may modify this Agreement at any time with
advance notice where possible which rfiEdilicetions will become as of the next
business day which they were preduced. By using the Service after the date on
which any modifi{ations enter inta effect, you agree to latest version of this
