MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM OF AGREEMENT is made and executed into by and

between:

CAPTAIN'S KINETIX, hereinafter referred to as the CK, a private entity duly

registered with the Department of Industry, with principal address at 8 Lucena St.
Alabang Hills Village, Muntinlupa City, l77l Philippines represented herein by Reynaldo
F. Tolentino and Chaplain Frederick B. Berry, hereinafter referred to as Party of the First
Part;

, Antique hereinafter referred to as the party of the
Second Part;

WITNESSETH:

WHEREAS, the Party of the First Part, is an advocate of Organic Farming with
the noble objective of introducing Organic Farming in , Antique to
increase rice production in the locality and educate the farmer -landowners of the
methods and benefits that organic farming will bring to their farmlands and to the
municipality;

WHEREAS, the Party of the Second Part, in its desire to increase rice production
on their farmlands, welcome the possible beneficial effects of organic farming are willing
to allow the Party of the First Part to utilize their farm to achieve the noble objective of
the Party of the First Part;

NOW THEREFORE, for and in consideration of the above-mentioned premises

and of the mutual covenants stipulated hereinafter set forth, the PARTIES hereto agree to
enter into this Memorandum of Agreement to adhere to the following terms and
conditions:

1. OBLIGATIONS OF THE CK

a. To provide capital and other essential needs of the farm they will
utilize in the implementation of the organic farming to said farm:

b. To educate, conduct seminar and training to farmer/landowners,

members of irrigator associations of the beneficial methods and results
of organic farming;

c. To utilize the farmlands of the Party of the Second Part (___ hectares)
for a period of (___) year renewable after the signing of
this contract;

d. To provide as payment to the Party of the Second Part for the use of
their farmland, thirty (30) sacks of palay per hectare for every
cropping season;
 e. To provide as incentive additional 2 sacks of palay per hectare per
cropping season as water or irrigation bill;

f. To provide as incentive one (1 ) sack of palay per hectare of land per

cropping season, ½ sack to irrigators association and ½ sack to the
barangay where the farmland is located;

g. To offer as incentive to landowners -farmers whose lands the Party of

the First Part utilizes in organic farming, a reasonable price of one
Thousand Pesos (Phpl,000.00) per sack of rice per family on the
condition that said rice purchase at said price
(Php1,000.00/sack/family) shall be used solely for personal
consumption and not for commercial purposes;

2. OBLIGATIONS OF THE FARMERS-LANDOWNERS AND

IRRIGATORS AS THE PARTY OF THE SECOND PART:

a. To allow CK full utilization of their farmlands in implementing

organic farming in , Antique;

b. To guarantee unhampered and undisturbed utilization by CK or the

Party of the First Part of their farmlands in pursuance of organic
farming;

c. To participate in the workshop, training and seminars that the Party of

the First Part will conduct in the promotion of organic farming in
, Antique;

d. To cooperate and render assistance in every possible way to the Party

of the First Part for the successful implementation and promotion of
organic farming on their farmlands in Antique.

This Agreement shall take effect immediately upon signing by the representatives
of the PARTIES thereto.
