DEED OF ASSIGNMENT

KNOW ALL MEN BY THESE PRESENTS:

THIS DEED OF ASSIGNMENT (the “Assignment”), made and executed this

__________________, at _______________, by and between:

BRET CALAWAY, American, of legal age, with office address at the

Room 501 Sanson Road, Lahug, Cebu City, Cebu, Philippines,
hereinafter referred to as the Assignor;

- and -

CONNOR CALAWAY, American, of legal age, with office address at

the Room 501 Sanson Road, Lahug, Cebu City, Cebu, Philippines,
hereinafter referred to as the Assignee.

WITNESSETH: That –

WHEREAS, the Assignor is the absolute and lawful owner of _______________

SHARES (000), common shares of the CBPO OPC. (the “Corporation”), with a
par value of ONE HUNDRED PESOS (PhP 100.00) per share;

WHEREAS, for valuable consideration, the Assignor offered to assign and

transfer ONE SHARE (1) of the shares in the Corporation to the Assignee, and
the Assignee has accepted such offer;

NOW, THEREFORE, premises considered, the parties agree as follows:

1. For valuable consideration, duly received, the Assignor hereby transfers,

assigns, cedes and conveys and by these presents has transferred,
assigned, ceded and conveyed, all its rights, title, and interest, in and to
the total or extent of ONE SHARE (1), common share of stock in the
Corporation (the “Shares”);

2. To the extent as may be necessary to give effect to this Agreement, the

Assignor hereby appoints and constitutes the Assignee as its Attorney-In-
Fact, with full power and authority, for and in behalf of the Assignor, to
sign, execute and deliver, any and all documents and instruments, and to
cause the transfer in his name of any or all of the Shares;

3. Except as otherwise provided in the succeeding paragraph, the Assignor

hereby warrants that the Shares are free and clear of all warrants,
interests, liens, encumbrances, options, obligations, liabilities, charges, or
 other burdens in favor of the Corporation, or third persons, and that there
are no actions, suits, proceedings, or investigations pending, or to the best
knowledge of the Assignor, threatened against or affecting the Assignor
with respect to the Shares;

4. The Assignee hereby assumes all liabilities and obligations of the Shares
with respect to the unpaid portion thereof, if any. The Assignee further
undertakes to pay the expenses of this documentation, the documentary
stamp tax arising from this transaction, and the cost and expenses of the
registration of this Assignment in the books of the Corporation and with the
Securities and Exchange Commission.

IN WITNESS WHEREOF, the PARTIES have signed these presents on

the date and at the place first above-written.
