SECURITY SERVICES CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

THIS CONTRACT IS MADE AND ENTERED INTO BY AND BETWEEN:

ST. CATHERINE PARISH OF NUEVA VIZCAYA MULTIPURPOSE COOPERATIVE


with office address located at Banggot, Bambang Nueva Vizcaya, Philippines represented herein
by its General Manager Ms. Virginia M. Valdez. hereinafter referred to as the CLIENT.

SIDEKICK FORCE INVESTIGATION & SECURITY SERVICES INC., a private


agency duly organized existing under and by virtue of the laws of the Philippines, with office
address at Rm. 317-M 2nd Floor, Luy Wing Building, Magsaysay Ave., Baguio City; represented
in this act by its Security Director, RONALD C. BAHNI, Filipino, of legal age, married and a
resident of Baguio City, Philippines, hereinafter refereed to as the AGENCY.

WITNESSETH

WHEREAS, the AGENCY is duly licensed and bonded Security Guard Agency pursuant
to the provisions of Republic Act 5487 otherwise known as the Private Security Agency Law as
amended by Presidential Decree Nos. 11 and 100;

WHEREAS the CLIENT has agreed to hire the AGENCY for compensation in order to
maintain law and order at the CLIENT’s premises, to prevent the commission of crimes against
property such as theft, robbery, arson and other forms of loss or damage to property; to prevent
crimes and to enforce and implement the CLIENT’s rules, policies and regulations and such other
security measures that may be promulgated from time to time by the CLIENTS;

NOW THEREFORE, for and in consideration of the foregoing premises and the mutual covenant,
stipulations hereinafter set forth, the parties here to have agreed, as they hereby mutually agree the
following;

1. PLACE, LOCATION AND FUNCION OF GUARD

The AGENCY shall provided security services to the CLIENT’s establishment located at
Banggot, Bambang, Nueva Vizcaya, Philippines. The duties of the Guard will be: to watch,
safeguard and protect the CLINET’s personnel and properties against theft, robbery, arson,
pilferage, damage, loss or destruction to property; to prevent the commission of crimes and
other unlawful acts committed at the premises of the establishment, and to enforce and
implement the client’s policies, rules and regulations such as other security measures that
maybe promulgated from time to time by the CLIENT.

2. TOUR OF DUTY

The AGENCY shall provide 10 Security Guards

The shift tour of duty of the Guard posted will be:

10 Guards 6:00AM to 6:00PM

The guard shall render Twelve (12) hours daily duty from Monday to Friday including
holidays. The shift tour of duty of the guard other than those specified above can be modified by
the CLIENT provided that the guard’s duty is Twelve (12) hours per day.

3. QUALIFICATION OF GUARD

The Security Guard assigned at the CLIENT’s premises must not only possess the
qualifications required under RA 5487 as amended, but must be free from any derogatory
record from any of the law enforcement agencies of the government or any of its
instrumentality and that the guard must be duly licensed by the Philippine National Police
Supervisory Office for Security and Investigation Agencies (PNP-SOSIA).

4. SUPERVISION AND CONTROL

The AGENCY exercise direct supervision and control over the Security Guards assigned
to the CLIENT’s in accordance with the rules and regulations promulgated by the
Philippine National Police. The CLIENT may however exercise supervision and from time
to time give instruction direct to the guard for the proper safeguarding of CLIENT’s
properties, installation, establishment, equipment, furniture and such other properties that
may be found in the premises or compound of the CLIENT against theft, robbery, arson,
pilferage, sanitary hazards and other unlawful acts committed by its personnel or outsiders.

5. EQUIPMENT AND UNIFORM

The AGENCY shall provide its Security Guard licensed firearms, ammunition and
paraphernalia for security purposes.

6. WARRANTY

The AGENCY agrees to indemnify the CLIENT for any loss or destruction of property or
equipment, arising of the fault misconduct, negligence or connivance of the guard, except
when such damage or loss of property or equipment is due to force majeure or acts beyond
human control. The AGENCY should not be liable to theft, loss, damage, or destruction to
personal properties or belongings of the CLIENT’s personnel unless turned over to the
Guard on duty, nor the AGENCY be liable to fault, omission or negligence of CLIENT
personnel, nor to such property or equipment kept in an open space or storage and no actual
or physical inventory has been made.

7. RELATIONSHIP

The AGENCY is the employer of the Guard and as such, the CLIENT shall not be liable
for the salaries, wages and other remuneration provided for under the new Labor Code and
Social Laws, decrees or legislation.

8. EMPLOYMENT BENEFITS

All guards/employees hired by this Agency are covered by Social Security System (SSS),
Philhealth, Pag-Ibig, and State Insurance Membership.

9. REPLACEMENT

The CLIENT reserves the right to ask for replacement for any reason by serving twenty
four (24) hours notice to the AGENCY.

10. MODE OF PAYMENT

Subject to the Labor Laws and Regulations, the CLIENT agrees to pay the AGENCY the
contract of Fifteen thousand five hundred (15,500) PER GUARD, PER MONTH per
Twelve (12) hours daily duty from Monday to Friday including Holidays.

11. SSS REMITTANCE

The AGENCY shall pay all SSS Remittance of its Guards to the SSS Baguio Regional
Office on quarterly basis and that special bank receipt of payment should be shown to the
client upon payment of the same.

12. RATE OF GUARD

The AGENCY shall pay the guard’s salary and benefits. The CLIENT may at its discretion
or prerogative give directly gifts, donations or token/s for exemplary performance of the
Guard on a case to case basis.

13. VENUE OF ACTION

That any legal actions related to the enforcement or compliance to the terms and conditions
on this instrument shall be brought and submitted to the jurisdiction of the court in the City
of Baguio after exhausting all means to amicably settle the issue by both parties.

14. EFFECTIVITY

This contract shall take effect on February 30, 2019 and shall be renewable every two years
terminated by either party to this agreement upon serving thirty (30) days written notice in
advance to the other party for any unlawful cause.
