Dear Sirs,

Referring to the above mentioned subject and your request, kindly find our offer for providing after sales service as
follows:
EQUIPMENT SUBJECT TO THIS OFFER:
 UPS LIEBERT EXL S1

Scope:
The Scope will include supervision of installation, commissioning & startup.

Details:
supervision of installation, commissioning & startup of the UPS system 350KW complete with the battery system
included in our proposal reference EM/ESCC/700001/UPS/19.2.19/MA/NEST/R0.

Notes:
a) A Final Service Report and Time Sheet will be provided to the customer with the result of the service visit.

TERMS & CONDITIONS:
The main Commercial conditions applicable to this offer are as follow:

1. Scope of supply

Equipment: Please refer to the above section “EQUIPMENT SUBJECT TO THIS OFFER”, Page 1.

2. Prices

Format: Firm Pricing.

Currency: in EUR excluding all taxes.

3. Delivery conditions (Only applicable for supplies/spare parts):

INCOTERM: Ex-works Egypt (Incoterms 2010),

PACKING: Seaworthy Packing (plywood case for Electrical items, cardboard case or palet for batteries).

4. Completion period

Within 2 weeks from the date of the contract coming into force.

5. Specific conditions of service operation (only where applicable)

Air Travel: Unless arranged by the customer, Airfare and sundry travel expenses will be charged at cost +
10%.

Travel time: Travel time outside a Working Day between Emerson’s offices to Site or local travel time
between accommodation and Site will be charged at the relevant contract rates. All travel will
originate from the base location of the relevant Emerson Personnel, which can be from any
Emerson or Emerson Representative office around the world.

Holidays: A premium hourly rate will apply to all hours worked on weekends, which are Fridays and
Saturdays in Egypt public holidays, European public holidays depending upon the base location
of the applicable Emerson Personnel. For the avoidance of doubt, the premium hourly rate will
always be applied to at least one day within any 7 consecutively worked calendar days.

Minimum Charge: A minimum charge of one (1) Normal Working Day will apply to any service visit, regardless of
duration.

Home leave: Home leave for Emerson Personnel will be agreed on a project specific basis with regards to
the requirements of Customer and the project.

Safety induction training: Any Site safety induction training required to be undertaken by Wadi Degla Personnel prior to
work will be charged as a working day.

Preparation time: Any in-house work to prepare method statements, engineering, documentation or workshop
time is included in contract prices.

Expenses: Expenses for accommodation, food, local travel and sundry expenses (Unless arranged by the
customer) shall be charged at cost + 10%. Any expenses linked with the security of Wadi Degla
personnel shall be borne directly by Customer.

Visa: Visa or Letter of Invitation for Wadi Degla Personnel required to obtain a visa on arrival shall be

arranged by Customer at their cost.

Material: Wadi Degla engineer will bring its own tool box (meters, scope, Torque) and Personal
protective equipment. The provision of any other testing equipment such as loadbank is
excluded. It could be proposed as option if required by Customer Payment terms and
conditions

6. Payment terms and conditions

Time sheet: Customer representative must sign the time sheets of Wadi Degla Personnel before the Wadi
Degla Personnel leaves the Site, Time sheets must be signed on a weekly basis as a minimum.
The signing of the time sheets will be acceptance that the Wadi Degla Personnel attended Site,
provided the service requested and that the services were completed to the satisfaction of
Customer. Should Customer fail to reasonably sign the time sheets then such failure to sign
shall be accompanied with a written statement to Wadi Degla stating the reasons for the refusal
to sign. Failure to provide such written statement of reasons to Wadi Degla within five (5) days
shall constitute Customer’s acceptance of the time sheet of the relevant Wadi Degla Personnel.
Invoicing will be based on the signed timesheet and the time signed for will be the basis for
invoicing and payment. No retrospective claims or adjustments will be considered.

Terms of Payment:
Material : 100% payment due upon handing over the original invoice (for material
amount) to the customer.

Service : 100% payment due upon handing over Wadi Degla invoice. All invoices will be
submitted and supported with timesheets approved by Customer’s/End User’s authorized
signatory and copies of receipts for expenses.

Taxes: The defined rates are exclusive of all and any local taxes such as Withholding tax. Any local
taxes payable will be added to the above costs and may be charged in addition separately.

7. Validity of the offer

Offer expiration date: 31/12/2018.

8. Contract coming into force

Upon fulfilment of following conditions: Acknowledgement of the order.

9. Cost of Service:
Daily rates for having a Vertiv Service Engineer / Technician from Wadi Degla Trading to support the equipment in this
offer on site are Euro 500.0 and all the above terms and conditions shall also apply.

Service requirements:
- 1 X Engineer [4 days]
- 2 Technicians [4 days]
