SUB: CONSENT TO ACT AS AUDITORS

With reference to your letter No. TDA/ACC/657/15 dated October 05,

2015, we hereby give our consent for re-appointment as auditors of LMN
(School) for the year ending June 30, 2014. The remuneration is required
to be fixed by mutual agreement in accordance with the guidelines given
in ATR-14 of the Institute of Chartered Accountants of XYZ but as a result
of TDA being a Trust and a non-profit organization for education of girls
students of adjoining areas, we are quoting the same reduced fee of Rs.
_______/- for the said year.

We confirm that our firm has been given a satisfactory rating under the
Quality Control Review Program of Institute of Chartered Accountants of
XYZ and it is fully compliant with IFAC Guidelines on Code of Ethics, as
adopted by the XYZ.
