M V TRUE CASPIAN – IMPORTANT POINTS OF CHARTER PARTY.

Master to read and understand main charter party CLAUSES at the earliest opportunity
Master in completing the IMO SHIP/SHORE SAFETY CHECKLIST and shall arrange all cargo
Operations strictly in accordance with the guidelines set out therein.

(b) In addition to the above and notwithstanding any provision in this Charter Party in respect of loading!
Discharging rates, the Charterers shall instruct the Terminal Operators to load/discharge the Vessel in
Accordancewith the loading/discharging plan, which shall be approved by the Master with due regard to
the Vessel's draught, trim, stability, stress or any other factor which may affect the Safety of the Vessel.

c) At any time during cargo operations the Master may, if he deems it necessary for reasons of safety of
The Vessel, instruct the Terminal Operators or their representatives to slow down or stop the loading or
discharging.

Charterers may request vessel's crew to clean vessel's cargo holds. Intermediate hold cleaning to be
solely in chop! performed by vessel's crew whom required by Charterer only, with Chartres paying USA
500 - per hold actually cleaned. It is understood that whilst crew will use their best endeavors to clean
holds, Owners I crew will not be responsible if the vessel fails any subsequent hold cleanliness
inspections I surveys, while Owners I crew will be responsible for hold cleanliness inspections I survey
when arriving the first loading Port after delivery under this Charter Party.

Clause47.
Vessel consumes IFO and / or MDO I MGO while changing ballast water at sea ballasting I de-ballasting,
Cleaning vessel's holds, when navigating I maneuvering in confined waters, rivers, channels in l out ports.
When sailing in areas of poor I limited visibility I when maneuvering, when encountering bad weather.

Bunker Specifications:
IFO 380CST, complying International Standard ISO 8217:2005 RMG380 Specification (or any subsequent
Modification or replacement thereof) and should also conform to Regulations 14 and 18 of Annex VI of
MARPOL 73/78. All fuel supplied must be free of inherent vice, in compliance with national and
International regulations for areas traded to and compatible for blending.

Good weather conditions, which are understood to mean winds speeds of under Beaufort force 4 and / or
Douglas sea state 3, no adverse currents and no swell.
-fuels supplied during the currency of the charter meet with the specification in accordance with the
vessel’s description and bunker clause.

Evidence of the weather conditions, the sea state, the vessels speed and consumption (service and eco)
And all other factors, data and other details relating to the vessel's performance shall be taken from the
Weather routing company's reports and shall be final and binding on both parties and conclusive in the
event of a dispute. The results of the performance evaluation by the weather routing company, including
analysis and methodology used in the company's report(s), shall also be final and binding on both parties
and conclusive in the event of a dispute.

Clause 53
Charterers to pay Owners USD 5,000 - in lieu of hold cleaning on re-delivery, excluding removal of any
dunnage I fittings, which to be removed by Charterers at their expense prior to re-delivery.

SPEED & CONSUMPTION:


Charterers have option to slow steam the vessel, to minimum 45 RPM, always within vessel, engine,
Cargo safety. Owners to guarantee service and eco speeds and consumptions.

Bunkers purchased / supplied in different lots must be segregated.

The word "Abt" (About) in speed and consumption refers to an allowance of +/- 0.5 knots and +/- 5% on
Bunker consumption respectively. At all times during the currency of the Charter, the vessel shall be
capable of steaming at the rate of knots and on the consumption of fuel oil as described and guaranteed
in the vessel's description in good weather conditions, In this Charter, the words "good weather
Conditions" shall mean wind speeds of up to and including Beaufort Force 4 and up to and including
Douglas Sea State 3. Speed and consumption are given basis clean bottom with no adverse currents.

Vessel to be Right Ship approved and maintain this status during the currency of this time charter failing

Clause 65. Stevedore Damage


Stevedores to be appointed and paid by the Charterers, but are to work under the supervision and
responsibility of the Master.
Should any damage be caused to the vessel or her fittings / equipment by the stevedores, or as soon as
Such damage is discovered, the Master must arrange for the stevedores to repair such damage and is to
settle the matter directly with them. Failing which,the Master shall make a proper Claim in writing (stating
Nature and extent of the damage as well as time, place and way of its occurrence) against the company
and / or person having caused the damage.
One copy of which shall be sent to the Charterers and their agents at the respective ports within 24 hours.
If the Master fails to do the same. The Charterers shall not be held responsible for any Damage caused.
If the damage caused affects the seaworthiness of the Vessel or is subject of a Condition of Class then all

If during the course of this Charter Party it is intention of the Charterers to trade place(s) I area(s)
where extra ropes, in respect of the ropes available on board, are required, then same to be advised to
The Owners at earliest possible time. Any extra ropes etc. required for trading such place(s) I area(s), to
be supplied by Charterers at their cost and time. In any event Owners cannot be held responsible if

e) The Owners reserve their right to make a claim against the Charterers for any damage to the main
Engines or the auxiliaries caused by the use of unsuitable fuels or fuels not complying with the agreed
Specification. Additionally, if bunker fuels supplied do not conform with the mutually agreed
Specification or otherwise prove unsuitable for burning in the ship's engines or auxiliaries the Owners
Shall not be held responsible for any reduction in the Vessel's speed performance and/or increased
Bunker consumption nor for any time lost and any other consequences
Vessel is not acceptable by any port authority I shippers I receivers etc. due to ropes requirement exceed

Clause 116. Hull Fouling in Port:


In the event that the vessel remains in one port for a period of 28 consecutive days or longer and the
Master reports signs of marine growth, the vessel is not responsible for any reduced performance and
Charterers are not able to claim against Owners. Charterers may arrange and pay for underwater
cleaning at their expense and time, following which, and subject to the Master's confirmation that the
cleaning operation has been carried out successfully, the performance warranties are reinstated.
In case Charterers will not be able to clean the hull before re-delivery of the ship, then Charterers shall
Reimburse Owners the underwater cleaning expenses (reasonably incurred) against the production of an
Invoice detailing the nature of the work carried out.
