or blanket shipping instructions. Full shipping instructions must accompany each individual order.
No claim for shortages will be allowed unless made in writing within (10) days of receipt of
shipment. Claims for material damaged or lost in transit should be made to the carrier, as sellers
responsibility ceases on delivery to the carrier. Shipping schedules and statements as to the
expected date of shipment by Seller represent Seller’s best estimate and shipment in accordance
with such estimate is not guaranteed. Seller is not liable for any freight costs because of late
delivery.
 Delivery: Delivery and shipment dates are estimated schedules only, unless otherwise specified,
schedules commence with the date the Seller receives authorization to proceed with the order and
order is accepted into production. In estimating such dates, no allowance has been made for
delays of carriers or delays from labor difficulties, shortages, strikes or stoppages of any sort,
fires, accidents, failure or delay in obtaining materials or manufacturing facilities, acts of
government affecting Seller directly or indirectly, bad weather or any cause beyond our control or
causes designated Acts of God or forces Majeure by any court of law, and the estimated delivery
date shall be extended accordingly.
 Warranty: Seller warrants all parts and assemblies to be free from defects in design, material
and workmanship for a period of one year from date of shipment from the Seller’s plant. The Seller
reserves the right to examine all parts and assemblies claimed to be defective. All parts and
assemblies which are determined to be defective in either material or workmanship may, upon
express authority of the Seller, be returned to the Seller’s plant prepaid and will be repaired or
replaced as deem fit. In no event shall the Seller be liable for any consequential costs or
damages. This warranty is expressly in lieu of all other warranties, expressed or implied and
whether of merchantability or fitness. This warranty does not apply to parts and assemblies
which have been subject to misuse, negligence, improper storage and handling or accident.
Also it does not apply if repairs, modifications or reconditioning work is undertaken without prior
written approval of the Seller. The buyer is required to examine all parts and assemblies
immediately upon receipt of shipment and promptly notify the Seller of any defects or alleged
defects of the parts and assemblies.
 Returns: Returns must not be made without Seller’s written consent. Goods must in all cases be
carefully handled, properly packed and shipped prepaid. Goods authorized for return are subject
to a restocking charge based upon our inspection which may include any charges for retesting,
reconditioning or repainting as required. Seller reserves the right to refuse credit for unwanted
fabricated items. Goods returned for repair will be subject to our evaluation and charges will be
based upon replacement of parts and labor.
Note:
Seller reserves the right to correct obvious clerical errors in quotations, invoice and other contracts.

regulations & Manufacturer's recommended application instructions. "HIT" is a
member of the NPCA (National Pest Control Association) USA.

PREMISES : Royal Commission Project (Contract No. 027‐T15) located at Jubail,
having approximately 195,571 Sq. Mtrs.

APPROVED TERMITICIDE : Biflex (Details enclosed).

CONTRACTUAL VALUE: Our charges for pre construction termite control service
for the above mentioned project will be SR. 3.85 (Saudi Riyal Three and Halala

Eighty Five Only) per Sq. Mtr./ L. Mtr.

VALIDITY FOR THE OFFER: Validity for this offer is 60 (sixty) days from quotation
date.

WARRANTY : Upon the completion of the works TEN (10) years warranty will be
issued in favour of the assigned client. The warranty effective date will be the
treatment completion date of each unit/building of the project.

NOTE:
1‐ The client should inform us regarding the initial work 3 days in advance.
2‐ Each further service should be notified at least 24 hours in advance.
3‐ Water for termiticide chemical dilution shall be arranged by the clients at
site.
4‐ The site should be vacated by the other workers for termite control service
at least 30 minutes before starting the treatment.
5‐ Client should arrange minimum 200 sq. mtrs. for each service request. If it
is less than 200 Sq. Mtrs, then we will charge SR. 100/‐ as transportation
charge per visit.

Dear Sir,
In reference to your faxed dated on 18th of February 2013, we would
like to thank you for inviting us to offer our best quotation regarding
for the above service in your new project at Royal Commission Jubail.
LOCATION
In Jubail City at Royal Commission, M/s. Radicon Gulf Consult &
Kent Eng’g. having new project ten (10) academic buildings at Royal
Commission under construction total area 195,000 square meters.
SCOPE OF WORK
The Anti-proofing pre-construction termite control service will be
operated in three (3) stages only;
1. Below footing (before concrete)
2. Grade on beam (foundation after back filling)
3. Walk way / pass way (surrounding of the building)
OUR CHEMICAL FOR TERMITE CONTROL
BIFLEX TC is termicidal concentrate formulation containing the active
ingredient 25.1% Bifenthrin. Biflex TC is used as a public health
pesticide for the control of termite’s pre and post construction. FMC
and Biflex are Registered Trademarks of FMC Corporation,
Philadelphia, USA and the producer in the kingdom is Astra Industrial
Complex Co. Ltd. (ASTRACHEM), which formulated specially for the
termite situation here in the Kingdom of Saudi Arabia.
• 25.1 % Bifenthrin is the active ingredient in the Biflex emulsion and is
present and between 0.5 g/L and 1.5 g/L.
• Application of this chemical should be carried out by professional pest
control operators only.
CHEMICAL DOSAGE
Biflex TC shall be applied at 0.06% concentration (2.65 ml of Biflex TC in 1 liter of
water).
The emulsion should be applied at horizontal barriers
- Spray area intented to be covered with concrete.

WARRANTY
Providing the pre-construction termite control service as per the job specification
will cover a Ten (10) Years Warranty, after all the invoices are paid in full.
• The warranty covered only the areas treated and will provide special
service after assessment of the complaint.
• After the treatment, any modification/changes such as additional land fill or
excavation in the area must be treated again. Failure to inform us will
nullify/cancel the warranty.
OUR CHARGES
The above said scope of works our unit charge, SR. 2.20 per sq. meter
(Two and Twenty Halalas Saudi Riyals Only) per square meter
TERMS OF PAYMENT
Payment in pro-rata basis and upon presentation of treatment, receipt will be
given to the area and payable in full payment against the invoice submission.

1. All requests for treatment to be 24 hours notice in advance to enable us
sufficient time to mobilize.
2. Areas to be treated must be ready on the date and time requested.
3. Water should be available on the site with sufficient pressure needed to fill our
tanker in a reasonable time.
4. After completion of any given area treated, it must be covered or sealed by
plastic within 24 hours.
5. FMCo will not be responsible for the chemical degradation after 24 hours due
to weather or climatic over exposure.
Quotation Value : The validity of this quotation is one (1) month (30 days) from
the date mentioned on the cover page. After which
anyfurther inquiry or changes will be subject to new terms
and conditions.
Mobilization : As per client request 24 hours advance confirmation before

developed based on standard CB&I estimating norms for Middle East which include Saudi
Arabia. In absence of site inspection report, CB&I assumes jobsite is clear from any

Budget information pricing assumes both tanks will be ordered. Individual tank prices are not
available for individual acceptance

GENERAL TERMS & CONDITIONS
TECHNICAL RESERVATION/ SCOPE OF WORK:
1. Heba’s offer is for Design and Supply of NOVEC-1230 fire suppression system & and its related
Detection System equipments.
2. Installation, Programming, testing & commissioning of NOVEC-1230 fire suppression system is out of
our scope of work, in case of any change our offer shall vary accordingly.
3. Heba's offer is based on the NOVEC-1230 Gas quantity calculated based on the volume provided in
your RFQ. In case of any change in the gas quantity during design stage, change in the
room/hazard dimensions or due to comments from the consultant/or client, the offer shall vary
accordingly or shall have commercial impact.
4. Heba’s offer includes the addressable type fire alarm detection system; in case of any change our
offer shall vary accordingly.
5. We have proposed separate addressable fire alarm control panel for separate room, in case of any
change our offer shall vary accordingly.
6. Networking/interfacing among fire alarm control panels is out of our scope of work, in case of any
change our offer shall vary accordingly.
7. Any kind of third party utility interfacing and networking with the fire alarm system is out of our
scope of work. In case of any changes our offer shall vary.
8. Programming, Testing & Commissioning if required shall be charged on per day basis SR-2500/-
9. Actual Discharge test of NOVEC-1230 system is out of our scope of work. We shall carry out only
functional test.
10. Room integrity test is out of scope of work. In case of any change our offer shall vary.
11. Client has to ensure the hazard area is completely enclosed for each room above ceiling void &
subfloor void and is leak proof. Any closing of openings of the room is not in our scope of work.
12. Power Supply of 110/220VAC at 50/60Hz have to be provided by the client for the fire alarm control
panel. This Power supply must be a stable power supply with the maximum of +_ 10% variations,
and in case of power supply fluctuations a stabilizer shall be provided by the client.
13. ID/Gate pass & work permit receiver shall be arrange/provided from your end while Programming,
Testing & Commissioning of the project.
14. Material inspection at vendor/manufacturer facility is not considered in our offer, hence shall not be
in our scopes of work.
15. HEBA reserves the right to change the prices of any item, if in case the client has missed out to
provide any vital information for our estimation. In case of any change in the specification or
quantity, the prices will vary accordingly. HEBA has the right to accept / decline any purchase order
which has discrepancy with respect to the quotation or its latest revision.
DEVIATION /CLARIFICATIONS:
16. Heba's offer includes 4.5% for some rooms & 4.2% design concentration for some rooms as per the
design requirement of NFPA for NOVEC-1230 Gas as mentioned in the RFQ provided. In case there
is a comment from client during detail engineering in the Gas quantity or design concentration, our
offer shall vary accordingly.
17. It shall be noted that the offer is subject to variance at a later date, as the present proposal is
provided on limited information available in the RFQ. This is subject to change after a detailed site
survey which will be required to be conducted when a more precise proposal is required to be
submitted.
18. Provision for supply of fire/smoke dampers, interface with HVAC, BMS or any other third party
system is not included in this offer due to insufficient information. If required shall be charged extra.
19. Any tools and equipments required at site to lift the equipment/material at higher elevation like
forklift, carne, man-lift, etc shall be provided from your end.
20. FAT (Factory acceptance test) has not been included in our offer, if require shall be charged extra.
21. Client/Consultant shall provide all the work permits, ID and required permissions for programming,
testing & commissioning.
22. The offer doesn’t include the spare parts require for operation and maintenance, if require shall be
charged extra.
23. Electricity required during programming, testing & commissioning of the project shall be provided by
the Client/Consultant.
24. Any purchase order resulting from this offer with delay penalty clause shall not be acceptable.
25. We have considered the altitude correction factor as 1 at sea level, any change in altitude factor
shall vary the offer accordingly.
Material Delivery:
14-16 from the date of receipt of your commercially and technically cleared purchase order, receipt of
down-payment, approval of products and approval design drawings.
COMMERCIAL TERMS:
1. The offer is valid for 30 days.

2. All prices are subject to change after the validity of this proposal has expired.
3. Prices are all inclusive of material delivery at job site.
4. Final acceptance or rejection of an order shall be by an authorized representative of HEBA Fire and
Safety Co. at Dammam.
5. Please indicate the above Quotation No. in all correspondence regarding this quotation in order to
expedite our assistance.
6. All freight and handling charges are estimated and based on Incoterms 2000.
PAYMENT TERMS:
50% Down payment along with PO

50% against material delivery
ORDER ACKNOWLEDGEMENT:
Orders received will be acknowledged in two stages:

1. Initial Acknowledgement:
Immediately upon receipt of the order, an INITIAL ACKNOWLEDGEMENT will be sent out
confirming receipt of the order and advising date of releasing the FINAL Acknowledgement.
2. Final Acknowledgement:
This will be sent after all TECHNICAL aspects of the order have been reviewed by our Engineering,
QA and Production departments and ALL / ANY changes, clarifications and queries are resolved. At
this stage the order is then considered “Technically Cleared” and a detailed acknowledgement
advising delivery dates would be released. The order would then be processed and would begin at
this stage. The quoted deliveries are honored upon issuance of the FINAL acknowledgement.

The steel construction of the crane is calculated in accordance with DIN 15018, hoisting classification H2, stress
group B3.
Crane girder is a fabricated box with scarfed ends at an angle of 45°. The level at the underside of the crane
girder coincides with the level of the running surface of the crane track. The crane is designed for indoor operation

Limitation of DEMAG shall in no event and irrespective of the legal basis (contract, tort, or any other

B. PRICE: Our total price to supply the above mentioned equipment shall be: SR.355,542

C. Terms of Payment: 25% down payment with official purchase order and balance amount
payable through letter of credit / cash / certified cheque as and where applicable
depending upon the product type and nature of sales. Payment of 100% of the agreed
price shall be made / completed by Buyer, prior to the delivery of goods without any
right of retention or reduction, unless agreed by Seller in writing. If payment in
not made on time, Seller shall be entitled to charge a late payment fee at the rate
of 1% of the outstanding amount for each month or part thereof the payment is
overdue, until full payment is received. After 90days from the payment due date, any
expenses incurred by Seller in collecting past due amounts shall be for the account

D. GENERAL TERMS & CONDITIONS:
1. General: The terms and conditions of sale are as set forth herein. Terms and
conditions included in the solicitation or otherwise proposed by the Buyer
shall be excluded from the contract unless accepted by seller in writing. No
contract shall result from this quotation unless Buyer`s order is acknowledged

2. Prices:Unless stated otherwise, prices are stated in Saudi Riyals or US
Dollars.Prices are made according to the prevailing prices at the time of
quotation.Seller reserves the right to change typographical or clerical errors

3. Shipment and Delivery:Unless specifically agreed in writing, shipment dates
quoted are estimates and seller does not guarantee a particular date for
shipment or delivery of the goods. Unless designated otherwise, goods are
quoted ex-seller`s warehouse. The delivery period shall begin on the date a
firm order with advance payment or letter of credits is received from

from offloading and rigging at buyer`s site.
5. Cancellations:If the Seller, on Buyer`s request, shallagree to cancel any order
or part thereof, the Buyer shall reimburse the Seller for costs and expenses
which arise as a result of the cancellation. In the event of cancellation Buyer
shall pay in full for any goods completed under the order. Seller reserves the
right to offset its cancellation costs against any payments received on the
order.
6. Changes:Work and material in addition to or different from, that stated herein,
and changes in drawings or specifications, shall be subject to seller`s
approval, and shall entitle Seller to an adjustment in the price and schedule.
7. Force Majoure:Seller shall not be liable for any losses, damages, or penalties
occasioned by late performance, nor for any deviations in performance due to
fires,strikes, labor disputes, supplier delays, governmental actions, customs
delays. Acts of nature, or any other condition beyond Seller`s control.
8. Applicable Law : Any agreement arising from this quotation shall be governed
by, and constructed in accordance with, the laws of the Kingdom of Saudi

4. Labor cost involved in removing the defective part(s) or installing the new
parts, when applicable, is covered under Standard Warranty. When needed, the
expenses for utilizing a crane will be paid by the Customer
5. Upon expiration of Labor Warranty, the additional Parts and Compressor Warranty
(if any) shall cover defective parts that are verified by Zamil Air
Conditioner?s service team and returned to Zamil Air Conditioners? nearest
service center.
6. Unless otherwise pre-approved in writing by Zamil Air Conditioners, Warranty
shall be void with the utilization of generators as a source of power.
7. Customer shall allow Zamil Air Conditioner?s Service Team to inspect the
equipment at any time during normal working hours. If Customer refuses to allow
Zamil Air Conditioners? representative to inspect the equipment, Warranty may
be void.
8. Customer shall maintain the equipment as per Zamil Air Conditioner?s standard
Operation & Maintenance Manuals, Reports and Logs shall be provided to Zamil
Air Conditioners when requested. Failure to do so may void the Warranty.
F. VALIDITY: This offer is valid for thirty (30) days from above date.
G. DELIVERY: Approximately four (4) months after your order placement.
H. CLARIFICATIONS / DEVIATIONS IN OUR OFFER:
1. Equipment with standard accessories will be manufactured as per our standard

specifications.
2. Our offer is prepared based on your submitted equipment capacities/information.
3. Our offer is to supply the aforesaid equipment only. Installation, testing and
commissioning are not included.
