EMPLOYMENT AGREEMENT

THIS AGREEMENT ("Employer”) with a principal place of business at 4015 Le Cul de


Sac Street Sun Valley Parañaque City Philippines and ("Employee"), with a principal
residence at Hanoi, Vietnam.

Services to Be Performed
Employee agrees to perform the role of a Country Manager for Vietnam, with role and
tasks described in Exhibit A (Job Description), which is attached to this Agreement
starting January 4, 2018.

Payment
In consideration for the services to be performed by Employee, Employer agrees to pay
Employee Nine Hundred and Fifty US Dollars (US$900.00) per month, divided for
payment before every 15th and last day of each month.

Revolving Fund
Employee will be provided with a Monthly Revolving Fund amounting to Four Hundred
and Fifty US Dollars (US$ 450.00), US$ 300.00 for transportation & representation and
US$ 100.00 for mobile with data - attributable directly to work performed under this
Agreement such as fares, fuel, toll fees, representations and cellphone bills.

Employee shall submit an itemized statement of expenses for a month, with available
receipt to the Employer within five (5) working days after the end of each month.
Employer shall return the consumed amount to the Employee within five (5) working
days after receipt of each statement.

Term of Agreement
This agreement will become effective when signed by both parties and will be terminated
upon Employer and/or Employee’s discretion.

Terminating the Agreement


With reasonable cause, either party may terminate this Agreement at any time by giving
30 days' written notice to the other party of the intent to terminate.

Resolving Disputes
If a dispute arises under this Agreement, any party may take the matter to the
Parañaque City court, jurisdiction of the Philippines.

Confidentiality
Employee acknowledges that it will be necessary for the Employer to disclose certain
confidential and proprietary information to the Employee in order for Employee to
perform duties under this Agreement. Employee acknowledges that disclosure to a third
party or misuse of this proprietary or confidential information would irreparably harm
Employer. Accordingly, Employee will not disclose or use, either during or after the term
of this Agreement, any proprietary or confidential information of the Employer without
Employer's prior written permission except to the extent necessary to perform services
on Employer's behalf.

Proprietary or confidential information includes:


• the written, printed, graphic, or electronically recorded materials furnished by
Employer for Employee to use
• any written or tangible information stamped “confidential,” “proprietary,” or with a
similar legend, or any information that Employer makes reasonable efforts to maintain
the secrecy of
• business or marketing plans or strategies, customer lists, operating procedures,
trade secrets, design formulas, know-how and processes, computer programs and
inventories, sales projections, customer information and pricing information, and
• information belonging to customers and suppliers of Employer about whom
Employee gained knowledge as a result of Employee's services to Employer

Upon termination of Employee’s services to Employer, Employee shall deliver to


Employer all materials in Employee's possession relating to Employer's business and
the unconsumed Revolving Fund.

Employee acknowledges that any breach or threatened breach of this Agreement will
result in irreparable harm to Employer for which damages would be an inadequate
remedy. Therefore, Employer shall be entitled to equitable relief, including an injunction,
in the event of such breach or threatened breach of this Agreement. Such equitable
relief shall be in addition to Employer's rights and remedies otherwise available at law.

Applicable Law
This Agreement will be governed by the Philippine law, without giving effect to conflict of
laws principles.

Exhibit A: JOB DESCRIPTION


Country Manager for Vietnam works to represent RAIMOL in Vietnam, that involves working to
manage operations, develop business and increase profitability.

The job would suit someone who enjoys a client facing role and the challenge of growing the
business. The Sales Manager will also have the opportunity to travel and to really get to know
the culture of the country that he is working in.

The Country Manager is expected to meet company goals by providing clear direction and setting
a positive example for attitude, professionalism, and work ethic. Country Manager duties include:

 Managing all operations within a country. This involves taking responsibility for
sales, marketing, profit, revenue, cash and quality targets.

 In charge of many areas of the business such as moving services, purchasing and
records management.

 Creation of periodic budgets and producing a detailed business operating plan, as


well as periodic targets for revenue, profits and cash.

 Produce business performance reports.

 Client facing through daily contact with clients, therefore the ability to communicate
effectively is essential.

A Country Manager job demands a broad range of business skills including:

 Educated to degree level or equivalent, preferably with some financial qualifications


or training – a solid understanding of budgeting and financial planning is essential as this
role involves agreeing annual budgets as well as producing financial reports.

 A strong understanding of how a business operates and successful candidates will


have a proven track record demonstrating their understanding and business acumen.

 General management experience.

 Excellent spoken and written English communication skills.

 Excellent networking skills and deliver the highest standards of customer service.

 Excellent interpersonal skills at all levels, including people-management, leadership


and both written and verbal communication skills.

 Knowledge and experience of the sector (oil and lubes) the company operates
within. Must fully understand the products and services provided by their company.

 Must be familiar with computer software programs such as Word, Excel,


Powerpoint, etc.

 With a valid Passport and/or driver’s license.
