TERMS OF USE
5. TERMINATION
5.1. You may terminate this TOU at any time, provided you comply with Section 5.4.
5.2. In addition to the above, if you breach the TOU or use the Dataset in such a way as to
damage, compete or assist others in competing with Yahoo’s business, Yahoo may terminate
the TOU with immediate effect.
5.3. You must terminate use of the Dataset and delete the Dataset, and any portion thereof,
from any media on which it has been stored, if Yahoo, in its sole discretion, requires you to
do this for legal, policy or regulatory reasons.
5.4. Upon termination of this TOU, you must delete or destroy all copies of the original
Dataset from any media on which it has been stored. Sections 1.2, 2.2, 2.4, 4, 5.4, and 6, will
survive the termination of this TOU.
6. GENERAL
6.1. You may not assign any right or obligation under this TOU, either in whole or in part,
without the prior written consent of Yahoo. Any attempt to assign or delegate any rights or
obligations without Yahoo's prior written consent is null and void. Yahoo may assign this
TOU without your consent.
6.2. The failure of Yahoo to exercise or enforce any right or provision of this TOU does not
constitute a waiver of that right or provision. If any provision of this TOU is found by a court
of competent jurisdiction to be invalid, the parties nevertheless agree that the court should
endeavor to give effect to the parties' intentions as reflected in the provision, and the other
provisions of this TOU remain in full force and effect.
6.3. For purposes of this TOU, you and Yahoo will be and act independently, and not as
partner, joint venturer, agent, employee or employer of the other. You have no authority to
assume or create any obligation for or on behalf of Yahoo, express or implied, and you must
not attempt to bind Yahoo to any contract.
6.4. The Dataset is being provided to you in accordance with U.S. export control laws and
regulations. If you directly or indirectly transfer or implement the Dataset itself or use the
Dataset to develop any derivative product, you are responsible for complying with the export
and import laws, regulations, and licensing requirements of the United States and any other
countries that may apply.
6.5. These terms constitute the entire agreement between you and Yahoo concerning your
access to and use of the Dataset, supersede any prior agreements between you and Yahoo
with respect to the Dataset, and are the sole source of your rights concerning use of the
Dataset.
1. ACCEPTANCE OF TERMS
a. Yahoo Inc. (“Yahoo”) provides messaging, assistant, communication, search, and
interaction products, including chat bots operating in messenger platforms, virtual personal
assistants and stand-alone apps accessed on Yahoo or through third-party apps and services
(“Webscope”), all of which are subject to the terms and conditions of this Yahoo Webscope
Additional Terms of Service (“ATOS”)

into this ATOS. Your use of the Webscope constitutes acceptance of, and is subject to, this
ATOS and the UTOS. This ATOS and the UTOS may be updated by Yahoo from time to
time without individual notice to you. You can review the most current version of this ATOS
and the UTOS by clicking the applicable links above.
b. Webscope may interact and converse with you to answer questions, help complete tasks or
perform other activities. Webscope rely on Yahoo personnel and/or automated systems to
respond to questions or instructions from users.
c. Yahoo may collect information about you when you use the Webscope, including your
conversations and interactions with the Webscope, your Yahoo ID and information
associated with your Yahoo account.
d. We may also collect information provided by a third-party (including apps, messaging
platforms and other services) interacting with the Webscope, which could include: your
account information with the third-party, such as user ID, name, photo, phone number, email
address; and device information such as device ID, device type, operating system, and mobile
carrier.
e. Yahoo’s personnel and automated systems may have access to all communications content
as it is sent, received, and when it is stored, in order to fulfill your requests, further product
and services development, and provide personalized experiences and advertising through
Yahoo’s products and services.
f. By accessing, using and continuing to use the Webscope, you represent and warrant that
you are permitted to do so under applicable law. You are solely responsible for using the
Webscope in compliance with any and all applicable law. If you are in a jurisdiction where
download or use of the Webscope is prohibited or restricted or if you are below the
applicable legal age required to use the Webscope, do not download or use the Webscope.
Unless explicitly stated otherwise, any new features that augment or enhance the current
Webscope shall be subject to this ATOS, which you agree to by continued use of the
Webscope.
5. RESTRICTIONS ON USE
YOU MAY NOT and will not allow any third party to (except to the extent required by local
law):
a. Copy, decompile, reverse engineer, reverse assemble, disassemble, modify, rent, lease,
loan, distribute, or create derivative works (as defined by the applicable local laws) or
improvements (as defined by the applicable local laws) to the Webscope or Software or
otherwise attempt to discover the source code or protocols in the Webscope or Software;
b. Obtain or attempt to obtain unauthorized access to the Webscope or the Yahoo network;
c. Incorporate the Webscope or the Software, or any portion thereof, into any other
Webscope, software, hardware, or other technology manufactured or distributed by or for
you;
d. Use the Webscope in any unlawful manner, for any unlawful purpose, or in any manner
inconsistent with this ATOS or the UTOS;
e. Use the Webscope to operate nuclear facilities, life support, or other mission critical
application where human life or property may be at stake (you specifically understand that
the Webscope are not designed for such purposes and that their failure in such cases could
lead to death, personal injury, or severe property or environmental damage for which Yahoo
is not responsible); or
f. Sell, lease, loan, distribute, transfer, sublicense, reproduce, duplicate, copy, trade or exploit
the Webscope or access thereto or derive income from the use or provision of the Webscope,
whether for direct commercial or monetary gain or otherwise, without Yahoo's prior, express
and written permission.
7. GENERAL INFORMATION
Entire Agreement. This ATOS and the UTOS and all documents incorporated therein
constitute the entire agreement between you and Yahoo as it relates to your use of the
Webscope and supersedes any prior version of this ATOS or the UTOS, if any, between you
and Yahoo with respect to the Webscope. You also may be subject to additional terms and
conditions that may apply when you use or purchase certain other Yahoo Webscope
(including charged Webscope), affiliate Webscope, third-party content or third-party
software. This ATOS will continue to govern your use of the Webscope unless you agree to
other terms with a Yahoo company that specifically state that they supercede the previously
agreed version of the “Yahoo Webscope Terms of Service”. If you are using the Webscope,
in the event of a conflict between the provisions of this ATOS and the UTOS, the provisions
of the ATOS shall control, as they relate to the Webscope.
9. OTHER
a. If applicable, all Software provided to the U.S. Government pursuant to solicitations issued
on or after December 1, 1995, is provided with the commercial rights and restrictions
described herein. If the Webscope and related documentation are supplied to or purchased by
or on behalf of the United States Government, if applicable, then the Webscope are deemed
to be "commercial software" as that term is used in the Federal Acquisition Regulation
system. Rights of the United States shall not exceed the minimum rights set forth in FAR
52.227-19 for "restricted computer software."
b. You agree to not provide material support or resources (or to conceal or disguise the
nature, location, source, or ownership of material support or resources) to any organization(s)
designated by the United States government as a foreign terrorist organization pursuant to
section 219 of the Immigration and Nationality Act.
