1. PROJECT SUMMARY
Project Description

Tenoil Petroleum and Energy Services Limited, herein after referred to as TENOIL, proposes to operate
the ATA field located in OPL2008 straddling OML68 in Shallow Offshore Nigeria and flow Ata production
via MPNU’s Inanga Platform to Idoho Platform. The three platforms, Ata 6, Inanga UA and Idoho BP lie
in a water depth of 48ft, 50ft and 63ft respectively.

Tenoil originally intended to produce the Ata-6 Vertical well located approximately 2.5km from Inanga UA
platform through a tie-back to the Inanga UA pipeline leading to the Idoho BP platform but due to MPNU’s
declaration that the Inanga UA-Idoho BP pipeline is unfit for use, Tenoil now intends to replace the Inaga
UA-idoho BP pipeline complete with a launcher and a receiver. Once installed, the new 12inch Inanga
UA-Idoho BP pipeline will enable Full Well Stream fluids from Ata 6 platform and Inanga UA platform to
be transported to Idoho BP and processed at MPNU’s Qua Iboe Terminal.

The Schematic Layout of the pipelines between Ata 6, Inanga UA and Idoho BP is shown in Figure 0-2
Schematic Layout. The field location overview is depicted in Figure 0-3 Field Location Overview.

ARTICLE 1 OUTLINE SCOPE DESCRIPTION


This document as part of the overall JOB SPECIFICATION, establishes the scope of WORK to be
performed by CONTRACTOR for the project management, interface management, procurement,
fabrication, manufacturing and assembly, testing, maintenance and refurbishment, integration,
preservation, storage and delivery to COMPANY, offshore hook-up, installation, pre-commissioning,
commissioning and start-up support of the PERMANENT WORK. with MPNU personnel being
responsible for operations at Idoho BP, while the CONTRACTOR shall be responsible for operations at
Inanga UA. The CONTRACTOR shall also provide follow up engineering and other services necessary
for the performance of the WORK.

COMPANY shall develop the Detailed Design of the new facilities required to implement the Inanga UA
- Idoho BP pipeline project and deliver a design package to the CONTRACTOR upon contract award as
captured in the JOB SPECIFICATION. As part of its scope of WORK the CONTRACTOR shall build upon
the verified JOB SPECIFICATION to complete the installation analysis, such that when complete the
PERMANENT WORK shall comply with COMPANY’S and MPNU’s requirements in all aspects.

Approval by the COMPANY

In all instances where a review and or approval of a CONTRACTOR deliverable is required by COMPANY
as indicated in the JOB SPECIFICATION, the CONTRACTOR shall not proceed until such review and
approval has been completed and or obtained by or from COMPANY.

However, approvals, reviews, recommendations and clearances given by COMPANY shall not relieve
CONTRACTOR of the ultimate responsibility for properly complying with all of CONTRACTOR’s
obligations under the CONTRACT.

ARTICLE 2 PERMANENT WORK


This article sets out the PERMANENT WORK which the CONTRACTOR shall deliver under this
CONTRACT.

Inanga UA Facilities

The 12” Inanga UA – Idoho BP Export Pipeline shall have a pig launcher and related facilities on the
Inanga UA Well Head Platform. These facilities which are brownfield additions and modifications at
Inanga UA includes deck extensions/structural modifications, pipe supports, piping and tie-in work,
instrumentation, fire-detection and protection systems and hook-up to existing systems.

The extent of the deck extension at Inanga UA shall be confirmed during detailed design but shall be
adequate to accommodate a 30' x 7' pig launcher skid, 20' x 12' separator skid, 20' x 8' LACT skid,
associated interconnecting piping, and a power bank charged by solar power and wind turbines

Major elements of the export pipeline system are described in the following sub-sections:

2.1.1 Pipeline Work at Inanga

This shall include the rigid riser, subsea connection spool and fittings that connect the topsides to the 12
inch Inanga UA - Idoho BP export pipeline.

2.1.2 Topside, Piping and Pipeline Work at Inanga

This shall include pipeline work from the new pig launcher via the DB&B valves, barred tee and pipeline
SDV to the tie-in to the riser of the 12" Export Pipeline to Idoho BP. Additionally tie-ins shall be made
from the Inaga 12" FWS product discharge piping to the barred tee, complete with check valve and
chemical injection and sample probes, with a further connection made from the 6" Ata -Inanga UA line to
the 12" Export Pipeline to Idoho BP complete with check valve and manual isolation valves. All requisite
utilities connections shall be made to the pig launcher

2.1.2.1 Structural Work At Inanga

The Inanga UA platform shall, as required, have a deck extension, piles to support the deck extension,
and additional secondary members. It shall also include demolition and re-installation of handrails, boat
landing and stairs, installation of all piping supports, riser supports and structural supports for all
equipment. Restore helideck integrity and refurbish sump tank and pumps. It shall also include the riser
protection barrier.

2.1.4 Instrument work at Inanga

The modified Inanga UA platform shall have instrumentation required for the operation, monitoring and
safeguarding of the facilities on the platform. It shall include all pneumatic tubing and instrumentation and
controls, fusible loops, connections to the WHCP where necessary, field mounted control panel for the
new separator, and a LACT unit for custody metering of the Inanga UA and Ata oil production including
metering of produced gas and water, and a field mounted control panel to house the instruments. As an
alternative to a LACT unit, an MPFM shall be considered subject to MPNU approval.

o BP Facilities

The 12” Inanga UA – Idoho BP Export Pipeline shall have a pig receiver and related facilities on the Idoho
BP Production Platform. These facilities which are brownfield additions and modifications at Idoho BP
includes deck extensions/structural modifications, pipe supports, piping and tie-in work, instrumentation,
fire-detection and protection systems and hook-up to existing systems.

2.2.1 Pipeline Work at Idoho This shall include the rigid riser, the subsea connection spool, and the
connecting spools and fittings to tie-in the pig trap to the 12 inch Inanga UA - Idoho BP export pipeline

2.2.2 Topside Piping and Pipeline Work at Idoho

This shall include the pipeline work from riser tie in to the pig receiver via the SDV, barred tee and DB&B
valves to the tie-in to the pig receiver, and piping tie-ins from the barred tee to the 12" production manifold
of the production separators, all utility tie-ins including fire water, open and closed drians, blow down and
relief, instrumemnt air, and shall include the provision of a non-return valve to prevent back flow from
Idoho facilities in to the Inaga-Idoho pipeline.

2.2.3 Structural Work at idoho

The Idoho BP platform shall, as required, have a deck extension, additional secondary members,
demolition and re-installation of handrails, stairs as necessary and installation of all piping supports, riser
supports and structural supports for all equipment. It shall also include the riser protection barrier

2.2.4 Electrical and Instrument work at Idoho

The modified Idoho BP platform shall have field instrumentation required for the operation, monitoring
and safeguarding of the new facilities on the platform. It shall include all instrument hookups and controls
to the ESSDS panel to maintain the integrity of the Idoho BP platform. Additionally, due to limitations of
illumination around the facility, additional lighting fixtures shall be provided for the extended facilities.

Subsea Export pipeline

The export pipeline extending from Inanga UA to Idoho BPshall consist of a 12-inch class 900 pipeline,
constructed from API 5L, Grade X52, PSL 2, line pipe of wall thickness 0.688 inch. This shall include the
pipeline from the tie-in to the pig launcher at Inanga UA, via the DB&B valve, barred tee, pipeline SDV,
riser down, subsea pipeline, riser up, pipeline SDV, barred tee, DB&B vlave to the tie-in to the pig receiver
at Idoho BP. Connection of the pig trap bypasses via check valves to the topsides process piping at
each end completes the pipeline network and includes the utility conections of the pig traps to the topsides
facilities

The following optional scopes shall be deemed to be included in base scope on COMPANY request at
CONTRACT award.

Inanga UA Platform Revamp

As an option at COMPANY’s sole discretion, CONTRACTOR shall perform refurbishment activities at the
Inanga UA WHP. The activities to be undertaken as part of the scope of work shall include the following:

a. Boat landing replacement/ refurbishment

b. Helideck repair

c. Instrument, Power and Gas system replacement/ refurbishment

d. Well Head Control Panel repair/ refurbishment

e. Structural strengthening and repair at identified points of interest

f. Revamp sump tank and pumps

g. Cleaning and painting structural work and piping

ARTICLE 4 PROJECT MANAGEMENT


General

The CONTRACTOR shall:

a. Provide all Project Management for the WORK in accordance with the CONTRACT. Project
Management include the overall co-ordination for the completion of the PERMANENT WORK
and the co-ordination and integration with the work of the COMPANY and other parties in relation
to the PROJECT.

b. Within Seven (7) days of the EFFECTIVE DATE of the CONTRACT, have in place the
CONTRACTOR’s project management team, which shall have responsibility for managing the
WORK.

c. Provide, planning and scheduling, cost control, change control, progress measurement, risk
management, contract and procurement management, quality assurance, quality control,
document control, and health, safety, security and environment management

d. Provide and maintain a procedure to verify and assure that the qualifications and experience of
the various CONTRACTOR PERSONNEL assigned to the WORK or the PROJECT are
consistent with their various roles and responsibilities. The CONTRACTOR shall submit the
procedure to COMPANY for approval.

e. Ensure that the WORK is progressed and completed without interruption in accordance with the
SCHEDULE OF KEY DATES, within budget and to meet or improve upon other stated objectives,
in accordance with the CONTRACT, The SCHEDULE OF KEY DATES shall not be changed
except as provided for in the CONTRACT.

f. Administer, direct and control the WORK in a transparent and equitable manner in accordance
with COMPANY business principles, utilising competent personnel and adequate and fit for
purpose management tools.

g. Allow free and open access at all times, for the COMPANY to meet with and discuss PROJECT
or WORK related issues with the CONTRACTOR’s PERSONNEL, AGENCY PERSONNEL and
SUBCONTRACTORS. Comply with the COMPANY’s directions to change the order of
performance of the WORK insofar as such directions are issued to avoid interference with the
performance of other PROJECT participants or other reasonable cause.

h. Provision of overall engineering and WORKSITE management to maintain design integrity


throughout all phases of the WORK. Resolution of all technical queries and submission of all
documents and dossiers as agreed under the CONTRACT to COMPANY for review or approval
as specified.

i. Provision of an effective expediting programme to ensure the agreed SCHEDULED HANDOVER


DATE of all MATERIALS and PERMANENT WORK including all records necessary to support a
full audit trail of MATERIALS is met.

j. Provision of overall management, co-ordination and direction for all fabrication activities and
ensure that the necessary liaison and interface control takes place between fabrication,
engineering and procurement.

k. Set up a Project Interface Management System that operates seamlessly with the COMPANY
Interface Management System. The CONTRACTOR shall provide requested data relating to all
interfaces with COMPANY and its other contractors by the agreed dates.

l. Ensure that a quality system, which conforms with the CONTRACTOR's quality policy and the
requirements of the CONTRACT is in place and implemented

m. Ensure that HSSE Management and Security procedures are developed and implemented in
accordance with CONTRACT requirements.

n. Ensure that any VARIATION requests are prepared in accordance with the CONTRACT and
supported by all necessary documentation. Co-ordinate the preparation of all interim payment
applications and invoices.

o. Ensure that project-planning requirements are adequately resourced and the required tiered
levels of planning documentation are produced. The CONTRACTOR shall inform COMPANY of
any delay or slippage, and produce recovery plan(s) for COMPANY review.

p. Ensure all necessary information is provided to assist COMPANY in the preparation of Project
documents.

q. Implement an effective document management system as defined in the CONTRACT

r. Provide overall detailed management of fabrication, co-ordination and direction of integration


testing, transportation, logistical support and support for offshore installation, test,
commissioning, start up and final hand-over activities.

Health, Safety, Security, Environment and Social Performance (HSSE & SP)

CONTRACTOR shall provide security services for all the WORKSITES. CONTRACTOR’S security plans
shall be submitted to COMPANY for approval seven (7) days after EFFECTIVE DATE of CONTRACT
AWARD.

Execution Plan for the Work

The CONTRACTOR shall

4.3.1. Develop an EXECUTION PLAN for the WORK. The EXECUTION PLAN shall be based upon
the CONTRACTOR’s initial EXECUTION PLAN and shall be specific to those parts of the
PROJECT for which the CONTRACTOR has responsibility. As a minimum the EXECUTION
PLAN shall contain the following;

a) Principal goals

b) Summary of the WORK

c) Office and WORK locations

d) CONTRACT Administration

e) Approvals and Permits

f) HSSE & SP Management in accordance with relevant provisions under the


CONTRACT.

Project Management System

The CONTRACTOR shall

a. Develop and apply a documented Project Management System that shall contain approved
guidelines, plans, procedures and processes for effective and efficient completion of the WORK

4.5 Project Control:

The CONTRACTOR shall:

a. Comply with the requirements for Project Controls (related to project reporting, cost, schedule,
risk management)

b. Implement effective cost control, monitoring and reporting process throughout the course of the
WORK:

4.6 Interfaces Management and Co-ordination

The CONTRACTOR shall have an Interface Management and Coordination Plan, which shall be

The CONTRACTOR shall manage and co-ordinate interfaces with COMPANY and support

COMPANY in managing interfaces with MPNU.

4.7 Risk Management

The CONTRACTOR shall:

a. Utilise a risk and opportunity management system that enables CONTRACTOR to manage risks and
opportunities for the duration of the CONTRACT and to demonstrably record how risks and opportunities
have been addressed in the execution of WORK.

b. Work jointly with the COMPANY to perform the PROJECT risk assessment and create a PROJECT
risk register, mitigation plans and allocation of risk management responsibilities for

Cost and Schedule, Technical Compliance, Quality, Safety, Commercial Control and other issues that
will contribute to successful delivery of the PROJECT.

c. Submit the initial risk register and mitigation plans to the COMPANY for approval.

d. Update the risk register and mitigation plans to report progress on risks that are actively being
managed, account for risks that have been managed to conclusion and include new risks that have arisen.
Submit all updates and changes to the COMPANY for approval

4.8 Communication Plan

The CONTRACTOR shall:

a. a. Develop a Communication Plan describing how communications both internal and external
shall be performed to ensure effective dissemination and control of information

b. Submit the Communication Plan to the COMPANY for approval.

4.9 Quality Management and Technical Integrity Verification

The CONTRACTOR shall:

a. Develop a Quality Management system which is fully compliant with ISO-9001 and apply it

to all CONTRACT activities including those of its SUBCONTRACTORs and Suppliers

4.10 Licenses and Permits

The CONTRACTOR shall:

a. Identify, apply for, obtain and maintain all approvals, permits and licenses at all WORKSITEs
which are necessary for the PROJECT except those to be obtained by the COMPANY.

b. Ensure that all necessary permits, licenses, approvals and other consents for the
CONTRACTOR and its SUBCONTRACTORS to perform the WORK are obtained.

c. Be responsible for developing all related regulatory submittal documentation.

d. Co-ordinate with COMPANY regarding communication with and the submission of


documentation to the various regulatory bodies that have jurisdiction over the WORK.

e. Be responsible for creating and updating a Regulatory Permits and Consents Compliance Plan
and schedule.

f. Incorporate the Regulatory Permits and Consents Schedule into the overall Integrated Project
schedule, showing interdependencies for the Permits and Consents.

g. Provide for any necessary preparations and make CONTRACTOR PERSONNEL available for
audits and reviews conducted by any authorised governmental agency.

4.11 Information Management and Information Technology

The CONTRACTOR shall:

a Comply with COMPANY Information Management procedures

b. Comply with COMPANY information Technology procedures.

COMPANY Required Facilities

The CONTRACTOR shall provide the facilities and services for the use of the COMPANY and COMPANY
personnel as part of the Project Management responsibilities of the CONTRACTOR under the
CONTRACT.

ARTICLE 5 LOGISTICS
CONTRACTOR shall provide all logistics required to perform the WORK in accordance with the
CONTRACT.

CONTRACTOR is responsible to pick up the Company Provided Items from COMPANY storage area in
Port Harcourt and Lagos. This plan shall form part of the EXECUTION PLAN.

ARTICLE 6 ENGINEERING
Engineering

Detailed Engineering shall be performed by the COMPANY. During the execution of Detailed Design
CONTRACTOR shall participate in the design and become familiar with the entire design and where
necessary the CONTRACTOR shall give his input to the design.

Deliverables of the Detailed Engineering Design shall as a minimum include the following. Please refer
to the DED deliverables register for a detailed listing

a) Engineering calculations, analyses and modelling

b) Review and endorsement of existing documentation

c) Maturation of concept to detailed design (Where applicable)

d) Detailed design

e) Development of weld procedure specifications

f) Management of engineering Interfaces

g) Load and Load-out engineering and procedures

h) Sea fastening and Transportation engineering,

Fabrication Engineering

CONTRACTOR shall plan, progress and report for these activities by systems as described in the
SECTION V – SCOPE DESCRIPTION the article headed PERMANENT WORK

The Fabrication activities shall include as a minimum:

a) Preparation, issue and implementation of detailed procedures, method statements,


drawings, calculation notes, list of equipment, list of CONTRACTOR PERSONNEL,
planning, back-up procedures as necessary for all activities at workshops / WORKSITES

b) Preparation and issue of shop drawings

c) Develop Storage and preservation procedure for any other Contractor supply items
(including those issued to CONTRACTOR as COMPANY ITEMS)

d) Perform engineering required to integrate of any other Contractor supply items (issued
to CONTRACTOR as COMPANY PROVIDED ITEMS) within the system

e) Preparing rigging studies as required

f) Preparing onshore transportation studies as required

g) Integration of any COMPANY PROVIDED ITEMS within the system

h) Organise, participate in and action results of Technical Reviews/ interface meetings and
Risk Assessments

i) Include requirements of OGP 376 (Lift Plan) as required during all Fabrication Work

The procedures shall be sufficiently detailed and shall be issued for review prior to the planned start date
of the actual WORK. Assembly procedures describing the steps and sequence for assembling the various
components shall be included.

These requirements shall also apply to each onshore construction / testing activities.

Construction / Installation Manuals

6.3.1 Onshore Construction Manuals

The CONTRACTOR shall perform construction engineering, develop drawings, identify environmental
limitations where appropriate, prepare contingency procedures and produce “Construction Manuals”.

The Construction manuals shall summarise the construction WORK to be performed and shall provide
the basis for how the WORK shall be accomplished including detailed procedures for the accomplishment
of the construction. As a minimum, the Construction Manuals shall contain the information required by
the JOB SPECIFICATION.

The construction operations shall not begin until the respective Construction Manual(s) has been
approved by COMPANY. The CONTRACTOR shall not deviate from the procedures contained in the
Construction Manuals without COMPANY's prior concurrence.

The Construction Manuals to be developed and used by the CONTRACTOR shall as a minimum include
the following procedures:

a) Construction Site Preparation plan and procedures

b) Material transportation, including shipping, handling, packing, and preservation to the


fabrication site procedure

c) Material Receipt procedure

d) Onshore fabrication processes, including multi-jointing, FTAs/ITAs, mainline and field


joint coatings, corrosion coating, insulation coating, weight coating, painting and other
pre-installation activities

e) Testing – welding, coatings, pressure testing procedure

f) System integration and acceptance testing (including site preparation, testing


organisation, test parameters and acceptance criteria, safety plans) plan and procedures

g) Loadout and transportation of MATERIALS and fabricated items including shipping,


handling, packing, and preservation to the installation site procedures

6.3.2 Offshore Installation Manuals

CONTRACTOR shall prepare installation manuals for all activities required by this JOB SPECIFICATION
as described in this scope of work the article headed INSTALLATION

CONTRACTOR shall develop detailed step by step procedures for the installation of the PERMANENT
WORK. The procedures shall include contingency plans as well as Inspection, Maintenance and Repair
(IMR) operations.

CONTRACTOR shall identify the installation activities and develop a sequence of operations in order
to optimise the utilisation of marine SPREADs. This sequence of operations shall be evaluated in line

with the offshore schedule in order to manage access to the WORK SITE, synchronise the installation
SPREADs working simultaneously on WORK SITE and provide COMPANY with the flexibility to alter.

6.3.2.1 Installation Manuals

The installation operations shall not begin until the respective installation manual(s) has been reviewed
and approved by COMPANY. CONTRACTOR shall submit installation manual(s) for review not later than
fourteen (14) days prior to mobilization. The CONTRACTOR shall not deviate from the procedures
contained in the Installation Manuals without COMPANY's prior approval.

The installation manuals to be developed and used by the CONTRACTOR shall as a minimum include
the following procedures:

a. Marine operations

b. Survey, positioning, and metrology

c. Anchor handling

d. Pipe transportation, including shipping, handling, packing, and preservation

e. Dynamic positioning

f. Diving

g. Welding and NDE

h. Platform Modifications, piping and fixed riser installation

i. instrumentation installation, including supports

j. Flooding, Cleaning and inhibition of risers

k. Normal and intelligent pigging

l. Hydrostatic testing

m. Pre-commissioning

n. Commissioning assistance

o. Decommissioning (outline procedures only on how to make the lines safe for
abandonment at/ or before the end of field life; no execution by CONTRACTOR is
anticipated)

p. Crane or winch capacities, operating guidelines and procedures

6.3.3 Contingency and Safety Plans

CONTRACTOR shall prepare contingency plans for all conceivable events that could pose a risk to
safety, schedule or the WORK and present said plans to COMPANY. As a minimum, the contingency
plan shall include the procedures for recovery from the following events:

a) Loss of Dynamic Positioning (DP)

b) Loss of heave compensation system

c) Nominated safe havens for all adverse weather directions

Software Programmes

Analytical software used in the development of procedures, equipment design, vessel motions, loads,
forces, shall be submitted to COMPANY for approval. The CONTRACTOR shall submit descriptions of
analytical software used in these analyses. Software descriptions shall include

a) Programme name and brief programme description.

b) Programme source and support (in-house, general purpose, author).

c) Typical application and list of similar applications.

d) Programme capabilities and limitations.

e) References to theory or analytical procedures.

f) Programme validations

g) Version

Technical Reviews

As part of the engineering assurance process, COMPANY shall require the CONTRACTOR to carry out
technical reviews at different stages of the WORK.

The technical reviews shall as a minimum include;

6.5.1 Technical Review Pre-Construction Mobilisation

Its purpose will be:

a) To review the construction manual and ensure that the latest revisions of specifications,
procedures and drawings are included.

b) To ensure that required CONSTRUCTION EQUIPMENT is available in due time and


complies with requirements. CONTRACTOR shall make available for the review all
engineering documentation in the latest Approved for Construction or As Built issue, as
well as the appropriate procedures and reports.

6.5.2 Technical Reviews for the Fabrication/Construction/Installation Stage

Its purpose will be:

a) To review installation task plans and to perform a step by step assessment of the
installation methods to ensure all risks are ALARP (HIRA, HAZID & Constructability
reviews)

b) To review changes to the specifications and designs post Approved For Construction

c) To confirm that the preparation of plans and procedures for pre-commissioning,


commissioning, start up, operations and maintenance is well in progress.

d) To check correctness of documents used for fabrication/construction.

e) To review the welding/NDE procedures.

f) To check conformity of welding operation with welders qualification.

g) To check storage conditions for COMPANY (if any) and CONTRACTOR ITEMS, and
ensure that SUBCONTRACTOR’s instructions are complied with.

h) To review safety procedures.

i) To check conformity of fabricated elements with AFC documentation.

j) To ensure that equipment/materials for pre-commissioning operations are available.

k) To review pre-commissioning procedures and equipment.

l) To check pre-commissioning operations and records.

6.5.3 Technical Review at the Pre-Commissioning Stage

Its purpose will be:

a) To generally check the conformity of the facilities with the Approved For Construction
documentation (principally the P&IDs) and to confirm compliance with the previous
review actions.

b) To check that the operating point of view is adequately taken into consideration.

c) To review the pre-commissioning procedures.

d) To review the safety procedures. CONTRACTOR shall give access to all documentation
available at WORKSITES. CONTRACTOR shall make available for the review all
detailed engineering documentation in the latest Approved For Construction or as built
issue as well as the pre-commissioning, safety and other procedures and test reports

6.5.4 CONTRACTOR Duties in Relation With Technical Reviews

CONTRACTOR shall during all Technical Reviews:

a) Give COMPANY review team access to the required documentation in whatever status
it happens to be at the time of the review.

b) Give COMPANY access to personnel in order to address any questions raised by


COMPANY review team, and available part or full-time as appropriate to attend technical
review meetings.

c) Implement as early as required the comments made by COMPANY review team in the
Technical Review report. Where the findings of these Technical Reviews show part or
parts of the PERMANENT WORK to be unsafe, inoperable or unmaintainable as defined
within the context of the CONTRACT, CONTRACTOR shall perform at his own cost such
modifications as are required in order to put right such defects.

Provide a live database of Technical Review findings and agreed actions together with current status
for review at any stage during the execution of the WORK

ARTICLE 7 PROCUREMENT
General

CONTRACTOR shall procure all MATERIALS required for the performance of the WORK with the
exception of COMPANY PROVIDED ITEMS.

Principal Procurement Tasks

The CONTRACTOR shall set up and run a fully integrated procurement function. Procurement shall
incorporate the handling of tender inquiries, inspections, purchasing, QA/QC of all MATERIALS, tests
witnessing, expediting, delivery to site, and all related site activities.

Procurement Plan

For Contractor supplied materials, the CONTRACTOR shall procure required MATERIALS and spares,
including expediting, transportation, insurance, traceability, vendor inspection quality assurance and
control, warehousing, security, and storage. Within (14) fourteen days of the EFFECTIVE DATE OF THE
CONTRACT, the CONTRACTOR shall submit a procurement plan to COMPANY for approval. The
procurement plan will contain procurement procedures and a list of all items to be purchased. COMPANY
will indicate on the procurement plan which purchases they wish to review in detail before order
placement.

Subcontracting Plan

The CONTRACTOR shall submit a subcontracting plan within (10) Ten days of the EFFECTIVE DATE
OF THE CONTRACT. It shall including work scope, compensation type, contract arrangements and
execution milestones, and terms and conditions it shall to use for SUBCONTRACTS covering the phases
of the WORK CONTRACTOR is to be subcontracting. The terms and conditions shall be consistent with
those in CONDITIONS OF CONTRACT and CONTRACTOR shall highlight the incorporation of relevant
provisions

COMPANY will carry out due diligence on vendors proposed by the CONTRACTOR in the EXECUTION
PLAN, where issues arise from the due diligence exercise on any of the vendors, the affected vendor(s)
shall be subjected to the vendor approval process.

MATERIALS Compatibility

CONTRACTOR shall ensure that all procured MATERIALS are compatible with other systems especially
existing facilities.

Spares

7.6.1 General

The CONTRACTOR shall provide all spare parts required for the PERMANENT WORK and equipment
provided under this CONTRACT.

Final quantities of spares to be provided shall be agreed with COMPANY.

Original equipment (OEM) part numbers and supplier details shall be provided for all bought in items.
Spare parts shall be available before the commencement of integration testing.

Spares shall be delivered simultaneously with the HANDOVER of the equipment for which they are
intended. Where equipment is delivered in batches, spares for all similar items shall be delivered with
the first item of each batch unless otherwise approved by COMPANY.

Spare parts shall be crated and preserved for extended storage of a minimum of five years, and clearly
identified individually. All spares shall be manufactured, inspected and tested to the same standards and
requirements of the primary components.

7.6.2 Installation Spares

The CONTRACTOR shall provide all spares and consumables required for the installation of the
PERMANENT WORK.

The CONTRACTOR shall set up an offshore spare part inventory scheme to ensure that delays due to
lack of spares and consumables are avoided.

The CONTRACTOR shall submit a recommended spare parts list and tools necessary for field assembly
and repair of critical components for COMPANY approval.

ARTICLE 8 FABRICATION
General

CONTRACTOR shall perform all fabrication and fabrication related work required to deliver the
PERMANENT WORK in accordance with this Scope of Work.

Onshore Base

The CONTRACTOR shall provide an onshore base for the execution of all its fabrication WORK.

Welding

All welder and welding procedures shall be qualified in accordance with Welding SPECIFICATION and
submitted to COMPANY for approval, before use.

All welder performance testing for onshore fabrication of riser, spool components will be conducted at
CONTRACTOR’s facilities located in Nigeria. All welders used shall be qualified for the procedure being
employed.

CONTRACTOR shall submit details of labs proposed for WPQ for COMPANY review and APPROVAL.
COMPANY shall perform an independent audit of these labs.

8.3.1 Factory Acceptance Testing

CONTRACTOR shall be responsible to perform Factory Acceptance Testing on all PERMANENT WORK
designed, manufactured, fabricated and procured by CONTRACTOR in accordance with the JOB
SPECIFICATION.

Tests shall include as a minimum, the following;

a) Pressure tests of all pressure containing volumes

b) Single unit testing of assembled components

c) Verification and maintenance of hydraulic cleanliness

Tests shall also utilise 'as-built' assemblies, unless jigs or test fixtures are used which have previously
been proven to simulate equipment interfaces.

Onshore Fabrication

The fabrication WORK shall as a minimum cover the following

a) Inanga UA Topsides Modifications

b) Export pipeline from Inanga UA-Idoho BP Tie-in Spool and Rigid Risers

c) Idoho BP Topsides modifications

The CONTRACTOR shall be responsible for fabrication of all riser pipe including additional joints as
CONTRACTOR may deem required. As a minimum, this shall include line pipe blasting/clean-up, pipe
make-up, and welding and all corrosion, weight and insulation coating.

Pipe coatings shall be electronically checked for holiday prior to load out to offshore and also after field
joint coating, prior to departing the vessel. Pipeline and Flowline Components and Appurtenances

CONTRACTOR shall take delivery of COMPANY supplied as required for the fabrication of the riser and
spool components and appurtenances.

a. As part of the structural Work, CONTRACTOR shall perform all welding, coating, insulation and
all other associated work which as a minimum shall include;

i. Cutting, profiling, and weld preparation

ii. Prefabrication work

iii. Tacking, welding, and sub-assembling as per qualified procedures

iv. Assembling

v. Erection including tacking, assembling, and fastening to main frame of all secondary
structures and appurtenances

vi. Final assembling of structural WORK including pad eyes

vii. NDE and dimensional controls as per qualified procedures

viii. Perform PWHT as per the qualified procedures

b. For piping related work under this category, CONTRACTOR shall as a minimum carry out line
pipe blasting and clean-up, pipe make-up, welding, coating and all other associated piping WORKS
including;

i. Prefabrication and assembly

ii. Internal cleaning and pickling.

iii. Handling of piping and fittings

iv. Attachment of temporary closures and identifications

v. Final As Built surveys

vi. Preparation and issue of related as-built drawings

The CONTRACTOR shall also be responsible for all fabrication details that are installation vessel specific
but shall ensure that all fabrication activities are consistent with and/or satisfy the COMPANY
specifications.

8.4.1 Inanga UA

The CONTRACTOR shall be responsible for all fabrication WORK associated with the Inanga UA
modifications. PERMANENT WORKS to be fabricated by the CONTRACTOR shall include;

a) Structural Modifications

b) Pipeline and Piping Work.

8.4.2 Idoho BP

The CONTRACTOR shall be responsible for all fabrication WORK associated with the Idoho BP
modifications. PERMANENT WORKS to be fabricated by the CONTRACTOR shall include;

ARTICLE 9 INSTALLATION
General

The CONTRACTOR shall install all the PERMANENT WORK as described in– SCOPE DESCRIPTION
the article headed PERMANENT WORK. The Installation activities shall as a minimum include;

a) Mobilisation of marine SPREAD

b) Load out and Transport

c) Seabed surveys/investigations

d) Clearance of debris and obstacles on the seabed.

e) Preparation of the seabed if applicable

f) Installation surveys

g) Positioning and installation

h) Recovery and hook-up

i) Testing and Pre-commissioning

j) Post-lay surveys and rectification if applicable

k) Subsea tie-ins

l) Crossing installation if applicable

m) Site reinstatement,

n) Commissioning Support

o) As-built surveys and preparation of As-built records.

p) Demobilisation of marine SPREAD

q) Review of company provided geophysical and geotechnical survey

The CONTRACTOR shall supply all engineering support, management and coordination manpower,
specialist services and equipment, vessels, communication, transportation, consumables, and spare
parts for the installation activities.

Where the CONTRACTOR requires work on ‘live’ MPNU assets, the CONTRACTOR shall engineer and
plan the work to minimize interruptions to MPNU operations. This shall include all activities such as
minimising any ‘hot work’ requirements to the absolute minimum.

The CONTRACTOR shall submit an offshore Installation plan within (14) fourteen days of the
EFFECTIVE DATE of the CONTRACT. It shall contain a narrative on how the CONTRACTOR shall
perform all the offshore installation activities required on the PROJECT using CONTRACTOR’s marine
SPREAD. It shall be a concise synthesis describing and analysing the PROJECT focusing on the
methodologies to be employed by the CONTRACTOR to meet COMPANY’s KEY DATES for the various
offshore installation phases and eventual COMPLETION of the PROJECT. The plan shall form part of
the EXECUTION PLAN.

Installation Manuals

The CONTRACTOR shall prepare detailed installation manuals for installation of all PERMANENT
WORK in accordance with the JOB SPECIFICATION.

Installation Constraints

CONTRACTOR shall take account that he will not have "unhindered access" to the MPNU assets for the
installation WORK and that part of the WORK may be subject to SIMOPS (Simultaneous Operations).
CONTRACTOR shall plan to keep SIMOPS at a minimum.

CONTRACTOR shall take into account there may be insufficient deck space on the Inanga UA WHP and
Idoho BP for storage and or lay down of MATERIALS including the use of equipment and or utilities and
shall make due provision as such when planning operations and activities.

In the event of conflict of CONTRACTOR’s activities with those of other contractors on the
INSTALLATION SITE, CONTRACTOR shall forthwith inform COMPANY of such conflict. COMPANY
shall then decide upon the operational priorities and the order in which the respective parts of the
construction and installation works shall be carried out.

Health, Safety and Environment During Installation

The CONTRACTOR shall maintain a safe and healthy working environment during all phases of
installation at the INSTALLATION SITE.

CONTRACTOR's Marine Vessels

CONTRACTOR shall ensure that all nominated vessels for this CONTRACT shall meet the vessel
assurance requirements as set forth by MPNU.

9.5.1 Marine Vessel Nomination

The CONTRACTOR shall not change vessels nominated as part of the CONTRACT unless expressly
approved by COMPANY.

The CONTRACTOR shall ensure availability of all such nominated vessels as at when required in
accordance with the SCHEDULE OF KEY DATES and CONTRACTOR's installation schedule as agreed
with COMPANY at EFFECTIVE DATE of the CONTRACT. Any support vessels not nominated then shall
be nominated in accordance with Section XIV – CONTRACT EXECUTION PLAN.

Subject to prior written approval of COMPANY, CONTRACTOR may substitute an alternate vessel for a
previously nominated vessel in accordance to the CONTRACT.

Mobilisation

CONTRACTOR shall perform the mobilisation of all marine SPREADS necessary to complete the WORK.

CONTRACTOR shall verify that all documents for the installation WORK have been approved for use
and are available to COMPANY personnel on board the marine SPREAD.

Allocated barge(s) and tug(s) shall be capable of transporting the PERMANENT WORKS to be installed
by the CONTRACTOR.

INSTALLATION SITE Survey

CONTRACTOR shall perform the offshore surveys for each INSTALLATION SITE. Survey tasks shall
include as a minimum:

a) Pre-Installation Surveys

b) As-Built Survey

Video recording may be performed systematically throughout the duration of the WORK. Colour still
photographs shall be taken whenever requested by COMPANY

The CONTRACTOR shall be solely responsible for damages to any existing facilities including damage
to newly installed PERMANENT WORK.

Marine Transportation

Transportation as detailed herein only refers to final transportation to the INSTALLATION SITE

CONTRACTOR shall carry out lifting, loadout, sea-fastening and transportation of all CONTRACTOR
items and transport of COMPANY PROVIDED ITEMS from the respective load out quays to the
INSTALLATION SITE required for the WORK .

The CONTRACTOR shall plan transportation of COMPANY PROVIDED ITEMS from COMPANY’s other
contractors to the INSTALLATION SITE on the basis of navigation through inland water ways to the open
sea

Prior to departure from WORKSITES the CONTRACTOR shall inspect and formally accept the
COMPANY PROVIDE ITEM to be installed.

Transportation from the load out WORKSITES to the INSTALLATION SITE shall only be performed
during day light hours.

9.8.1 Marine Port Services

The CONTRACTOR shall be responsible for all port services and associated charges required for
performance of the WORK.

Load out Operations

CONTRACTOR shall be responsible for load out of all MATERIALS including COMPANY PROVIDED
ITEMS

Custody of unmanned barges left without tugs shall remain the responsibility of the CONTRACTOR even
when the transport vessel is safely moored and anchored at the site specified by COMPANY's contractor.

Load out shall not be deemed to have started until all the requirements of the MARINE WARRANTY
SURVEYOR are met:

Load out shall be deemed to have been completed when COMPANY and the CONTRACTOR, agree and
signify in writing that the vessel can depart to the INSTALLATION SITE or WORKSITES. This will be true
even though the vessel does not actually leave for several days because work progress is less than
anticipated or other reasons not attributable to COMPANY or COMPANY's contractor.

Mooring lines to secure the transport vessel at the load out site shall be provided by the CONTRACTOR.

Offshore Installation WORKS

The scope of WORK for the installation of the PERMANENT WORK as described in Section V – SCOPE
DESCRIPTION with Article headed PERMANENT WORK shall include installation, tie-in and post
installation works.

Any Weather sensitive operation shall be performed at a suitable time (weather window) with respect to
the metocean conditions in the INSTALLATION SITE.

CONTRACTOR shall provide unrestricted access to COMPANY for all monitored systems used for the
execution of the work.

9.10.1 Inanga UA Installation and Modification Work

CONTRACTOR shall carry out all subsea and topsides modifications required to ensure the safe
connection of the export pipeline to the export pipeline at Inanga UA.

The Inanga UA facilities modification shall be planned on the basis of no shut-down window. Inanga UA
facility shall remain in production during execution of work.

CONTRACTOR shall provide adequate HSE arrangements for working in a live hydrocarbon facility.
Knowledge of MPNU SIMOPS requirements is a pre-requisite to CONTRACT AWARD.

CONTRACTOR shall provide additional HSSE equipment as required to support POB on the unmanned
Inanga UA platform during execution of the scope of work.

9.10.2 Idoho BP Installation and Modification Work

CONTRACTOR shall carry out all subsea and topsides modifications required to ensure the safe
connection of the export pipeline to the export pipeline at Idoho BP.

The Idoho BP facilities modification shall be planned on the basis of no shut-down window. Idoho BP
facility shall remain in production during execution of work. Contractor shall plan for HABITAT use for
welding and design shall include the use of bolting arrangements where possible and minimise the
requirement for hot work.

Diving

CONTRACTOR shall plan and execute the WORK to minimize diving operations.

The CONTRACTOR shall provide the diving equipment and personnel that are necessary for the WORK
in accordance with MPNU Diving requirements.

Diving supported activities may include as a minimum;

a) Installation of Riser spool brackets

b) Rigid Riser Installation

c) Installation of Riser protection barriers

d) In-water inspections

The CONTRACTOR shall submit a diving plan detailing all the diving activities it shall carry out on the
PROJECT. The plan shall cover the methodologies, personnel and equipment the CONTRACTOR
intends to use. It shall detail all the safety measures to be put in place for each diving activity.

Pre-commissioning

9.12.1 General

CONTRACTOR shall carry out and be responsible for all pre-commissioning activities to be performed at
the INSTALLATION SITE with respect to the PERMANENT WORK installed by the CONTRACTOR.

The CONTRACTOR shall submit a pre-commissioning plan within (30) thirty days of the EFFECTIVE
DATE of the CONTRACT. It shall contain a narrative on how the CONTRACTOR shall perform all the
post installation pre-commissioning activities required on the PROJECT.

9.12.2 Detailed Scope

CONTRACTOR shall plan, progress and report for these activities by systems as described in SCOPE
DESCRIPTION the Article headed PERMANENT WORK

Cathodic Protection Survey

A cathodic protection survey of the PERMANENT WORK installed by the CONTRACTOR shall be
conducted after installation activities. The survey system shall consist of continuous potential and electric
field gradient measurements on the riser and Subsea spool. Procedures for the work are to be included
in the installation manuals.

Remedial WORK

Upon completion of installation activities all installation aids shall be retrieved by CONTRACTOR.

WORKSITE Cleaning after the WORK

CONTRACTOR shall clear the WORKSITE of all debris and all unused items and temporary works as a
result of CONTRACTOR’s activities, prior to and at COMPLETION of WORK at WORKSITE.

Demobilisation

The CONTRACTOR shall

a) Perform demobilisation in accordance with the Demobilisation Procedures, to be prepared by


CONTRACTOR and submitted to COMPANY for review.

b) Demobilise the marine SPREADS immediately following COMPLETION of the WORK for which
the marine SPREADS were mobilised.

c) CONTRACTOR shall not demobilise any portion of the marine SPREAD before COMPLETION
of the W ORK for which such portion of the marine SPREAD is required and / or has been
mobilised, otherwise such demobilisation shall be at CONTRACTOR's sole risk. Where the
CONTRACTOR decides to demobilise for example the pipe-lay vessel, it shall be at no cost to
COMPANY for the CONTRACTOR to re-mobilise the pipe lay vessel or an alternative vessel
back to the field to perform remedial work in order to achieve COMPANY’s acceptance criteria
for COMPLETION of that part of the WORK.

d) Demobilise materials and personnel used in the construction and installation operations.

e) Be responsible for the safe disposal of any waste chemicals, contaminated and/or hazardous
materials, and the like, in accordance with Health and Safety Guidelines.

a) Pack and deliver all unused spares to COMPANY. This shall include all packing, transportation
and delivery to COMPANY Base. Delivery shall also include all loading, transportation, sea
fastening, unloading and any other activity required to ensure receive of the equipment, including
documentation, in accordance with the CONTRACT.

ARTICLE 10 INTERFACE MANAGEMENT


General

10.1.1. The interfaces identified in this article are by no means exhaustive, the CONTRACTOR shall
study all documents provided by COMPANY to identify additional interfaces including MPNU
Interface.

10.1.2. The CONTRACTOR has important interfaces with COMPANY, COMPANY’s other contractors,
and others related to the PROJECT execution. Throughout the course of the W ORK, the
CONTRACTOR shall identify all interfaces associated with the WORK, and shall interface with
COMPANY and its other contractors to acquire or provide all necessary services, work,
resources, information, data, and documentation for the management and co-ordination of these
interfaces. Where problems are encountered, the CONTRACTOR shall make every effort to
resolve them as quickly as possible.

10.1.3. The CONTRACTOR shall agree dates for all interface receivables, and deliverables from and to
COMPANY and COMPANY’s other contractors. These dates shall form part of the EXECUTION
PLAN.

10.1.4. The CONTRACTOR shall co-operate with COMPANY and COMPANY’s other contractors to
achieve COMPANY’s requirements for HSSE and integration of the WORK, with work performed
by others related to the overall project execution.

Interface information provided by COMPANY notwithstanding, CONTRACTOR shall notify the


COMPANY without delay of any additional interface responsibilities required for successful
completion of the WORK

ARTICLE 11 INSPECTION, MAINTENANCE AND REPAIR (IMR)


The objective of this section is to describe the work to be performed by the CONTRACTOR to safeguard
the technical integrity and optimise the up-time availability of the PERMANENT WORKS for which the
CONTRACTOR shall be responsible to design and install.

General

The CONTRACTOR shall be responsible to develop inspection, maintenance, repair and contingency
replacement philosophy for the following;

a) Equipment installed on Inanga UA

b) Equipment installed on Idoho BP

Installation aids shall also be designed where required to support corresponding inspection, maintenance
and repair tasks and associated tooling. Installation aids deemed necessary for IMR and repair tasks
shall remain the property of COMPANY.

The engineering activities to be performed shall as a minimum include the following;

a. List of equipment with corresponding PO and sub-orders

b. Data recovery and compilation

c. Organise, participate in and action results related in any Technical Reviews

Equipment Installed on Inanga UA and Idoho BP

11.2.1 Inspection

CONTRACTOR shall develop an inspection philosophy for the equipment installed on Inanga UA and
Idoho BP.

As a minimum the philosophy shall account for the following:

a. Condition of RIV Actuators, frequency of inspection and replacement

b. Instrument and Electrical fitting inspection requirements

c. Ensure similar requirements with existing infrastructure on the platform

11.2.2 Repairs

The CONTRACTOR shall develop a repair philosophy for the equipment installed on Inanga UA and
Idoho BP.

The work to be performed by the CONTRACTOR shall cover the repair of damage where replacement
by spares is not possible.

The repair philosophy to be developed by the CONTRACTOR shall as a minimum cover the following;

a. Repair process for a range of possible damage scenarios and incidents

b. Repair activity planning procedures

11.2.3 Suspension, Recovery, Installation and Re-commissioning

Included in the CONTRACTOR’s scope of work is the development of suspension, recovery, installation
and re-commissioning philosophy.

As a minimum the philosophy, shall account for the following;

a) Shut-in and discontinuation of export operations

b) Depressurisation of the export pipeline system

c) Isolations form tie-in points and pipeline

d) Repair with pressure monitoring.

e) Monitoring requirements and Activities on Idoho

ARTICLE 12 DOCUMENTATION
CONTRACTOR shall:

Submit technical documents to demonstrate that the equipment is in compliance with the requirements
of the CONTRACT.

Provide all agreed information required for the Procurement, Manufacture, Fabrication, Testing,
Transportation, Installation, Commissioning, Start-up, Operation and Maintenance of the PERMANENT
WORK.

Provide all the information required by the COMPANY, COMPANY’s other contractors, and external
authorities in the execution of the WORK

Provide all project documents and drawings compiled into manuals in accordance with the requirements
of the CONTRACT and record any changes made to the PERMANENT WORK prior to Start-up.

Provide all Native files for Documents, drawings and reports provided to COMPANY as part of the final
HANDOVER.

Packaging and Transportation

The PERMANENT WORK and MATERIALS shall be protectively packaged in a manner


consistent with the applicable mode of transportation for the PERMANENT WORK and
MATERIALS. All sealing areas shall be protected from damage, and loose items shall be crated
separately. Special attention shall be paid to protecting the PERMANENT WORK equipment from
damage and pilferage during transit and storage

ARTICLE 13 COMMISSIONING & START-UP


17.1 During Commissioning and Start-Up (CSU) CONTRACTOR shall provide assistance to
COMPANY. The assistance which shall be under the overall direction of COMPANY shall as
a minimum include

a. Provision of MATERIALS and personnel to execute the required WORK

b. Provision of CONSTRUCTION EQUIPMENT as required

17.2 Commissioning and Start-Up shall include all activities required to achieve:

a. Commissioning to ‘Ready for Start-Up’ status (RFSU)

b. Start-up

c. Project to Asset Hand Over

17.3 CONTRACTOR shall execute and manage all aspects of the work as directed by the
COMPANY to achieve Commissioning and start-up.

17.4 CONTRACTOR shall adhere to COMPANY’s Electronic Permit to Work Systems for all CSU
activities.

17.5 All CSU work shall be performed under a Permit to Work. The permit-to-work process shall
be managed by COMPANY, but CONTRACTOR personnel shall be competent to perform the
required permit related roles. CONTRACTOR shall be responsible for all preparation of
complete and timely submission of Permit to Work requests and shall check the WORKSITE
and equipment for compliance prior to the formal pre-issue inspection. All isolations shall be
performed by CONTRACTOR under COMPANY direction and supervision.
