SERVICE CONTRACT AGREEMENT

THIS AGREEMENT made this _____ day of __________, ____, by and between:

duly registered and existing under and by virtue of the laws of the Philippines, and with office

___________________________________________________ (Here-in after called the Contractor);
And

referred to as the Owner).

WITNESSETH, that the Contractor and the Owner for the consideration named herein agreed as
follows:

ARTICLE 1: SCOPE OF THE WORK

The Contractor shall furnish all the materials, perform all of the works, and provide necessary
technical supervision to deliver the scopes of work shown on the drawings (entitled Exhibit A,
Plans and Drawings) and/or described in the specification details, entitled Exhibit B (Project
Scope of Work), as annexed hereto as it pertains to work to be performed.

ARTICLE 2: DURATION OF CONTRACT COMPLETION

The work to be performed under this Contract shall commence immediately upon signing of
contract agreement and shall be substantially completed within ___________ days, as specified
on Exhibit C (Project Delivery Schedule/GANTT Chart). Time is of the essence.

ARTICLE 3: THE CONTRACT PRICE

The Client shall pay the Contractor for the material to be supplied as specified on Exhibit D,
(Bill of Quantities) and labour to be performed under exhibit E (Manpower Loading and Work
Schedule) the Total Contract Price (TCP) of ______________________________________________
Philippine Currency inclusive of tax, subject to additions and/or deductions pursuant to
authorized/agreed change orders.;

ARTICLE 4: PROGRESS PAYMENTS

Payments of the Contract price shall be paid in the manner following:
- 50% Down Payment upon signing of contract agreement
- 40% Weekly Progress Billing
- 10% Retention Claim
Payments must be thru dated check or deposit to account in favour of _______________________
Retention Claim must be settled upon expiration of warranty period.

 ARTICLE 5: GENERAL PROVISIONS
1. All work shall be completed in a workmanship like manner and in compliance with all
building codes and other applicable laws.
2. Contractor may at its discretion engage subcontractors to perform work hereunder, provided
Contractor shall fully pay said subcontractor and in all instances remain responsible for the
proper completion of this Contract.
3. Contractor shall furnish Owner appropriate releases or waivers of lien for all work performed
or materials provided at the time the next periodic payment shall be due.
5. All change orders shall be in writing and signed by both Owner and Contractor, and will be
charged accordingly on an agreed upon change order cost.
6. Contractor warrants it is adequately insured for injury to its employees and others incurring
loss or injury as a result of the acts of Contractor or its employees and subcontractors.
7. Owner shall obtain all permits necessary for the work to be performed.
8. Contractor agrees to remove all debris and leave the premises in broom clean condition after
the completion of each work day.
9. Contractor shall not be liable for any delay due to circumstances beyond its control including
natural calamities, casualty or general unavailability of materials.
10. Contractor warrants all work for a period of _____________ following completion.
