SUB CONTRACTOR NON-COMPETE AGREEMENT

This AGREEMENT made on ____________,between Lead IT Corp with offices at 1999 Wabash Avenue,
Suite 210, Springfield, IL 62704, (hereinafter “Contractor”) and ______________ (hereinafter “Subcontractor”)
with offices at___________________________, whose FED ID#________________

Consultant Name: Avinash Shaik Rate: $58/hr on c2c all inclusive

The Contractor desires to retain the Subcontractor as an independent consultant to perform consulting services for
the Contractor’s client and Subcontractor is willing to perform such services, on terms set forth more fully herein. Now
therefore in consideration of the mutual promises contained herein, the parties agree as follows:
1. Liability:
The subcontractor is responsible for Social Security, Federal, State Taxes and Insurances (including General Liability
and Workers Compensation) with reference to it’s employees and consultants. By your signature below, you affirm full
responsibility for those payroll and related taxes and payment of them to appropriate Government agencies.
2. Non-compete:
Contractor and Subcontractor both agree not to compete with each other. The sole right to secure business from any
client introduced by one party to other will be to the introducing party. The non-compete shall stay in force for a period
of Twelve months from the day any client is introduced.
3. Confidentiality and Non-disclosure:
All data and information regarding Contractor’s client, Contractor/ Subcontractor(s), financial arrangements and
agreements and the Scope of Services, will be used and kept in confidence and shall be used solely for Purposes of
this Consulting Agreement.
4. Subcontractor Representations:
Subcontractor acknowledges that it is currently providing, has within the last eighteen (18) months provided, and will
in the future provide one (1) or more Subcontractor Employees to perform services for Lead IT and its Customers.
Subcontractor understands Lead IT’s decision to place Subcontractor Employees on engagements with its
Customers is based in large part on Lead IT’s evaluation of each Subcontractor Employee’s skills, experience, and
credentials, and that falsification of such matters could cause substantial injury to Lead IT, including loss of one or
more Customers.
5. Payments Terms
Contractor will issue payment to subcontractor after two days of receipt of the payments from the client. There will be
an early pay option for subcontractors for Net Thirty (30) days at 3 % for each invoice.

Subcontractor hereby represents and warrants that neither Subcontractor nor any Subcontractor Employee has
made, or will make in the future, any material misrepresentations regarding the following:
(1) Subcontractor Employee’s level of education;
(2) Subcontractor Employee’s certifications, skill set or qualifications;
(3) Subcontractor Employee’s work history, or
(4) Subcontractor Employee’s identity.

If Lead IT or Customer determines Subcontractor or any Subcontractor Employee did engage in material
misrepresentation regarding any of the foregoing, Subcontractor will refund all amounts paid by Lead IT to
Subcontractor for such Subcontractor Employee’s services, together with an amount equal to twenty percent (20%) of
the total amount paid by Lead IT to Subcontractor for Subcontractor Employee’s services, as a reasonable
approximation of damages caused to Lead IT by such misrepresentation.
6. General:
Sub-Contractor will be responsible for consultant’s exclusive availability to join Lead IT’s end client for 48 (forty eight)
hours after the interview is completed.
In the event of Subcontractor or contractor breaches this agreement, the party at fault shall be liable to the other
party, in addition to all other amounts due, for all costs and expenses of enforcing this agreement and/or collecting
monies due hereunder, including, but not limited to, Reasonable attorney’s fees.

The laws of State of Illinois govern this agreement.


7. Period of Agreement:
The period of Agreement shall be for a period of one year from the date of entering into this Agreement.
